Subject: First Amendment to Addendum Agreement and Letter Agreement Between
HOK Sport and City of South Bend

Over the past year, the staff has worked to complete elemental steps for the Coveleski Park project
area to accomplish work items like property acquisition, building demolition and site preparation,
completion of planning studies and other related project coordination. As the majority of the site
area around the ballpark has been cleared and prepared for development, it is now time to begin the
next phases of the Coveleski Park project. Staff is currently working on the relocation plan for the
Sons of Israel synagogue and beginning discussions with property owners recently added to the
SBCDA acquisition list.
Another key step, as it relates to the development efforts in the Coveleski Park project area, is to
begin work on the main park block (bound by Western, Lafayette, South and Taylor) and begin to
develop a plan to invest in the efforts that will allow the block to serve as the synergistic hub for the
development activities in the project area. To that end, attached to this memorandum is an
addendum agreement between the City of South Bend and Populous, Inc. (formerly HOK Sport) to
provided updated planning and design services for the Coveleski Park project area.
The work scope provided for in the agreement will allow for refinement of concepts on the main park
block and include work design to develop a work scope for items that will be proposed for
construction and development as part of the Phase 1 development plan for the area. I have
attached a couple images from the draft planning efforts that show concepts previously discussed
for the area. The refinements of elements from the three previous plans (Neighborhood, Ballpark
and Facility) will be merged together as part of the work scope proposed within this addendum
agreement and the goal of this work will be to finalize the ballpark boundaries, establish a plan for
the land areas around the park and develop a design concept for the entry connection feature into
the ballpark from the intersection of Western and Lafayette.
The proposal from Populous is in the basis of a time and materials format and will be capped at One
Hundred Thousand Dollars ($100,000.00) with an allowance for reimbursable expenses. Staff
would request a budget amount approval in an amount not-to-exceed One Hundred Fifteen
thousand Dollars ($115,000.00).
Staff requests approval of this proposal.

FIRST AMENDMENT TO ADDENDUM AGREEMENT
AND LETTER AGREEMENT BETWEEN
HOK SPORT AND CITY OF SOUTH BEND
This Agreement made as of September l 1, 2009 (`'First Amendment"') between City of
South Bend, Department of Redevelopment, acting by and through its South Bend
Redevelopment Commission (the ``Owner'), and Populous, Inc. (formerly known as
HOK Sport) (the ``Consultanf•).
WHEREAS, the Owner and the Consultant entered into an agreement consisting of a
Letter Agn-eement dated October 19, 2007, which was supplemented by a Letter
Agreement and an Addendum Agreement executed June 13, 2008 (collectively, the
``Agreement'") for the provision of professional services in connection with Concept
Planning and Design Services for Stanley Coveleski Stadium; and
WHEREAS, the Owner and the Consultant wish to amend the Agreement in the
following respects.
NOW, THEREFORE, Owner and Consultant agree as follows:
1. All references to HOK Sport or HOK Sport. Inc. ("HOK Sport") shall be changed to
Populous, Inc. (the `'Consultant"').
2. The following items are added as additional scope of work:
a. Develop a master plan and establish alternative design options for improvements
to the ballpark (the `Project'') which will be used to define a scope of services
which shall become the basis of a Professional Services Agreement tendered by
the Consultant to the Owner.
b. Timeline for completion of added scope shall be no later than four (4) weeks from
execution of this First Amendment.
3. The fee for such additional services shall be billed at current hourly rates, not to
exceed One Hundred Thousand Dollars ($100,000.00). This fee does not include
reimbursable expenses as previously defined. All compensation paid by Owner for
this First Amendment will be credited to the fee in the subsequent Professional
Services Agreement.
4. Within thirty (30) days from the presentation to the Owner by Consultant of the
deliverables defined herein, the Consultant shall tender to the Owner a Professional
Services Agreement for the Project which shall be acted upon by the Owner at its next
regularly scheduled meeting.
5. Except as above, each and every tens of the Agreement shall remain unchanged and
in full force and effect.
