A copy of this contract is included for your review. Our agn•eement specified that we would engage an architectural firm to create a budget and bid specifications for a renovated exterior and lobby. Upon confii7nation of private funding for their portion of the project, the Commission ~~~ould authorize the bidding and construction administration phase of the facade improvements, which would be overseen by the Board of Public Works as the Commission's agent. I"m pleased to report that significant progress has been made on our part as well as on the part of WNIT. Subsequent to your approval of the development agreement, the Commission approved a contract with the Troyer Group for the development of bid specifications, with a not to exceed cost of $21,000. This phase of the project is nearing completion. Meanwhile, WNIT"s successful capital campaign in tough economic times illustrates a high level of support in the community for the new facility. An impressive array of grant funds will be applied to equipment purchases as well, bringing the latest in broadcast technologies to our area. WNIT has secured bank financing to get the project underway without delay. With your authorization, the Troyer Group's proposal for the bidding and construction administration phase of the project, attached, will be submitted to the Board of Public Works for approval. Troyer has provided a range of expected time and expense costs for construction administration of $20,500-$37,000 plus reimbursable expenses. I would ask you to authorize a not to exceed amount of $39,000, as this should be sufficient to complete the project. Jefferson Blvd., Suite 12005 South Bend, IN 46601 RE: WNIT Exterior and Lobby -Bid Documentation Dear Mrs. Laurent: As a result of our coi~•espondence, we understand the need for Architectural Services to assist your organization in exterior and lobby bid packages for the WNIT New Building. HOW THE TROYER GROUP WILL SERVE YOU We intend to provide the following services to assist you in the documentation and administration of the consri•uction process. 4. Biddin_~ -Once the documentation is complete, the City will advertise for, receive and tabulate bids for the project The Troyer Group anticipates questions during the bidding process along with potentially some clarifications that will need to be issued through addendum(s). The Troyer Group will review and reconmlend a successful bidder to the City. We propose doing this phase of the project at time and expense (2.8_5 times our direct billable cost) plus reimbursable expenses (times 1.2) and estimate that the cost would be $2,500 to 510,000. The following are services that need to be provided by The Troyer Group: a. Shop drawings review Structural rebar, structural steel, the curtain wall system, mechanical equipment, electrical equipment, and miscellaneous other shop drawings will need to be reviewed by the certifying Architect/Engineer. Construction Observation -The Architect of Record should make observation field visits as follows: Kick-oft meeting, 1-2 visits during Demo, 1-2 visits as curtain wall is installed, 1 for finish observation, and 1 for the final punch. The Structural Engineer will need to visit as follows: 2 visits during demo, when rebar is installed, and 3 visits during steel erection. The Mechanical Engineer needs to visit during rough-in of equipment, above ceiling punch prior to ceiling installation, and for final punch. The Electrical Engineer needs to visit after conduit rough-in but prior to drywall installation, and for fl1e final review/punch. We propose doing this phase of the project at time and expense (2.85 times our direct billable cost) plus reimbursable expenses (times 1.2) and estimate that the cost would be $10,000 to $15,000. c. Request for Information /Proposal Requests - It is unknown how much time will be required for the RFI's /PR's. We assume the Bureau will handle the majority of this work, but the certifying Architect will need to know what had been altered from the original documentation. We propose doing this phase of the project at time and expense (2.85 times our direct billable cost) plus reimbursable expenses (times l.2). d. Certificate of Payment Review -Since regularly scheduled observation field visits are not requested, the Certification of Payment will need to be completed by the Bureau of Public Construction. The Troyer Group bills monthly. Consequently, at the beginning of each month you will receive a statement covering the tinge and expenses incui-~•ed during the previous month. Payment is due within thirty (30) days after statement date. The Troyer Group is prepared to work with you in whatever capacity you desire. We are able to tailor our services to fit needs not addressed above, providing additional services not listed above. The necessity and costs for these services will be negotiated as the project unfolds. As your acceptance of this proposal, please sign and return a signed original to our office. WHEREAS, WNIT is party to an agreement whereby it has rights and expects to acquire the real property commonly known as 300 W. Jefferson Blvd., South Bend, lndiana 46601, and all improvements thereon, described in Exhibit A (the "Property"); and WHEREAS, the granting by WNIT to the Commission of an Easement of a portion of the Property described in Exhibit B (the "Easement Property') ~~~ill be made for the sole purpose of allowing the Commission to renovate and improve portions of the structure (the `'Project") wherein public broadcasting media services are to be delivered, such services being het•einafter defined; and WHEREAS, WNIT intends to remodel and upgrade the Property, excluding the Easement Property, from an existing commercial broadcast facility, into a state of the art center for public media serving atwenty-two (22) county area, employing the highest and best use of the specialized Property and making a significant private capital investment in order to improve its interior and exterior appearance and functionality; and WHEREAS, WNIT•s proposed investment in redevelopment of the structure and relocation of its broadcast operations and associated employment to downtown South Bend is representative of, and furthers the goals of. the South Bend Central Development Area Development Plan; and WHEREAS, comprehensive details of programming and direct and indirect benefits WNIT will provide to the Commission and the residents of the City of South Bend is attached hereto and made a part hereof as Exhibit F; and WHEREAS, the Commission considers the Project a benefit to the health and welfare of all of the community•s residents, and WHEREAS, the Commission has identified a public purpose in both WNIT's physical redevelopment of the building as well as the programming and cultural resources which will be introduced to the Development Area as a result; and WHEREAS, the Commission wishes to participate as a development partner with WNIT by undertaking certain renovations which would not otherwise be privately funded, and in BDDt3Gl 52625?3~2 so doing, the Commission hopes to enhance the viability and vibrancy of the Project. NO\~', THEREFORE, the Parties hereby agree and represent as follows: 1. The Recitals are incorporated into the operative provisions of this Agreement as if fully set out herein. 2. WNIT will com~ey an Easement in the Easement Property to the COn111115$IOn 111 a form which is satisfactory to WNIT and the Commission (the "Easement''). WNIT will not wal-c•ant title to the Easement Property nor provide title insurance, provided, however, the Commission may refrain from accepting the Easement to the Easement Property if, in its sole discretion, WNIT is unable to convey an acceptable Easement to the Easement Property. The term of the Easement shall be for a period of eight (8) months from the date the Easement is executed, but so long as the Project is not complete and the Commission is proceeding to complete it, the Commission shall have an option at its discretion to renew the Easement for six (6} consecutive and separate thirty (30) day periods by providing WNIT written notice of the Commission's intent to renew fifteen (15) days prior to the expiration of the original eight (8) month term or any subsequent thirty (~0) day renewal. In any event, the Easement shall expire one (1) year from the date of the Easement unless the parties agree, in writing, to an extension. 3. A professional architect or architectural firm ("Architect'-) acceptable to the Commission, will assess the renovation needs of the Easement Property, draft plans and develop cost estimates for the renovation. The renovation plans and cost estimates will be presented by the Architect to the Commission and WNIT for approval. Once approved, the Architect, under contract with the Commission, ~a~ill work with the City of South Bend Board oi' Public Works, through an interagency agreement with the Commission, to refine the bid specifications, publicly advertise and bid the Project, and oversee construction activity. The Architect will be authorized by the Commission to prepare construction documents for a fee not to exceed Twenty-one Thousand Dollars (S2],000) until such time as WNIT provides a certification in writing to the City it has secured the funding to hire and pay in full a Construction Manager for interior and exterior renovations of the Property. At such time, the Architect will be authorized by the Commission to provide bidding and construction administration. The source of funding for the project is the South Bend Central Development Area Tax Increment Financing fund ("TIF''). The Commission's approved total Project budget is One Million Dollars ($1.000,000), subject to appropriation by the Commission ("Project Costs'). Project Costs in excess of this amount may not be expended without further approval by the Commission. A preliminary outline of the scope of work on the Project to be contracted through public bid is attached hereto as Exhibit C. Conceptual plans of the interior and exterior renovation are attached hereto as Exhibit D, with that portion of activity to be undertaken by the Commission so noted. The construction schedule for the Project is attached hereto as Exhibit E. Pate 2 of 12 4. The Easement Property will be under the control of and maintained by the Commission during the te~7n of the Easement All expenses relating to the control and operation of the Easement Property, and any adjacent portions of the Property owned by WHIT. including utility charges. shall he apportioned such that WNIT shall be deemed to have been obligated for all expenses relating to the period prior to the date of the Easement and the Commission shall be obligated for al] expenses relating to the Easement Property for the term of the Easement. The Commission agrees to take reasonable steps of security during the teen of the Easement for the Easement Property to secure and protect the Easement Property and improvements and personal property thereon fi•om damages and losses, and to not allow any liens or encumbrances of any kind to attach to the Easement Property. The Commission, also, agrees to work with WNIT to assure that reasonable and mutually accepted liability and casualty insurance protection is in place in relation to the Easement Property and the improvements thereon so as to reasonably protect their respective interests. 5. The Project is scheduled to be completed by October 1, 2009, and the Commission «~ill take reasonable steps to complete the Project prior to that date. If WNIT fails to substantially complete its renovation plans to the Property within t~~~enty-seven (27) months from the date of this Agreement, the Commission may terminate the Easement and \'WNIT will pay to the Commission all documented expenses incurred for the Easement Property, less any expenses reimbursed by the title insurance policy, if partial rehabilitation is due to any title defects or newly discovered encumbrances. WNIT will also pay all expenses incurred if the overall building project is not finished and open for service within eighteen (l8) months after the expiration of the Easement to the Easement Property. 6. \~JNIT «-i11 invest approximately $3.7 million in non-Commission funds to renovate, furnish and equip the Property as a full service media broadcasting center, and shall provide ongoing operational and building maintenance expenses ("Operational Obligations' or "Operations"). The Commission shall require \\WNIT to fulfill Operational Obligations for a minimum of ten (10) years from the date of opening. General expectations for \WNIT that accompany the Operations] Obligations or Operations are further described on Exhibit F attached hereto. WNIT represents and warrants that WNIT will pay the Commission's actually incurred Project expenses, up to One Million Dollars (51,000,000), prorated on an annual basis over the tern.. if Operations cease during this teen for three (3) consecutive months for causes for which it is responsible or that are within its control. By way of example, should WNIT cease Operations in the fifth (5th) year of Operations, its obligation to the Commission shall be Five Hundred Thousand Dollars ($500,000). 7. The Operational Obligations specified in paragraph 6 shall run with the land and shall be subordinate to any mortgage obligation of WNIT. 8. This .Agreement shall be binding upon the parties hereto and their respective successors and assigns. 9. The Parties agree to take such actions, including the execution and delivery of documents and instruments, as maybe necessary or appropriate to carry out the terms and intent of this Agreement and to aid and assist each other in carrying out the terms and intent. No recourse under or upon any obligation, covenant, or agreement of this Agreement or for any claim based thereon or otherwise in respect thereof shall be had against the appointed or elected public officials of the City or the Commission or their respective officers. agents, and employees, in any amount subject to the terms and conditions herein. and no liability. right or claim at law or in equity shall attach to or shall be incurred by the public officials of the City. the Conmmission or their respective officers, agents, and employees and all such claims are hereby expressly waived and released as a condition of and as a consideration for the execution of this Agreement by the Commission, provided such elected officials, officers, agents, and employees are acting pursuant to lawful authority and are uniformly enforcing and/or administering the laws, ordinances, practices and procedures of the City and the Commission. No recourse under or upon any obligation covenant or agreement of this Agreement or for any claim based thereon or others-ise in respect thereof shall be had against the officers, agents, employees, or Directors of WHIT in any amount subject to the terms and conditions herein. l 1. if any portion of this Agreement, or its application to any person; entity, or property. is held invalid or unenforceable, the application or validity of any other portion of this Agreement shall not he affected. l2. The Parties shall each bear their own costs and expenses with respect to this Agreement and the other matters contemplated hereby, including, without limitation, the fees and expenses of their respective legal counsel. 13. This Agreement shall be construed in accordance with the laws of the State of Indiana. 14. This Agreement may be executed in more than one counterpart which, when executed, shall together constitute one agreement. Connectivity between arts and cultural venues in the City will be enhanced through the technology assets owned by the station. o The station will promote downtown arts activities, and help to create audiences for performances at the Morris Performing Arts Center, South Bend Civic Theater, Broadway Theater League, ArtBeat and exhibits at the Center for History, Studebaker Museum among others. o ~wTIT provides training for students interested in artistic expression through the media arts. Paae 10 oi~ 12 • Education o VdNIT wrn-ks with the South Bend School Corporation in early childhood education, utilizing, the educational value of ow- preschool programs to help with media literacy. o The station will conduct a studio and field production training program that is organized into five (S) semesters of study through Ivy Tech. The training will also be available to other area college and high school students through internships. 0 faculty members of the University of Notre Dame, Saini Marv's College, and Indiana University of South Bend will be regularly featured on WNIT's local programs. The location in downtown South Bend ~~-i11 increase the opportunity for local faculty to showcase their kno~~-ledge through local, regional and national programming. o The programming broadcast on WNIT~s multiple chamlels will be rooted in educational values, providing opportunities for lifelong learning to all our vie~~~ers in a variety of subjects. o Partnerships with the Workforce Development programs in South Bend will provide an illustration of the types of jobs available in the region, and contribute to workforce development strategies of the City. • Public Facilities o The new 1~'NIT Center for Public Media will become a community asset. connected to the MetroNei and a key component of the areas telecommunications infrastructure. o Through digital datacasting technology, communication and training to area first responders can be developed that will bridge the gaps and provide critical backup to cun•ent communication pathways. Expanded discussions with Region 2 emergency management personnel will take place. o The programs broadcast on WNIT will help to promote health awareness and the impact of lifestyle on health needs; partnerships with area health providers will help viewers identify resources available in the community to address their needs. o Subject to WNIT being provided or obtaining the necessary equipment, WNIT will offer opportunities for the government of the City of South Bend to conduct telemeetings al] over the state and country at a preferred rate, based on availability, so as to minimize travel needs to Indianapolis and other venues. Pa~~~e 1 1 of 13 • Community Building o The hzdia~~u C7unnael, currently in development and expected for broadcast in January 2009, will, pending legislative approval, feature live coverage of sessions from the Indiana Statehouse, giving area residents an opportunity to witness public policy discussions. This coverage will be supplemented b}~ programming from our community and made available statewide. o WN1T has provided video coverage of the City Council meetings for distribution on cable, and has begun a discussion with City officials for a long-te~7n relationship in PEG channel management and community programming. o The station-s programming interests include convening community stakeholders around specific community topics in broadcast town meetings. creating public awareness of the community's challenges and inviting participation by the community in their resolution. o WN1T will provide meeting space to individuals and entities throughout the community as available, and consistent with its practices and policies adopted fi-om time to time.
