The Amendment authorizes the Board of Public Works to act as the Commission's agent, and it sets an engineering budget of$35,540 for RLR Associates to complete signage plans and design intent drawings. Ignition Park currently lacks any permanent identity and wayfinding signage. The proposal by RLR Associates will develop new site identity as well as a plan for wayfinding signs in and around the certified technology park. SOUTH BEND, IN 46601 I P: 574-235-9371 I FAX: 574-235-9021 I SOUTHBENDIN.GOV RESOLUTION NO. 3250 RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION APPROVING AND AUTHORIZING THE EXECUTION OF AN ADDENDUM TO THE MASTER AGENCY AGREEMENT (Ignition Park Site Identity& Wayfinding Signage) WHEREAS, effective January 1, 2014, the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission (the "Commission") and the South Bend Board of Public Works (the "BPW") entered into a Master Agency Agreement which authorized the BPW to act as agent for and on behalf of the Commission for certain projects during 2014; and WHEREAS, pursuant to the Master Agency Agreement, the Commission desires to add the Ignition Park Site Identity & Wayfinding Signage to the Master Agency Agreement by way of this Addendum. NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment Commission as follows: Section 1. The Commission hereby approves the Addendum to Master Agency Agreement (Ignition Park Site Identity & Wayfinding Signage) and hereby authorizes its execution in substantially the form attached hereto with such changes as the Commission may deem necessary or appropriate upon the advice of counsel, said execution thereof to be conclusive evidence of the Commission's approval of such changes. The Clerk is hereby directed to file a copy of the Addendum with the BPW. Section 2. This Resolution shall be in full force and effect after its adoption by the Commission. Section 3. Commission staff members are authorized to execute on behalf of the Commission any documents necessary to carry out the intent of this resolution. CITY OF SOUTH BEND, DEPARTMENT OF REDEVELOPMENT South Bend Redevelopment Commission ATTEST: South Bend Redevelopment Commission ADDENDUM TO MASTER AGENCY AGREEMENT (Ignition Park Site Identity &Wayfinding Signage) 3250-14 This Addendum to Master Agency Agreement (this "Addendum"), made and entered into as of the 25th day of September, 2014, by and between the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission (the "Commission") and the City of South Bend, Indiana, a municipal corporation duly organized and existing pursuant to the laws of the State of Indiana, acting by and through its Board of Public Works (the "BPW") for purposes of the Commission designating the BPW to act as the Commission's agent to undertake the Ignition Park Site Identity & Wayfmding Signage (the"Project"). WHEREAS, effective January 1, 2014, the Commission and the BPW entered into a Master Agency Agreement which authorized the BPW to act as agent for and on behalf of the Commission for certain projects during 2014; and WHEREAS, pursuant to the Master Agency Agreement, the Commission desires to add the Ignition Park Site Identity & Wayfmding Signage to the Master Agency Agreement by way of this Addendum. NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt of which is hereby acknowledged,the BPW and the Commission agree as follows: 1. The Commission hereby empowers and appoints the BPW,pursuant to the Master Agency Agreement, to act as the Commission's agent for the limited purpose of contracting for and managing the completion of the Project, the scope of said Project being more specifically described in"Exhibit A", attached hereto and made a part hereof. 2. All of the terms and conditions of the Master Agency Agreement shall control this appointment and this Addendum shall be attached to the Master Agency Agreement. 3. Owner's Project,of which Engineer's services under this Agreement are a part,is generally identified as follows: Ignition Park —Brand &Identity Design and Site Identity&Wayfinding Signage j ("Project"). Engineer's Services under this Agreement are generally identified as follows: ACTIVITYA—Brand &Identity Design Scope of Work-RLR will create a new brand identity for Ignition Par(IP)that exemplifies the modem technology park.The logo will reflect the architectural, cultural and technological vision of the project. Our efforts will result in an organized,professional,yet artistic approach to the image design. Scope of Services-The above Scope of Work will be performed in the following design phases.Each P hase will proceed based on City input and approval. 1.0 Conceptual Design RLR will conduct an identity meeting with City leadership and IP stakeholders to discuss the project name and familiarize ourselves with target audience(s)and key marketing messages. We will create idea sketches for a new logo based on the objectives and findings from the identity meeting. The identity may include a typographic expression(or letterform),and a graphic or symbol(s). RLR will explore colors and finishes as part of the design for review and approval. All rights reserved. 2.0 Artwork Production Phase Based on the selected identity design,RLR will prepare detailed artwork of the identity. We will generate digital files of the identity for use in the production of finished graphics. Artwork production involves specifying,keyboarding and arranging typography for use in the identity. (Type fonts used may require use licenses—refer to expenses.)Prepare final art of the identity in black&white and color suitable for formal trademark registration by others. 3.0 Identity Documentation RLR Associates will develop an updatable Guide that presents specifications and standards for use of the newly established corporate identity. The Guide will display the official graphics,symbols and typography in the appropriate size, scale, color and finish for use on visual and marketing tools. The Guide will also illustrate approved use of the identity on select communications materials and merchandise(designed under separate agreement),i.e.,letterhead,publications,promotional products,event banners,etc. Deliverables: Conceptual Design–Provide a design rationale for discussion.Present 3-4 visual identity concepts on boards and in pdf format. Digital Artwork Files–Produce artwork in various formats(i.e., eps,jpg,png)suitable for application and reproduction.Provide a CD with high-and low-resolution digital art in various sizes for print,web and large format output. Identity Style Guide-Generate multi-page document(8 1/2"x 11")with drawings and written specifications illustrating the appropriate use of the identity.Provide the Guide in a digital format(pdf)along with one bound color laser copy. Meetings: Participate in or conduct progress meetings and presentations throughout the duration of the project. Specifically,we anticipate 1 leadership/stakeholder work session,and 2 review/presentation meetings. ACTIVITY –Site Identity&Wayfmding Signage Scope of Work-RLR will develop a system of exterior site signs that inform and direct visitors and users of Ignition Park. The sign system may include monumental and site identification signs,wayfinding& directional signs,boundary/perimeter markers,historic&landmark identification,and celebratory/event banners. We will specify finish materials,method of attachment, and messages for these sign devices. RLR will develop a campus-style program with consideration to vehicular and pedestrian access points. Our work will become the"design vocabulary"for signage--with logos,typography,color,and art elements that complement the architectural features of IP. Scope of Services-The above Scope of Work will be performed in the following customary architectural design phases.Each phase will proceed based on IP/architect input and approval. All rights reserved. 1.0 Schematic Design 1.1 Meet with the City and other consultants to review and understand the project scope, schedule,budget, and approval process. Discuss program objectives with City leadership and IP stakeholders. 1.2 Establish consistent and appropriate application of new IP logo on wayfinding signage. Create a list of terminology,nomenclature and abbreviations for use on signage that is preferred by the City. 1.3 Study and understand commercial business sign ordinances and right-of-way signage allowance. Incorporate applicable regional and city sign ordinances and ADA requirements into the project. 1.4 Study and understand existing city signage and streetscape conditions,and traffic patterns. Review reference documents (i.e.,land use plans, City developments, etc.)to determine a "wayfinding strategy." 1.5 Review architectural design documents to determine proposed site features,routes of circulation and user decision nodes,as well as any street enhancements and decoration plans. 1.6 Establish design and thematic direction for the overall environmental graphics program. 1.7 Generate sign design sketches including: general size hierarchies, colors,type/font materials,and graphic images. Present color drawings of selected signage items for approval. 1.8 Prepare a set of Design Intent Documents at 30%complete. 2.0 Design Development 2.1 Based upon approval of the Schematic Design,develop the signage system including preliminary sign types, estimated quantities, and sign location plans. 2.2 Create a definitive graphic vocabulary for all wayfinding devices--this includes sign typography, pictograms and color palette. Shape, size,and method of attachment for signage devices will also be determined. 2.3 Develop focus area location plans for a"representative"section of the City.These plans will identify existing signage devices that are to remain and proposed new signage locations. 2.4 Recommend an approach to"message sequencing"to be used as a framework for developing sign copy and text. Prepare a preliminary message schedule for review and approval. 2.5 Discuss design concepts with a qualified sign fabricator as necessary to develop a"cost opinion"for the construction and installation of signs and gateways. 2.6 Provide drawings and illustrations that articulate one selected design concept. 2.7 Prepare a set of Design Intent Documents at 60%complete. 3.0 Documentation 3.1 Finalize sign copy/text with IP and submit sign message schedule to IP for review. 3.2 Design signage system showing elevations and details for sign types. Specify typographic formats, finishes, and construction materials. 3.3 Develop location plans, sign type index and message schedule for all signing elements using AutoCAD base plans provided by the City. 3.4 Review and coordinate structural and electrical engineering data. 3.5 Prepare Design Intent Documents at 90%and 100%complete. All rights reserved. 4.0 Bidding& Construction Administration 4.1 Provide the City with a list of qualified signage contractors for use in pricing or bidding. 4.2 Interpret Design Intent Documents(at pre-bid meeting)and prepare addendums as necessary. 4.3 Assist in evaluating bids and selecting a sign contractor. Conduct value engineering sessions. 4.4 Review selected sign contractor's shop drawings,patterns,product data,and sample submittals for visual conformance to design intent. Deliverables: Conceptual Design Presentation-A collection of idea sketches showing sign design, message framework;and representative location plan. Provide color presentation boards and/or PowerPoint presentation. Design Intent Documents-Documents include drawings,details and location plans (11"x17"format),message schedule and specifications(8 1/2"x 11"format). Cost Opinion—A spreadsheet with cost broken down by sign type(8 1/2"x 11"format). Meetings: Participate in,or conduct progress meetings and presentations throughout the duration of the project. Specifically,we anticipate 3 reviews/presentations. Owner and Engineer further agree as follows: 1.01 Basic Agreement and Period of Service A. Engineer shall provide, or cause to be provided, the services set forth in this Agreement. If authorized by Owner, or if required because of changes in the Project, Engineer shall furnish services in addition to those set forth above. Owner shall pay Engineer for its services as set forth in Paragraphs 7.01 and 7.02. B. Engineer shall complete its services within a reasonable time, or within the followings ecific time period: The completion of the project is anticipated to be within six(6)months starting September 25,2014 thin March 25,2015. C. If the Project includes construction-related professional services, then Engineer's time for completion of services is conditioned on the time for Owner and its contractors to complete construction not exceeding Wmonths. If the actual time to complete construction exceeds the number of months indicated, then Engineer's period of service and its total compensation shall be appropriately adjusted. 2.01 Payment Procedures A. Invoices: Engineer shall prepare invoices in accordance with its standard invoicing practices and submit the invoices to Owner on a monthly basis. All rights reserved. this Agreement until Engineer has been paid in full all amounts due for services, expenses, and other related charges. Owner waives any and all non-disputed claims against Engineer for any such suspension. '. ., _ . . . - - .. _ • . . .. 3.01 Termination A. The obligation to continue performance under this Agreement may be terminated: 1. For cause, a. By either party upon 30 days written notice in the event of substantial failure by the other party to perform in accordance with the Agreement's terms through no fault of the terminating party. Failure to pay Engineer for its services is a substantial failure to perform and a basis for termination. b. By Engineer: 1) upon seven days written notice if Owner demands that Engineer furnish or perform services contrary to Engineer's responsibilities as a licensed professional;or 2) upon seven days written notice if the Engineer's services for the Project are delayed for more than 90 days for reasons beyond Engineer's control. Engineer shall have no liability to Owner on account of a termination by Engineer under Paragraph 3.01.A.1.b. c. Notwithstanding the foregoing, this Agreement will not terminate as a result of a substantial failure under Paragraph 3.01.A.1.a if the party receiving such notice begins, within seven days of receipt of such notice, to correct its substantial failure to perform and proceeds diligently to cure such failure within no more than 30 days of receipt of notice; provided, however, that if and to the extent such substantial failure cannot be reasonably cured within such 30 day period, and if such party has diligently attempted to cure the same and thereafter continues diligently to cure the same, then the cure period provided for herein shall extend up to,but in no case more than, 60 days after the date of receipt of the notice. 2. For convenience,by Owner effective upon Engineer's receipt of written notice from Owner. B. The terminating party under Paragraph 3.01.A may set the effective date of termination at a time up to 30 days later than otherwise provided to allow Engineer to complete tasks whose value would otherwise be lost, to prepare notes as to the status of completed and uncompleted tasks, and to assemble Project materials in orderly files. C. In the event of any termination under Paragraph 3.01, Engineer will be entitled to invoice Owner and to receive full payment for all non-disputed services performed or furnished in accordance with this Agreement and all reimbursable expenses incurred through the effective date of termination. All rights reserved. 4.01 Successors, Assigns, and Beneficiaries A. Owner and Engineer are hereby bound and the successors, executors, administrators, and legal representatives of Owner and Engineer(and to the extent permitted by Paragraph 4.01.B the assigns of Owner and Engineer) are hereby bound to the other party to this Agreement and to the successors, executors, administrators, and legal representatives (and said assigns) of such other party,in respect of all covenants,agreements, and obligations of this Agreement. B. Neither Owner nor Engineer may assign, sublet, or transfer any rights under or interest (including, but without limitation, moneys that are due or may become due) in this Agreement without the written consent of the other, except to the extent that any assignment, subletting, or transfer is mandated or restricted by law. Unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under this Agreement. C. Unless expressly provided otherwise, nothing in this Agreement shall be construed to create, impose, or give rise to any duty owed by Owner or Engineer to any contractor, subcontractor, supplier, other individual or entity, or to any surety for or employee of any of them. All duties and responsibilities undertaken pursuant to this Agreement will be for the sole and exclusive benefit of Owner and Engineer and not for the benefit of any other party. 5.01 General Considerations A. The standard of care for all professional engineering and related services performed or furnished by Engineer under this Agreement will be the care and skill ordinarily used by members of the subject profession practicing under similar circumstances at the same time and in the same locality. Engineer makes no warranties, express or implied, under this Agreement or otherwise, in connection with Engineer's services. Subject to the foregoing standard of care, Engineer and its consultants may use or rely upon design elements and information ordinarily or customarily furnished by others, including, but not limited to, specialty contractors, manufacturers, suppliers, and the publishers of technical standards. B. Engineer shall not at any time supervise, direct, control, or have authority over any contractor's work, nor shall Engineer have authority over or be responsible for the means, methods,techniques, sequences, or procedures of construction selected or used by any contractor, or the safety precautions and programs incident thereto, for security or safety at the Project site, nor for any failure of a contractor to comply with laws and regulations applicable to such contractor's furnishing and performing of its work. C. This Agreement is to be governed by the law of the state or jurisdiction in which the Project is located. D. Engineer neither guarantees the performance of any contractor nor assumes responsibility for any contractor's failure to furnish and perform its work in accordance with the contract between Owner and such contractor. Engineer is not responsible for variations between actual construction bids or costs and Engineer's opinions or estimates regarding construction costs. E. Engineer shall not be responsible for the acts or omissions of any contractor, subcontractor, or supplier, or of any of their agents or employees or of any other persons (except Engineer's own Page 6 EJCDC E-500 Agreement Between Owner and Engineer for Professional Services Copyright©2008 National Society of Professional Engineers for EJCDC. All rights reserved. employees) at the Project site or otherwise furnishing or performing any construction work; or for any decision made regarding the construction contract requirements, or any application, interpretation,or clarification of the construction contract other than those made by Engineer. F. The general conditions for any construction contract documents prepared hereunder are to be the "Standard General Conditions of the Construction Contract" as prepared by the Engineers Joint Contract Documents Committee(EJCDC C-700,2007 Edition)unless the parties agree otherwise. G. All documents prepared or furnished by Engineer are instruments of service, and Engineer retains an ownership and property interest (including the copyright and the right of reuse) in such documents, whether or not the Project is completed. Owner shall have a limited license to use the documents on the Project, extensions of the Project, and for related uses of the Owner, subject to receipt by Engineer of full payment for all services relating to preparation of the documents and subject to the following limitations: (1) Owner acknowledges that such documents are not intended or represented to be suitable for use on the Project unless completed by Engineer,or for use or reuse by Owner or others on extensions of the Project, on any other project, or for any other use or purpose, without written verification or adaptation by Engineer; (2)any such use or reuse, or any modification of the documents,without written verification, completion, or adaptation by Engineer, as appropriate for the specific purpose intended,will be at Owner's sole risk and without liability or legal exposure to Engineer or to its officers, directors, members, partners, agents, employees, and consultants; (3) Owner shall indemnify and hold harmless Engineer and its officers, directors, members, partners, agents, employees, and consultants from all claims, damages, losses, and expenses, including attorneys' fees, arising out of or resulting from any use, reuse, or modification of the documents without written verification, completion, or adaptation by Engineer; and (4)such limited license to Owner shall not create any rights in third parties. H. To the fullest extent permitted by law, Owner and Engineer (1)waive against each other, and the other's employees, officers, directors, agents, insurers, partners, and consultants, any and all claims for or entitlement to special, incidental, indirect, or consequential damages arising out of, resulting from, or in any way related to the Project, and (2) agree that Engineer's total liability to Owner under this Agreement shall be limited to ' 'c'' i(:i(; or the total amount of compensation received by Engineer, whichever is greater. I. The parties acknowledge that Engineer's scope of services does not include any services related to a Hazardous Environmental Condition (the presence of asbestos, PCBs, petroleum, hazardous substances or waste as defined by the Comprehensive Environmental Response, Compensation and Liability Act, 42 U.S.C. §§9601 et seq., or radioactive materials). If Engineer or any other party encounters a Hazardous Environmental Condition,Engineer may, at its option and without liability for consequential or any other damages, suspend performance of services on the portion of the Project affected thereby until Owner: (1) retains appropriate specialist consultants or contractors to identify and, as appropriate, abate, remediate, or remove the Hazardous Environmental Condition; and(2)warrants that the Site is in full compliance with applicable Laws and Regulations. J. Owner and Engineer agree to negotiate each dispute between them in good faith during the 30 days after notice of dispute. If negotiations are unsuccessful in resolving the dispute, then the dispute shall be mediated. If mediation is unsuccessful,then the parties may exercise their rights at law. This Agreement (including any expressly incorporated attachments), constitutes the entire agreement between Owner and Engineer and supersedes all prior written or oral understandings. This Agreement may only be amended, supplemented, modified, or canceled by a duly executed written instrument. 7.01 Basis of Payment—Hourly Rates Plus Reimbursable Expenses A. Using the procedures set forth in Paragraph 2.01, Owner shall pay Engineer as follows: 1. An amount equal to the cumulative hours charged to the Project by each class of Engineer's employees times standard hourly rates for each applicable billing class for all services performed on the Project, plus reimbursable expenses and Engineer's consultants' charges, if any. 2. Engineer's Standard Hourly Rates are attached as Appendix 1. 3. The total compensation for services and reimbursable expenses is not to exceed $35, 540 7.02 Additional Services: For additional services of Engineer's employees engaged directly on the Project, Owner shall pay Engineer an amount equal to the cumulative hours charged to the Project by each class of Engineer's employees times standard hourly rates for each applicable billing class; plus reimbursable expenses and Engineer's consultants' charges, if any. EJCDCE ENGINEERS JOINT CONTRACT DOCUMENTS COMMITTEE This is Appendix 1, Engineer's Standard Hourly Rates, referred to in and part of the Short Form of Agreement between Owner and Engineer for Professional Services dated September 18, 2014. Engineer's Standard Hourly Rates A. Standard Hourly Rates: 1. Standard Hourly Rates are set forth in this Appendix 1 and include salaries and wages paid to personnel in each billing class plus the cost of customary and statutory benefits, general and administrative overhead, non-project operating costs, and operating margin or profit. 2. The Standard Hourly Rates apply only as specified in Paragraphs 7.01 and 7.02, and are subject to annual review and adjustment. B.
