The public henetit ofthe redevelopment project is significant as jobs that ~~~ould othcr~~~ise be lost upon WSB~f~s relocation arc replaced, and the specialized building is occupied and upgraded immediately. Frith an o~~erall prieate invesnnent of 5,.700.000, not including the value of the donated buildin~~. l~hc contract presented today outlines the terms b~ ~tihich the Commissions assistance of S 1.000,000 toward funding of construction for the new exterior and public lobby area of the building swill be used. The Commission ~~~ill acquire a tanporary easement f<~r a portion of the property containing the exterior fa4adcs along, Jefferson and Lafayette as ~~'ell as the corner where the three story atrium lobby will be located. We would work ~rithin a professional services contract ~~~ith the Troves- Group to create astand-alone project budget t~~r consU~uction ~,rork tax- the ^c~-~~ exta-ior and lobby and specitications tier public biddin~~. ~~~hich ~~-cold be overseen by the Board of Public U'orks as the Commissions aae~~t. 'SOW. THEREFORE, the Parties hereby a~~rer and represent as ti~ll~~~~~s: 1. I he Recitals arc incorporated into the operative provisions of this A~=rcanent as iffiilly set out herein. ?. ~y'V~lT will comcy an Easement in the Donated Property to the Commission in a torn which is satis[~~ctorv to W'~~I"h and the Commission (the ~~I?ascment~~). VdNIT will not warrant title to the Donated Property nor pro~~ide title insurance. provided. ho~~~e~er, the Commission Holy refi~ain from accepting the Easement to the Propert} if; in its sole discretion. Wl~~l~f is unable to convey an accephlhle Easement to the Donated Property. The term of the Easement shall be for a period of six (6) months fiom the date the Easement is executed, but the Commission shall have an option at its discretion to renew the Easement for sis (6) consccuti~c thirty (i0) day periods by providing WNIT notice of the Commissions intent to renc~~ [i~teen (l~) days ~~rior to the expiration of the ori~~inal si.x (6) month term or any subsequent thirty (~0) day rcne~~<il. In any c~cnt. the Easement shall expire one (1) year from the date of the Easement unless the parties a~~rec, in ~~~riting, to an extension. ~. A prot~essional architect ur architectural firm C'Architect~~) acceptable to the Commission. will assess the raxnation needs of the Donated Property. draft plans and develop cost estimates frx the renovation. The renovation plans and cost estimates will be presented by the Architect to the Commission and WNIT for approval. Once approcc,~cl, the Architect under contract with the Commission, will work ~~~ith the Cite of South Bend Board of Puhlic works, through an interagency agreement with the Conunissian, to retire the bid specifications. publicly ad~crtisc and bid the Projcct and oversee construction activity. The Architect will be authorized by the Conunission to prepare construction doc~unents for a tic not to exceed Twenty-one Thousand Dollars (531.000) until such time as WNIT provides a ccrtitication in ~a~riting to the City it has secural the funding to hire and pay in full a Construction Manager for interior and cxta for renovations of the Property. At such time, the Architect swill be authorized by the Commission to prop idc bidding and construction administration. The source of fundin~~ for the project is the S~~uth Bend Central De~~clopment Area Tax Increment Financing fund ("l ll~~~). The Commissions approved total Projcct budget is One Million Dollars (5 L000.000), subject to appropriation by the Commission (°Projcct Costs~~). Projcct Costs in excess of this amount may not be expended without further approval by the Commission. A preliminary outline of the scope of ~~~ork un the Projcct to be contracted through public bid is attached hereto as Exhibit C. Conceptual pions of the interior and exterior rauwation arc attached hereto as Exhibit U. with that portion of activity to be undertaken by the Commission so noted. "[~he construction schedule for the Projcct is attached hereto as Exhibit E. 4. The Donated Property will he under the control and maintained by the Commission Burin<~ the term of the Easement All expenses relating to the control and operation of the Donated Property. and any adjacent portions of the Property owned by W ~`[T. Pa~~~ ~ of 1 including utility char~~es. shall be ~~~~portioncd such that ~~'NIT shall be dcca~ed tai ha~~c been obligated for all expenses relating to the period prior to the date of the Easement and the Commission shall be obligated for all expenses relating to the Donated Property tin the term of the Eascmcnt. The Commission u~~rccs to take rcas~~nablc steps of securitti~ during the term ofi the Eascmcnt for the Donated Property to secure and protect the Donated Property and improvements and personal property thereon from damages and losses. and to not allo~~ any liens or encumbrances of any I:ind to attach to the Donated Property. The Commission, also, agrees to work Frith W~ IT to assure that reasonable and mutually accepted liability and casualty insurance protection is in place in relation to the Donated Property and the improvements thereon so as to reasonably protect their respective interests. 5. The Project is scheduled to be completed by October I, ?009. If W'N[T 1<iils to substantially complete its raxwatiun plans to the Property ~~yithin a reasonable time. the Commission may terminate the Eascmcnt and WHIT ~a°ill pay to the Commission all documented expenses incurred f~n~ the Donated Property. Iess any expenses reimbursed by the title insurance policy. if partial rehabilitation is due to any title defects or nc~~~ly discoceral encumbrances. WN IT ~a~ill also pay all expenses incurred if the o~crall building project is nol fSnishal and open tier scryice ~a~ithin eighteen (18) months after the expiration o1~ the Eascmcnt to the Donated Property. 6. ~'d'~IT ~~~ill imcst approximately $,.7 million in nun-Commission funds to renovate, furnish and equip the Property as a full seraicc media broadcasting center, and shall provide ongoing operational and building maintenance expenses (~~Opcrational Obligations" or ~~Operations'~). The Commission shall require ~y-NIT to fulfill Operational Obligations tar a minimum of ten (10) years tiom the date of opening. General expectations fbr W'~IT that accompany the Operational Obligations or Operations arc further dcscrihai on Exhibit F attached hereto. W\~IT represents and warrants that W1V~IT will pay the Commission's actually incurred Project expenses. up to One 'Vlilliun Dollars (51.000.000). prorated on annual basis over the term. if Operations cease during this term for three (;) cunsecuti~c months fur causes for which it is responsible or that arc ~~~ithin its control. [3y way of example, should Wiv~IT cease Operations in the iitth (?th) year of Operations, its obligation to the Commission shall be Fiat llwxircd I~housand Dollars (Si00.000). 7. The Operational Obligations spcciticd in para~~raph G shall run with the land and any mortga~ac obligation of WNIT shall be subordinate to the Operational Obligations. 8. This Agreement shall be binding upon the parties hereto and their respective successors and assigns. 9. The Parties agree to take such actions. including the execution and delivery of documents and instruments. as nwv be neccssan° ur appropriate to carry out the terms and intent of this Agreuncnt and to aid and assist each other iu carrvin~~ i~ut the terms and intent. 10. No recourse under or upon any obligation_ co~enant_ or a«rcemcnt oi~this Agrccmcnt or 1br any claim based thereon or othcnvisc in respect thereof shall be had against the appointed or elected public ofticials of the City or the Commission or their respecti~ c officers.
