OFFICER'S CERTIFICATE
Reference is made to the Continuing Disclosure Undertaking Agreement dated as of March 1,
2008, (the "Governing Document') between the South Bend Redevelopment Authority and the
South Bend Redevelopment Commission (collectively, the "Obligor ") and U.S. Bank National
Association ( "Countetparty").
The undersigned officer hereby certifies to the Counterparty that:
1. I have read all relevant sections of the Governing Document relating to Material
Event Disclosure and the definitions related thereto.
2. I have made such examination or investigation as is necessary or appropriate in
order to make the statements contained herein.
3. I have made such examination or investigation as is necessary to enable ire to
express an informed opinion as to whether or not a Material Event, as defined in the Governing
Documents has occurred during the fiscal year ended December 31, 2013.
4. Based upon examination of the records of the Obligor and review of the
Governing Documents, no Material Event, as defined in Section 6 of the Governing Document
has occurred during the fiscal year ended December 31, 2013.
