A RESOLUTION CONFIRMING THE ADOPTION OF A DECLARATORY
RESOLUTION DESIGNATING CERTAIN AREAS WITHIN THE CITY OF
SOUTH BEND, INDIANA, AS AN ECONOMIC REVITALIZATION AREA
FOR PURPOSES OF A FIVE (5) YEAR PERSONAL PROPERTY TAX
ABATEMENT FOR
UNIVERSITY OF NOTRE DAME DU LAC, AND
INNOVATION PARK AT NOTRE DAME, INC. (THE "PETITIONER")
WHEREAS, the Common Council of the City of South Bend, Indiana, has adopted a
Declaratory Resolution designating certain areas within the City as Economic Revitalization
Areas for the purpose of tax abatement consideration; and
WHEREAS, a Declaratory Resolution designated the following area:
"Parcel 1:
A Parcel of land in the Northwest Quarter of Section 6, Township 37 North, Range 3 East
of the Second Principal Meridian, St. Joseph County, Indiana, more particularly described
as follows:
Commencing at the Northeast Corner of the Northwest Quarter of said Section 6; thence
South 00°43'29" East (this and all subsequent bearings based on the Indiana State Plane
Coordinate System, East Zone), 460.85 feet along the East line of said Northwest Quarter
to the northwesterly line of a parcel of land conveyed to the State of Indiana for right-of-
way purposes along State Road 23 (South Bend Avenue) recorded October 5, 1991 as

WHEREAS, notice of the adoption of a Declaratory Resolution and the public hearing
before the Council has been published pursuant to Indiana Code 6-1.1-12.1-2.5; and
WHEREAS, the Council held a public hearing for the purposes of hearing all
remonstrances and objections from interested persons; and
WHEREAS, the Council has determined that the qualifications for an economic
revitalization area have been met.
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of South
Bend, Indiana, as follows:
SECTION I. The Common Council hereby confirms its Declaratory Resolution designating the
area described herein as an Economic Revitalization Area for the purposes of tax abatement.
Such designation is for personal property tax abatement and is limited to ten (10) calendar years
from the date of adoption of the Declaratory Resolution by the Common Council.
SECTION II. The Common Council hereby determines that the property owner and future
tenants located within the economic revitalization area are qualified for and granted personal
property tax deductions for a period of five (5) years, and further determines that the petition
complies with Chapter 2, Article 6, of the Municipal Code of the City of South Bend and Indiana
Code 6-1.1-12 et sew.; provided however, that neither the Petitioner nor any tenants may receive
an economic revitalization area deduction if it receives an enterprise zone investment deduction
under I.C. 6-1.1-45 for the same property.
SECTION III. This Resolution shall be in full force and effect from and after its adoption by the
Common Council and approved by the Mayor.

Dear Council Member Dieter:
Please find attached the Department of Community & Economic Development's report on a personal
property tax abatement petition for the above-referenced petitioner, the University of Notre Dame and
Innovation Park at Notre Dame, Incorporated. Also attached is a copy of the petition, Statement of Benefits
form, and supporting information. The project calls for the acquisition and installation of equipment for the
first building (Phase I) of the proposed Certified Technology Park to be located at Edison Road adjoining
Twyckenham Drive extension on State Road 23.
The total project includes the construction and equipping of an approximate 54,000 square foot building
that will be the first of up to three additional buildings intended to become the Certified Technology Park.
The mission of the park is to transform research into marketable enterprises. The park will accomplish this
by providing convenient access to necessary space, administrative services, and Internet connectivity in
combination with the active engagement of expert technical support, professional business advice and
introduction to private risk capital. The first building will house the park's common areas as well as
provide initial space for client-tenants to begin work on promising projects and processes that can be taken
to market.
The report contains the Department's findings relative to the above petition. The total cost for the
equipment is estimated at no less than $500,000. The project meets the qualifications fora (5) five-year
personal property tax abatement and a representative from University of Notre Dame, Innovation Park At
Notre Dame, Inc. will be available to meet with the Committee on Monday, August 25, 2008.

On August 11, 2008, a petition for personal property tax abatement consideration for property located at
Edison Road adjoining Twyckenham Drive extension on State Road 23 was filed with the City Clerk by
the University of Notre Dame in the name of Innovation Park at Notre Dame, Incorporated. Pursuant to
Chapter 2, Article 6, Section 2-84.2 of the Municipal Code of the City of South Bend, this petition was
referred to the Department of Community and Economic Development for purposes of investigation and
preparation of a report determining whether the area qualifies as an Economic Revitalization Area
pursuant to I.C.6-1.1-12.1 and whether all zoning requirements have been met.
The Department of Community and Economic Development has reviewed the petition (a copy of which is
attached), investigated the area, and makes the following report.
PROJECT SUMMARY
The University of Notre Dame and Innovation Park at Notre Dame, Inc. are proposing to establish a
Certified Technology Park. The park will include the construction of four buildings over several years on
an approximately 12 acre site, with construction to begin on the first building (constructed as Phase I) in
early fall, 2008. The Master Plan for the park anticipates three additional buildings to be phased in
between 2010 and 2018. The first building will be the main gathering area for the park and provide most
of the essential common areas including conference facilities and training resources. The building in
Phase I will comprise a facility of approximately 54,000 square feet on three levels. The reception area,

administration space and "Greenhouse" incubator facility (approximately 6,000 sq. ft.) will be on the first
level. The second and third levels will be designed as "build-to-suit" tenant areas for general office space
and dry or wet lab configurations. The building and equipment will be owned by the University and
leased to the park.
The mission of the park is to transform research into marketable enterprises. The park will accomplish
this by providing convenient access to necessary space, administrative services, and Internet connectivity
in combination with the active engagement of expert technical support, professional business advice and
introduction to private risk capital. At the same time, the park will not actively provide the means to
advance basic research off campus, or to seek to become along-term landlord for start-up or other
commercial ventures on this site. Instead, the park will encourage the continuous development of its core
research/technology platforms and facilitate an accelerated exploration of potential commercial
applications, leading to the eventual transplantation of these enterprises into the park's extension at
Innovation Park At Notre Dame At Sample Street (i.e. Studebaker Corridor) and other areas.
The new equipment to be installed on the site has a total estimated cost of no less than $500,000. It
includes equipment to serve the park's tenant-clients in order to facilitate acceleration of their business
potential. It is anticipated the tenant-clients will also install equipment used in their individual ventures.
This equipment will include such items as specialized bench equipment for wet or dry lab applications.
Examples of this equipment may include optical microscopes, probe stations, gas chromatographs,rnass
spectrometers, centrifuges, chemical hoods, vacuum pumps and similar equipment. This equipment is
essential to demonstrate proof of concept for a particular new product or process prior to the completion
of a business plan for normal market entry. All of this equipment will be housed in the facilities to be
built at the Innovation Park at Notre Dame. The petitioner has also submitted a separate tax abatement
petition for real property for the project.
Total taxes to be abated during the (5) five-year abatement period are estimated at $19,550. Total taxes to
be paid during the (5) five-year abatement period are estimated at $15,763.
EMPLOYMENT IMPACT
Per the petition, it is estimated that the project will directly create seventeen totwenty-three (17 - 23) new,
permanent, full-time jobs and one (1) part-time permanent job within the first year representing a new
annual payroll of approximately $1,150,000 to $1,450,000. The total possible gains in employment
resulting from firms created at the park cannot be estimated at this time. Because this is a new project no
existing jobs will be maintained.

ABATEMENT QUALIFICATION
1. A review of the tax abatements previously granted finds that the petitioner has not been granted or
associated with any previous tax abatements.
2. The Building Commissioner has reviewed the petition and finds the property to be properly zoned
for the proposed project.
3. A review of the South Bend Redevelopment designation areas finds that the property is located in
the Northeast Neighborhood Development Area, which is a Tax Incremental Allocation Area;
therefore, the petition for personal property tax deduction must first be approved by the South Bend
Redevelopment Commission.
4. A review of the Tax Abatement Ordinance No. 9394-03 finds that the petitioner meets the
qualifications fora (5) five-year personal property tax abatement under section 2-84.2, Tangible
Personal Property Tax Abatement.

TANGIBLE PERSONAL PROPERTY TAX ABATEMENT CONSIDERATION
The undersigned owner(s) of new manufacturing equipment, personal property, located
within the City of South Bend, hereby petitions the Common Council of the City of South
Bend for personal property (new manufacturing equipment) tax abatement consideration and
pursuant to I.C. 6-1.1-12.1-1 et sec ., and South Bend Municipal Code Section 2-84.2 et se .,
for this petition states the following:
Unless otherwise noted herein, the responses to the following questions pertain only to Phase I
of the proposed project. Reference should be made to Form SB-1/PP Statement of Benefits for
the proposed project for a description of Phase II, Phase III and Phase IV of the proposed
project.
1. Describe the proposed project, including information about the new manufacturing equipment
personal property ("equipment") to be installed, the amount of land to be used, if any, the
proposed use of the equipment, and a general statement as to the value of the project to your
business.
The proposed project is a new technology park to be known as the "Innovation Park
at Notre Dame" ("IP@ND') and will include the construction of four buildings on an
approximately 12 acre site, with construction to begin on the first building (Phase 1)
in the early fall 2008 and be completed within 12 to 24 months. The Master Plan for
the project anticipates three additional buildings fo be phased in between 2010 and
2018. The future phases are expected to include afree-standing addition to the first
building (Phase 11) followed by two additional separate buildings (Phases 111 and IV)
on the main site. A further facility may also be added on the approximately two-acre
portion on the east side of Twyckenham Drive.
The first building (Phase I) will be the main gathering area for the entire park, and
provide most of the essential common areas, conference facilities and training
resources. Phase I will comprise a facility of approximately 54,000 sq ft on three
levels, with the reception area, administration space and "Greenhouse" incubator
facility (approximately 6, 000 sq ft) on the first level. The second and third levels will
be designed as `build-to-suit' tenant areas for general office space and dry or wet
lab coni'igurations.
The IP@ND plans to install equipment to serve its tenant-clients in orderto facilitate
acceleration of their business potential. It is anticipated that the tenant-clients will
also install equipment used in theirindividual ventures. This equipment will include
not only general office furniture (e.g., desks, chairs, tables, conference room
furniture, etc.), but may also include in certain cases specialized bench equipment
for dry or wet lab applications. Examples of this equipment may include optical
microscopes, probe stations, gas chromafographs, mass spectrometers,
centrifuges, chemical hoods, vacuum pumps, -80 degree freezers, testing
chambers, autoclaves and similar. This equipment is essential to demonstrate proof
of concept for a particular new product or process prior to the completion of a
business plan for formal market entry. All of this equipment will be housed in the
facilities to be built at the Innovation Park at Notre Dame.
2. The project is expected to create 17 to 23 full time and 1 part-time permanent jobs within the
first year, representing a new annual payroll of at least $1.15 million to $1.45 million and will
maintain N/A existing permanent full-time and NIA existing part-time job with an annual
payroll of $ N/A . At present, Innovation Park at Notre Dame, Inc. has no employees.
The projected annual salaries for each new position indicated above can be
described as follows:
Park Administration (CEO, 2 Engagement Directors, Marketing Manager, Facilities
Manager and Sr. Administrative Assistant) $550, 000

3. Estimate the cost of the Equipment: The investment in equipment is contingent upon
the specific needs of the tenant-client companies. At this time, the best estimate of the
total cost of the equipment is no less than $500, 000.

The IP@ND will encourage the initiation and growth of world-class research activity
on the campus of the University of Notre Dame, and in collaboration with other
universities and colleges. The IP@ND will act as a base forthe technology platform
development in addressing basic human needs, such as water, nutrition, clean air,
health, shelter, education, communications, transportation, energy and the
environment. In doing so, the IP@ND will foster and facilitate the accelerated
exploration and development of the commercial applications of these technology
platforms through technology transfer, joint ventures, start-ups, and otheravenues
with large and small innovation-based businesses located in Michiana, across the
U. S., and around the world.
Succinctly stated, the mission of the Innovation Park at Notre Dame is, therefore, to
transform research into marketable enterprises. The IP@ND will accomplish this
mission by providing convenient access fo necessary space, administrative services
and Internet connecfivity in combination with the active engagement of expert technical
support, professional business advice and introduction. to private risk capital. Key
outcomes will include the translation of intellectual property into viable products and
services, as well as enhanced researchltechnology development opportunities and
uniquely valuable educational experiences for faculty and students. At the same time,
the IP@ND will not actively provide the means to advance basic research off campus,
or to seek tobecome along-term landlord for start-up or other commercial ventures on
this site. Instead, the IP@ND will encourage the confinuous development of its core
research/technology platforms and facilitate an accelerated exploration of potential
commercial applications, leading to the eventual transplantation of these enterprises
into Michiana for market scale-up.

15. Describe on-site child care of day care facilities, services or benefits currently offered or
proposed to be offered by the Petitioner for children of employees. ECDC -Early Childhood
Development Center; On-site day care facility for children. The Early Childhood
Development Center, Inc. (ECDC), founded in 1971, is a nonprofit program accredited
by the National Association for the Education of Young Children (NAEYC) and licensed

by the Indiana Bureau of Child Development. ECDC operates two programs, one on the
campus of Saint Mary's College and the other on the campus of the University of Notre
Dame. Both sites are governed by one Board of Directors and operate with the same
educational philosophy, curriculum, parent involvement, college student involvement
and enrichment opportunities. ECDC is partially funded by Saint Mary's College and the
University of Notre Dame to serve their communities.
ECDC serves as an early childhood leader, administering grants and facilitating
activities in our community which support early childhood quality and training initiatives.
The ECDC program seeks to enhance the growth and development of the whole child
through a developmentally appropriate curriculum. The curriculum equally fosters
cognitive, social, emotional, physical and creative growth through experience-based,
hands-on learning activities and play. A central goal is the promotion ofeach child's self
confidence and love of learning. Learning experiences with peers and teachers
encourage the development of the 4R's: respect, responsibility, resourcefulness and
responsiveness. The ECDC program believes that the 4R's are the foundation blocks
fordemocratic living. ECDC provides a positive and nurturing environment within which
young children thrive. ECDC views itself as an extension of each child's family. As
such, ECDC works to develop a genuine partnership with parents. ECDC teachers and
staff recognize and celebrate the diversity of its children and families. ECDC is
committed to establishing an anti-bias curriculum that supports our multicultural
community. ECDC welcomes students ofanyrace, color, religion, genderand nafional
or ethnic origin.

The best estimate of the market value of the new Equipment after installation is no
less than $500,000. However, a great deal of this equipment is dedicated for
specialized applications, which are likely to limit its resale value immediately after
installation.

Urban Development funds from the City of South Bend, Small Business Association Sections
503 and 504 financing through the Business Development Corporation of South Bend,
Mishawaka, and the St. Joseph County, Indiana; or other public financial assistance, including
but not limited to public works improvements.
The City of South Bend has incurred the costs of extension of municipal utilities fo
the project site. The University of Notre Dame may fund a portion of the project
through a 501(c)(3) bond financing issued through St. Joseph County, Indiana,
however, the University has the sole responsibility for the payment of the debt
service on such bonds and no tax revenues are pledged to the payment of such
bonds.
26. Describe how and why the manufacturing equipment to be replaced or the facility in which
Equipment will be added is currently technologically, economically or energy obsolete and how
and why that obsolescence may lead to a decline in employment and tax revenues: N/A
27. The new manufacturing equipment will be used in the direct production, manufacture,
fabrication, assembly, extraction, mining, processing, refining, or finishing of other tangible
personal property or is research and development or information technology equipment and that

WHEREFORE, Petitioner requests that the Common Council of the City of South Bend,
Indiana, adopt a declaratory resolution designating the area described herein to be an economic
revitalization area for purposes of tangible personal property tax abatement consideration, and after
publication of notice and public hearing, determine qualifications for an economic revitalization area
have been met, and confirm such resolution. Petitioner herein hereby verifies that the required
$250.00 filing fee to cover processing and administrative costs pursuant to Section 2-84.7 of the
Municipal Code of the City of South Bend has been paid in full.
