AIRPORT ECONOMIC DE~'ELOPIIENT AREA
~~'HERGAS, under the authority granted by Indiana Cock ~ i6-7-14. e~ seq. and
in fwtherance of the Airport Economic De~clopment Area Plan ("Plane). the South Bend
Rede~clopment Commission ("Commission") has determined that it is necessarv to
acquire unencumbered fee simple interest in certain property located within the area
heretofore designated as the Airport Economic De~clopment Area (the `Arca~~) within
the City of South Bcnd. Indiana (the ~~Cit~~~~). ~~-hich property is more particularly
described at Exhibit .~ attached hereto and incorporated herein ("Propert~~~~): and
Vb'HEREAS, on June 13. 200H, the Commission adopted Resolution '~o. ?455
amending the Plan and adding the Propca~ty to the Areas acquisition list: and
V1%llEREAS, ri~o (2) independent appraisals of the Property ha~~e been obtained
in accordance with ]ndiana Code ~ ~6-7-14-19(b). which provide an offering price of
S3;.5UO.OU (lhc "Oi~icrin~~ Price~~): and
Vb'1[GREAS, the Commission no~~~ desires to authorize its authorized agents,
hired tier such purposes. or the staff of the Commission to pro~~ide and negotiate an otter
for the Purchase of the Property in accordance with Indiana Codc ~ 36-7-14 19. ~~-hich
may include relocation costs and the Conunission~s payment of expenses incidental to the
comevance mid determination ofthe title ofthe Property: and
WHEREAS, the Conunissio^ tinds that all procalmes necessarv t~>r
authorizing and acquirin~a the Property ha~~c been completed in accordance ~~~ith Indiana
law:
NO~~, THEREFORE, 6E IT RESOLVED by the South Bcnd
Rcde~~elopment Commission that:
I . Authorized agents of the Commission and the staff of the Commission arc
hereby authorized and directed to cause a pw~chase oflcr to be made in ~i~riting to the
ow~ncr(s) of the Property a described at Exhibit A at the Ofifcrin<~ Price (the -'A~crage
Acquisition Price~~ in I~:xhihit A) in accordance ~~ ith lndiana Code ~ 36 7 14 19. ~~~hich
offer or process may include relocation costs and the payment of espalses incidental to
the eon~cyance and determination oCthe title of the Property.
?. The Commission's aacnts and attorneys are hercbv authorized and
directed to ne~uotiate and prepare documentation necessarv to accomplish the acquisition
of the Property- in accordance ~~ith this Resolution and in a i~~rm acceptable to Icgul
counsel.
~. The Commission hereby ratifies anv actions of its staff or legal counsel
previously taken consistent Frith the authority provided in Section 1 or ? hereof.
'~'ot~rithshmding the foregoing, no representations. contract or understanding relative to
the purchase of the Property. ~r~hcther made by a Commissioner. employee or other agent
or ofticial, is binding against the Commission until approved and accepted by the
Commission in ~rriting. The Commission hereby accepts, in advance, any purchase of
the Property pursuant to a unitbrm acquisition offer set forth at Indiana Code ~ ~?-34-I
5 (or a purchase offer deemed by legal counsel to be substantially similar to said Unii~~rm
Acquisition Offer, which may include the payment of expenses incidental to the
conrcvancc and dctcnnination of title).
4. Don Inks or ,ictf Gibney is authorized to execute on behalf of the
Conunissio^ any documents necessary to carry out the intent of this resolution.
