Housing Consortium and anticipate that we will receive the funds around July 13 u'. Once

THIS AGREEMENT, entered into this day of

between, South Bend Heritage Foundation hereinafter referred to as the "Buyer," and the Civil
City of South Bend, a municipal corporation of the State of Indiana, hereinafter referred to as the
"City."
WITNESSETH:
WHREAS, both I. C. 36-1-11-1(b)(7) and I.C. 5-22-22-1(c)(7) permit the sale of real
property owned by the City of South Bend to a not -for -profit corporation organized for education,
literacy, scientific, religious, or charitable purposes that is except from federal income taxation under
Section 501 of the Internal Revenue Code; and
WHEREAS the South Bend Heritage Foundation, Inc., as part of its charitable purpose, helps
improve neighborhoods and encourage home ownership in the City of South Bend, is an Indiana not -
for -profit corporation organized for education, literacy, scientific, religious, or charitable purposes
that is except from federal income taxation under Section 501 of the Internal Revenue Code; and
W-HEREAS, the board of Public Works of the City of South Bend (hereinafter referred to
as the "Board") is empowered to convey property owned by the City of South Bend; and
WHEREAS, the Board has determined that:
1. The highest and best use of certain real property owned by the City is by sale to an
Indiana not -for -profit corporation dedicated to the improvement of property throughout the City of
South Bend for the benefit of the City of South Bend should be returned to the tax rolls and occupied
by its owner;
2. It would be to the advantage of the City of South Bend to sell the property described
below to the South Bend Heritage Foundation, Inc. for twenty-nine thousand dollars ($29,000.00).
WHEREAS, the offer of the Buyer in the amount of Twenty -Nine Thousand Dollars
($29,000.00) was offered for said property and has been accepted in the best interest of the City of
South Bend.
NOW, THEREFORE, it is agreed by and between the parties hereto, and for and in
consideration of the promises and the mutual covenants herein contained, as follows:
1. The City agrees to sell and Buyer agrees to buy the following property located in St.
Joseph County, Indiana:

$29,000.00 For the purchase of the above referred to City -owned property.
Enclosed are three (3) Purchase Agreements for this property. Please sign all copies and
return them to my attention for Board of Public Works approval. The City Attorney's office will
begin preparing the appropriate Quit Claim Deed for this property for your signature.
Please submit a check to the Board of Public Works, made payable to the City of South

acquire City -owned property at 907 West Thomas and 1010 West Jefferson, as noted in
the attached paperwork.
Favorable recommendations for the sale of these lots have been received from the
Engineering Department, Community and Economic Development, and the Park
Department.
If you have no objections, the Board will proceed with the acquisition of these
properties.

The Legal Department, at my request, reviewed the requirements for appraisal of
properties relative to not -for -profit organizations. My concern was whether the safe of this
property, for $29,000.00, triggered a required appraisal of properties that were assessed at
over $5,000.00. This property is assessed at $35,400.00 according tot he St. Joseph
County Assessor's records, Tax year 2003 Payable 2004. it was indicated to me that no
appraisal was required.
In addition, the property was broken into and vandalized, causing approximately $1,000.00
in damages. The South Bend Heritage Foundation has agreed to take on the repairs, and I
recommend that the price be reduced by $1,000.00 to $29,000.00.
Unless any other issues arise, I recommend that this property be turned over to the South
Bend Heritage Foundation for $29,000.00 so that the property can be incorporated in the
revitalization efforts occurring on W. Jefferson Boulevard. The income from the sale will be
considered as CDBG Program Income.
