AMENDMENT TO OWNER-ENGINEER AGREEMENT Amendment No. 1 1.Background Data: a.Effective Date of Owner-Engineer Agreement: January 28, 2025 b.Owner:Board of Public Works, City of South Bend c.Engineer: Lochmueller Group, Inc. d.Project:Riverfront West Urban Neighborhood Development 2.Description of Modifications: a.Engineer shall perform or furnish the following Additional Services: Project Description The CONSULTANT shall study an approximately 17.0-acre area bounded by E. Wayne Street to the north, MLK Jr. Blvd. to the west, East Monroe Street to the south and the St. Joseph River to the east to develop a preliminary interior public street lay-out and water, sanitary sewer, and stormwater master plan and provide design, plans, and contract documents for the northernmost section of street from Jefferson Blvd. to approximately 640 feet south. A preliminary sketch of the potential development was provided by Torti Gallas + Partners and “Concept Study 1” will be used as the basis to commence work on this project. Scope of Services The scope of services to be provided by the CONSULTANT include the following: 1.TOPOGRAPHIC DATA COLLECTION SURVEY (original agreement): 1.1. Conduct a topographic survey of approximately 17.0 acres in size as shown in Attachment “1.0” Survey Limits, generally described as being bound on the north by E. Wayne Street, on the west by Doctor MLK Jr. Blvd., on the south by Monroe St. and on the east by the existing sidewalk along the St. Joseph River, not including the area of the existing Post Office. LiDAR data collection will be utilized for the majority of the project area to minimize parcel access, increase survey crew safety in roadways and to reduce overall survey effort and turnaround time. 1.2. All rights reserved. posts, fences, gates, driveways, field entrances, sidewalk surfaces, individual trees (except limits only of heavily wooded areas), shrubs, landscaping areas, signs, poles, posts, manholes, risers, valves, meters, pits, etc. 1.3. Set approx. 100 temporary 12” x 18” white plastic adhesive ground targets for the LiDAR data collection throughout the project area, including on private parking lots and interior roadways. 1.4. Locate utilities within the project area using observed evidence along with the “Indiana 811” service and a private utility locating service. 1.5. Locate and detail with elevation inverts of the approximately 230 existing storm and sanitary drainage structures within the project area. 1.6. Establish a horizontal datum of INGCS St. Joseph County coordinate system by using terrestrial traverse observations and GPS static observations incorporating the “INCORS” network. 1.7. Establish a vertical datum of NAVD88 by using GPS static observations and a bench level circuit. 1.8. Set (12) horizontal control points and (12) vertical benchmarks with references. 1.9. Research affected property owners, obtain mailing addresses, and send survey notices to all. 1.10. Utilize existing St. Joseph County GIS parcel layers to represent approximate boundary lines within the project area. 1.11. Provide utility contact list. 1.12. Provide an electronic CAD drawing containing one-foot contours, topographic survey linework and surface model. CAD file shall be AutoCAD, Civil 3D format. 1.13. Provide Survey field book in PDF format. 2.0 MAJOR SUBDIVISION – to be covered in future amendment 3.0 WATER RESOURCE UTILITIES – PRELIMINARY DESIGN 3.1 Develop a base map from provided utility data and survey data that is collected. 3.2 Conduct an early coordination meeting with City of South Bend staff and Indiana Department of Environmental Management (IDEM) permitting staff for water and sewer extensions. 3.3 Develop relocation/replacement plan for the following utilities: 3.3.1 Sanitary sewer, including any combined sewer within the project corridor 3.3.2 Drinking water 3.3.2.1 Estimate current and projected demands from proposed buildings 3.3.3 Storm sewer 3.3.3.1 Review the Downtown South Bend Stormwater Plan report and model(s) prepared by McCormick Engineering. 3.3.3.2 Review effective Flood Insurance Study (FIS) report and joint probability analysis to verify anticipated tailwater conditions at proposed outfall point. All rights reserved. 3.3.3.3 Develop alignment and layout for proposed storm sewer within the new corridor based primarily on sizing provided in McCormick report. It is anticipated that adjustments to the existing storm sewer calculations will be required based on the preliminary street layout developed as part of the work detailed in Section 6 of this scope of services and in order to account for necessary vertical and horizontal separations and conflict avoidance with other utility relocations analyzed in this project. 3.4 Submit preliminary drawings for the proposed facilities. The following preliminary drawings are anticipated to be a part of the design submittal: 3.4.1 Overall site layout for proposed utility relocations and/or replacements. 3.4.2 Plan view layouts for all improvements included in the project. 3.4.3 Preliminary profiles. 3.4.4 Preliminary removal and demolition plans. 3.5 Create one (1) memo that summarizes findings for stormwater, sanitary sewers, and water mains. 3.6 Develop a table of contents for required utility related technical specifications. 3.7 Prepare a preliminary opinion of probable construction cost. 3.8 Submit one electronic copy set of all documents to the CLIENT for review and comment. 3.9 Attend preliminary field check meeting upon submitting preliminary plans. 4.0 WATER RESOURCE UTILITIES – FINAL DESIGN – PHASE 1 4.1 Address CLIENT review comments from preliminary documents submittal. 4.2 Complete final design calculations for storm sewer including inlet spacing and storm sewer hydraulic model of the proposed pipe network, assuming a maximum of twelve (12) inlets. 4.3 Submit final drawings for the proposed facilities. The following final drawings are anticipated to be a part of the design submittal: 4.3.1 Overall site layout for Phase 1 proposed utility relocations and/or replacements 4.3.2 Plan view layouts for all improvements included in the project 4.3.3 Final profiles 4.3.4 Final removal and demolition plans 4.3.5 Erosion control plans 4.3.6 Structure data table 4.3.7 Detail drawings 4.4 Prepare utility related technical specifications. Where appropriate City of South Bend standard specifications will be used. 4.5 Prepare utility construction permit applications for water main and sanitary sewer. Respond to one round of comments from City of South Bend reviewer. Finalize applications and submit to the Indiana Department of Environmental Management, for Phase 1 improvements only. 4.6 Prepare a Construction Stormwater General Permit application packet for submittal to the Regional Soil and Water Conservation District and to Indiana Department of Environmental Management, for Phase 1 improvements only. 4.7 Prepare a final opinion of probable cost. All rights reserved. 4.8 Attend up to one (1) meeting with CLIENT representative or other stakeholder(s) to discuss layout and design of facilities for Phase 1 improvements. 4.9 Submit one (1) electronic copy set of all documents to the CLIENT for review and comment. 4.10 Assumptions 4.10.1 The existing water main and sanitary sewer pipe sizes would be maintained during design. 4.10.2 The base fee assumes the project will meet the requirements for a Notice of Intent (NOI) to Construct a Water Main Extension. A separate fee is provided if the project does not meet the requirements for an NOI and a water main construction permit with hydraulic modeling is required instead. 4.10.3 Individual parcels may be responsible for detention of on-site stormwater in excess of a planned allowable release from each site, where feasible, (TBD during the preliminary design and included within stormwater findings memo) and detention of stormwater within the proposed right-of-way will not be required as system conveyance will drain to an existing outfall. 4.11 Hydraulic modeling of the water distribution system (Provided only if needed) 4.11.1 Utilize the City’s copy of the city-wide water model created by Black & Vetch to evaluate an existing and proposed condition of the River West area. The model extent will be limited to the area needed to complete an IDEM water main construction permit. 4.11.2 Calibrate the model based on fire flow data provided by the Client. 4.11.3 Prepare a report summarizing the findings of the modeling analysis suitable for submittal to IDEM as part of a water main construction permit. 5.0 PROJECT MANAGEMENT 5.1 Conduct one (1) in-person project kickoff meeting with CLIENT representative to discuss project objectives and goals, scope of project, project schedule and milestones, as well as project coordination between the CLIENT and CONSULTANT. 5.2 Coordinate with other consultants, and CLIENT to confirm proposed work is in conjunction with other improvements and share street and/or utility details/alignments and attend up to eight (8) meetings. 5.3 Coordinate with CLIENT, as required, for additional information and attend up to twelve (12) bi-monthly meetings with CLIENT to review design progress and submittals. 5.4 Provide monthly project progress updates. 5.5 Coordinate project team. 6.0 PRELIMINARY STREET LAY-OUT 6.1 CONSULTANT will develop a base map from existing record documents and new topographic survey of existing site. 6.2 Provide a scaled, preliminary engineering lay-out plan for internal streets including the following: 6.2.1 Street alignment(s) 6.2.2 Plan and profiles sheets 6.2.3 Street Typical Section including, one (1) for local access only streets and one (1) Page 5 (Exhibit K – (Amendment to Owner-Engineer Agreement) – Attachment 1) EJCDC E-500 Agreement Between Owner and Engineer for Professional Services. It is anticipated the streets will consist of an urban, two-lane section with sidewalk and/or a multi-use path on each side of the road. Delineate space for proposed lighting, on-street parking, street trees and other amenities. 6.3 The scaled drawing will be made available as a Shape file and in pdf format to the CLIENT for use with GIS type programs, Google Earth, etc. 6.4 Prepare a preliminary Engineer’s Opinion of Probable Cost. 6.5 Geometric design parameters will be to City of South Bend standards. 6.6 CONSULTANT will make one (1) set of revisions to the preliminary plans as necessary based on CLIENT comment. 6.7 Attend Preliminary Field Check meeting upon submittal of preliminary plans. 7.0 STREET DESIGN, PLANS AND CONTRACT DOCUMENTS – PHASE 1 7.1 CONSULTANT will prepare street design plans, including traffic calming measures, and contract documents for Phase 1 improvements only. 7.2 Maintenance of traffic (MOT) for the project will be designed in accordance with the most recent version of the Indiana Manual of Uniform Traffic Control Devices (MUTCD). 7.2.1 Coordination will be done with the adjacent businesses to confirm access is maintained in an acceptable manner. 7.3 CONSULTANT will design trails, sidewalks, and curb ramps to meet current ADA standards. 7.4 CONSULTANT will prepare urban street landscaping plan. 7.5 CONSULTANT will perform final design and engineering calculations. 7.6 CONSULTANT will prepare details of non-standard roadway items to be included on detail sheets with the project plans. 7.7 CONSULTANT shall prepare plans for new roadway signage and pavement markings to be in accordance with the IMUTCD. 7.8 Prepare final specifications and construction drawings for permitting and bidding to include: 7.8.1 Title Sheet 7.8.2 Sheet Index 7.8.3 Street Typical Sections 7.8.4 Plan and Profile 7.8.5 Maintenance of Traffic 7.8.6 Lighting Plan 7.8.7 Landscaping Plan 7.8.8 Striping and Signage Plan 7.8.9 Lighting Details 7.8.10 Landscaping Details 7.8.11 Construction Details 7.8.12 Earthwork/Summary Tables 7.8.13 Street Cross Sections 7.9 Prepare an Engineer’s Opinion of Probable Cost. Submit in excel format. 7.10 Submit electronic files to the CLIENT for review and comment. 7.11 Incorporate front end documents from CLIENT in project specifications. All rights reserved. 7.12 CONSULTANT will perform QA/QC prior to submission. 7.13 CONSULTANT will make one (1) set of final revisions to the plans and specifications as necessary based on CLIENT comment. 8.0 GUIDING DOCUMENTS The project will be designed in English Units and in accordance with the following references, polices, and guidelines: 8.1 City of South Bend Construction Standards and Specifications. 8.2 American Association of State Highway and Transportation Officials – “A Policy on Geometric Design of Highways and Streets” 8.3 American Association of State Highway and Transportation Officials – “Roadside Design Guide” 8.4 INDOT Standard Specifications, 2024 8.5 INDOT Design Memoranda 8.6 INDOT Drainage Design Manual 8.7 INDOT Design Manual 8.8 Illuminating Engineering Society (IES) guidance 8.9 Indiana Manual on Uniform Traffic Control Devices for Streets and Highways 8.10 Where conflict exists between the City of South Bend Construction Standards and Specifications, and those of INDOT, the City of South Bend Construction Standards and Specifications shall prevail, unless otherwise directed. 9.0 DECORATIVE STREET LIGHTING DESIGN 9.1 Design services include new decorative street lighting equipment along the new roadway starting on Jefferson Blvd just east of MLK Jr. Blvd extending approximately 640 feet into the proposed River West development. 9.2 Coordinate with CLIENT to verify project goals, aesthetic lighting preferences, and overall performance requirements for the proposed lighting facilities. 9.3 Review existing topography survey base sheets. 9.4 Develop a lighting model utilizing Acuity Visual software to determine appropriate light pole locations, meeting average and minimum illumination thresholds. 9.5 Prepare a preliminary lighting plan sheet reflecting the locations of existing lighting infrastructure and installation of new lighting infrastructure within the project limits listed in Task 9.1, with the following: 9.5.1 Lighting Index and General Note Sheet 9.5.2 General plan sheet related elements including plan views; location of existing utilities, service points, and lighting equipment; Right-of-Way information; proposed conduit/wire type and locations; and all proposed lighting elements. 9.6 Revise plans based on initial review comments and then submit as Final lighting design, including the following: 9.6.1 Design data details including initial lamp lumens; average maintained illumination; depreciation factors; uniformity ratios; mounting heights; and luminaire classifications. 9.6.2 Development of iso-illuminance or point illuminance exhibits depicting the proposed light levels meet average and avg/min requirements. All rights reserved. 9.6.3 New foundations, light poles, LED fixtures, T-bases, conduit, cable duct, and handholes. 9.6.4 City of South Bend standard foundation and structure designs will be used for all new lighting elements. Lochmueller will provide limited structural analysis to ensure standard foundations will suffice with the proposed decorative lighting poles. 9.6.5 Completion of wire size and breaker size calculations to each circuit. 9.6.6 Voltage drop calculations. 10.0 UTILITY COORDINATION The CONSULTANT shall have an INDOT certified Utility Coordinator perform utility coordination services in accordance with 105 IAC 13, IDM Chapter 104, and INDOT Accommodation Policy. Utility coordination is included for coordination with up to 16 public utilities. Specific tasks for this utility coordination include the following: 10.1 Perform the requirements of IAC 13-3-1, including the identification and documentation of utility stakeholders within the Project Limits; and prepare and distribute all required utility correspondence. 10.2 Prepare and send a letter to each affected utility requesting verification of the information shown in the project plans. 10.3 Prepare and send each utility a set of preliminary plans and request that the utility identify conflicts with their facilities. Perform conflict analysis and consider design alternatives to avoid or minimize impacts to utility facilities. Develop utility conflict matrix. 10.4 Coordinate SUE activities with survey team. Include the SUE data in project deliverables, plans, and coordination efforts. Coordinate to acquire SUE QLA information as needed. SUE services will be performed by others. 10.5 Send each utility a set of preliminary final plans and request utility work plans, assist in the development of the work plans, and review the work plans for the identified facilities within the project area. 10.6 Recommend work plans for approval including narrative portion and relocation drawing. 10.7 There is a possibility a utility could have property interests that make them eligible for reimbursement. The CONSULTANT shall provide the CLIENT with utility reimbursement requests, work with the CLIENT to determine eligibility, and draft utility reimbursable agreements and submit to the utility and CLIENT for approval. Review and verify easement documentation. Review and approve utility cost estimates. Review utility relocation costs. 10.8 Lead or facilitate any meetings involving utility specific activities such as kick-off meetings, conflict resolution meetings and reimbursement eligibility meetings. 10.9 Conduct post letting coordination services to include tracking utility relocations, answering utility related questions, and in person or virtual attendance at construction progress meetings. 11.0 PRE-CONSTRUCTION, BID PHASE, AND CONSTRUCTION PHASE SERVICES 11.1 Prepare Notice to Bidders Page 8 (Exhibit K – (Amendment to Owner-Engineer Agreement) – Attachment 1) EJCDC E-500 Agreement Between Owner and Engineer for Professional Services. All rights reserved. 11.2 Review and respond to Contractor questions submitted during bidding and prepare addenda as needed. 11.3 Attend pre-bid meeting. 11.4 Prepare the Bid Tabulation and Recommendation. 11.5 Conduct Pre-Construction Meeting and prepare minutes. 11.6 Review and respond to Contractor questions during construction. 11.7 Review equipment information sheets, shop drawings, and related information submitted by the Contractor to confirm concurrence with the design intent and applicable standards. 11.8 Attend up to twelve (12) construction progress meetings. 12.0 Services Not Being Provided by CONSULTANT The services not being provided by CONSULTANT under this Agreement include, but are not limited to, the following: 12.1 Boundary Retracement surveys of the parcels within the project site. 12.2 Any subdivision platting and associated fees/meetings for the land transfer and/or roadway vacations within the project area. 12.3 Detailed topographic survey data collection of any existing buildings within the project area. 12.4 Topographic survey data collection of the existing Post Office parcel within the project area. 12.5 Hydraulic modeling of the water distribution system, unless requested 12.6 Hydraulic modeling of the sanitary sewer system 12.7 Storm water quality and/or green infrastructure design 12.8 Fire flow testing 12.9 Detention design 12.10 Environmental Documentation 12.11 Public Involvement 12.12 Pavement Design – City of South Bend standards will be used. 12.13 Right-of-Way Engineering and Right-of-Way Services 12.14 Monitoring of accurate placement of utility relocations. 12.15 Daily inspections of utility relocation including material inspections and/or inspection of or Buy America compliance during installation. 12.16 Temporary lighting plans are not assumed to be needed as part of this scope of work. 12.17 Lighting custom foundation design, geotechnical analysis, or subsurface investigations. 12.18 Construction Inspection Services 13.0 Items provided by Owner 13.1 All relevant sections of the Downtown South Bend Stormwater Plan including the report narrative, access to the Riverfront West hydrologic and hydraulic model(s), and associated documentation prepared by McCormick Engineering. 13.2 Access to Black & Vetch city-wide water model. 14.0 Services resulting from significant changes in the general scope, extent or character of the Project or its design including, but not limited to, changes in size, complexity, CLIENT ’s Page 9 (Exhibit K – (Amendment to Owner-Engineer Agreement) – Attachment 1) EJCDC E-500 Agreement Between Owner and Engineer for Professional Services. For the Additional Services or the modifications to services set forth above, Owner shall pay Engineer the following additional or modified compensation: Refer to Exhibit C Compensation Packet BC-2 c. The schedule for rendering services is modified as follows: Preliminary Layout mid-March 2025 Preliminary Plans (Phase 1) mid-April 2025 Final Plans and Specifications (Phae 1) end of May 2025 Letting June 24, 2025 d. Engineer may alter the distribution of compensation between individual phases of the work noted herein to be consistent with services actually rendered, but shall not exceed the total estimated compensation amount unless approved in writing by Owner. See also C2.03.C.2 below. 5. The total estimated compensation for Engineer’s services included in the breakdown by phases as noted in Paragraph C2.01.A.3 incorporates all labor, overhead, profit, Reimbursable Expenses and Engineer’s Consultants' charges. 6. The amounts billed for Engineer’s services under Paragraph C2.01 will be based on the cumulative hours charged to the Project during the billing period by each class of Engineer’s employees times Standard Hourly Rates for each applicable billing class, plus Reimbursable Expenses and Engineer’s Consultants' charges. 7. The Standard Hourly Rates and Reimbursable Expenses Schedule will be adjusted annually (as of January) to reflect equitable changes in the compensation payable to Engineer. C2.02 Compensation For Reimbursable Expenses A. Owner shall pay Engineer for all Reimbursable Expenses at the rates set forth in Appendix 1 to this Exhibit C. B. Reimbursable Expenses include the following categories: transportation and subsistence incidental thereto; providing and maintaining field office facilities including furnishings and utilities; toll telephone calls and mobile phone charges; reproduction of reports, Drawings, Specifications, Bidding Documents, and similar Project-related items in addition to those required under Exhibit A. In addition, if authorized in advance by Owner, Reimbursable Expenses will also include expenses incurred for the use of highly specialized equipment. C. The amounts payable to Engineer for Reimbursable Expenses will be the Project-related internal expenses actually incurred or allocated by Engineer, plus all invoiced external Reimbursable Expenses allocable to the Project, the latter multiplied by a factor of one. C2.03 Other Provisions Concerning Payment A. Whenever Engineer is entitled to compensation for the charges of Engineer’s Consultants, those charges shall be the amounts billed by Engineer’s Consultants to Engineer times a factor of one. B. Factors. The external Reimbursable Expenses and Engineer’s Consultants' factors include Engineer’s overhead and profit associated with Engineer’s responsibility for the administration of such services and costs. Engineer’s estimate of the amounts that will become payable for specified services are only estimates for planning purposes, are not binding on the parties, and are not the minimum or maximum amounts payable to Engineer under the Agreement. 2. When estimated compensation amounts have been stated herein and it subsequently becomes apparent to Engineer that the total compensation amount thus estimated will be exceeded, Engineer shall give Owner written notice thereof, allowing Owner to consider its options, including suspension or termination of Engineer's services for Owner's convenience. Upon notice, Owner and Engineer promptly shall review the matter of services remaining to be performed and compensation for such services. Owner shall either exercise its right to suspend or terminate Engineer's services for Owner's convenience, agree to such compensation exceeding said estimated amount, or agree to a reduction in the remaining services to be rendered by Engineer, so that total compensation for such services will not exceed said estimated amount when such services are completed. If Owner decides not to suspend the Engineer's services during the negotiations and Engineer exceeds the estimated amount before Owner and Engineer have agreed to an increase in the compensation due Engineer or a reduction in the remaining services, then Engineer shall be paid for all services rendered hereunder. To the extent necessary to verify Engineer’s charges and upon Owner’s timely request, Engineer shall make copies of such records available to Owner at cost.
