I, M. A. Rosenthal, do hereby certify that I am the
Secretary of Mar -Main Corporation, a corporation duly and legally
organized and existing under and by virtue of the laws of the State
of Indiana, and that I am the custodian of the records and the Seal
of said corporation; that in a meeting of the Board of Directors of
said corporation duly and legally called and held in accordance with
law and the by-laws of said corporation on the 29th day of March, 1979,
at which said meeting a majority and quorum of the Board of Directors
of said corporation was present, the following resolution was adopted
by the affirmative vote of the majority of the Board of Directors of
said corporation, to -wit:
FURTHER RESOLVED, that if the City of South Bend
exercises said option, upon receipt of the
purchase price therefor, the President and the
Secretary of this corporation are authorized
to execute a warranty deed in the name of this
corporation conveying to the City of South Bend,
Indiana, a municipal corporation, the following
described real estate located in St. Joseph
MCounty, Indiana, to -wit:
`Part of Lot Numbered One hundred sixty-eight
as shown on the Original Plat of the
own, now City of South Bend, in St. Joseph

viz: Beginning at a point Forty (40)
