FINANCIAL REPORT
Veregy's policy pertaining to the attachment of sensitive financial and operating agreements to
public documents such as this RFQ is to closely guard them. While we understand the City of
South Bend's desire to assure that Veregy is a viable business concern, we must also guard
against our competition obtaining these sensitive documents. We offer the following assurances
to the City to fulfill this request.
1. We will provide a surety bond for the project equal to 100% of the cost of the project. This
bond will protect the City from any deficiency or completion of the project.
2. If being considered by the City of South Bend, Veregy can arrange a private meeting with
our CPA firm to review our audited financial statements, operating documents, and lines
of credits with the City.
3. We have reference letters from our bonding company and bank indicating our financial
strength, and these can be presented upon request.

Financial Qualifications
INSURANCE/PERFORMANCE BONDING
Veregy maintains insurance to protect against claims that may arise during project
implementation. The Commercial General Liability Insurance we purchase includes premises -
operations (including explosion, collapse, and underground coverage), elevators, independent
contractors, completed operations, and blanket contractual liability on all written contracts, all
including broad form property damage coverage. Veregy's Commercial General and Automobile
Liability Insurance is written for not less than the limits of liability as shown below:

The customer shall purchase and maintain all risk full -cost replacement property insurance.
Veregy always maintains Worker's Compensation Insurance in accordance with the laws of the
State. Additional insurance coverage, if required, can be provided by Veregy.
Bonding Capacity
The current surety for Veregy is Sirius Point America Insurance Company, which has an AM
Best rating of A- with the financial strength of Class XV. Veregy has the technical expertise,
equipment, and labor force to successfully perform projects with a $125,000,000 single and
$300,000,000 aggregate bonding program.
In the Appendix is a letter from Veregy's bonding agent, Marsh and McLennan Agency,
confirming the above. Veregy will provide the City with a Performance and Payment Bond for
100% of the project's total cost upon award.

OUTSTANDING GUARANTEES
In the state of Indiana, Veregy currently holds over $74,000,000 in guaranteed energy savings
projects, with $10,656,882 saved to date. Of this $10,656,882, only $6,367,828 was guaranteed
savings — meaning Veregy projects have overproduced and saved more for our clients than
originally guaranteed — over $4,000,000 in additional savings.

Technical Approach
NEEDS AND SOLUTIONS
City of South Bend Indiana has reached out to Veregy to provide proposals for the installation
of solar generation systems at the Wastewater Treatment Plant, and other energy saving
measures. South Bend has a resident solar panel manufacturer, Crossroads Solar (1901 N.
Bendix Drive, South Bend, IN 46628) that manufactures quality solar modules. We have
modeled the use of their panels and recommend entertaining the use of their product assuming
they meet warranty and production guidelines set forth by Veregy for the benefit of our customer.
Veregy hires local contractors for all construction activities; our development team has been in
contact with K2 Power Solutions (4335 Meghan Beeler Court, South Bend, IN 46628), and we
look forward to working with them on this project.
Dewatering Building
Veregy recommends installing ground mounted
solar arrays to maximize space available South of
the dewatering facility. The solar produced
electricity will also provide a positive cash flow by
offsetting purchases from the utility for the energy
consumed at the plant.
Veregy has worked with the WWTP leadership to
find the best locations for solar arrays. This brought
us to the sizing portion of design. The ground layout
was replicated in our solar design software
Helioscope along with fencing, trees or other
objects that could cause shading. Site visits
confirmed this layout and allowed us to examine
the electrical infrastructure in place. From here the
interconnection to the electrical utility was looked
at for a best practice way of connecting to the grid.
After the maximum amount of solar was placed on
the ground, the design was optimized. The
projected electric generation from this was
compared to the present consumption. The table
above summarizes our findings, and the layout for
the array can be found to the right. Further
information about the design can be found in the
Appendix.

Veregy recommends installing solar on most of the
roofing area to maximize the amount of carbon
offset in the most economical method. The solar
produced electricity will also provide a positive cash
flow by offsetting purchases from the utility for the
energy consumed at Administration Building.
After the maximum amount of solar was placed on
the roof, the design was optimized. The projected
electric generation from this was compared to the
present consumption. The table above summarizes
our findings, and the layout for the array can be
found to the right. Further information about the

HVAC Measures
Veregy engineers inspected all the facilities at the WWTP and found most of the HVAC systems
to be in good working order. It is our recommendation to replace a 7.5-ton ACCU, building
controls, and recommission existing systems in the headworks building. Replace building
controls and recommission existing systems in the administration building. Replace a window
air conditioning unit in the dewatering building with a central AC system and repair the window
where unit is removed.
LED Lighting
Our lighting engineer walked all the facility and found 392 light fixtures that we recommend be
upgraded to LED. This scope of work will realize a quick payback in savings and, coupled with
a rebate from the utility, will provide a great return on investment.

Project Management Approach
Veregy Project Managers (PM) are active in the project from its conception. They work with
project developers through the audit and design phase, and then after the project is approved,
they take control through the implementation and the entire warranty period. Veregy project
managers are field-tested professionals with engineering and business backgrounds with the
industry knowledge to be involved in every project phase. Veregy promotes an interactive
working relationship with our clients. We will work with the City of South Bend to integrate our
staff of professionals with the city's team of personnel and subcontractors so that every aspect
of the project is successfully coordinated.

standard practices and methods to select contractors. Some of the things that we analyze when
selecting a contractor are:

Equipment Selection
Equipment selection follows a similar process as contractor selection. With over $200 million
dollars in annual projects, Veregy has the buying power to assure the best pricing on all
equipment. Some of the things that we analyze when selecting equipment are:

Solar Equipment Selection
Veregy has found that with the fast -paced innovation that is occurring in the solar industry,
special care must be taken in selection of solar equipment. Solar module technologies and their
efficiencies as well as other components related to solar have advanced rapidly over the last
decade. The market has seen both manufactures, distributors and installers come and go
throughout these advancements. Veregy has been able to effectively navigate the solar market
and provide our customers with cutting edge technologies while maintaining a competitive price
advantage over our competition. The response to the following questions will provide you with a
better understanding of how we have been able to do this. Our strategy utilizes our advantages
and can be summarized in five areas:
• Buying Power: Veregy has a large solar portfolio and is ranked as one of the top ten solar
contractors in the nation based on the total amount of kW we have installed over the last ten
years. This means our customers get to enjoy the economies of scale savings regardless of
the size of their project.
• National Leverage: Veregy has a national presence that is valued by manufactures and
suppliers. They understand providing competitive pricing and great customer service could
open the door to a reliable national account.
• Manufacture Direct: Just a few years ago most solar panels and their components were
strictly purchased through the manufacturer. Recently, however, electrical wholesale
distributors have pushed their way into the purchasing process. With this comes additional
mark-ups from those distributors. Many of the manufactures are no longer dealing directly
with contractors and have made sole agreements with different distributors. Veregy has
maintained great relationships with major Tier 1 panel manufacturers and still buys directly
from the manufacturer.
• Payment Terms: Veregy can and will pay quicker than most contractors. Historically, we
have been able to negotiate better pricing on products based on our willingness to pay
quicker.
• Immediate Shipment/Storage: Pricing and availability are obstacles all solar contractors
have dealt with over the last few years as tariffs have become a driving factor of supply and
demand. Most of the solar module manufactures cannot guarantee or forecast availability
more than 30 days out and pricing rarely is guaranteed for more than a week. Veregy has
60,000 square feet of storage available for product. Veregy has been able to procure and
store modules for upcoming projects. This allows Veregy to react quickly, procure and secure
product when the time and price is right regardless of if the construction site is ready for
product to arrive.

Partnership and collaboration are signatures of Veregy, and we actively seek opportunities to
involve local, small, emerging, disadvantaged, women -owned, and veteran -owned business
enterprises in our projects. This approach supports our ability to design and deliver turnkey
projects with the best value to our customers. Veregy leverages a great deal of experience in

gaining value for our customers through our equipment and subcontractor procurement
strategies. We use several strategies described below to maximize opportunities for small and/or
diverse entities to participate in our projects and support the local economy.
• Ensure procurement packages are structured to address minority -owned business
concerns and enable those businesses to participate to the maximum extent possible.
• Assure the inclusion of SBES and related business concerns in all solicitations for
products or services for which they can provide.
• Review solicitations to remove statements or clauses that may tend to restrict or prohibit
SBES or related business participation.
• Manage engagement of sourcing efforts to ensure sourcing teams actively seek the
involvement of small, diverse, and local suppliers in their outsourcing efforts.
• Participate in outreach activities and events to identify diverse suppliers and vendors.
• Work with local advocacy organizations to find and promote the use of small businesses.
• Ensure collaboration with external resources, vendors, suppliers, and customers to
develop small business solutions.
COMMUNICATION LINES AND PROJECT MEETINGS
Mandatory project progress meetings will be held regularly throughout the project. Progress
meetings are essential in identifying and solving problems and conflicts and are imperative to
keeping the project plan current. Meeting minutes will be drafted and circulated after each
meeting to ensure all stakeholders are informed of project progress and issues. The graphic
below illustrates our typical project communication.

Measurement and Verification
PERSONNEI *IND ORGANIZATION
What sets Veregy apart from our competitors is our 24/7 central energy plant that monitors our
energy projects. Veregy has arrays across the country and our central energy plant operates
24/7/365 for the sole purpose of ensuring each system performs as expected. If a problem
should arise, Veregy has the resources, knowledge, and equipment to know where the problem
is and how to fix it promptly. We use state-of-the-art hardware to gather, transmit, and make
available timely system performance data to you and to our dedicated team of performance
engineers and expert service technicians, thereby ensuring fast, reliable, and effective response
to any field issues. With our monitoring services, system downtime will be limited should any
problems arise.
The Veregy team member who will take the lead responsibility for this activity will be Scope
Development Engineer Scott Brown, a Certified Measurement and Verification Professional
(CMVP), will oversee this part of the project as well. The remainder of the performance
assurance team is comprised of Matt Powell (Central Monitoring Plant) and Pat Yazel and his
preventative maintenance team. All performance assurance team members are in-house
personnel.
The performance assurance team will work with City of South Bend's staff to anticipate energy
related budget impacts of any future changes in operations resulting from added equipment,
space, or activities such as night classes or athletic activities. Our performance assurance team
will work closely with the City to make certain Veregy meets our long-term obligations.
BASELINE METHODOLOGY
The Baseline Methodology for this project utilizes the 12 months of utility bills and rates given to
us by your staff. After the initial energy baseline creation and during the ongoing performance
management of the project, it may become necessary to adjust the energy baseline for factors
or unique changes in the building's use, baseline utility or for non -controllable variables.
Common adjustments are made for items such as actual weather conditions and major changes
outside of the energy baseline parameters.

The Federal Energy Management Program (FEMP) of the U.S. Department of Energy and its
Measurement and Verification Guidelines for Federal Energy Projects classify measurement and
verification approaches as Option A, B, C, and D. The FEMP Guideline is based on the
International Performance Measurement and Verification Protocol (IPMVP).
OPTION A
Option A applies to HVAC and LED lighting improvements.
Verification techniques determine savings by measuring the performance of a system before
and after a retrofit, either through physical measurement or use of the manufacturer data and
multiplying the difference by an agreed -upon or stipulated factor, such as hours of operation.

OPTION B
Option B applies to Photovoltaic installations (Solar).
Verification techniques are designed for projects where long-term continuous measurement of
performance is desired. Metering is conducted on an individual system level, and the measured
performance is compared with a baseline to determine the savings.
OPTION C
Verification techniques involve utility whole building meter analysis, reviewing overall energy
use, and identifying the effects of energy projects on a facility. Energy use before and after a
retrofit project is compared to determine savings. The measurement of energy consumption and
the cost savings associated with installed energy management equipment are a comparison
between the energy consumed during the current calendar period and the baseline calendar
period. It consists of only the energy bills applicable to the buildings under energy management.
Once the program is in place, energy use is taken from current utility bills.
OPTION D
Computer models are developed that use simulations of baseline and post -installation energy
use to determine savings.
For this project we would recommend using both Options A and B. For all operational savings
measures we would utilize Option A due to the complicated nature of trying to meter this
equipment. As for the solar arrays we would measure the output on an ongoing basis (Option
B), which requires minimal metering equipment. The cost of this ongoing measurement and
verification is bundled in our extended warranty/maintenance program. This is a completely
optional program that can be discontinued at the City's discretion. In this way, City of South Bend
can be certain that the guarantee is met, and the project is not burdened by ongoing
measurement & verification if they so choose. Our proposal would also assume non -utility
savings incurred by reduced maintenance and down -time of HVAC equipment.

The two primary responsibilities of the Measurement & Verification department at Veregy are to
ensure that the solar assets are performing as expected and to track savings for the customer.
From the performance perspective, solar production and insolation data is compiled every week
and benchmarked against our expected production value for the current month in the typical
meteorological year (TMY). During the design process, TMY3 data is used to simulate expected
monthly solar production. As a result, we know how much energy the system could produce
given a certain magnitude of global horizontal insolation (GHI). By compiling the actual GHI data
for a site, we are able to implement a performance ratio to calculate the expected solar
production for that site, and thereby determine if the system is performing as expected. From
the savings perspective, revenue grade meters and communication systems are used to pull
production data either on -site or through the internet. The production data is compiled, tracked,
and benchmarked to ensure that we are fulfilling our obligations to the customer. At the end of
each guarantee year, the customer will be given a yearly production and savings report by
Veregy, as well as a yearly "Guaranteed Energy Savings Contract Annual Savings Report"
detailing environmental and dollar savings that is to be filed with the Indiana Department of Local
Government Finance.

Throughout the engineering process, Veregy compares and optimizes cost to savings during the
design process to provide the City of South Bend with the best value project. Veregy will also
work with the City to find the most financially viable option for their project. Below is a summary
of financial assumptions and results, with a sample cashflow provided later in this section.
An energy escalation rate of 6% was used for the financial analysis. Veregy believes this is a
conservative application for the financial analysis considering escalation of energy in Indiana
has been upwards of 10% annual increase over the past five years. Also analyzed in the financial
model was the application of Federal benefits from the Inflation Reduction Act (IRA). The IRA
provides for a base of 25.5% direct pay to the City of South Bend. The City can also sell the
environmental attributes from their solar to states like Ohio through Solar Renewable Energy
Credits (SRECs). As part of our process, Veregy will assist the City in selling their SRECs for
additional revenue at no cost.

ENERGY SAVINGS CALCULATIONS
The project is in the preliminary stages, so final savings calculations have not been developed
for all measures. For solar arrays, the savings calculations were developed using an industry
standard modelling program called Helioscope. The outputs of these models are included in the
appendix. For other ECMs, savings were based on industry standard practices and final
calculations will be done and provided after selection.
INCENTIVES
The City of South Bend would realize Inflation Reduction Act incentives in the amount of
approximately $600,000 based on final sale price of solar installations. These monies are
applied for the tax year following system start up and are paid that same year. Additional savings
may be available; however, we modeled the base IRA amount.
Indiana Michigan Power offers incentive programs for Lighting, HVAC, Building Controls, and
Retro-Commissioning, all of which are energy conservation measures outlined for your project.

Veregy collaborated with the City of North Vernon to design and install
a Guaranteed Energy Savings Project with the goal of a net zero
electric bill. Veregy helped the City of North Vernon become Indiana's
first "Solar City" with 3,900 solar panels, equal to 2.38MW, across 22
different sites throughout the city including the wastewater treatment
plant. Veregy currently utilizes remote monitoring and demand

PROJECT OVERVIEW
Veregy collaborated with The City of Shelbyville to design and install
a Guaranteed Energy Savings Project. The project uses a
combination of ground and roof -mounted solar arrays installed at 14
different sites throughout the city, including the Shelbyville Municipal
Airport, multiple fire stations, the Shelbyville Animal Shelter, and the
Meridian Park Pool. Veregy currently utilizes remote monitoring and
demand management technology to ensure a productive and stable
system, while performing routine maintenance to the solar arrays
when necessary. With a combination of solar servicing and demand
management, Veregy will help The City of Shelbyville stabilize one
of the most variable items in its budgets — the cost of energy.

Veregy partnered with the Pendleton Community Public Library
to design and install a solar system to assist with offsetting
annual energy costs. Our team installed 109kW of roof
mounted solar panels, with an additional 108kW in solar car
canopies. These solar canopies not only provide shade and
protection for visitors' cars, but simultaneously generate
energy for the library. With this solar installation, Veregy
included a solar maintenance and remote monitoring contract
for Pendleton Community Public Library. This contract includes
preventative maintenance and remote system monitoring to
ensure the project is always running at peak production.

any employee or contract with a person that the Contractor subsequently learns is an
unauthorized alien. Contractor agrees that he/she/it shall enroll in and verify the work eligibility
status of all of Contractor's newly hired employees through the E-Verify Program as defined by
I.C. 22-5-1.7-3. Contractor's documentation of enrollment and participation in the E-Verify
Program is included and attached as part of this bid/quote; and
5. Contractor shall require his/her/its subcontractors performing work under this public
contract to certify that the subcontractors do not knowingly employ or contract with an
unauthorized alien, nor retain any employee or contract with a person that the subcontractor
subsequently learns is an unauthorized alien, and that the subcontractor has enrolled in and is
participating in the E-Verify Program. The Contractor agrees to maintain this certification
throughout the term of the contract with the City of South Bend, and understands that the City
may terminate the contract for default if the Contractor fails to cure a breach of this provision no
later than thirty (30) days after being notified by the City.
6. Persons, partnerships, corporations, associations, or joint venturers awarded a contract by
the City of South Bend through its agencies, boards, or commissions shall not discriminate
against any employee or applicant for employment in the performance of a City contract with
respect to hire, tenure, terms, conditions, or privileges of employment, or any matter directly or
indirectly related to employment because of race, sex, religion, color, national origin, ancestry,
age, gender expression, gender identity, sexual orientation or disability that does not affect that
person's ability to perform the work.
In awarding contracts for the purchase of work, labor, services, supplies, equipment, materials,
or any combination of the foregoing including, but not limited to, public works contracts
awarded under public bidding laws or other contracts in which public bids are not required by
law, the City, its agencies, boards, or commissions may consider the Contractor's good faith
efforts to obtain participation by those Contractors certified by the State of Indiana as a Minority
Business ("MBE") or as a Women's Business Enterprise ("WBE") as a factor in determining
the lowest, responsible, responsive bidder.
In no event shall persons or entities seeking the award of a City contract be required to award a
subcontract to an MBE/WBE; however, it may not unlawfully discriminate against said
WBE/MBE. A finding of a discriminatory practice by the City's MBE/WBE Utilization Board
shall prohibit that person or entity from being awarded a City contract for a period of one (1)
year from the date of such determination, and such determination may also be grounds for
terminating the contact for which the discriminatory practice or noncompliance pertains.
7. The undersigned contractor agrees that the following nondiscrimination commitment
shall be made a part of any contract which it may henceforth enter into with the City of South
Bend, Indiana or any of its agencies, boards or commissions.

Contractor agrees not to discriminate against or intimidate any employee or applicant for
employment in the performance of this contract with privileges of employment, or any matter
directly or indirectly related to employment, because of race, religion, color, sex, gender
expression, gender identity, sexual orientation, handicap, national origin or ancestry. Breach of
this provision may be regarded as material breach of contract.
I, the undersigned bidder or agent as contractor on a public works project, understand my
statutory obligations to the use of steel products or foundry products made in the United States
(I.C. 5-16-8-1). I hereby certify that I and all subcontractors employed by me for this project will
use steel products or foundry products made in the United States on this project if awarded. I
understand I have an affirmative duty to notify the City in my bid that my proposal does not
include the use of steel products or foundry products made in the United States. I understand it is
my sole obligation and responsibility to provide a justification to the City, subject to review and
approval, why the cost of United States made steel or foundry products is unreasonable. Prior to
award and upon submission of bid which does not use steel products or foundry products made
in the United States, the City, through its director of public works, shall make a determination if
the price of United States made steel or foundry is unreasonable. I understand that violations
hereunder may result in forfeiture of contractual payments.
I hereby affirm under the penalties of perjury that the facts and information contained in the foregoing bid for
public works are true and correct.
