Inc., a corporation incorporated under the laws of the State of
Indiana, do hereby certify that I am keeper of the records and
minutes of the proceedings of the board of directors of said

was unanimously carried.
I further certify that there exists no prohibition or limita-
tion in the Articles of Incorporation, the by-laws or the charter
of said corporation, or any agreement heretofore executed by the
corporation which in any way prohibits or limits the right of the
corporation to borrow money, to execute mortgages, to sell or
assign personal property or to do any act authorized by the
aforesaid resolution and that this corporation is presently
qualified to do business in the State of Indiana and is a corpora-
tion in good standing in said State. I further certify that the
