in the City of South Bend, St. Joseph County, State of Indiana,
successor in interest to The Studebaker Corporation, for and in
consideration of One Dollar ($1.00) and other good and valuable
consideration, the receipt whereof is hereby acknowledged,
Conveys and Warrants to, the CITY OF SOUTH BEND, a Municipal
corporation of the State of Indiana, the following described
real estate in the City of South Bend, County of St. Joseph,

By an Indenture dated the 22nd day of Decembex
Studebaker corporation, a Delaware corporation, pa
interest of Studebaker, conveyed to The City the property first
above described. Such indenture was recorded on the 5th
day of January , 19 37 . in Deed Record Book No. 288
beginning at page 631 . in the office of the St. Joseph
County Recorder. Such indenture provided that if the Grantor
therein should at any time determine, and should so notify The
City in writing, that its needs demanded the use by it of all
or any part of the property described therein, and it should
furnish to The City a plot of ground of equal area located
within three (3) city blocks of the property described in such
indenture, then, The City would, within six (6) months after
the receipt of such notice, remove its equipment from the build-
ing located upon such property and install the same in a building
to be erected by The City at The City's own cost, upon the
premises so furnished by Grantor, and, in such event, the
property described in such indenture dated the 22nd day of
December, 1936, together with the buildIngs and appurtenances
at that time thereon, should revert to and belong to the Grar
and, further, The City agreed to convey such property descril
in such indenture of the 22nd day of December., 1936, by prop

Studebaker, successor in interest to The Studebaker Corpora-
tion, a Delaware corporation, determined that its needs demanded
the use by it of all of the premises first above described and
also described in such indenture dated the 22nd day of December,
1936, and, consequently, as of the 24th day of March, 1966, it
notified The City in writing that its needs demanded the use by
it of the premises first above described and conveyed in the
indenture dated the 22nd day of December, 1936. Further, in such
notice Studebaker advised The City that it was ready, able and
willing to convey to The City a plot of ground of equal area,
located within three (3) city blocks of the property first above
described and conveyed by such indenture dated the 22nd day of
December, 1936.
The last above described property consists of a plot of
ground at least of equal area with the property first above
described and conveyed by such indenture dated the 22nd day of
December, 1936.
Accordingly, the conveyances herein contained from The City
to Studebaker and from Studebaker to The City are undertaken for
the express purpose of complying with the second proviso in such
indenture dated the 22nd day of December, 1936.
The City hereby acknowledges that it has no other right,
title or interest in and to the property first above described
except to possess same for a period of six (6) months from
March 24, 1966, and on the elapse of such period The City shall
remove itself and its Property from the property first above
described.
