his oath, hereby certifies that he is Secretary of
Schafer Gear Works, Inc., South Bend, Indiana.
Affiant further certifies that on the 10th day
of May, 1960, the Board of Directors of said Corpora-
tion, at an annual meeting of said Board at which a
quorum was present, unanimously adopted the following
