RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION
APPROVING AND AUTHORIZING THE EXECUTION OF
AN ADDENDUM TO THE MASTER AGENCY AGREEMENT
(Studebaker Plaza Project)
WHEREAS, effective January 1, 2013, the South Bend Department of
Redevelopment, acting by and through its Redevelopment Commission (the
"Commission ") and the South Bend Board of Public Works (the "BPW ") entered into a
Master Agency Agreement which authorized the BPW to act as agent for and on behalf
of the Commission for certain projects during 2013; and
WHEREAS, pursuant to the Master Agency Agreement, the Commission desires
to add the Studebaker Plaza Project in downtown South Bend to the Master Agency
Agreement by way of this Addendum.
NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment
Commission as follows:
Section 1. The Commission hereby approves the Addendum to Master
Agency Agreement (Studebaker Plaza Project) and hereby authorizes its execution in
substantially the form attached hereto with such changes as the Commission may deem
necessary or appropriate upon the advice of counsel, said execution thereof to be
conclusive evidence of the Commission's approval of such changes. The Clerk is hereby
directed to file a copy of the Addendum with the BPW.
Section 2. This Resolution shall be in full force and effect after its adoption
by the Commission.
Section 3. Commission staff members are authorized to execute on behalf of
the Commission any documents necessary to carry out the intent of this resolution.
ADDENDUM TO
MASTER AGENCY AGREEMENT
(Studebaker Plaza)

This Addendum to Master Agency Agreement (this "Addendum "), made and entered into as
of the 26th day of March, 2013, by and between the South Bend Department of Redevelopment,
acting by and through its Redevelopment Commission (the "Commission ") and the City of South
Bend, Indiana, a municipal corporation duly organized and existing pursuant to the laws of the State
of Indiana, acting by and through its Board of Public Works (the "BPW ") for purposes of the
Commission designating the BPW to act as the Commission's agent to undertake the Studebaker
Plaza project (the "Project ").
WHEREAS, effective January 1, 2013, the Commission and the BPW entered into a Master
Agency Agreement which authorized the BPW to act as agent for and on behalf of the Commission
for certain projects during 2013; and
WHEREAS, pursuant to the Master Agency Agreement, the Commission desires to add the
Studebaker Plaza project to the Master Agency Agreement by way of this Addendum.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained
herein, and for other good and valuable consideration, the receipt of which is hereby acknowledged,
the BPW and the Commission agree as follows:
1. The Commission hereby empowers and appoints the BPW, pursuant to the Master
Agency Agreement, to act as the Commission's agent for the limited purpose of contracting for and
managing the completion of the Project, the scope of said Project being more specifically described
in "Exhibit A ", attached hereto and made a part hereof.
2. All of the terms and conditions of the Master Agency Agreement shall control this
appointment and this Addendum shall be attached to the Master Agency Agreement.
3. Commission staff members are authorized to execute on behalf of the Commission
any documents necessary to carry out the intent of this resolution.
IN WITNESS WHEREOF, the undersigned execute this Addendum to Master Agency
Agreement to be effective as of the date first written above.

In response to your request for a proposal for architectural services for the Citizen's
Bank & Trust Studebaker Plaza, we are pleased to submit the following document for
your review. The contents of this proposal outline the project, professional services,
and professional fees to produce a complete Construction Documents Bid Package for
the proposed development.

A° PROFESSIONAL SERVICES
Joseph A. Dzierla & Associates, Inc. proposes to provide the following Basic Services for
a complete Construction Documents Bid Package.
D. CONSTRUCTION DOCUMENTS
1. Based upon the Owner's approval of the Design Development Documents and
Guidelines developed by Jennifer L. and John R. Griffin dated February 28, 2013,
and on the Owner's authorization of any adjustments in the project
requirements, prepare construction documents for the Owner's approval and
prepare bidding and procurement information for subsequent prospective
contractors.
2. The Construction Documents shall illustrate and describe the further
development of the approved Design Development Documents and shall consist
of drawings setting forth, in detail, the quality levels of materials and systems
and other requirements for the construction of the work. Services include:
• Architectural Design Implementation.
• Structural Design Coordination /Documentation.
• Mechanical Design Coordination /Documentation.
• Electrical Design Coordination /Documentation
• Footcandle /Illumination Study
• Civil Design /Coordination (including Erosion Control Plan).
• Landscape Design /Build Coordination.
• Specifications noted on drawings.
• Professional seal and file Construction Design Release forms with the
State of Indiana.
• Provide Energy Compliance Code Review for project as required by
the State of Indiana.
• Statement of Probable Construction Cost*
*Joseph A. Dzierla & Associates, Inc. assumes no liability for budget overages, as the
Design Development Package was not designed to any stipulated dollar amount.*
E. BIDDING ASSISTANCE
1. Assist the Owner in obtaining competitive bids; confirming /qualifying
responsiveness of bids or proposals; determining the successful bid or proposal,
if any; and preparing contracts for construction. Services include:
• Providing necessary bid documents to jurisdiction for distribution.
• Attend jurisdictional pre -bid meeting with prospective contractors.
• Answer /respond to contractors questions during the bidding
process.
• Write addenda to bid documents as required.
• Review and analyze bid alternates and /or substitutes.
• Attend bid reception and complete bid tabulation.
• Qualify contractor bids for compliance.
F. CONSTRUCTION ADMINISTRATION
1. Participate in project meetings and conference calls as required.
2. Attends job meetings.
3. Review shop drawings.
4. Provide bi- monthly field observation and documentary reports.
5. Review change orders for Owner.
6. Approve contractors' payment request for lender.
0k BASIC COMPENSATION
The following is a schedule of professional fees for the scope of work identified for a
complete Construction Documents Bid Package. The lump sum fee will be twenty -six
thousand six hundred dollars ($26,600.00).

ADDITIONAL SERVICES
Additional Services shall be any work outside the scope of Basic Services. Additional
Services will be provided only upon written authorization by the Owner. (See
Attachment for Hourly Rate Schedule.) Additional Services include but are not limited
to:
• On -site project representation.
• Conformed construction documents.
• As- designed Record Drawings.
• As- constructed Record Drawings.
• Extensive environmentally responsible design.
This proposal incorporates by reference and is governed by the conditions of the AIA
Documents 8101 and /or A201 (General Conditions).
REIMBURSABLE EXPENSES
Reimbursable Expenses will be a multiple of 1.0 times the actual expenses incurred by
the Architect. (See Attachment.)
