RESOLUTION NO. 169
A RESOLUTION OF
THE SOUTH BEND REDEVELOPMENT AUTHORITY
REVISING ITS PROCEDURES AND THE DUTIES OF ITS OFFICERS
WHEREAS, pursuant to Ind. Code § 36-7-14.5-7, the South Bend Redevelopment Authority
("Authority") has been created as a separate body corporate and politic and an instrumentality of the
City of South Bend, Indiana and may exercise any power granted to it by Ind. Code § 36-7-14.5 et
seq. ; and
WHEREAS, in accordance with Ind. Code § 36-7-14.5-10, the Authority may adopt such
bylaws and rules as it considers necessary for the proper conduct of its duties and the safeguarding of
the funds and property entrusted to its care; and
WHEREAS, the Authority meets on the first and third Wednesdays of each month; and
WHEREAS, the Authority's current procedure for the execution of documents is to require
that all documents approved by the Authority be signed by the President and attested to by the
Secretary; and
• WHEREAS, from time-to-time, one of the officers of the Authority is unable to attend a
meeting, although a quorum may still be present so that the Authority may conduct its business; and
. WHEREAS, in the interest of good government and the efficient conduct of business, .the
Authority desires to revise its procedure regarding the execution of documents and duties of its
officers.
NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment Authority as
follows:
The President shall preside at all meetings of the Authority, except as otherwise
authorized by resolution of the Authority, and shall exercise general supervision over the
administration of the Authority, including the execution of resolutions, contracts, and
agreements, the appointment of committees and representatives, the determination of
points of order and procedure, -the signing of all official documents, and perform such
other duties are ordered by the Authority. At each meeting, the President shall submit
such recommendation and information has he or she may consider proper concerning the
business affairs and policies of the Authority.
2. The Vice President shall perform the duties of the President or Secretary in the absence
of the President or Secretary; and in the case of the resignation or death of the President,

the Vice President shall perform such duties as are imposed on the President until such.
time as the Authority shall select a new President.
3. The Secretary shall perform the duties of the Vice President in the absence of the Vice
President. The Secretary shall co-sign all official documents attesting to the President or ,.
Vice President's signature, as applicable.
4. This Resolution shall be in full force and effect upon its adoption.
ADOPTED at a meeting of the South Bend Redevelopment Authority held on June 18, 2008,
at 1308 County-City Building, 227 West Jefferson Boulevard, South Bend, Indiana 46601.
