Contractor Name: Midland Engineering Company, Inc.
The City seeks to enhance its ability to identify responsive and responsible bidders on all City public works
projects by institution of comprehensive submission requirements in compliance with State law. Quality
workmanship, efficient operation, safety, and timely completion of projects requires that all bidders meet
certain minimum requirements to be responsive and responsible bidders.
THIS FORM MUST BE SUBMITTED WITH YOUR BID,
INSTRUCTIONS:
If you are a pre -qualified bidder, complete Section I only.
If you are not a pre -qualified bidder, complete Section II only.
Section II acts as an application for pre -qualification. Submission of Section II will allow the bidder to be
considered for pre -qualification for bids with the City of South Bend Department of Public Works. Pre.
qualified bidders will then be exempt from a portion of the submission requirements outlined in Section 6-
63 of The Responsible Bidding Ordinance No. 10594=18 (hereinafter, "Responsible Bidding Ordinance")
for a period of twelve (12) months.
Thereafter, contractors who are pre -qualified must submit a complete application for continuation of "pre -
qualified" standing, on a form provided by the City ("Responsible Bidder Checklist (1) Pre -Qualified
Bidders") by December 3111 for the upcoming calendar year, or within twelve (12) months of obtaining pre -
qualified standing. If the status of any item changes within the twelve (12) months, it is the responsibility of
the contractor to notify the City. Failure by any pre -qualified contractor to submit its complete application
for continuation of "pre -qualified" standing within the time prescribed above shall result in automatic removal
of the designation, effective January 1 of the following year, or immediately following the twelve (12) months
of pre -qualified standing.
However, the "removed" contractor or subcontractor shall still be permitted to bid on City public works
projects, though the contractor must submit all required documents under 6-63 until "pre -qualified" status
is re-established.
Please Note: The City reserves the right to request supplemental information from the bidder,
additional verification of any information provided by the bidder, and may also conduct random
inquiries of the bidder's current and previous customers regardless of pre -qualified standing.
It is the sole responsibility of the potential bidder to comply with all submission requirements applicable to
the bidder in Section 6-63 of the Responsible Bidding Ordinance no later than the date of the public bid
opening.

POST BID SUBMISSIONS:
Post -bid submissions must be submitted in accordance with Section 6-64 of the Responsible Bidding
Ordinance. The post -bid submission requirements are as follows:
1. All bidders shall collect, maintain, and provide upon request, a current written list that discloses the
name, address, licensing status, and type of work for any subcontractor from whom the bidder has
accepted a bid and/or intends to hire on any part of the public work project, including individuals
performing work as independent contractors.
2. Each subcontractor, whose portion of the project is estimated to be at least one -hundred fifty
thousand dollars ($150,000.00), shall be required to adhere to the requirements of Section I of the
Responsible Bidder Ordinance as though it were bidding directly to the City, except that the
subcontractor shall submit the required information (including the name, address, and type of work)
to the successful bidder prior to the commencement of work.
3. Failure of a subcontractor to submit the required information shall not disqualify the successful
bidder from performing work on the project and shall not constitute a contractual default and/or
breach by the successful bidder. However, the City may withhold all payment otherwise due for
work performed by a subcontractor, until the subcontractor submits the required information and
the City approves such information.
4. The disclosure of a subcontractor list ("Disclosed Subcontractor(s)") to the City by a bidder shall
not create any rights in the Disclosed Subcontractor(s). Thus, a bidder may substitute another
subcontractor for a Disclosed Subcontractor by giving the City, upon request, written notice of the
name, address, licensing status, and type of work of the substitute subcontractor.
5. The successful bidder and all subcontractors on a public works project are required to submit
certified payroll utilizing the federal form known as WH-347 or a similar form on a bi-weekly basis,
submitted within 10 days after the end of each lakweekly payroll period. Certified payrolls shall
identify the job title and craft for each employee. Certified payrolls shall be submitted
electronically.
Please Note: Submissions deemed inadequate, incomplete, or untimely by the City may result in
the automatic disqualification of the bid.
The City, after review of complete and timely submissions, shall, in its sole discretion, after taking into
account all information in the submission requirements, determine whether a bidder is responsive and
responsible, and provide a Pre -Qualification Verification Letter. The City specifically reserves the right to
utilize all information provided in the contractor's submission and any information obtained by the City
through its own independent verification of the information provided by the contractor.

indicates and ensures I have sufficient employees on staff to complete the work. It
outlines how I intend to meet the staffing needs of the work.
(iii) List of projects of similar size and scope of work performed in all areas, including
the State of Indiana, within the last three (3) years.
(iv) X For every project, submit evidence of participation in apprenticeship and training
programs, applicable to the work to be performed on the project, which are
approved by and registered with the United States Department of Labor's Office of
Apprenticeship, or its successor organization.

submission and all information obtained in inquiries or requests to determine if a
bidder is responsive and responsible. Additionally, I acknowledge that all

Act (OSHA), or federal Davis -Bacon and related Acts, within the preceding five (5)
years.
(iv) _ Statement about staffing capabilities, including labor sources. This statement
indicates and ensures I have sufficient employees on staff to complete the work I
am bidding on OR outlines how I intend to meet the staffing needs of the work.
(v) _ Statement that individuals who will perform work on the public work project on my
behalf will be properly classified as an employee or as an independent contractor
under all applicable state and federal laws and local ordinances.
(vi) _ For every project, submit evidence of participation in apprenticeship and training
programs, applicable to the work to be performed on the project, which are
approved by and registered with the United States Department of Labor's Office of
Apprenticeship, or its successor organization.
(vii) _ Copy of a written plan for employee drug testing that covers all of my employees
who will perform work on the public work project and meets or exceeds the
requirements set forth in IC 4-13-18-5 or IC 4-1 3-1 M.
(viii) _ Evidence that I am utilizing a surety company which is on the Bureau of Fiscal
Service "Department of Treasury's Listing of Approved Sureties" as required in the
bid specifications or contract.

SECTION I EXPERIENCE QUESTIONNAIRE

etc, and any other information which you believe would enable the City of South Bend to

your own firm who have performed part of the work) that you have used on public works
projects during the past five (5) years along with a brief description of the work done by each
subcontractor.
3. If you intend to sublet any portion of the work, attach the name and address of each
subcontractorI equipment to be used by the subcontractor, and whether you will require a
bond. However, if you are unable to currently provide a listing, please understand a listing
must be provided prior to contract approval. Until the completion of the proposed project, you
are under a continuing obligation to immediately notify the City of South Bend in the event that
you subsequently determine that you will use a subcontractor on the proposed project.
4. Attach a listing of equipment you have available to use for the proposed project.
5. Have you entered into contracts or received offers for all materials which substantiate the
prices used in preparing your proposal? If not, attach an explanation for the rationale used
which would corroborate the prices listed.
SECTION 111 CONTRACTOR'S FINANCIAL STATEMENT
Attachment of bidder's financial statement is mandatory. Any bid submitted without said
financial statement as required by statute shall thereby be rendered invalid. The financial
statement provided hereunder to the City of South Bend awarding the contract must be specific
enough in detail so that said City of South Bend can make a proper determination of the bidder's
capability for completing the project if awarded.

Contractor agrees that he/she/it shall enroll in and verify the work eligibility status of all of Contractor's
newly hired employees through the E-Verify Program as defined by I.C. 22-5-1.7-3. Contractor's
documentation of enrollment and participation in the E-Verify Program is included and attached as part of
this bid/quote; and
5. Contractor shall require his/her/its subcontractors performing work under this public contract to
certify that the subcontractors do not knowingly employ or contract with an unauthorized alien, nor retain
any employee or contract with a person that the subcontractor subsequently learns is an unauthorized alien,
and that the subcontractor has enrolled in and is participating in the E-Verify Program. The Contractor agrees
to maintain this certification throughout the term of the contract with the City of South Bend, and understands
that the City may terminate the contract for default if the Contractor fails to cure a breach of this provision
no later than thirty (30) days after being notified by the City.
6. Persons, firms, partnerships, corporations, associations, or joint venturers awarded a contract by the
City of South Bend through its agencies, boards, or commissions shall not discriminate against any employee
or applicant for employment in the performance of a City contract with respect to hire, tenure, terms,
conditions, or privileges of contract or employment, or any matter directly or indirectly related to contracting
or employment because of race, sex, religion, color, national origin, ancestry, gender expression, gender
identity, sexual orientation, or due to age or disability that does not affect that person's ability to perform the
work.
In awarding contracts for the purchase of work, labor, services, supplies, equipment, materials, or any
combination of the foregoing including, but not limited to, public works contracts awarded under public
bidding laws or other contracts in which public bids are not required by law, the City, its agencies, boards,
or commissi
ons ons will consider the Contractor's good faith efforts to obtain participation by those
subcontractors certified by the State of Indiana as a Minority Business ("MBE") or as a Women's Business
Enterprise ("WBE") as a factor in determining the lowest, responsible, responsive bidder.
Contractors seeking the award of a City conh•act cannot be required to award a subcontract to an MWBE;
however, they may not unlawfully discriminate against said MBE/WBE. On goal -eligible contracts,
Contractors are required to either meet both MBE and WBE utilization goals or demonstrate that the
Contractor has made good faith efforts to obtain participation from MBE and WBE subcontractors. A finding
of noncompliance or a discriminatory practice shall prohibit that Contractor from being awarded a City
contract for a period of one (1) year from the date of such determination, and such determination may also
be grounds for terminating the contact to which the discriminatory practice or noncompliance pertains.
7. The undersigned Contractor agrees that the following nondiscrimination commitment shall be made
a part of any contract which it may henceforth enter into with the City of South Bend, Indiana or any of its
agencies, boards or commissions.
Contractor agrees not to discriminate against or intimidate any employee or applicant for employment in the
performance of this contract with privileges of employment, or any matter directly or indirectly related to
employment, because of race, religion, color, sex, gender expression, gender identity, sexual orientation,
handicap, national origin or ancestry. Breach of this provision may be regarded as material breach of
contract.
I, the undersigned bidder or agent as contractor on a public works project, understand my statutory
obligations to the use of steel products or foundry products made in the United States (LC. 5-16-8-1). I hereby
certify that I and all subcontractors employed by me for this project will use steel products or foundry
products made in the United States on this project if awarded. I understand I have an affirmative duty to
notify the City in my bid that my proposal does not include the use of steel products or foundry products
made in the United States. I understand it is my sole obligation and responsibility to provide a justification
to the City, subject to review and approval, why the cost of United States made steel or foundry products is
unreasonable. Prior to award and upon submission of bid which does not use steel products or foundry
products made in the United States, the City, through its director of public works, shall make a determination

Unlverslty of Notre Dame, it added approximately B001000 square feet of classroom, research, student

west and south side of the Notre Dame Stadium, The entire project Incorporates sustainability practices

The subcontractors selected to participate In the construction of the Crossroads project were the best of

Engineering Company was charged with the installation of approximately 137,000 square feet of roof
area made up of over 50 Individual areas ranging from elevations 30' to 150' In height, These areas

stone ballast overburdens, Their work was Installed continuously throughout 2-years and a myriad of
weather conditions, The challenges were Immense, commensurate with the size of the project, but
Midland Engineering Company achieved our expectations,

I would Bice to extend this letter of recommendation with respect to the services provided by Midland
Engineering Co, for the total tear off and re -roofing of the ISU Hulman Center on the campus of
Indiana State University.
The scope for the Hubnan Center re -roof project was to remove to the deck the old roof and to instal!
new Insulation and to recover all with a Sika Sarnafii PVC cap. The scope was budgeted at 1.2
million dollars to replace the over 100k square foot roof, ISU selected Midland based on their pricing,
experience, and performance on other sfmflar projects, The University traditionally uses a Garland
manufactured modified product on all of their buildings however for this project our Architect
suggested a PVC material, Since Midland was a registered Garland applicator that too factored into
the selection process. Indiana State fs a State funded University and requires a strict qualification
process for selection of every subcontractor which Midland has either met or exceeded the criteria as
outlined under all said requiremonts,
Their performance from beginning to end lived up to the high standards we set for our contractors.
Midland's performance was consistently good fin all categories, including customer contact, safety,
adherence to schedule, caliber of supervision, quality of workmanship, and attention to detail.
They were and still have been most willing to perform extra work at reasonable pricing while
continuing to make critical deadlines on a very fast -tracked project. Their cooperation throughout has
been outstanding.
In a highly competitive market place where some contractors choose to bid low and hope to make
their profits through change orders, Midland was different, possessing all the traditional values of
solid and well -run business. All then, employees speak the same language of dedication, commitment,
and customer care. Based on the above Indiana State University would highly recommend Midland
Engineering for any type of roofing project.

Opinion
We have audited the balance sheets of Midland Engineering Company, Inc. as as of December 31, 2021
and 2020, and the related notes to the financial statement.
In our opinion, the accompanying financial statement presents fairly, in all material respects, the financial
position of Midland Engineering Company, Inc. as of December 31, 2021 and 2020, in accordance with
accounting principles generally accepted in the United States of America.
Basis for Opinion
We conducted our audits in accordance with auditing standards generally accepted in the United States
of America (GARS). Our responsibilities under use standards are further described in the Auditor's
Responsibilities for the Audit of the Financial Statement section of our report. We are required to be
independent of Midland Engineering Company, Inc. and to meet our other ethical responsibilities, in
accordance with the relevant ethical requirements relating to our audits. We believe that the audit
evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.
Responsibilities of Management for the Financial Statement
Management is responsible for the preparation and fair presentation of the financial statement in
accordance with accounting principles generally accepted in the United States of America, and for the
design, implementation, and maintenance of internal control relevant to the preparation and fair
presentation of financial statement that is free from material misstatement, whether due to fraud or error.
Auditor's Responsibilities for the Audit of the Financial Statement
Our objectives are to obtain reasonable assurance about whether the financial statement as a whole is
free from material misstatement, whether due to fraud or error, and to issue an auditor's report that
includes our opinion. Reasonable assurance is a high level of assurance but is not absolute assurance
and therefore is not a guarantee that an audit conducted in accordance with GAAS will always detect a
material misstatement when it exists. The risk of not detecting a material misstatement resulting from
fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional
omissions, misrepresentations, or the override of internal control. Misstatements are considered material
if there is a substantial likelihood that, individually or in the aggregate, they would influence the judgment
made by a reasonable user based on the financial statement.

In performing an audit in accordance with GAAS, we:
• Exercise professional judgment and maintain professional skepticism throughout the audit.
• Identify and assess the risks of material misstatement of the financial statement, whether due to fraud
or error, and design and perform audit procedures responsive to those risks. Such procedures
include examining, on a test basis, evidence regarding the amounts and disclosures in the financial
statement.
• Obtain an understanding of internal control relevant to the audit in order to design audit procedures
that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the

NOTE 5 - LINE OF CREDIT
At December 311 2021, the Company has an available line of credit of $4,000,000 with 1st Source Bank.
Interest is payable monthly at the prime rate less 0.15%, subject to a minimum rate of 4% (4% at
December 31, 2021). This line of credit expires on May 31, 2023 and is secured by substantially all
assets of the Company. The line of credit agreement contains certain financial and nonfinancial
covenants. At December 31, 2021, the Company was in compliance with these financial covenants. The
Company had no borrowings under this facility at December 31, 2021 and 2020.
NOTE 6 -LONG-TERM DEBT
In order to limit the potential impacts of the pandemic, the Company obtained Small Business
Administration (SBA) Loans under the Paycheck Protection Program, on April 13, 2020 and January 25,
2021 in the total amount of $4,420,500. The amount of the loan proceeds eligible for forgiveness was
based on a formula using a number of factors, including the Company's use of loan proceeds for specific
purposes, such as payroll costs, rent payments on certain leases, and certain qualified utility payments.
On September 17, 2020 the Company submitted a forgiveness application for the initial loan, and as of
April 12, 2021, the principal and all unpaid interest was fully forgiven by the SBA. On'July 30, 2021 the
Company submitted a forgiveness application for the second loan and as of September 28, 2021, the
principal and all unpaid interest was fully forgiven by the SBA.
NOTE 7 -COMMON STOCK
At December 31, 2021 and 2020 the Company has 50,000 shares of Class A Voting Common Stock and
450,000 shares of Class B Non -voting Common Stock authorized, with 21,106 shares of Class A Voting
Common Stock and 189,954 shares of Class B Non -Voting Common Stock issued and outstanding. The
shares have no par value.
NOTE 8 -EMPLOYEE BENEFIT PLANS
All full-time employees not subject to a collective bargaining agreement with one year of service are
covered by the Profit Sharing Plan and Trust of Midland Engineering Company, Inc. Contributions are
discretionary.
The Company participates in numerous multi -employer pension plans ("MEPPs") that provide retirement
benefits to certain union employees in accordance with various collective bargaining agreements. The
risks of participating in these multiemployer plans differ from single -employer plans. The potential risks
include, but are not limited to, the use of the Company's contributions to provide benefits to employees of
other participating employers, the Company becoming obligated for other participating employers'
unfunded obligations, and, upon the Company's withdrawal from a plan, the Company being required to
pay the plan an amount based on the underfunded status of the plan, referred to as a withdrawal liability.

As one of many participating employers in these MEPPs, the Company is responsible, with the other
participating employers, for any plan underfunding. Contributions to a particular MEPP are established
by the applicable collective bargaining agreements; however, required contributions may increase based
on the funded status of an MEPP and legal requirements of the Pension Protection Act of 2006, which
requires substantially underfunded MEPPs to implement a funding improvement plan ("FIP") or a
rehabilitation plan ("RP") to improve their funded status. Factors that could impact funded status of an
MEPP include investment performance, changes in the participant demographics, decline in the number
of contributing employers, changes in actuarial assumptions, and the utilization of extended amortization
provisions.
An FIP or RP requires a particular MEPP to adopt measures to correct its underfunding status. These
measures may include, but are not limited to: (a) an increase in the contribution rate as a signatory to the
applicable collective bargaining agreement, (b) a reallocation of the contributions already being made by
participating employers for various benefits to individuals participating in the MEPP and/or (c) a reduction
in the benefits to be paid to future and/or current retirees. In addition, the Pension Protection Act of 2006
requires that a 5% surcharge be levied on employer contributions for the first year commencing shortly
after the date the employer receives notice that the MEPP is in critical status and a 10% surcharge on
each succeeding year until a collective bargaining agreement is in place with terms and conditions
consistent with the RP. The zone status included in the table below is based on information that the
Company received from the plan and is certified by the plan's actuary. Among other factors, plans in the
red zone are generally less than 65 percent funded, plans in the yellow zone are less than 80 percent
funded, and plans in the green zone are at least 80 percent funded.
The Company could also be obligated to make payments to MEPPs if it either ceases to have an
obligation to contribute to the MEPP or significantly reduces its contributions to the MEPP because of a
reduction in the number of employees who are covered by the relevant MEPP for various reasons. Due
to uncertainty regarding future factors that could trigger withdrawal liability, as well as the absence of
specific information regarding the MEPP's current financial situation, the Company is unable to determine
(a) the amount and timing of any future withdrawal liability, if any, and (b) whether participation in these
MEPPs could have a material adverse impact on the Company's financial condition, results of operations,
or cash flow.
The following table lists all MEPPs to which the Company's contributions exceeded $100,000 in 2021 or
2020. None of the plans listed below are subject to a surcharge.

The nature and diversity of the Company's business may result in volatility of the amount of contributions
to a particular MEPP for any given period. That is because, in any given market, the Company could be
working on a significant project and/or projects, which could result in an increase in its direct labor force
and a corresponding increase in its contributions to the MEPP(s) dictated by the applicable collective
bargaining agreement. When that particular project(s) finishes and is not replaced, the level of direct
labor would also decrease, as would the level of contributions to the particular MEPP(s). Additionally, the
level of contributions to a particular MEPP could also be affected by the terms of the collective bargaining
agreement, which could require at a particular time, an increase in the contribution rate and/or
surcharges.
NOTE 9 -OPERATING LEASE COMMITMENTS AND RELATED PARTY TRANSACTIONS
The Company leases its office and warehouse facilities from a company related through common
ownership on a month4o-month basis. The Company is responsible for all maintenance, taxes, and
insurance.
The Company has various lease agreements with a company related through common ownership for
vehicles and equipment. The leases provide for varying monthly payments on a monthAo-month basis.
The Company is responsible for maintenance of the equipment.
