At its September 13, 2022 meeting, the Board of Public Works approved the above
referenced amendment to extend the contract to allow the remaining funds for the design
services to be utilized for both the DTSB Façade and the Vibrant Places matching grant
programs in the amount of $30,000.

FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
This First Amendment to Professional Services Agreement (this “First Amendment”) is
dated the __22__ day of ___July___ 2022, by and between the City of South Bend, Indiana, an
Indiana municipal corporation, acting by and through its Board of Public Works (the “Owner”),
and Jones Petrie Rafinski Corporation (“Engineer”) (each a “Party” and collectively the “Parties”).
RECITALS
A.The Owner and the Engineer entered into a Professional Services Agreement dated
effective September 14, 2021 (the “Services Agreement”), for the provision of Services to the City,
which are more specifically defined in the Services Agreement, attached hereto as Exhibit A.
B.The Owner and the Engineer wish to amend the Services Agreement to increase the
scope of Services, extend the contract period, and clarify the fee service schedule related to the
performance of the Services.
NOW, THEREFORE, in consideration of the mutual promises and obligations in this First
Amendment and the Services Agreement, the adequacy of which consideration is hereby
acknowledged, the Parties agree as follows:
1.The language following “121-065 DTSB Façade Grants (“Project”)” on page 1 of
the Services Agreement shall be deleted in its entirety and replaced with the
following:
Provide Engineering and Architecture professional services as
needed in support of the 2021 DTSB Façade Activation Grants and
2022 Vibrant Places Grant. Duties include, but are not limited to,
project management and coordination with the Grant winners,
verification of adherence to local, state, and federal regulations by
Grant winners, preparation of basic architectural and site design
services, such as conceptual drawings and recommendations on
materials, and clarifying construction-related questions during
installation of Grant winner projects.
If detailed and completed architectural site design services, such as
full construction sets are required, the Engineer will prepare separate
contracts between the business and the Engineer. Engineer will
furnish services in addition to those set forth herein if authorized by
the City, or if required because of changes in the project.
2. Subsection B. of Section 1.01 of the Services Agreement shall be deleted in its
entirety and replaced with the following:
B.Engineer shall complete its services within a reasonable time, or
within the following specific time period: December 31, 2022.

3.Subsection B of Appendix 1 shall be deleted in its entirety and replaced with the following:
Hourly rates for services performed are as follows:
4.Unless expressly modified by this First Amendment, the terms and provisions of the
Services Agreement remain in full force and effect.
5.Capitalized terms used in this First Amendment will have the meanings set forth in the
Services Agreement unless otherwise stated herein.
