Arnold giving the CityY-tpermi.ssion to run the Vistula avenue sewer across his property to the river at Kline street. Petition filed for Pipe Sewer on Linden avenue from Olive to Wilber street. Assessment Roll for Vistula avenue Pipe Sewer amended, J. B. Arnold rebated. No remonstrators appeared and no remonstrances were filed. The Board therefore find that the property assessed in said rolls filed July 14th, 19052 is benefitted in the amount of assessments as shown on said amended rolls and the*Board find that the assessment rolls,as amended, filed July 14th, 19057 and the final estimate allowed July 14th, 1905, should be and the same are hereby in all things ratified, confirmed and approved. Resolved, that notices as to the amounts of assessments be published for six consecutive days in the South Bend Daily Times and the South Bend Daily Tribune commencing on the 4th day of August, 1905, stating that this. Board will give a hearing on the amount of such assessments at its office in the City Hall on the 22nd day of August, 1905, at 7;15 P. M. Said Improve- ment shall be known and designated as the Off STREET PIPE SEWER and shall be constucted according to the plans and specifications prepared by the City Civil Engineer, filed herewith. Said improvement shall be known and designated as the SHERMAN AVENUE PIPE SEWER and shall be constructed according to the plans and specifications prepared by the City Civil Engineer, filed. herewith. Notice of: this resolution shall be published on the 24th day of August, 1905, in the South Bend Daily Times and the South Bend Daily Tribune, stating that this Board will give a hearing on the acceptance of such work at its office in the City Hall on the 12th day of September 1905, at 7:15 P. M. Communication from Indiana Railway Company. The Honorable board of Public Works, South Bend,* Indiana* r entlemen; In compliance with the request of I1r. Frank 11. Dunnahoo, Attorney for your Board, I beg to submit the general terms upon which this Company would contract with a company operating a line between Logansport and South Bend, to run its cars over the tracks and use the terminal loops and station of the Indiana Railway Company; and instating these terms I beg to say that they are .identical with the terms agrrved upon between the South Bend and Southern Michigan Railway Company, a subsidiary company of the Indiana Railway Company, and the Benton Harbor and St. Joseph Electric Railway Company of St. Joseph Michigan, with agreement and concluded after a thorough study and investigation of the conditions ogoverning such cases throughout the middle West. In order to°place. this i#atter clearly before your Honorable Board i will quote from the before mentioned contract, the paragraphs mainly applying to this case. "---The St. Joseph Company, now being called upon so to do and being satisfied that the said Railway Company(The South Bend Company ),will construct its said railway from South.Bend, Indiana to St. Joseph, Michigan, agrees that it will construct .the above described single and double railway trae �s with necessary overhead lines over the routes aboved named, and that such construction will be modern and of standard quality for the use of an Interurban Railway, which Company (The St. Joseph Company) will maintain the same at its own expense, together with the overhead line, to be operated by the trolly system. 270 Said St. Joseph Company further promises and agrees to relieve and hold harmless said railway company from -all taxes, and all assessments for street, sewer or other municipal improvements on the streets named aforesaid, over which said railway com- pany may operate its cars. The South Bend Railway Company will construct its line from Niles, Michigan, to the point of connection with the tracks of said St.. Joseph Company, as herein designated and will operate all of its cars coming into St. Joseph over the tracks of said St. Joseph Company --so as to interfere as little as possible with the busi- ness and cars of said St. Joseph Company and will pay to the said St. Joseph.Company Three (3) cents for every passenger it carries into or out of the City of St. Joseph as the limits of the City are now established. Said Railway Company further promises and agrees to pay to said St. Joseph Company for every passenger it carries from any point.within to any other point with - in the City limits of said City of St. Joseph, as said limits are now established, the amount of cash fare -that St. Joseph Company receives for like service, and in addition thereto to pay such sum for baggage, mail, freight or express cars that are • brought over said tracks, as the parties hereto may agree upon. And in case the parties hercO are unable to agree upon such tum then each shall choose an arbritrator and these two arbritrators so chossd may select a third---". The St. Joseph Company also agrees that it will not build a competing Interurban line and will not lend adi or assistance to any line entering St. Joseph that may become an active competitor of the South Bend line. The South Bend Company agrees n that it will not build any local line or enter into competition with the St., Joseph Company for local business within the limits of St. JosepJ.. The.gist of this contract is that the South Bend & Southern Michigan Railway Comp.--Lny will build and. -operate an Interurban line from South.Bend, Indiana to St. Joseph, Michigan; that it does not want to and will .not attempt to.do a loc- line in competition with the local company, that the local company will construct all necessary lines and do all of the local business within the limits of the City of St. Joseph; that it will permit a non- competing Interurban line to enter the City of St. Joseph and enjoy the benfits of the terminal loop and stations, with any charge for power, maintenance,of tracks and overhead, taxes,, assessments or any other charge except a payment of Three (3) cents for each passenger crossing the junction point of the tracks of the two companies. This amount of compensation was fixed upon what was thought to be an equitable basis in view of the great expense to be incurred by the local company in the . construction and maintenance of tracks and overhead lines, the cost of producing power, anc7 payments to be made for taxes, assessments, etc. It may be argued in this connection that.a,rate based on a price per passenger is largely to the advantage of the incoming company as the amount of compensation to be paid rests wholly with the amount of business done by it; while the expense of maintenance of tracks and overhead, the amount of taxes, assessments, etc., remains the same, whether the compensation received is light or heavy. I desire also to invite the attention of the -Board to the standard contract of the local Street Railway Company in Indianapolis with the cumbrous Interurban lines entering that City. In this contract the incoming companies pay to the local company Four (4) cents for each and every passenger carried over the local lines, which compensation is entirely in accord with the agreement above quoted, inasmuch as the trackage and expense of maintenance, taxation, etc., is greater in Indianapolis than would be the case in the.City of St. Joseph or South Bend. In view of the foregoing full explanation I beg to say that the Indiana Railway Company will permit any non -competing Railway Company to operate its cars over the tracks of the Indiana Railway Company on the same general terms as are embodied in the contract it has made for an -entrance into St. Joseph for.its South Bend and Southern Michigan line, Namely.: The Indiana Railway Company will receive all cars of such an Interurban Railway Company at the limits of the City or at any point where the incoming Company may strike the lines of the Indiana Railway Company and will double track any of its trunk lines if need:tie, where not already double tracked, to the center of the City; it will construct all necessary and proper curves for entering its present contral l loops; it will provide for all the local service on said tracks, keeping its cars out of the way of the.Interurban cars as far as practicable; it will supply pwwer from.the said point of junction and pay all charges in the nature of taxes, maintenance of tracks and overhead lines, City Assessments, etc.,.and will charge the incoming Company a rate of Three (3) cents for every passenger brought into or taken out of the City, crossing the said junction point. Shore & South Bend Railway Company; and WHEREAS the said Chicago, Lake Shore & South Bend Railway Company is desirous for an extension of -time in which to construct and complete its tracks pursuant to to the terms and conditions.as named in said Ordinance Number 1214; and .WHEREAS the said Company also desires a change of route from the one mentioned in said Ordinance, on account of the building of the Winkler Brothers' Factory and the closing of certain streets and alleys leading up to and crossing the said Winkler Brothers' factory site; NOW,THEREFORE it is agreed by and between the parties that the said Chicago, Lake Shore & South Bend Railway Company ill have its tracks constructed and its line in operation, extending from the City of Michigan City, Indiana, to the City of South Bend, Indiana, on or before September 14th, 1906, and the time limit stated in said Ordinance No,1214 is hereby extended until that date. As a consideration for the extension of the time until September 14th, 19062 the said Chicago, Lake Shore & South Bend Railway Company agrees to construct its track between Michigan City, Indiana, and the western city limits of the City of South Bend before constructing any part of its track east of College street in said City, and.it is expressly agreed and understood that -said line between Michigan City and South Bend western limits the construction thereof shall operate retroactively so as to defeat the vesting of any rights under contract or ordinance No. 1214'if the said Railway Company shall not so complete its track or shall build upon any street East of College street in said city before the construction of its track between said western limits and said Michigan City. The -said Company is authorized to construct its tracks, together with all necessary side tracks, turn -outs, Ys, switches, and equipments and upon the following streets. in the City of South Bend, Indiana, to -wit: Beginning at the intersection of Olive street and Orange street in the City of South Bend; thence West on Orange street to Kaley'street; thence northwesterly on a private right of way on and across intervening streets and alleys to the City limits. This contract made and executed in duplicate on the 26th day of August, A. D. 1905 by and between the City of South Bend., Indiana, by and through its Board of Public works, and the Indianapolis, Logansport and South Bend Traction Railroad Company, a corporation organized under the laws of the State of Indiana, witnes-seth:- Section 1. For convenience the Indianapolis, Logansport and South Bend Traction Railroad Company, will hereafter be spoken of and designated in this Contract by the work "Company". Section 2.. The.said Company is authorized to construct a single track, subject to the conditions precedent, hereinafter set out and mentioned in Section 11 of this Contract, together with all necessary side-tracks, turn -outs and switches, upon the following streets and avenues in the City of South Bend, to -wit: Beginning at the point where the center of Calvert street intersects the East line of said City, thence running west along, and over said Calvert street projected to the center of Main street to the point where Calvert street projected crosses Main street. The said Company agrees i6s a consideration of this grant to purchase, and open up and dedicate for the use of the public as a street, a strip of ground sixty (60) feet in width lying between Michigan street and Main street, said strip of -ground to connect Calvert street from Michigan street with Calvert street at Main street as now opened. Section 3. The said street railway shall be used to carry on the business of modern street railway companies, both local and interurban, as carried on in cities, subject to .limitations heretofore and hereinafter contained, and shall be equipped with cars and carriages, that shall be modern in equipment and of the best style. and such as are used by such.railWays in this and other Cities. The Common Council of the City of South Bend shall at all times have the power to make, by ordinance or resolution, such reasonable regulations as to the time of running interurban and City cars as the public safety and convenience may require, and as to the speed thereof, and to fix penalties for anyviolation of such regulations; Said Company shall not haul any freight along or over said str eets', except such as is contained in baggage or express cars. The baggage and express cars herein mentioned shall be used exclusively for parcel express and baggage and small merchandise, and shall not at any time exceed two cars in number in any one train, and shall not be unloaded except at the Company's baggage rooms. It is agreed and understood that the above regulations for the transportation of freight, baggage and express are temporary in their nature, and the City reserves the right to make such other additional regulations regarding the transportation 8f freight, baggage or expbess or the number of cars in any one train as the Common Council of said City may, from tirfie to time, by ordinance, require. The baggage cars shall conform in general style and appearance with the passenger cars used by said Company, and the location of the baggage room shall be approved by the Board of Public works. Section 4. The motive power used shall be electricity or any other approved or practical power, except steam or anumal power; and, if electricity is used, the cars shall be propelled by over -head contact, wires, suspended from iron p-oles placed as near the curb line as possible and at such points as said City may direct, and so adjusted as to obstruct the public use of streets and sidewalks as little as possible. The said wires shall be suspended not less than twenty (20) feet above the rail. All poles, tracks, wires, fixtures and equipment shall be maintained by said Company at all times in a neat condition. All poles must be kept neatly painted. All wires shall be insulated, and in addition to the insulation at the trolley wire, an insulator shall be placed in the span wire on each side of said trolly wire. Section 5. The said Company, or its assigns, shall by means -of carful bonding or other approved and established means provide against electolysis of gas, water other pipes laid underneath the surf!ac,# of the streets, avenues, alleys or private rights of dray; and said Company agrees to indemnify the City against any loss or damage resulting -from electolysis caused by the use of electricity in propelling its cars. Section 6. The track of said railway shall be of standard gauge, four (4) feet and eight and one-half (9-1/2).inches -wide, and shall be laid in a single track in the center of the streets, avenues or alleys, unless by said City directed to be otherwise laid. It shall be constructed. of "T" rails not less than sixty-five (65) pounds to the lineal yard, and on paved streets seven (7) inch "T" rails shall be used, in a substantial and workmanlike manner, according to the newest and best method of laying street railway tracks Not less than six inches of concrete shall be placed 'between each tie, and the same shall be planked Flush with upper surface of tie. The said railway tracks, turn -outs, side tracks, and switches shall be so laid that rl S. B. T. I. R. Co. Cont. City, pave the space between rails on its tracks with paving brick or other material , in conformity with the remainder of•the street on such blocks or streets as said Common Council may require, but'only on established grades of such streets. Section 7. The said Company, in the construction and extension of any track shall leave the street and track in good condition, and shall not interfere frith any water pipes, gas or sewer pipes which are or may hereafter be laid by the City of South Bend; and in construction and extension of said railway it shall immediately restore the streets, pavement, sidewalks or ground, or water, sewer or gas pipe to a condition equally as good as before the laying of said track, at its own expense; and if it shall fail to do so within a.reasonable time, then the same may be done by the City of South Bend, and said Company shall be liable for the cost thereof; Provided.) nothing herein contained shall abrogate, limit or impair the right of said -City, to dig or open said streets, avenues or alleys or any portion thereof, for the purpose of making repairs or improvements, such as grading, diggging sewers, laying wager, steam or gas pipes, or to prosecute any public work that it may now or hereafter be authorized or empowered to do; aid for any such improvements the said Company shall temporarily remove its tracks or structures or equipments -*henever the same is necessary for such purpose, if required by resolution of the Board of Public Works; and in the failure of the said Company to remove its tracks, structures and equipments, the City of South Bend shall have the right to do so, and said company shall be chargeable with the cost there of, or any damage resulting from such action, and the said City, in making such improvements, shall not be liable for any, damage incident thereto that may accrue to said Company by reason of such Improvement aforesaid. Section 9. Said Company and its assigns shall at all times hereafter defend and keep harmless and indemnify the City of South Bend from any and all damages, lawful _claims and demands for injuries to person or peoperty, cost and expense of which the said City may be subjected or made liable by any proceeding at law or in equity, growing out of the grant of the privileges in this contract granted, or out -of the exercise of the enjoyment of the same by said Company or its assigns, or out of the failure of said Company or its assigns to construct or keep in repai.•r the pavement or other improvement by them herein required to be constructed or maintained, and the said Company or its assigns shall, upon the request of the City, at its own ex- pense, defend against such action or actions, either in its own name or in•the name. of the City of South Bend. Section_9.. Said Company shall lay its tracks in every instance so as to conform to the established grade of the street, and, shotLld the change of grade be made at anytime, the Company shall change its tracks and appliances at its own expense so as to conform to the re-established grade.,."The said Company shall further, at its own expense, keep all the space between its tracks and fourteen (14) inches outside of its tracks on -either side paved, macadamized. -planked or repaired in conformity with the improvement on the remainder of the street, avenues or alley, in accordance with the orders and regulations of the Board of Public Works providing for the paving of such streets, and in the manner required 'by the City authorities. Should said Company fail, neglect or ret-,use to make any repair or any improvement for the space of twenty days being ordered so to do by the proper authority, then the City may make the same and charge the cost thereof to the Company. Said Company agrees to pay the cost and all expenses of collecting the Pame, including reasonable attorney's fees.- As to -such streets, avenues and alleys and parts thereof as, are not paved or about to be paved, the Board of Public Works may at any time direct the construct- ion.of any track or tracks of said Company on�aid streets, avenues and alleys and parts thereof, before such pavement, said tracks to be laid and constructed under the direction of the Board of Public Works; and the share of the cost of said pavement shall be paid by said Company as provided for in this Contract. As to such, streets avenues and alleys and parts thereof as are paved, before tearing up any pavement for the construction.of its railway, said Company shall pay the prorate cost'.of such pavement, for all of the speace between its tracks and for the distance of fourteen inches outside of its -tracks on either side of the adjoining owner, as shown by the assessment.roll of the cost of the entire pavement. Said payment`- shall be made to the Controller of said City for _the use of said property owner. -SectiOn 10. The rate of fare for one continuous passage within the City Limits shall not exceed five cents for one passenger, and 'transfers shall be given to a passenger on its line to complete the trip to any other point of said City. Transfers shall also be issued to any other .street railway company operating in said City. Said Company shall honor transfers issued by other street railway companies of said City. The rights and grants herein given are made to said Company, its successors and assigns, and are expressly limited to a period of thirty-five (35) years from the date of the adoption of an ordinance of the Common Council of said City ratifying this -contract. Section 13. The said Company agrees to permit any other interurban railway thaS may obtain permission, to connect`with and enter upon or -to pass over its tracks in the City 'Limits, upon condition thatp such interurban railway desiring to enter the City of South Bene or to pass over the tracks of said Company will pay three cents to said Company for every passenger so carried on the line herein granted by this contract. The said City of South Bend, however,_.reserves the right to designate any and all interurban railways that Ahall have the privilege +bf entering upon the line herein granted, and such other inter- urban railway lines shall conform to such reasonable rules and regulations as to__tiekets and fares and control of its cars and trains as said Company may designate and adopt. Thefsaid. Company further agrees that when its tracks reach Michigan street,- and connects with the present line of the Indiana Railway'Company, that it wi 11 run its cars and carry its passengers down Michigan street to Washington street over the line of the Indiana Railway Company either upon the terms mentioned in a certain communication from the Indiana Railway Company addressed to the Board of Public Works dated August 22nd, 1905, and now on '-file and a part of the records of such Board, or upon' such other terms as the two com- panies may agree upon, or upon such terms as the law may give such company to use _said street and tracks. Section 16. In times of danger from fire or other cause, the Chief of the Fire Department or his representative or any menmber of the Common Council may order any wire or wires belonging to said grantee Company herein, cut, and the electric current stopped until such danger is passed. The cars of said grantee Company shall not at any time run over or interfere with any hose or other Fire apparatus belonging to said -City in use for its protection. Said grantee Company shall, whenever directed by the Common Council, sprinkle the space between its tracks and for fourteen inches on each side thereof and shall remove all obstructing snow from said space and not cast same upon any street, avenue or alley to the obstruction of travel; said grantee Company also to sweep and keep clean said space and remove sweeping and dirt so collected from the street, avenue or alley Section. 17. It is agreed and understood that said Company, shall within ninety (90) days after the ratification of this contract by the Common Council, deposit with the City Controller of the City of South Bend the sum of one thousand dollars ($12000.00) which said sum'of one thousand dollars shall remain as a forefit and pledge with the City : Controller until a continuous track and equipment from the northern limits of the town of Bremen to the Eastern limits of the City of South Bend to the terminus of route herein granted, is constructed and completed on or before the lst, day of December, 1907, and failure to complete it shall forfeit said one thousand dollars and it shall thereafter be and remain the property of the City of South Bend. Upon the completion of said itracks, however, within the time fixed, Vie said Company shall be entitled to receive and recover said one thousand dollars. 278 Saturday August 26th, 1 05. I. L, & S. B. T. R. R. Co. Con t. Section 1S. The said Company, before, it shall lay or have the right to commence the construction of its .line of tracks in the City of South Bend, shall execute to the City of South Bend a bond in the sum of ten thousand dollars (10,000.00) with security to be approved by the Board of Public Works, which bond shall be conditioned upon the faithful performance and fulfillment by said Company of every duty, agreement stipulation, condition and burden assumed by said Company, -either by direce terms or by implication in this ordinance, for and during the entire period of term of this grant, and the City of South Bend reserves the right, through its Board of Public Works, to require such additional surety or sureties .as they may deem necessary, -;eith- er because of impairment of said bond by money payment thereon, or because of the in- suf'fi'eiency or depreciation of the surety or sureties thereon. Permission is.hereby given to execute said bond for a period of five years,or renewable for like period, so as to be etinuous; and it is especially understood that the agreements, conditions and stipulations of this section are continuous to the exercise of the privileges herein granted. Section 19. Failure on the part of said Company to carry out and fulfill any of the terms, conditions or restrictions of this Ordinance at any time, shall immediately forfeit all of its rights and privileges herein granted. Section 200 This contract shall take effect and be in force, provided, that within ninety (90) days after confirmation by Ordinance of same by the Common Council of the City of South Bend, said Company shall file with the Board of Public Works of Said City, its written acceptance of same, bond as required in Section 19 and deposit of -money as required in Section 17; and upon the filing of said acceptance, bond and money, this contract shall 'cake effect. and be in Pull force.
