The purpose of this supplement is to add funding in the amount of $97,600.00 to the professional service contract with Lawson- Fisher & Associates to cover additional survey services and additional design tasks associated with the final design of the Main - Lafayette project. The additional work involves design work associated with modification to drainage plans, revisions and modification to utility plans due to AEP and City utility conflict plan management, site and plat modification due to property acquisition from Carl Kay Memorials, Lock Joint Tube, Heraeus Kulzer, Wendy's, Caroline Partners and others. The additional fee also provides funds for revisions for re- advertisement of the project (the project was proposed for bid in April 2012 but delayed due to lack of right of way under control). RESOLUTION NO. 3098 RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION APPROVING AND AUTHORIZING THE EXECUTION OF AN AMENDMENT TO THE ADDENDUM TO THE MASTER AGENCY AGREEMENT (Main- Lafayette Connector Design Project - Supplement #7) WHEREAS, effective January 1, 2012, the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission (the "Commission ") and the South Bend Board of Public Works (the "BPW ") entered into a Master Agency Agreement which authorized the BPW to act as agent for and on behalf of the Commission for certain projects during 2012; and WHEREAS, effective January 1, 2012, the Commission and the BPW entered into a Master Agency Agreement which authorized the BPW to act as agent for and on behalf of the Commission for the limited purpose of contracting for and managing the completion of existing Projects; and WHEREAS, pursuant to the Master Agency Agreement, the Commission added the Main - Lafayette Connector Design Project to the Master Agency Agreement by way of an Addendum on August 23, 2010; and WHEREAS, the Commission amended the Addendum with Supplement #1 by way of Resolution 2838 on January 21, 2011; and WHEREAS, the Commission amended the Addendum with Supplement #2 by way of Resolution 2873 on May 10, 2011; and WHEREAS, the Commission amended the Addendum with Supplement #3 by way of Resolution 2953 on November 8, 2011; and WHEREAS, the Commission amended the Addendum with Supplement #4 by way of Resolution 2954 on November 8, 2011; and WHEREAS, the Commission amended the Addendum with Supplement #5 by way of Resolution 3023 on April 24, 2012; and WHEREAS, the Commission amended the Addendum with Supplement #6 by way of Resolution 3058 on July 26, 2012; and WHEREAS, the Commission desires to amend the Addendum by way of this Amendment. NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment Commission as follows: Section 1. The Commission hereby approves the Amendment to the Addendum to the Master Agency Agreement (Main- Lafayette Connector Design Project - Supplement #7) and hereby authorizes its execution in substantially the form attached hereto with such changes as the Commission may deem necessary or appropriate upon the advice of counsel, said execution thereof to be conclusive evidence of the Commission's approval of such changes. The Clerk is hereby directed to file a copy of this Amendment to the Addendum with the BPW. Section 2. This Resolution shall be in full force and effect after its adoption by the Commission. Section 3. Commission staff members are authorized to execute on behalf of the Commission any documents necessary to carry out the intent of this resolution. (Signature Page Follows) CITY OF SOUTH BEND, DEPARTMENT OF REDEVELOPMENT South Bend Redevelopment Commission ATTEST: South Bend Redevelopment Commission AMENDMENT TO THE ADDENDUM TO THE MASTER AGENCY AGREEMENT (Main- Lafayette Connector Design Project - Supplement #7) 3098 -11 This Amendment to the Addendum to the Master Agency Agreement (this "Amendment "), made and entered into as of the 11th day of December, 2012, by and between the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission (the "Commission ") and the City of South Bend, Indiana, a municipal corporation duly organized and existing pursuant to the laws of the State of Indiana, acting by and through its Board of Public Works (the "BPW ") for purposes of the Commission designating the BPW to act as the Commission's agent to undertake the Main- Lafayette Connector Design Project - Supplement #7 (the "Project "). NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt of which is hereby acknowledged, the BPW and the Commission agree as follows: 1. The Commission hereby empowers and appoints the BPW, pursuant to the Master Agency Agreement, to act as the Commission's agent for the limited purpose of contracting for and managing the completion of the Project, the scope of said Project being originally described in "Exhibit A ", amended by Supplement #1 as described in "Exhibit B ", amended by Supplement #2 as described in "Exhibit C ", amended by Supplement #3 as described in "Exhibit D ", amended by Supplement #4 as described in "Exhibit E ", amended by Supplement #5 as described in "Exhibit F ", amended by Supplement #6 as described in "Exhibit G ", and now amended as described in `Exhibit H ", attached hereto and made a part hereof. 2. All of the terms and conditions of the Master Agency Agreement shall control this appointment and this Addendum shall be attached to the Master Agency Agreement. 3. Commission staff members are authorized to execute on behalf of the Commission any documents necessary to carry out the intent of this resolution. Since that time the Agreement has been supplemented on three times. It was modified two times to add (1) R/W acquisition services and (2) relocation agent services. The third supplemental increase (Submitted on October 12, 2011) covered the change in design from the construction of the first project of 3- Phases into one project with revised and additional alignments and traffic signals replacing the initially planned roundabout. At the time of the third Supplemental, increased design fees were projected to carry the project through Construction Contract letting and begin construction. However additional design and coordination tasks have been requested that are beyond the vision available at that time. It is noteworthy to mention that the existing agreement in -place at the time of the first planned contract letting on May 29, 2012 would have substantially covered our increased design costs. However a prudent decision made at that time (to delay the contract letting and construction until 2013) by the City and its design team was instrumental in saving user costs and most likely construction change orders due to wintering the project. This delay resulted in several additional survey, design and coordination tasks including plan revisions to accommodate R/W acquisition changes, additional street lighting, and a separate demolition project. The following items are requested as effort not envisioned in our October 2011 Supplemental Request: Additional Survev Items • Additional field survey. • Field layout of the proposed design to facilitate plan interpretation • Preparation of additional easements and parcel plat revisions. • Supplemental title information requests.
