MOLNAR LICENSE AGREEMENT This License Agreement ("Agreement") is made and entered into this 26th day of May, 2020 (the "Effective Date") by and between the University of Notre Dame du Lac (the "Licensee") and the City of South Bend, Indiana, by and through its Board of Public Works ("City"). WHEREAS, the City owns traffic signal devices and property located at three intersections near the southern boundary of Licensee's property: (1) at the intersection of Leahy Drive and Angela Boulevard; (2) at the intersection of Eddy Street and Angela Boulevard; and (3) at the intersection of Notre Dame Avenue and Angela Boulevard (collectively the "City Property"). All of the City Property is located in South Bend, St. Joseph County, Indiana; and WHEREAS, Licensee desires to install, operate, and maintain CCTV equipment at each of the intersections identified above as City Property; and WHEREAS, the City agrees to permit Licensee and its agents to enter upon the City Property for the purpose of installing, operating and maintaining the CCTV equipment (the "Equipment"), subject to the terms hereof, including Licensee's agreeing to indemnify, defend and hold the City harmless for personal injuries (including death), property damage and other matters that might occur or arise as a result of the entry of Licensee or Licensee's contractors on City Property, all as more particularly described in this Agreement; NOW, THEREFORE, in consideration of the parties' mutual covenants and undertakings, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows: The City hereby grants the Licensee a perpetual and non-exclusive license to enter onto the City Property as required to access, maintain, and operate Licensee's Equipment. Exhibit A, attached hereto, depicts the Equipment, as well as specifications for the Equipment. The proposed location of the Equipment is more fully described and/or depicted in Exhibits B-1 (Leahy Drive), B-2 (Eddy Street), and B-3 (Notre Dame Avenue). The Licensee shall not perform any other activities on the City Property without the prior written consent of City. 2. This Agreement shall commence as of the Effective Date and shall remain in effect until written notice of termination is provided to Licensee by City no less than 365 days prior to the date of termination. Upon termination, Licensee shall, at its sole expense, remove all Equipment from the City Property and shall restore the City Property to the same condition as existed prior to installation. 3. Licensee shall be solely responsible for the costs to buy the Equipment, install and maintain the Equipment, and all costs relating to the storage of video material captured by the Equipment. City shall bear no liability to Licensee for damages arising out of or incidental to the installation of the Equipment. 4. Licensee shall provide appropriate notice to City prior to any installation or maintenance work relating to the Equipment that will take place on the City Property and shall obtain all required licenses and permits to perform such work. 5. If City needs to perform any work on the City Property and that work necessitates temporarily moving the Equipment, Licensee shall be solely responsible for the costs of removing and re -installing the Equipment. 6. Licensee shall remain the sole owner of video footage captured by its Equipment, but City may request access to such footage. Licensee, in its sole discretion, may provide footage to City upon City's request. Any footage provided by Licensee to City shall be treated by the City as an investigative record. T Licensee, at its expense, shall comply, and cause its contractors to comply, as applicable, with all laws, orders and regulations of any City or other governmental authorities and with any directive of any public officer with respect to the activities anticipated hereunder. 8. Licensee shall not permit or suffer any lien to attach to the City Property as a consequence of the exercise of Licensee's rights under this Agreement, and if any such lien arises or accrues against the City Property, Licensee shall immediately effect the removal thereof at no cost or expense to City. 9. Licensee agrees to indemnify, defend and hold harmless the City, its respective agents, officials, employees, contractors, affiliates and representatives (collectively "Indemnitees") from any and all liability, loss, expense, damage, judgment or settlement, which the Indemnitees may suffer, sustain or incur as a result of any claims, demands, costs, actions, causes of actions, damages or judgments including, without limitation, reasonable attorneys' fees, asserted against or incurred by or on behalf of Indemnitees, whether arising out of or resulting from the activities of Licensee or its contractors on City Property, with the sole exception of any liability, loss, expense, damage, judgment or settlement which is the result of or arises out of the sole negligence of the Indemnitees. 10. In addition to the above indemnification requirements, at all times during the term of this Agreement, Licensee shall, at its sole cost and expense, procure and maintain commercial general liability insurance providing coverage against claims for bodily injury or death and property damage occurring in or upon or resulting from Licensee's use of the City Property. Such insurance shall be primary and shall afford immediate defense and indemnification, as a named additional insured, to the City of South Bend, Indiana, to the limit of not less than One Million Dollars ($1,000,000.00) per occurrence, and Five Million Dollars ($5,000,000.00) in the aggregate. The Licensee shall provide the City with a Certificate of Insurance evidencing such insurance coverage. 11. All notices which are required or may be given pursuant to the terms of this Agreement shall be submitted to the offices identified below. Notices and communications hereunder shall be deemed to have been made three (3) business days after being deposited in the United States Mail if given by registered or certified mail, return receipt requested, postage prepaid and addressed to the party to receive such notice or communication at the address given below, or such other address as may hereafter be designated in writing. This Agreement may not be assigned, sublicensed or otherwise transferred by either party without the prior written consent of the other party, which shall not be reasonably withheld. Subject to this paragraph, this Agreement shall inure to the benefit of and be binding upon the successors and assigns of the parties hereto. 13. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Indiana. Any dispute arising hereunder shall be resolved exclusively in the courts of the State of Indiana in St. Joseph County. The parties hereby irrevocably consent to jurisdiction and venue of said courts. 14. This Agreement may not be changed or modified, except by an agreement in writing signed by the party sought to be charged with such change or modification. 15. This Agreement may be executed in counterparts, each of which shall be deemed to be an original, but which together shall constitute one and the same instrument.
