MOLNAR BOARD OF PUBLIC WORKS AGENDA ITEM REVIEW REQUEST FORM AGREEMENT FOR PROFESSIONAL SERVICES This Agreement For Professional Services (this "Agreement") is entered into on May 12, 2020 (the "Effective Date"), by and between the City of South Bend, acting by and through its Board of Public Works (the "City"), and EMNET LLC, a limited liability company with its Principal place of business located at 121 S. Niles Avenue, South Bend, Indiana 46617 (the "Provider") (each a "Party" and collectively the "Parties"). For and in consideration of the mutual covenants and promises contained herein, the Parties agree as follows: 1. Services. The Provider will provide to the City the professional services (the "Services") set forth in the Provider's proposal attached hereto as Exhibit A (the "Proposal"), which Proposal is incorporated herein. In the event of any conflict between the terms of this Agreement and the terms of the Proposal, the terms of this Agreement will prevail. The Provider will execute its obligations under this Agreement in accordance with the prevailing professional standard of care for projects of similar design and complexity. 2. Compensation. In exchange for the Provider's performance of the Services in conformance with terms set forth in Exhibit A, and subject to the terms and conditions of this Agreement, the City will pay the Provider the Program Fee stated in the Proposal (the "Contract Amount") in accordance with the project budget stated in the Proposal. The City will pay the Contract Amount in installments upon invoicing by the Provider as set forth in the Proposal (each a "Contract Installment"). The City will not be required to pay any Contract Installment if the Provider's performance under this Agreement does not conform with the scope of service and schedule set forth in Exhibit A or any default or breach of this Agreement by the Provider exists. The sum of all Contract Installments will not exceed the Contract Amount, and the Provider will not incur or seek reimbursement for any expenses in excess of the Contract Amount. 3. Performance; Term and Termination. Unless earlier terminated in accordance with its terms, performance under this Agreement will commence within two (2) weeks of the Effective Date and Provider receipt of the Notice to Proceed ("NTP"); and end the earlier of the completion of the Provider's service under this Agreement or eight week from receipt of the NTP. Notwithstanding the foregoing, effective immediately upon delivery of a written termination notice to the Provider, the City may terminate this Agreement, in whole or in part, for any reason, if the City determines that such termination is in the best interest of the City. In addition, in accordance with Ind. Code 6-1.1-18-4, payments are subject to annual appropriation by the City. If the City makes a written determination that funds are not appropriated or are otherwise unavailable to support the continuation of this Agreement, it shall be cancelled. A determination by the City that funds are not appropriated or are otherwise unavailable to support the continuation of performance shall be final and conclusive. In the event of termination, all finished or unfinished documents, data, studies, surveys, drawings, maps, models, photographs, and reports or other materials prepared by the Provider under this contract shall at the option of the City become its property, and the Provider shall be entitled to receive just and equitable compensation for work completed in accordance with Exhibit A on such documents and other materials. The City will not be required to pay any Contract Installment or be otherwise liable for any cost associated with the Provider's performance of any Services after the effective date of termination. 4. Remedies for Breach of Contract. Failure to complete the Services in accordance with this Agreement will be considered a material breach. In the event of such breach, the City may suspend all payments to the Provider and may pursue any and all remedies available at law or in equity. The Provider shall repay to the City any portion of the Contract Amount expended for matters not within the scope of the Services. 5. Point of Contact. The City employee identified in Section 9 below will serve as the City's principal point of contact for purposes of this Agreement. 6. Relationship. The Provider shall at all times be an independent contractor for the performance of the Services rather than an employee of the City, and no act or omission to act by the Provider shall in any way bind or obligate the City. This Agreement is strictly for the benefit of the Parties and not for any third party or person. This Agreement was negotiated by the Parties at arm's length and each of the parties hereto has reviewed the Agreement after the opportunity to consult with independent legal counsel. Neither party shall maintain that the language in the Agreement shall be construed against any signatory hereto. The City and the Provider hereby renounce the existence of any form of agency relationship, joint venture, or partnership between the Provider and the City and agree that nothing contained herein or in any document executed in connection herewith shall be construed as creating any such relationship between the City and the Provider. 7. Indemnification of City. The Provider hereby agrees to defend, indemnify, and hold harmless the City, its officials, employees, and agents from any and all claims of any nature which arise from the performance by the Provider under this Agreement and from all costs and attorney fees in connection therewith, excepting for claims arising out of the negligence of the City, its officials, directors, employees, and agents. The obligations of the Provider under this section shall survive the termination of this Agreement. 8. Assignment. The Provider shall not assign or subcontract the whole or any part of this Agreement or its obligations hereunder without the prior written consent of the City. 9. Notices. Any notice required or permitted to be delivered hereunder shall be deemed to be delivered, whether or not actually received, when deposited in the United States Postal Service, postage prepaid, registered or certified mail, return receipt requested, addressed to the City or the Provider, as the case may be, at the address set forth below. The Provider shall comply with all state, federal, and municipal laws, regulations, and standards applicable to its activities pursuant to this Agreement including, but not limited to, the requirements imposed by Ind. Code 22-9-1-10 (non- discrimination), the provisions of Ind. Code 5-22-16.5 (disqualification for dealings with the government of Iran), and the provisions of Ind. Code 22-5-1.7 (requiring E-Verify for new employees and prohibiting employment of unauthorized aliens). Each of the foregoing provisions is incorporated herein as if set forth in full, and the Provider certifies that it is in compliance with each such provision and shall remain in compliance through the term of this Agreement. 11. Contractor's Affidavit. The Provider agrees, as a condition precedent to the effectiveness of this Agreement, that its authorized representative will execute and submit to the City and any other appropriate bodies an affidavit in the form attached hereto as Exhibit B. 12. Drug -Free Workplace. The Provider hereby agrees to make a good faith effort to provide and maintain a drug -free workplace. The Provider will give written notice to the City within ten (10) days after receiving actual notice that the Provider or an employee of the Provider within the State of Indiana has been convicted of a criminal drug violation occurring in the workplace. 13. Entire Agreement, Amendment; Applicable Law. This Agreement sets forth the entire agreement and understanding between the parties as to the subject matter hereof, and merges and supersedes all prior discussions, agreements, and understanding of any and every nature between them. This Agreement may be amended only by separate writing, signed by authorized representatives of both the Provider and the City. This Agreement will be construed and interpreted according to the laws of the State of Indiana, and any dispute arising out of this Agreement or otherwise concerning the Provider's rendering of the Services will be resolved in the courts located in St. Joseph County, Indiana, unless the Parties mutually agree to a different method of dispute resolution. 14. Severability. All provisions of this Agreement shall be considered as separate terms and conditions, and in the event any one shall be held illegal, invalid or unenforceable, all the other provisions hereof shall remain in full force and effect as if the illegal, invalid, or unenforceable provision were not a part hereof, unless the provision held illegal, invalid or unenforceable is a material provision of this Agreement, in which case the Provider and the City agree to amend this Agreement with replacement provisions containing mutually acceptable terms and conditions. 15. Force Majeure. The Provider shall not be responsible for any failure or delay in the performance of any obligation hereunder, if such failure or delay is due to a cause beyond the Provider's reasonable control, including, but not limited to acts of God, flood, fire, volcano, war, third -party suppliers, labor disputes or governmental acts. 16. Counterparts. This Agreement may be executed in two or more counterparts, which together shall constitute one and the same agreement among the Parties. Niles Ave., Suite 22, South Bend, IN 46617 574.855.1012 Wednesday, May 06, 2020 BLU-XTm Treatment Discovery Project for South Bend Wastewater Treatment Plant, South Bend, IN Statement of Work Summary Objective: E Perform a preliminary study of the potential benefits that would result from deploying BLU-XTM to optimize operating parameters throughout the South Bend Wastewater Treatment Plant (WWTP) in order to achieve energy savings while ensuring that water quality compliance is maintained. BLU-XTM is EmNet's real time decision support system (RT-DSS) platform for collection system and WWTP optimization. Rationale- 0 The City of South Bend identified water quality improvements in the St. Joseph River as a high priority. Since 2008, EmNet in collaboration with the City of South Bend, has successfully deployed BLU-X for optimizing collection system operations as well as future Capital Improvement Plan optimization. Levering BLU-X has helped the City improve water quality by reducing combined sewer overflow (CSO) volume by 70%. South Bend is also interested in using BLU-X Treatment to further improve water quality through treatment plant optimization. M BLU-X optimizes treatment plant operations by providing utility operators with comprehensive system knowledge and information, empowering them to make highly informed decisions, as well as via coordinated automation of plant processes. The City of South Bend recently committed to citywide energy and carbon footprint goals to minimize its impact on the environment and demonstrate environmental leadership as such. Page 1 of 6 0 South Bend is interested in using BLU-X for optimizing its WWTP as it can bring together real time data and advanced control algorithms to minimize energy consumption and chemical inputs while ensuring effluent water quality standards. BLU-X has been leveraged to characterize and optimize wastewater collection systems and treatment facilities in more than 55 cities around the world — helping utilities improve operations, stay in compliance, and reduce capital expenditures and operating costs. EmNet's success is based on a collaborative "Glass -Box" approach, which utilizes both proprietary and open -source software in an open architecture environment. Background- 0 South Bend WWTP is designed to treat an average flow of 48 million gallons per day and can treat at least 77 million gallons per day under high flow. 0 South Bend WWTP operates under a National Pollutant Discharge Elimination System (NPDES) permit issued by the Indiana Department of Environmental Management. Under stringent NPDES permit conditions, the plant discharges treated wastewater to the St. Joseph River. Figure 1. South Bend Wastewater Treatment Plant (South Bend, IN) The BLU-X Treatment Solution: The BLU-X platform allows our clients to match their treatment process to the specific make-up of wastewater entering the plant in real time. To achieve optimal operational efficiency, BLU-X goes beyond static setpoint controllers (such as PIDs) and implements an advanced control system based on a real time digital twin model. The BLU-X team builds these digital twin models using Neural Network (NN) of the carbon, nitrogen, and phosphorous elimination processes based on data from the plant's existing SCADA system (Figure 2). Using this real time digital twin, the system can create an optimization Page 2 of 6 strategy for aeration energy reduction and other critical parameters within the WWTP based on the plant's needs at that moment and in the near -term future. In principle, BLU- X applies the same process strategies as human operators; however, it can make predictive decisions, accounting for all available data and forecasting water quality of the final effluent. This helps to raise the level of precision to a new standard. At any point in time, BLU-X Treatment considers all parameters (e.g. ammonium, nitrate, etc.) and can adjust process setpoints (e.g. nitrification, den itrification) to optimal conditions. In each stage of project delivery, even before any software is implemented, the careful analysis of data leads to the discovery of valuable information that can be used to improve the performance of the plant. Through this process, many of our clients have gained insights that helped to significantly reduce costs and improve process stability while ensuring water quality compliance. Representation of a data driven neural network developed to create a digital twin in BLU-X treatment. As an example, the BLU-X Treatment solution was applied to the Cuxhaven Wastewater Treatment Plant in Cuxhaven, Germany in early 2017. BLU-X provided a real time digital twin of the entire plant so that each process receives optimal aeration and chemical inputs to match the needed chemical and biological oxygen demand. Since the utility had limited online sensors available to take real time measurements of influent concentrations, several "virtual" or "soft" sensors were developed to calculate an estimate of the incoming carbon, nitrogen, and phosphorous loads of the influent. In the absence of traditional sensor data, these virtual sensors helped the utility accurately estimate influent concentration to operate the aeration process in the most efficient way while meeting regulatory requirements. The optimized operation of the plant resulted in a drastic reduction in these fluctuations and prevented situational peak energy consumption (Figure 3). After implementing an optimization strategy, actual conditions closely correlate with the optimal set -points for wastewater treatment. Since implementing the BLU-X solution, the Cuxhaven treatment plant has shown a 26% reduction in aeration energy usage, corresponding to 1.1 million kWh annually — enough energy to power 64 homes for one year. In addition, all plant effluent concentrations continue to be tightly maintained within regulatory compliance limits. Statement of Work and Deliverables: The purpose of a Discovery Project is to identify and quantify opportunities for treatment optimization via the implementation of a BLU-X RT-DSS. In Phase 1: Discovery Project, EmNet will complete the following scope of work: 1. Review Existing Data. Request and review information relevant to South Bend's WWTP. As examples, some information requested may include: • reports/studies • plant size and basic specs • influent/effluent data • sludge treatment process • nitrification/aeration process • phosphate precipitation • energy usage • analytical data • other constituents (fats, oils and grease (FOG), temperature, pH, etc.) • biological parameters • compliance constraints • sensor and existing control system information • current standard operational procedures Page 4 of 6 2. Conduct an in -person workshop. A meeting at the WWTP including a facilities tour and workshop with selected staff to confirm project needs and objectives will be conducted. A recap of the findings and documented opportunities will be shared during the in -person workshop. 3. Understand plant treatment process. Review documentation to understand treatment processes at the plant that are identified for evaluation. EmNet will also evaluate the current efficiency of the treatment process. 4. Develop basic model. Develop a preliminary training of the neural network embedded model based on the available data and project goals. In addition, the team will train the neural network model and perform validation to determine its precision. A sensitivity analysis will also be conducted to discern the usefulness of the model. 5. Preliminary review of model integration into BLU-X. A review of the BLU-X model versus the available plant data will be performed to analyze the benefits of implementing BLU-X at full scale and potential plant savings. 6. Implementation Plan (Phase 2). Develop a high-level implementation plan for Phase 2: BLU-X Implementation 7. Conduct Discovery Phase workshop. Hold a final in -person workshop to present the results of the preliminary review of modeling at the South Bend WWTP. This offers the opportunity for feedback, and additional plant information will be collected during the meeting to further refine the strategy. Phase 2 Implementation Feasibility: Should the project progress to Phase 2: BLU-X Implementation, EmNet will complete the following scope of work in three stages which will be highlighted in the Phase 2 Implementation Plan: 1. Turn on the LightsTM: Existing streams of data from hardware sensors in the treatment process, as well as SCADA, will be leveraged to map the available variables and generate real time information via analytics and visualization applications. Further virtual sensors will also be developed to substitute in areas where hardware sensors may not be situated. 2. Create Digital Twin: An optimized treatment process model will be developed with predictions of optimal operating parameters for various processes in the plant based on real time sensor data. 3. Optimize and Deliver Operational Guidance: Leveraging the sensor data and the newly developed Digital Copy of the treatment plant will enable the development of an RT-DSS. This RT-DSS will be designed to provide operational recommendations to achieve project objectives (e.g. energy savings). Total Cost of Deliverables: $30,000.
