referenced amendment for the design modifications for the two-way conversion of Colfax
Ave. in the amount of $53,523.

SUPPLEMENTAL AGREEMENT NO. 3
This Supplemental Agreement No. 3 is made and entered into this day of , 20_,
by and between the City of South Bend, Indiana, acting by and through the Board of Public Works,
hereinafter referred to as the "Owner", and DLZ Indiana, LLC, 2211 East Jefferson Blvd., South Bend, IN
46615, hereinafter referred to as the "Engineer".
WITNESSETH
WHEREAS, the Owner and Engineer did, on February 28, 2017 enter into an agreement for the
preparation of construction documents for the construction of the Colfax Avenue Two -Way Conversion
as modified by: Supplemental Agreement Number 1 dated October 10, 2017 and Supplemental
Agreement Number 2 dated June 12, 2018.
WHEREAS, during the course of design, certain additional services, not included in the original
contract, Supplemental Agreement No. 1, or Supplemental Agreement No. 2, have become necessary;
specifically:
• Plan Modifications to reduce project scope and/or include alternate bids due to a
reduction in Owner funding,
• Additional Prime Contract for Phase 111 Construction of Elm Street and the intersection
of Colfax Avenue and Studebaker Street if not selected as an alternate for Phase 11
construction,
• Additional Construction Phase Services for Phase 11 and Phase 111 including additional
monthly progress meetings,
• Credit for Relocation Fees to reflect actual ownership and rental conditions at the time
of the buying,
• Credit for Separate Quote Package for Building Demolition which was not required,
• IDEM Rule 5 Erosion Control Permit Application for Phase 11 and Phase 111,
• Additional Lighting Design for pedestrian level lights along Elm Street north of Colfax
Avenue to the City Cemetery entrance,
• Phase 11 Conceptual Bidding Options.
NOW THEREFORE, the Owner and the Engineer desire to amend the above referenced Design
Contract as follows:
Revise Sub -Section A.2.c.1 of Section A1.02 of Exhibit A as follows:
1) The Engineer shall develop the lighting design and plans for Elm Street,
from Washington Street to and including the intersection of Colfax
Avenue with Elm Street, and for the Visitor Parking Lot. Lighting will be
continuous along Elm Street (See Exhibit A.4). Also, the Engineer shall
design pedestrian level lighting along Elm Street from Colfax Avenue
to the City Cemetery entrance.
Add Sub -Section A.4.c. to Section A1.02 of Exhibit A as follows:

III. Revise Sub -Section A.3.a. of Section A1.04 of Exhibit A as follows:
a. Engineer shall prepare and submit an IDEM Rule 5 Erosion Control Permit for
each construction phase. Engineer shall monitor the approval process and
provide customary additional information that may be required to secure the
permit.
IV. Add Sub -Section A.B. to Section A1.04 of Exhibit A as follows:
8. Due to a change in funding, the Engineer shall split the Phase 11 plans to reduce the
scope of the project and/or revise the Contract Documents to include bidding the
intersection of Colfax Avenue and Studebaker Street as an alternate for the Phase II
Project:
a. Revise the plans as follows:
1) Split the plans along Elm Street to include the work south of Colfax
Avenue into a future project.
2) The intersection of Colfax Avenue and Elm Street will remain part of
Phase 11, which shall include the bump -outs, crosswalks on Colfax
Avenue, street lighting in the intersection, drainage structures,
pavement markings and signing.
3) Revise the plans at the intersection of Colfax Avenue and Studebaker
Street to only include new curb ramps and sidewalk connections,
removal of the existing guardrail and replacing existing curb in the
southwest and southeast quadrants of the intersection to be bid as an
alternate with Phase 11 construction. If this work is not constructed as
part of Phase 11, the work will be added to Phase 111 Plans along with
Elm Street south of Colfax Avenue.
4) Modify the plans for the plaza to eliminate brick pavers within Elm
Street, brick columns, drywells, lighted bollards, and the concrete
header.
5) Resubmit revised Final Phase 11 Plans (90%).
b. Revise the contract documents, specifications and plans as required to include
alternate bids to provide the Owner flexibility in selecting scope items based on
the bids to remain within the budget for the project.
V. Revise Sub -Section D of Section A1.04 of Exhibit A as follows:
D. The number of prime contracts for Work designed or specified by Engineer upon
which the Engineer's compensation has been established under this Agreement
is � 3. If more prime contracts are awarded, Engineer shall be entitled to an
equitable increase in its compensation under this agreement.
The additional prime agreement would be for the following:

1. Phase/1/ Construction of Elm Street south of Colfax Avenue to Washington
Street and the intersection of Colfax Avenue and Studebaker Street, if not
selected as an alternate for Phase H construction.
VI. Add Sub -Section A.20. to Section A1.06 of Exhibit A as follows:
20. Monthly Progress Meetings (Hourly Rate)
a. Splitting the project into an additional prime agreement extends the life of the
project, which will require additional monthly progress meetings. DLZ will develop
the agenda, attend and prepare minutes for up to 12 additional monthly progress
meetings during the remaining design of this project.

This is Appendix 1 to EXHIBIT C, consisting of 2 pages,
referred to in and part of the Agreement between
Owner and Engineer for Professional Services dated
February, 2017.
Standard Hourly Rates Schedule
A. Standard Hourly Rates,
1. Standard Hourly Rates are set forth in this Appendix 2 to this Exhibit C and include salaries and
wages paid to personnel in each billing class plus the cost of customary and statutory benefits,
general and administrative overhead, non -project operating costs, and operating margin or
profit.
2. The Standard Hourly Rates apply only as specified in Article C2.
3. Rate adjustments will be made beyond 2019 at an inflation rate of 3% per year.

VIII. Amendment:
This Supplement Agreement No. 3 increases the current contract fee of $234,150.00 by $53,523.00 to
$287,673.00. and incorporates all other terms and conditions asset forth in the original Agreement dated
February 28, 2017, Supplement Agreement No. 1 dated October 10, 2017 and Supplemental Agreement
Number 2 dated June 12, 2018. The original Agreement, dated February 28, 2017, Supplemental
Agreement No. 1, dated October 10, 2017, and Supplemental Agreement Number 2 dated June 12, 2018
shall remain in full force and effect, except as herein modified.
The undersigned attests, subject to the penalties for perjury, that he is the contract party, or that he is
the representative, agent, member or officer of the Engineer that he has not, nor has any other member,
employee, representative, agent or officer of the firm, company, corporation or partnership represented
by him, directly or indirectly, to the best of his knowledge, entered into or offered to enter into any
combination, collusion of agreement to receive or pay, and that he has not received or paid, any sum of
money or other consideration for the execution of this Contract other than that which appears upon the
face of the Contract.
