SERVICES AGREEMENT
This Agreement For Services (this "Agreement") is entered into on January 1, 2019 (the
"Effective Date"), by and between the City of South Bend, acting by and through its Board of
Public Works (the "City"), and D.A. Dodd, LLC, an Indiana corporation with its Principal place
of business located at 14 E. Michigan Street, Rolling Prairie, IN 46371 and its local office located
at 2516 North Home Street, Mishawaka, IN 46545 (the "Provider") (each a "Party" and
collectively the "Parties").
For and in consideration of the mutual covenants and promises contained herein, the Parties
agree as follows:
1. Services. The Provider will provide to the City the services (the "Services") set
forth in the Provider's proposal attached hereto as Exhibit A (the "Proposal"), which Proposal is
incorporated herein. In the event of any conflict between the terms of this Agreement and the
terms of the Proposal, the terms of this Agreement will prevail. The Provider will execute its
obligations under this Agreement in accordance with the prevailing professional standard of care
for projects of similar design and complexity.
2. Compensation. In exchange for the Provider's satisfactory performance of the
Services, and subject to the terms and conditions of this Agreement, the City will pay the Provider
the Program Fee stated in the Proposal (the "Contract Amount") in accordance with the project
budget stated in the Proposal. The City will pay the Contract Amount in installments upon
invoicing by the Provider as set forth in the Proposal (each a "Contract Installment"). The City
will not be required to pay any Contract Installment if the City is not satisfied with the Provider's
performance under this Agreement or any default or breach of this Agreement by the Provider
exists, as the City may determine in its sole discretion. The sum of all Contract Installments will
not exceed the Contract Amount, and the Provider will not incur or seek reimbursement for any
expenses in excess of the Contract Amount.
3. Term, Termination, Unless earlier terminated in accordance with its terms, this
Agreement will commence on the Effective Date and terminate three (3) years from the Effective
Date. Notwithstanding the foregoing, effective immediately upon delivery of a written termination
notice to the Provider, the City may terminate this Agreement, in whole or in part, for any reason,
if the City determines that such termination is in the best interest of the City. In addition, in
accordance with Ind. Code 6-1.1-18-4, payments are subject to annual appropriation by the City.
If the City makes a written determination that funds are not appropriated or are otherwise
unavailable to support the continuation of this Agreement, it shall be cancelled. A determination
by the City that funds are not appropriated or are otherwise unavailable to support the continuation
of performance shall be final and conclusive. The City will not be required to pay any Contract
Installment or be otherwise liable for any cost associated with the Provider's performance of any
Services after the effective date of termination.
4. Remedies for Breach of Contract. Failure to complete the Services in accordance
with this Agreement will be considered a material breach. In the event of such breach, the City
may suspend all payments to the Provider and may pursue any and all remedies available at law
or in equity. The Provider shall repay to the City any portion of the Contract Amount expended
for matters not within the scope of the Services.
5. Point of Contact. The City employee identified in Section 9 below will serve as the
City's principal point of contact for purposes of this Agreement.
6. Relationshi . The Provider shall at all times be an independent contractor for the
performance of the Services rather than an employee of the City, and no act or omission to act by
the Provider shall in any way bind or obligate the City. This Agreement is strictly for the benefit
of the Parties and not for any third party or person. This Agreement was negotiated by the Parties
at arm's length and each of the parties hereto has reviewed the Agreement after the opportunity to
consult with independent legal counsel. Neither party shall maintain that the language in the
Agreement shall be construed against any signatory hereto. The City and the Provider hereby
renounce the existence of any form of agency relationship, joint venture, or partnership between
the Provider and the City and agree that nothing contained herein or in any document executed in
connection herewith shall be construed as creating any such relationship between the City and the
Provider.
7. Indemnification of City. The Provider hereby agrees to defend, indemnify, and
hold harmless the City, its officials, employees, and agents from any and all claims of any nature
which arise from the performance by the Provider under this Agreement and from all costs and
attorney fees in connection therewith, excepting for claims arising out of the negligence of the
City, its officials, directors, employees, and agents. The obligations of the Provider under this
section shall survive the termination of this Agreement.
8. .ssi nng nen . The Provider shall not assign or subcontract the whole or any part of
this Agreement or its obligations hereunder without the prior written consent of the City.
9. Notices. Any notice required or permitted to be delivered hereunder shall be
deemed to be delivered, whether or not actually received, when deposited in the United States
Postal Service, postage prepaid, registered or certified mail, return receipt requested, addressed to
the City or the Provider, as the case may be, at the address set forth below.

10. Equal Opportunity-, Non -Discrix i;nnatiorn„ Compliance. The Provider shall comply
with all applicable laws and regulations in its hiring and employment practices and policies for
any activity covered by this Agreement. The Provider shall comply with all state, federal, and
municipal laws, regulations, and standards applicable to its activities pursuant to this Agreement
including, but not limited to, the requirements imposed by Ind. Code 22-9-1-10 (non-

discrimination), the provisions of Ind. Code 5-22-16.5 (disqualification for dealings with the
government of Iran), and the provisions of Ind. Code 22-5-1.7 (requiring E-Verify for new
employees and prohibiting employment of unauthorized aliens). Each of the foregoing provisions
is incorporated herein as if set forth in full, and the Provider certifies that it is in compliance with
each such provision and shall remain in compliance through the term of this Agreement.
11. Drug -Free WqLkplace. The Provider hereby agrees to make a good faith effort to
provide and maintain a drug -free workplace. The Provider will give written notice to the City
within ten (10) days after receiving actual notice that the Provider or an employee of the Provider
within the State of Indiana has been convicted of a criminal drug violation occurring in the
workplace.
12. Entire A ,Yreeme it, Amendirrent, Applicable Law. This Agreement sets forth the
entire agreement and understanding between the parties as to the subject matter hereof, and merges
and supersedes all prior discussions, agreements, and understanding of any and every nature
between them. This Agreement may be amended only by separate writing, signed by authorized
representatives of both the Provider and the City. This Agreement will be construed and
interpreted according to the laws of the State of Indiana, and any dispute arising out of this
Agreement or otherwise concerning the Provider's rendering of the Services will be resolved in
the courts located in St. Joseph County, Indiana, unless the Parties mutually agree to a different
method of dispute resolution.
13. Severabilitv. All provisions of this Agreement shall be considered as separate terms
and conditions, and in the event any one shall be held illegal, invalid or unenforceable, all the other
provisions hereof shall remain in full force and effect as if the illegal, invalid, or unenforceable
provision were not a part hereof, unless the provision held illegal, invalid or unenforceable is a
material provision of this Agreement, in which case the Provider and the City agree to amend this
Agreement with replacement provisions containing mutually acceptable terms and conditions.
14. Force l lemur . The Provider shall not be responsible for any failure or delay in the
performance of any obligation hereunder, if such failure or delay is due to a cause beyond the
Provider's reasonable control, including, but not limited to acts of God, flood, fire, volcano, war,
third -party suppliers, labor disputes or governmental acts.

D.A. Dodd, LLC is qualified plumbing contractor looking to partner with the City of South Bead, to
enter into a plumbing services agreement.
B. Project Details
1. D.A. Dodd Background
Founded in 1995, D.A. Dodd, LLC was formed as a fully bonded, insured, union
mechanical contractor with licensing in both Indiana and Michigan. We began operations in
Northern Indiana and in 1998 expanded into Southwest Michigan with the opening of a
Benton Harbor Branch. In 2001, with increased growth and demand for our services, we
expanded into Central Indiana with the opening of our Lafayette Branch. In 2007 we
opened our Mishawaka Branch to serve as a home base for service technicians operating in
the Michigna area. D.A. Dodd Mechanical Contractors, LLC has grown into one of the
largest mechanical contractors in Northern Indiana in our twenty years of business. In
2015, D.A. Dodd joined with Mno-Bmadsen Economic Development Enterprises to form a
federally registered Minority Business Enterprise (MBE) with a wider capability of
engineering and contracting services.
Over the years, we have handled plumbing, heating, cooling and industrial process
piping jobs of all sizes. Our customer base has grown to include customers in commercial,
industrial and institutional sectors. With a diverse set of clients including hospitals, private
and public schools, colleges and universities, manufacturing facilities, financial institutions
and major corporations, D.A. Dodd is poised for continued growth and success throughout
the Midwest.
As we strive and complete each job with quality, efficiency, and pride we recognize
the importance to support our customer. In order to this, we have implemented a strong
and knowledgeable management team to achieve these company requirements. There is no
service call that D.A. Dodd cannot handle. A successful service call starts and ends with
management. It is because of this reason, D.A. Dodd implements the highest of standards
for management procedures that are followed through. With our team of highly trained and
skilled leaders, we have the confidence to manage every service call with quality and
timeliness.
D.A. Dodd is ready to take your emergency call. We have an on -call system that
allows the customer to call any one of our phone numbers 24 hours a day, seven days a
week, 365 days a year and talk to a live person. We have a rotating on call program so a
qualified D.A. Dodd technician can respond at any time to resolve your emergencies.
D.A. Dodd employs approximately 280 people companywide. Seventy-five of our
employees are service technicians for a combined 750 years of experience. All our
technicians hold an active refrigeration certification and state certified plumbing licenses, in
addition to multiple combinations of 40 different industry specialized certifications. We
have included a short listing of the most likely service technicians that would respond in this
area.
Furthermore, all of our employees have a background check and are subject to a
drug testing program as a condition of employment.
2. Purpose of Proposal Submission
D.A. Dodd would like to present a proposal as a qualified offeror for a Plumbing Service
Agreement to fulfill plumbing repairs, emergency needs, and small installation needs across
the portfolio for the City of South Bend properties and responsibilities as indicated in
Appendix #1.
3. Length of Contract
The final negotiated contract with D.A. Dodd would be effective for (3) years, with a start
date of January 1, 2020.
4. Necessary Specifications and Qualifications
D.A. Dodd as a qualified plumbing service firm would provide Plumbing services as needed
throughout the City of South Bend system of responsibilities. These services must include,
but are not limited to:
• General plumbing repairs
* Troubleshooting of plumbing issues
Repairs in numerous recreation centers, venues, and facilities
w Troubleshooting and repairs of plumbing systems throughout City of South Bend Park
system, i.e.
o Restroom troubleshooting and repairs
o Splashpads
o Irrigation systems
a. D.A, Dodd Service Department Standards for South Bend Projects:
D.A. Dodd has sufficient capacity to handle plumbing needs of City of South Bend
with our current technicians and office support team; however, should more be
necessary we have the ability to hire from the local union hall any necessary
technicians.
Parts markup will not exceed 10%.
• D.A. Dodd will coordinate access to facilities with appropriate City of South Bend
representatives as listed in Appendix #2.
• There is no additional rate in addition to hourly service rate, i.e. a "truck rate" or
equivalent.
All work will be performed in a professional manner according to industry standards,.
+ All work performed by D.A. Dodd under this contract shall conform to all applicable
local, state, and federal codes.
• D.A. Dodd will be responsible for all applicable permits necessary to perform work,
• D.A. Dodd understands that all City of South Bend facilities are smoke -free facilities.
Use of tobacco products is not allowed in the facilities.
o Each vehicle will have the D.A. Dodd's name, phone number, and plumbing
contractor license number clearly marked on each side of the vehicle. Currently,
D.A. Dodd maintains a fleet of over 100 vehicles to respond to all service needs.
• D.A. Dodd's personnel shall wear an appropriate uniform that identifies the
company performing the work. All personnel will wear a name badge or other form
of identification with credentials.
Replacements parts will not be proprietary and should be generally available to the
plumbing market.
• D.A. Dodd shall report on all City of South Bend plumbing work orders on a quarterly
basis. The Report will include:
o Total Volume and Value of work orders.
o Volume and value of work orders broke down if required by City of South
Bend department/division.
o Volume and value of work orders broke down by type of work (non -
emergency vs. emergency).
o Average and median time to close a work order.
Each report should be delivered by the 15th of the month following the close of each
quarter.
• D. A. Dodd shall provide service with in (2) hours of the time of the call.
• The provisions of this section shall apply twenty-four (24) hours a day, seven (7) days
a week.
b, Regular Repair Service (Non -Emergency)
Repairs performed during regular service hours shall be paid for on an hourly labor
rate basis according to final contract negotiation.
o Regular operational hours are defined as between 6:00 am and 5:00 pm. The repair
must besin during this time frame to be defined as a regular repair.
c. After -Hours Repair Service (Emergency)
* Repairs performed during regular service hours shall be paid for on an hourly labor
rate basis according to final contract negotiation.
* After-hours repairs are defined as any repair that begins after 5:00 pm and before
6:00 am on a non -holiday weekday, or work that occurs during any time on
weekends or holidays.
d. Repair Estimate and Approval
• D.A. Dodd may be required to provide a not -to -exceed (NTE) estimate of the cost
and descriptive information of requested repairs to the Operations Manager at the
time of the service call. No work shall be performed until approval is given by the
Building Manager.
e. New Installation Service
• D.A. Dodd may be required to provide a not -to -exceed (NTE) estimate of the cost
and descriptive information of requested new installations to the Operations
Manager at the time of the service call. No work shall be performed until approval is
given by the Building Manager.
• D.A. Dodd understand that any new installations greater than $2500 will require
following a competitive bid procedure through the Board of Public Works.
