The undersigned Contractor, being duly sworn upon his/her/its oath, affirms under the penalties of perjury that:
1. Contractor has not, nor has any other member, representative, or agent of the firm,
company, corporation or partnership represented by him, entered into any combination, collusion
or agreement with any person relative to the price to be bid by anyone at such letting nor to
prevent any person from bidding nor to induce anyone to refrain from bidding, and that this bid
is made without reference to any other bid and without any agreement, understanding or
combination with any other person in reference to such bidding. Contractor further says that no
person or persons, firms, or corporation has, have or will receive directly or indirectly, any
rebate, fee, gift, commission or thing of value on account of such sale; and
2. Contractor certifies by submission of this proposal that neither contractor nor any of its
principals are presently debarred, suspended, proposed for debarment, declared ineligible, or
voluntarily excluded from participation in this transaction by any Federal department or agency;

3. Contractor has not, nor has any successor to, nor an affiliate of, Contractor, engaged in
investment activities in Iran.
a. For purposes of this Certification, "Iran" means the government of Iran and any agency or
instrumentality of Iran, or as otherwise defined at Ind. Code § 5-22-16.5-5, as amended from
time -to -time.
b. As provided by Ind. Code § 5-22-16.5-8, as amended from time -to -time, a Contractor is
engaged in investment activities in Iran if either:
i. Contractor, its successor or its affiliate, provides goods or services of twenty million

Requirements
The word ADVERTISER as used in this conu act shall apply to the Advertiser named on the face of this contract or its authorized Agency, if the contract is placed through such Agency. In
such event, Agency represents and warrants that it is duly authorized to place orders for Advertising Displays on behalf'of the Advertiser..
ARRIVAL Or PRODUCTTON MATERIAL AND INSTRUCTIONS : The Advertiser shall provide the necessary display insuuctions and production materials to the proper BURKHART plant
at least ten (10 ) days prior to the designated Start Gate. In the event Advertiser fails to provide such instructions and/or materials at least ten (10) days prior to the designated Start Date,
Advertiser will be charged for the fall period of time stated on the contract.
COPY CHANGE: Should Advertiser desire a change of copy, either of the complete display or in the fern of'overlays, a charge will be made in accordance with the current published rates
and `Allotments.
ILLUMINATION: All illuminated displays shall be illuminated Prom sunset to midnight and from 6:00 am to dawn. For any period of ion -illumination a pro-rata credit of 20% of the their
monthly base price shall be granted.
ADJUSTMENTS TO CONTRACTS: Permanent Paints and Rotary Bulletins and Bus Wraps may only be canceled at the annual anniversary date, provided BURKHART receives sixty (60)
day prior notice to anniversary date
Posters, Shelters and Bus Advertising (excluding Bus Wraps) may be canceled prior to the end date at the end of any thirty (30) day or four (4) week period by providing advance written
notice that reaches the office of BURKHART at least sixty (60) days prior to the desired cancellation date In the event of such cancellation, the rate on this contract wil I be adjusted to the
earned rate as shown on the then current published BURKHART Rates and Allotments and the entire amount will become due and payable
If the advertising or sale of the product or service to be advertised under this contract is prohibited by lase or government regulation, this contract shall terminate as of the effective date of'such
law or regulation without earned rate charge.
BURKHART may upon notice to Advertiser cancel this contract at any time (a) upon material breach by Advertiser; (b) if BURKHART does not receive timely payment on billings, or (c) if
Advertiser credit is, in the reasonable opinion of BURKHART, impaired.
DISPLAY CONTENT: BURKHART reserves the right to determine if copy and design are in good taste and within the moral standards of the individual communities in which it is to be
displayed
CREDITS: Credit for loss of service will be based on the average cost per panel.
DEFAULT: Failure to pay in accordance with the terms stated on the reverse side of this document will cause BURKHART to consider this contract to be breached and BURKHART may, at
its option, cancel and terminate same and call the entire amount of this contract due and owing acid further charge as additional damages any losses BURKHART may sustain by reason of
default, cancellation acid termination, including but not limited to allorrrey fees and collection expense.. Agency conunissions will be forfeited if'payments are not made within sixty (60) days
of the terns stated of the reverse side of this document, On contracts placed thru an Agency, Agency and Advertiser shall bejointly acid severally liable for payment of all amounts due
hereunder
CONTINGENCIES : It is expressly agreed that BURKHART shall not be held liable fin loss or damage on account of delays or loss of service due to acts of God, strikes, tires, governmental
or municipal laws, rules, regulations or restrictions or acts of Providence, or for inability to secure specified material, or to maintain said displays or any part thereol'by reason of any
legislation heretofore or hereafter enacted by the Federal Government or any State or Municipal Government, or any rules or regulations made by any department of the Federal, State or
Municipal Government, or for other like causes. In the event of any delay in service by reason of the above, the adverfists shall be notified immediately and shall be entitled, at its election, to
either an extension ofservice, additional service, or credit, all on a pro-rata basis..
INDEMNIFCAT[ON : BURKHART shall hold Agency and Advertiser harmless against all liability including all claims, demands, debts, obligations or charges together with reasonable
attorneys•' fees and disbursements (all hereinafter referred to as "liability" ) arising out of the installation, maintenance or removal of advertising copy.. The Advertiser sinmilar ly agrees to hold
BURKHART harmless against all liability arising out of the content of the advertising copy frmushed by Advertiser or Agency, including, without limitation, any claims of infringement of
copy¢ ights, trademarks, servicemarks, or other intellectual property..
LIMITATION OF LIABILITY: In no event sliall BURKHART'S liability arising out ofor related to this contract, however caused, and whether arising under contract, tort (including
negligence) or any other theory of liability, exceed the amounts received by BURKHART from Advertiser under this contract..

Contractor's Affidavit

a person identified on list published by the Indiana Department of Administration.
4. Contractor does not knowingly employ or contract with an unauthorized alien, nor retain
any employee or contract with a person that the Contractor subsequently learns is an
unauthorized alien. Contractor agrees that he/she/it shall enroll in and verify the work eligibility
status of all of Contractor's newly hired employees through the E-Verify Program as defined by
I.C. 22-5-1.7-3. Contractor's documentation of enrollment and participation in the E-Verify
Program is included and attached as part of this bid/quote; and
5. Contractor shall require his/her/its subcontractors performing work under this public
contract to certify that the subcontractors do not knowingly employ or contract with an
unauthorized alien, nor retain any employee or contract with a person that the subcontractor
subsequently learns is an unauthorized alien, and that the subcontractor has enrolled in and is
participating in the E-Verify Program. The Contractor agrees to maintain this certification
throughout the term of the contract with the City of South Bend, and understands that the City
may terminate the contract for default if the Contractor fails to cure a breach of this provision no
later than thirty (30) days after being notified by the City.
6. Persons, partnerships, corporations, associations, or joint venturers awarded a contract by
the City of South Bend through its agencies, boards, or commissions shall not discriminate
against any employee or applicant for employment in the performance of a City contract with
respect to hire, tenure, terms, conditions, or privileges of employment, or any matter directly or
indirectly related to employment because of race, sex, religion, color, national origin, ancestry,
age, gender expression, gender identity, sexual orientation or disability that does not affect that
person's ability to perform the work.
In awarding contracts for the purchase of work, labor, services, supplies, equipment, materials,
or any combination of the foregoing including, but not limited to, public works contracts
awarded under public bidding laws or other contracts in which public bids are not required by
law, the City, its agencies, boards, or commissions may consider the Contractor's good faith
efforts to obtain participation by those Contractors certified by the State of Indiana as a Minority
Business ("MBE") or as a Women's Business Enterprise ("WBE") as a factor in determining
the lowest, responsible, responsive bidder.
In no event shall persons or entities seeking the award of a City contract be required to award a
subcontract to an MBE/WBE; however, it may not unlawfully discriminate against said
WBE/MBE. A finding of a discriminatory practice by the City's MBE/WBE Utilization Board
shall prohibit that person or entity from being awarded a City contract for a period of one (1)
year from the date of such determination, and such determination may also be grounds for
terminating the contact for which the discriminatory practice or noncompliance pertains.
7. The undersigned contractor agrees that the following nondiscrimination commitment
shall be made a part of any contract which it may henceforth enter into with the City of South
Bend, Indiana or any of its agencies, boards or commissions.

employment in the performance of this contract with privileges of employment, or any matter

this provision may be regarded as material breach of contract.
I, the undersigned bidder or agent as contractor on a public works project, understand my
statutory obligations to the use of steel products or foundry products made in the United States
(I.C. 5-16-8-1). I hereby certify that I and all subcontractors employed by me for this project will
use steel products or foundry products made in the United States on this project if awarded. I
understand I have an affirmative duty to notify the City in my bid that my proposal does not
include the use of steel products or foundry products made in the United States. I understand it is
my sole obligation and responsibility to provide a justification to the City, subject to review and
approval, why the cost of United States made steel or foundry products is unreasonable. Prior to
award and upon submission of bid which does not use steel products or foundry products made
in the United States, the City, through its director of public works, shall make a determination if
the price of United States made steel or foundry is unreasonable. I understand that violations
hereunder may result in forfeiture of contractual payments.
