This subgrant is entered into on this La401day of �1 ro19, by and between the University of
Notre Dame du Lac as Subgrantor (hereinafter referred to as Notre Dame), and the City of South
Bend, Indiana, acting by and through its Board of Public Works (hereinafter referred to as
Subgrantee).
WITNESSETH:
WHEREAS, the Lilly Endowment, Inc. (hereinafter referred to as the Endowment) has awarded
Notre Dame a grant for the project entitled, "Labs for Industry Futures and Transformation
(LIFT) Network: Driving Economic Prosperity in South Bend — Elkhart through Applied
Learning and Research" for the purpose of create and launching the Labs for Industry Futures
and Transformation (LIFT) Network for the South Bend Elkhart Regional Partnership; and
WHEREAS, the Subgrantee operates the South Bend Technology Resource Center (TRC) which
represents an outpost of the LIFT Network that is embedded in the community, and
WHEREAS, the TRC has a five year goal to equip and reskill the workforce for digital literacy
and IT -related roles by offering adult/continuing education courses, and
WHEREAS, the Subgrantee has committed Two Million Seven Hundred Thousand Dollars
($2,700,000) to build out the TRC space to accommodate this programming,
NOW, THEREFORE, the parties, intending to be legally bound, agree as follows:
ARTICLE 1. SCOPE OF WORK
Subgrantee, as an independent contractor, agrees to perform the work as proposed and otherwise
exert reasonable efforts in assisting in the duties set forth in the attached Statement of Work
(Exhibit A). Subgrantee shall furnish all necessary equipment, labor and materials in carrying
out their respective portions of the work and duties as set forth in attached Exhibit A.
ARTICLE 2. PERIODS OF PERFORMANCE
The period of performance covered by this Subgrant shall be 60 months, beginning on April 1,
2019, and shall not extend beyond March 31, 2024, unless extended in writing by mutual written
agreement between the parties. Notre Dame shall have the right to cancel this Subgrant upon
thirty (30) days written notice to the Subgrantee if funding from the Endowment shall terminate
for any reason during the term hereof of any extensions hereof.
ARTICLE 3. KEY PERSONNEL
Brian Donoghue, City of South Bend, shall be responsible for the completion of the work and
shall not be replaced without prior approval of Notre Dame. The Project Director for Notre
Dame shall be Dr. Thomas Fuja.
ARTICLE 4. COMPENSATION
The actual cost to Notre Dame, for the performance of this work shall not, without the prior
written consent of Notre Dame, exceed the estimated cost of Five Hundred Thousand Dollars
($500,000) in accordance with the attached detailed budget (Exhibit B-1) and construction
schedule (Exhibit C). No Indirect costs are included in this award. Notre Dame shall not be
obligated to reimburse subgrantee for any costs incurred in excess of the amount specified herein
unless this Agreement is modified in writing. All payments shall be considered provisional and
subject to adjustment within the total cost established by this agreement, in the event that subject
adjustment is necessary as a result of Internal University audit or audit by the Endowment.
ARTICLE 5. ALLOWABLE COSTS AND PAYMENT
All costs incurred by subgrantee shall be reasonable, allocable, and allowable in accordance with
generally accepted accounting principles, procedures and other applicable regulations.
Subgrantee agrees to be soley responsible for any expenditures made by it and disallowed by the
Endowment and further agree to reimburse Notre Dame for any costs so disallowed. Allowable
costs shall be paid in response to the distribution schedule and draw voucher (Exhibit B-2)
submitted not less frequently than quarterly. A final voucher must be received within 30 days of
the termination date of this Agreement and clearly marked with the words "Final Draw."
The use of subgrant funds is restricted solely to the purpose of the subgrant and should be so
designated on subgrantee accounting and financial records. Under no circumstances may grant
funds be expended, borrowed (inter -fund), pledged or transferred for reasons unassociated with
the stated purpose of this subgrant. For purposes of controlling and reporting on the receipt and
disbursement of subgrant funds, subgrantee accounting records should be structured so that such
transactions are easily and readily identifiable.

ARTICLE 6. PRIOR APPROVAL REQUIREMENTS
All requests for budget revisions requiring the Endowment's approval will be initiated by Brian
Donoghue and routed through Dr. Fuja to Notre Dame Research Administration, Cortney Swift,
Grants Program Manager.
ARTICLE 7. AUDIT OF RECORDS
Subgrantee agrees to provide Notre Dame with information as requested to meet the University
of Notre Dame's monitoring requirements. Each parties' records pertaining to this subgrant will
be open to Notre Dame and Endowment Staff as needed. Site visits by Notre Dame and the
Endowment staff may occur for review and documentation of project activities. No audits or
professional evaluations of the funds forwarded from Notre Dame may be initiated without
advance written approval by Notre Dame Research Administration (NDRA) and Research &
Sponsored Programs Accounting (RSPA). Subgrantee will provide access to financial records in
support of these -activities as_the_project begins -and for the duration -of-the _project. All records,
including financial records, supporting documents such as bills, invoices, cancelled check,
receipts, etc., and statistical records are to be retained for a minimum of three years after date of
final payment. However, if any litigation, claim or audit is started before the expiration of the
three-year period, then the records will be retained until all litigation, claim, or audit finding
involving the records is resolved and final action taken. Subgrantor, the Endowment, or any of
their duty authorized agents shall have full access to and the right to examine any of said records.
ARTICLE 8. REPORTS
Subgrantee will provide programmatic reports to Notre Dame describing achievement of
anticipated outputs and according to the schedule in Exhibit D.
ARTICLE 9. ASSURANCES
Subgrantees agree to exercise their best efforts to insure that all assurances required by the
Endowment are satisfied. Such assurances required of the subgrantees shall include but are not
limited to:
Debarment/Suspension
Subgrantee certifies by execution of this Agreement that they are not suspended, debarred or
ineligible from entering into contracts with any Department or other Agency of the Federal
Government of the United Sates or the Canadian government, or in receipt of a notice of
proposed debarment or suspension. Subgrantee shall provide immediate notice to Notre Dame in
the event of being suspended, debarred or declared ineligible by the Department or other Federal
Agency of the United States government, or upon receipt of a notice of proposed debarment or
suspension, either prior to or after execution of this agreement.
Federal Debt Delinquency
Subgrantees certify by execution of the Agreement that they are not delinquent on any United
States Government debt.
ARTICLE 10. MODIFICATION OF SUBGRANT
This subgrant may be amended or modified any time as mutually agreed upon in writing or as
required by the Endowment.
ARTICLE 11. PUBLICITY AND PUBLICATIONS
Prior to public dissemination, a standard description of the project shall be prepared by the
Subgrantee, submitted for approval by Notre Dame's public relations staff, and subsequently
adapted for use in all descriptions of the work funded by this subgrant. All reports, other
publications and/or promotional materials relating to the work under the agreement shall: (a)
bear proper acknowledgment of the support provided by the Lilly Endowment and Notre Dame,
(b) be submitted to Dr. Fuja in the form of advance copies for review and comment at least thirty
(30) days prior to the publication or dissemination to ensure appropriate coordination of the
reporting.
ARTICLE 12. EQUIPMENT AND CAPITAL IMPROVEMENTS
Title to equipment, personal property and buildings purchased, built, fabricated or created
pursuant to this Agreement shall vest with the City of South Bend for use by the TRC.
ARTICLE 13. SUBGRANTS
Subgrantee agree that no second tier subgrant or agreement for this work shall be executed
without the prior written approval of Notre Dame.

ARTICLE 15. INDEPENDENT CONTRACTOR
The parties agree that subgrantee, as an independent contractor, retain the right to control and
direct the performance of all work under this Agreement and no provisions herein shall be
construed as making subgrantee the employees, agents, joint venture partners or other partners or
representatives of Notre Dame. Subgrantee shall not have the power to contract for or otherwise
bind Notre Dame, nor shall subgrantee represent to any third party that they have such power or
authority.
ARTICLE 16. REVERSION OF THE SUBGRANT
Any portion of the grant unexpended at the completion of the project or at the end of the period
shall be repaid to Notre Dame within 30 days unless Notre Dame, in consultation with the
Endowment and in writing, has agreed to another use of the unexpended funds or extended the
period.
ARTICLE 17. TERMINATION
Notre Dame through written notice may terminate this subcontract at least thirty days prior to
such termination date. Notice shall be delivered by registered mail with a return receipt
requested._ In such an event, the subgrantee_ shall_be _compensated -for work to the date of
termination and for any non -cancelable items.
ARTICLE 18. LIABILITY AND INDEMNIFICATION
Subgrantee will maintain personal and professional liability and automobile insurance coverage
sufficient for the purposes of this Agreement. In addition, Subgrantee agrees to assume the
liability for all losses, damages, expenses, demands and claims in connection with or arising
from any injury or damage to persons or property or both sustained or alleged to have been
sustained in connection with or as a result of Subgrantee's performance, nonperformance,
negligent acts or omissions (or those of its agents, servants or employees) including, losses,
expenses or damage sustained or incurred by Notre Dame, the Subgrantee or third parties. The
Subgrantee hereby agrees and undertakes to indemnify, defend, and hold harmless the University
of Notre Dame du Lac and its Board of Trustees, officers, employees and agents, individually
and collectively, from any and all such losses, expenses, damages, demands and claims, and shall
defend any suit, action or proceeding brought against them, or any of them, based upon any such
injury or damage (real or alleged) and shall pay all damages, claims, judgments or expenses
resulting therefrom. Notwithstanding the foregoing, the Subgrantee does not waive any
governmental immunity to which it may be entitled.
ARTICLE 19. LAW AND FORUM
This Agreement will be construed in accordance with the laws of the State of Indiana (USA).
Each of the undersigned parties hereby irrevocably consents to the jurisdiction of the Indiana
courts and any dispute arising out of or relating to this Agreement must be brought soley in the
courts located in St. Joseph County, Indiana (USA).
ARTICLE 20. CONFLICT OF INTEREST POLICY
In accepting this Subgrant the subgrantee certifies that they each have established an appropriate
written and enforced policy on conflict of interest. This policy must require, at a minimum, that
each key personnel assigned to this subgrant disclose to a responsible representative of the
institution all significant financial or other interests, which would reasonable appear to be
affected by the project.

Technology Resource Center Statement of Work
Request: $500K Capital Expenditures ($300K Direct Construction Costs, $200K Furnishings & Equipment)
Background: Located within South Bend's Ignition Park, the TRC represents an outpost of the LIFT
Network that is embedded in the community, serving as the hub for all LIFT related efforts directed by
the City of South Bend (CoSB). The location will link legacy residents in our community with the
incredible opportunities local industry will create through the generous contribution of the Lilly
Foundation. As the South Bend -Elkhart region's private sector transforms over the next five years, the
City of South Bend is committed to empowering our residents to find employment and fulfillment in that
future. CoSB's workforce development and training programs are being realigned around the priority
clusters identified by TEConomy report, and additional programs are being developed alongside industry
partners.
One of these programs will train residents in the skills necessary to compete for entry-level positions in
the IT and Data Analytics Sector. Data compiled for the region in 2017 showed over 700 unfilled
technology positions, with another 350 additional jobs expected by 2022. Area employers are already
struggling to hire enough people with an entry level background in programming or software
development. Meanwhile, the training to obtain these types of jobs is difficult for people to access
outside of a traditional university setting. To meet the regional needs regarding job growth, educational
advancement, and sustainable career opportunities for all residents, it is necessary for the regional
ecosystem to offer access to quality technology training outside of traditional college/university courses.
To this end; the City of South Bend and our partners are developing a bootcamp and applied learning
program for students without technology degrees to learn and complete quickly, affordably, close to
home, and with an in -person mentor and cohort.
Deliverables: CoSB key deliverables include the timely completion of the build -out and furnishing of the
TRC, ahead of LIFT programming to begin November 2019. Due to the close alignment of the CoSB's
bootcamp/apprenticeship program and the LIFT goals for IT & Data Analytics, the city will provide
regular reporting to the LIFT Executive Committee for performance updates to the Lilly Foundation. In
addition to our commitment to graduate 20 students within the term of the LIFT grant, the CoSB and
program partners anticipate serving the LIFT Network as a key educational resource and venue to
provide additional training opportunities in emerging fields of IT, data analytics, civic technology, and
security as needs and opportunities are identified throughout the LIFT Network.
As additional programs are developed at the TRC, LIFT goals for IT & Data Analytics will help to inform
TRC program development. TRC programming partners include range from local service providers
(South Bend Code School, RKT, enfocus) and national collaborators ( Microsoft, Google, ESRI, Comcast,
PCs for People). Training opportunities where substantial alignment exists between CoSB priorities and
LIFT priorities will be considered on a case -by -case basis for inclusion in CoSB's regular reporting to the
LIFT Executive Committee.

Work to be performed: The City of South Bend will build out the Tech Resource Center (TRC) in South
Bend's Ignition Park. The TRC will hold a Data Engineering Boot Camp and Analytics Apprenticeship
Program to equip and reskill regional employees for IT -related fields.
Deliverables: Buildout of the TRC with $500,000 from the LIFT Lilly grant and additional secured funds.
The TRC has a grant goal of 20 individuals trained in applied analytics apprenticeships over the 5-year
grant period with the annual TRC goals of individuals trained listed below:

INFORMATION FROM THE PROPOSAL FOR THE CITY'S RECORDS:

Capital funds of $500,000 are requested as a contribution toward buildout of the Tech Resource
Center (TRC) in South Bend's Ignition Park. (City of South Bend as the subgrantee.)
Located within South Bend's Ignition Park, the South Bend — Elkhart Technology Resource
Center (TRC) represents an outpost of the LIFT Network that is embedded in the community. It
boasts a strong partnership among academic institutions, industry, and civic organizations. The
five-year goal of the TRC is to equip and reskill the workforce for digital literacy and IT -related
roles by offering adult/continuing education courses.
The TRC is developing a Data Engineer Boot Camp and Analytics Apprenticeship Program,
anticipated to be offered in twelve -week cycles, which will involve employers sponsoring
project work for the training cohort that will be executed under the_ guid_a_nce and mentorship
of experts. The aspiration of this program is to provide the SBE Region with the type of
technology workforce that is currently only available in coastal population centers. The Region
is already home to innovative companies using advanced technologies and business processes,
and further investment in the ecosystem will continue to foster and attract talent to the area.
Funds are being requested to build out TRC's space to accommodate this programming.
