Details of the work statement are given in the attached Proposal (Appendix A), which by reference is made a
part of this Agreement. In case of any discrepancies between the Proposal, or an initiating Purchase Order and
this Agreement, the terms of this Agreement shall prevail.
In this proposal, City of South Bend; Department of Community Investment agrees to pay the cost not to exceed
$64,500.00 for the project described in Appendix A.

Purdue University (University) agrees to undertake the project on the terms and conditions herein provided.
City of South Bend; Department of Community Investment will be invoiced. Payment should be made
referencing the invoice number by either:
1) Check - Checks for payment should be made payable to Purdue University and sent to Purdue
University 24025 Network Place, Chicago, IL 60673-1240.
2) Credit Card - For credit card payments, please contact the University Receivables and Collections Office
at (765) 494-9459.
Payment is due within 30 days of the invoice date.
On any amounts owed under this agreement, Purdue University may assess a late payment fee which will be
assessed no earlier than 10 days after the due date OR charge interest at the rate of eight percent (8%) per annum
on any amounts not paid in full, which interest will continue to accrue until all unpaid amounts are paid in full.
In collection of any indebtedness owed Purdue University, the University shall be entitled to all additional fees
and costs referenced in Indiana Code § 21-14-2-11, as from time to time amended or re -codified. These fees may
include collection agency fees which may be assessed based on a percentage not to exceed thirty three and one
third percent (33.3%) for domestic collections or up to fifty percent (50%) of the balance in cases of litigation.
Court costs and attorney fees may also be assessed. Collection fees outside of the United States may range up to
54%. The fifteen percent (15%) charge under Indiana Code § 6-8.1-9.5-10 associated with collection of
indebtedness by means of the Indiana state tax set off program (which allows a state agency to apply for setoff
against a debtor's state tax refund) shall be included in the indebtedness. Any judgment entered shall be without
relief from valuation and appraisement laws. The parties agree that the exclusive jurisdiction and venue for any
dispute resolution brought under this agreement shall be the courts of Tippecanoe County, Indiana, except as pre-
empted by or prohibited by 15 USC § 1692i, as hereinafter amended from time to time, other federal statutes, or
state laws and regulations, including consumer protection laws but excluding general preferred venue laws. All
returned checks, drafts or orders are subject to a service charge not exceeding the maximum allowed by Indiana
law. Finally, you understand that your delinquent account may be reported to one or more of the national credit

reporting agencies. You authorize the University and its employees, agents, representatives, attorneys, vendors
and contractors (including collection agencies) to contact you on a current or future land line telephone and/or
cellular telephone number(s), and via e-mail; and to use automated telephone dialing equipment, artificial or pre-
recorded voice or text messages, for the purpose of collection of your financial obligations or to receive general
information from the University. You agree to keep the University informed and updated in the event of a change
in your cellular telephone number, home or business telephone number, mailing address or email address.
1. Project Personnel and Facilities: The University has made available personnel and facilities required for
the project. The project will be under the direction of the Purdue personnel listed in Appendix A.
2. Reports and Deliverables: During the term of this Agreement, the University agrees to furnish the
Company the Technical Assistance Services described in Appendix A. At the end of the project period, the
Purdue MEP Center will deliver to the Company the Deliverables as defined in Appendix A. The Company and
the University understand the training materials provided are owned and copyrighted by the University. Nothing
in the agreement grants or implies transfer of ownership of the copyrighted training materials provided. Any
other use of the training materials by the Company other than that which is specified under this agreement must
be approved by the University.
3. Supplemental Third -Party Service: If the University determines that a Deliverable or component of a
Deliverable is more appropriately supplied by a third -party consultant, the third -party consultant must contract
directly with the Company for that purpose. The University will facilitate that step as required. The University
will integrate its own performance with the third-party's contribution. The Company agrees to look solely and
directly to the third -party consultant for performance of that consultant's contract with the Company.
4. Confidential Information: Should it be necessary for University personnel to receive confidential
information in order to perform the technical assistance, the University, and its staff, agree to use their best
efforts to prevent the disclosure of any such information furnished by the Company and stated in writing to be
confidential to the Company's business.
Company agrees that it will not, under any circumstances, advertise or otherwise state or otherwise imply that
the University has tested or approved any product or process or procedure used at or in Company's business.
5. Indemnity: Since Purdue University has no control over how Company will use Deliverables, Company
shall indemnify and hold harmless Purdue University, its Trustees, officers, employees and agents for any loss,
claim, lawsuit or other causes of action that may be the result of Company's use of any or all of the
Deliverables.
Company represents that Purdue University is an authorized recipient for any information and material which
Company may provide in the course of the project. Company shall defend and indemnify Purdue University
against any claim or allegation that Purdue University is liable for its possession and use of that information and
material for the purpose of performing the project.
6. Completion: It is understood that the University will use its best efforts to complete the program within
the project period and within the financial support hereby furnished, but does not guarantee completion due to
factors beyond its control.
The University shall not be obliged to spend any funds on this assistance program other than those provided
under this Agreement.
7. Disclaimer of Warranty: The project results, reports, data, and Deliverables are provided to the
Company "as is" without warranty of any kind, either express or implied, including without limitation the
Purdue MEP Center mep.purdue.edu 800-877-5182 Project #22376 Page 2
implied warranties of merchantability and fitness for a particular purpose. University shall not be liable
for any direct, indirect, consequential, special or other damages suffered by Company as a result of
Company's use of project results, reports, data, or Deliverables.
8. Termination: The University or Company may terminate this Agreement with or without cause at any
time by giving thirty (30) days' written notice when it is determined that termination is in either party's best
interest. Upon termination of this Agreement, University agrees to refrain from incurring any further costs
under this Agreement and will use its best efforts to cancel any commitments made by it prior to termination
notice. The Company agrees to pay the University for any services rendered and for any obligated expenses
that are not cancellable by the University.
9. General: This instrument contains the entire agreement between the parties with respect to the subject
matter hereof, and any representation, promise or condition in connection therewith not incorporated herein
shall not be binding on either party. If any term of this Agreement is held invalid or unenforceable, such term
shall be considered omitted from this Agreement and shall not affect the validity or enforceability of the rest of
this Agreement. No modification to the terms of this Agreement shall be valid unless made in writing and
signed by authorized representatives of the parties. If work is initiated by a Purchase Order, terms of this
Agreement supersede terms of Purchase Order.

Background
The Purdue University Manufacturing Extension Partnership (MEP Center) is the National Institute of Standards
and Technology's (NIST) Hollings Manufacturing Extension Partnership (MEP) Center for the State of Indiana.
This is a national system of centers located in all 50 states and Puerto Rico with over 1,200 consultants serving
as trusted business advisors and technical experts ready and able to assist small and mid -sized manufacturing
companies. Purdue MEP deploys technical experts, who work closely with Indiana manufacturers and companies
to improve their efficiency, management systems, profitability, and growth through various engagement

Skills for Success
An ideal employee is one who is reliable, professional, and eager to learn. In addition, organizations in today's
workplace expect employees to work smarter and contribute to the company's success. To do this, employees
must be able to do the following effectively: communicate, work in teams, deal with and resolve conflict, take
initiative, solve problems, and work safely. in this course, you will learn methods, techniques, and tools that
can help you become a highly valued member of an organization. You will also assess your own workplace
skills and identify areas in which you can improve.
Objectives:
- Identify attitudes, characteristics, and skills employers want employees to have.
- Assess your own attitudes, characteristics, and behaviors; identify strengths and weaknesses.
- Explain best practices for working with others.
- Identify the types of diversity commonly encountered in the workplace and describe techniques for dealing
with diverse people.
- Describe techniques for dealing with conflict in the workplace.
- List general safety rules for the workplace.
- Implement a problem solving process to solve a given problem.

5-S The Visual Workplace
This program offers you an opportunity to experience first-hand how the 5S System reduces waste in the
mounting plate assembly area of a simulated production facility. Participants learn the concepts of the 5S
System and then apply them to transform a cluttered, disorganized production area into a clean and orderly
workplace.
Objectives:
- Describe differences in workplace appearance and functionality before and after the 5S process has been
applied.
- Perform an in-depth audit of workplace organization and standardization through use of a Workplace Scan.
- Organize a workplace by applying the concepts of Sort, Set in Order, and Shine.
- Standardize procedures to maintain and control an organized workplace using visual controls.
- Explain methods to apply the fifth concept, Sustain.
- Describe how 5S can help to improve workplace environmental health and safety.
Intended audience: Manufacturing personnel, including technicians, engineers, and managers.

Math for Manufacturing
This course provides instruction and review of basic mathematics typically used in the manufacturing and
shop workplace, including performing calculations with whole numbers, fractions, decimals, and percentages.
It also covers English and metric measurements and converting measurements from one system to another.
Participant will review and practice math skills using hands-on activities and examples from the manufacturing
workplace.
Objectives:
- Add, subtract, multiply, and divide whole numbers.
- Interpret and perform calculations with exponents, fractions, decimals, and percentages.
- Apply the correct order of operations for calculations including a combination of operations.
- Calculate basic statistics from a set of data.
- Calculate perimeter, area, and volume of several geometric shapes.
- Recognize English and metric measurements and convert measurements from one system to another,
- Apply these skills appropriately to work related tasks.
Intended audience: Manufacturing and shop personnel whose jobs require them to perform mathematical
calculations; personnel desiring a refresher in basic math.
Lean Airplane - Lego
In this half -day workshop, you'll learn the basic principles of lean manufacturing and how to apply them
through an activity that involves a fast -paced simulated production line. You'll also learn about the eight
wastes and lean techniques including 5S, standardized work, batch -size reduction, and visual signals. By the
end of this day, the benefits of lean will be clearly apparent!
Objectives:
- Define "lean" as it relates to manufacturing-
- List and describe the eight wastes.
- Describe standardized work, 5S, visual controls, plant layout, quick changeover, batch reduction, point of
use storage, pull/Kanban, cellular flow, and total productive maintenance and how they fit into lean
manufacturing.
- Describe the benefits of lean manufacturing.
Intended audience: Manufacturing personnel, including technicians, engineers, and managers.

OSHA 10-Hour General Industry (10 hours of instruction)
This 10-hour workshop, known as "OSHA 10" provides employees with awareness of common job -related
safety and health hazards and instructs them on how to stay safe on the job through hazard identification,
avoidance, control, and prevention. Upon completion of all 10 hours of this workshop, participants will receive
their OSHA 10 Card.
Topics covered:
- Introduction to OSHA, including worker's rights and employer responsibilities.
- Walking and working surfaces and fall protection.
- Fire prevention and emergency response.
- Electrical safety.
- Personal protective equipment.
- Hazard communication.
- Fall protection.
- Machine guarding.
- Safety and health programs, including how to prevent workplace hazards.
Intended audience: Manufacturing personnel at all levels.
Communication Skills for Workforce Success
Organizations today want employees with effective communication skills, or the ability to clearly send and
receive messages to and from others. in this workshop, you'll learn how to effectively communicate verbally
and nonverbally as well as how to listen for maximum understanding. We'll also explore generational, cultural,
and style differences as they relate to communication. You can expect to leave this workshop with a better
understanding of your own communication strengths and opportunities and well as practical ideas for
improving your own communication.
Objectives:
- Explain why effective communication is important in the workplace.
- List the ways we communicate.
- Describe how to effectively communicate verbally.
- Explain what nonverbal communication is and how it affects overall communication.
- Explain how to listen actively.
- Explain how generation, culture, and style affects communication.
Intended audience:
- Individuals new to manufacturing or the workforce.
- Individuals seeking work.

Critical Thinking
Employers identify critical thinking as one of the most desirable skills for employees; gone are the days of
employees "checking their brains" at the door each day. In addition, today's employers expect employees to
take on more responsibility and use a broader set of skills than in the past. In this workshop, participants will
learn what critical thinking is and how it can benefit both individuals and organizations. Participants will learn
a simple process for critical thinking and have opportunities to reflect on and practice critical thinking in
situations related to the workplace.
Objectives:
- Explain what it means to think critically.
- Describe a process for critical thinking.
- Explain how critical thinking relates to continuous improvement and structured problem solving.
- Given a workplace situation, explain how to apply critical thinking.

Print Reading for Manufacturing
This workshop provides an introduction to reading and interpreting engineering prints and technical drawings
used for manufacturing. You will practice what you have learned through multiple realistic hands-on activities.
Objectives:
- Describe the basic structure and elements of a manufacturing print.
- Describe and identify the types of lines used on prints and the purpose of each.
- Describe and recognize the views typically included on prints.
- Explain how dimensions are indicated on prints.
- Explain the purpose and contents of assembly drawings.
- Recognize and identify symbols included on drawings, including screw threads, holes, and surface finishes..
Topics covered:
- Why we communicate with drawings in manufacturing.
- Lines used on prints.
- Print sizes.
- Title block, including scale, tolerances, and revisions.
- Views and visualization.
- Section views and their types.
- Dimensioning, including placement, angular and circular, and dual dimensioning„
- Assembly drawings, including application blocks.
- Screw thread representations, including form and class.
- Machining specifications, including holes, edges, necks, and undercuts.
- Surface texture symbols and specifications.
Intended audience: All manufacturing personnel, including operators, technicians, and supervisors.

Measurement for Manufacturing
Taking measurements is a key task for many operators and technicians in manufacturing. In this workshop,
you'll learn why measurements are important in manufacturing and how to properly use rulers, calipers,
micrometers, gauge blocks, and other measurement instruments to take linear and angular measurements.
Objectives:
- Explain why measurements are performed in manufacturing.
- Describe the two measurement systems in use today.
- Explain the difference between a dimension and a tolerance.
- Demonstrate how to use a ruler, protractor, calipers, and micrometer to measure.
- Explain the purpose of gauge blocks.
- Explain the purpose and types of go/no-go gauges.
- Explain the purpose of a gauge R&R study.
- Explain the purpose and functionality of other common measurement tools used in manufacturing, including
dial indicators, height gauges, scales, and coordinate measurement machines.
- Explain the purpose of validation and calibration of measurement tools.
Intended audience: Quality control/assurance technicians and inspectors; other manufacturing personnel
whose jobs require use of measurement tools and are new to manufacturing.
Quality Tools and Techniques
Quality is a significant concern of all companies and organizations; to stay in business, companies must offer
a quality product or service that meets or exceeds the needs of the customer. All employees, including line
workers, technicians, and office workers, affect quality. In this workshop, you'll learn more about what quality
is and why it is important. You'll also learn some key quality terms and learn to create and use tools
organizations commonly use to monitor and improve quality.
Objectives:
- Define "quality."
- Explain how employees affect quality.
- Define key quality terms, including specification, defect, and variation.
- Describe the following quality tools and their purposes: process map, run chart, control chart, histogram,
check sheet, Pareto chart, fishbone diagram, and scatter diagram.
- Describe the purpose of quality audits and explain in general terms the audit process.
- List common problem -solving methods.
Intended audience:
- Individuals new to manufacturing or the workforce.
- Individuals seeking work.
- Individuals desiring to upgrade their workplace skills.

Problem Solving Using PDCA, A3, and Root Cause Analysis
In this course, participants will learn about the Plan, Do, Check, Act (PDCA) problem solving method. In
addition, participants will learn about problem solving tools and activities, including A3, root cause analysis,
process mapping, cause and effect diagrams, error proofing, and others. Using a variety of real -world scenarios
and hands-on activities, participants will practice implementing problem -solving methods and tools.
Objectives:
- Define "problem" and identify problem -solving skills.
- Identify barriers to problem solving.
- List the benefits of using a structured problem solving method.
- Describe the goals of each Plan -Do -Check -Act (PDCA) step and activities that take place during each step.
- Define "root cause" and distinguish between root causes and symptoms.
- Document PDCA activities on an A3 template.
Intended audience: Manufacturing personnel at all levels who want to learn a methodical approach for problem
solving or personnel who want to improve their existing problem -solving skills.
