Dear Linda and Members of the Board,
On August 27th, 2019 the Board approved an agreement with the Women's
Entrepreneurship Initiative (WEI) supporting aspiring or early -stage female
entrepreneurs in launching and/or growing their businesses. The agreement
introduced a pilot expansion of WEI's SPARK women's business accelerator program
beyond the Saint Mary's campus to a place -based model for women living in divested
neighborhoods.
We request the Board's review and approval of an amendment to our previous
agreement with St. Mary's College- Women's Entrepreneurship Initiative (WEI) to
clarify the WEI's connection with St. Mary's College. The amendment also increases
the agreement amount to $50,000 to reflect an extension of the original scope and term
of work through December 2020.
FIRST AMENDMENT TO AGRE EMENT FOR PROGRAMS SAND SERVICES
This First Amendment to Agreement for Programs and Services (this "First Amendment")
is dated October 22, 2019 (the "Effective Date"), by and between the City of South Bend, Indiana,
an Indiana municipal corporation, acting by and through its Board of Public Works (the "City"),
and Women's Entrepreneurship Initiative (the "Organization") (each a "Party" and collectively the
"Parties").
RECITALS
A. The City and the Organization entered into an Agreement for Programs and
Services dated August 27, 2019 (the "Agreement"), and the Parties wish to amend the name of the
Organization in order to clarify its connection with Saint Mary's College.
B. The Parties also wish to amend the Agreement to expand the scope of work, modify
the Contract Amount, and extend the term.
NOW, THEREFORE, in consideration of the mutual promises and obligations in this First
Amendment and the Agreement, the adequacy of which consideration is hereby acknowledged,
the Parties agree as follows:
1. The name of the Organization set forth in the title, preamble, and signature page to
Agreement shall be amended to read: SAINT MARY'S COLLEGE WOMEN'S
ENTREPRENEURSHIP INITIATIVE.
2. The meaning of the term "Contract Amount" as reflected in the Recitals and paragraph 3
of the Agreement shall be modified from "Thirty Thousand Dollars ($30,000.00)" to "an
amount not to exceed Fifty Thousand Dollars ($50,000.00)."
3. In paragraph 1 of the Agreement, the term "July 1, 2020" shall be deleted in its entirety and
replaced with "December 31, 2020."
4. Exhibit A to the Agreement shall be deleted in its entirety and replaced with the Exhibit A
attached hereto.
Unless expressly modified by this First Amendment, the terms and provisions of the
Agreement remain in full force and effect.
6. Capitalized terms used in this First Amendment will have the meanings set forth in the
Agreement unless otherwise stated herein.

EXHIBIT A
The Program
WEI seeks to support neighborhood redevelopment in divested neighborhoods and those
most affected by blight reduction efforts lead by Mayor Pete Buttigieg's "1,000 Homes in 1,000
Days" campaign. Neighborhood planning sessions are generating inspired visions for in -fill of
vacant lots and restoration of small commercial nodes. The city's partnership with Opticos
Design and the Incremental Development Alliance has produced new toolkits to facilitate small-
scale neighborhood development. However, the most active participants in these training
sessions have been well-resourced (educated with access to capital) white males. Legacy
residents, especially female -headed households, have yet to fully embrace the opportunities for
wealth -creation through small-scale development.
Incremental development intersects with entrepreneurship in several important ways. 1)
Owning income -producing property can increase resilience, financial self-sufficiency, and
generational wealth for low to moderate -income families. 2) Small business incubators and
accelerators embedded in neighborhoods can help home -based and neighborhood businesses
grow through increased visibility, technical support, business mentorship and access to social
and financial capital. 3) Incubators and accelerators create a pipeline for small business
expansion into owner -occupied commercial or mixed -use properties as neighborhood
commercial nodes are restored or expanded. 4) Small neighborhood development projects
provide opportunities for unskilled labor (or those with barriers to employment) to skill -up and
eventually spin off into their own construction -related business.
Our vision for the SPARK pilot in the Near Northwest Neighborhood is to accelerate a
flywheel of small-scale development and small business growth by women, minority, and low to
moderate -income entrepreneurs. After running three consecutive cohorts we anticipate the
creation of a low -barrier business incubator in or near the former Ward Baking Company
Building on Portage Ave. Small-business owners will be able to grow incrementally (or fail
safely) in the incubator and over 3-5 years establish a pathway from the incubator into owner -
occupied commercial or mixed -use space. Our efforts will dramatically amplify city efforts to
promote and facilitate economic inclusion so that more South Bend residents can benefit from
city revitalization.
WEI's SPARK Woen's Business Accelerator Pilot
WEI is uniquely positioned to amplify neighborhood revitalization efforts by piloting a
SPARK -inspired program embedded in the Near Northwest Neighborhood WEI will offer its
traditional SPARK program with some new enhancements specifically designed to support
neighborhood revitalization.

Because of the SPARK Women's Business Accelerator's commitment to serving under-
resourced women, a significant number of our African -American graduates live in divested
neighborhoods and can be engaged specifically to utilize their business acumen for targeted
neighborhood revitalization.
The 2019 pilot activity would include:
1) Surveying targeted areas in the Near Northwest Neighborhood to identify current and
aspiring business owners who would benefit from technical assistance and mentorship.
2) Research and Development in preparation for the 11-week accelerator in the Near
Northwest Neighborhood.
3) Study of best practices on neighborhood -based women's entrepreneurship
development applicable to small cities in the Midwest.
4) Establishment of an off -campus community presence at a site in the NNN, including
the engagement of Entrepreneurs -in -Residence.
Key activities be ping n n in 2020 include:
1. Providing an appropriate version of the SPARK program in the NNN, based on identified
best practices, and our learnings about local needs.
2. Hosting "office hours" to assist local entrepreneurs, in partnership with the Entrepreneurs
in Residence and other ecosystem partners detailed above.
The steady success of WEI programming over the last nine years has brought increased
community and corporate partnerships. These partner organizations provide referrals, shared
outreach, complimentary community development programs, specialized training and shared
content, business mentorship, access to capital, and more. Key partners include:
• Graduates of the SPARK women's business accelerator living in or near the NNN
• City of South Bend Mayor's Office and Department of Community Investment
• Thrive Michiana, a small-scale, sustainable development company working in the
NNN
• Near Northwest Neighborhood, Inc.
• Kingdom Life Cathedral, a neighborhood church developing 16 vacant lots in the NNN
• Incremental Development Alliance
• Inspectus, a startup that helps small businesses in the food industry to remain compliant
with relevant codes.
• Kokoro, a startup that supports the wellbeing of small business owners
• FoundRE Inc., a startup that makes it easy for small businesses to find and rent
industrial space.
• INVANTI, a startup generator
• Indiana Small Business Development Corporation
• SCORE Michiana Chapter

• South Bend Elkhart Regional Partnership
• Financial institutions including CDFIs and local banks.
In addition, over 60 community business leaders, including CPAs, bankers, CDFI program
officers, experienced small business owners, financial advisors, insurance agents, and attorneys,
are involved in WEI's flagship SPARK program. These individuals act as subject
area experts for the SPARK sessions mentors who offer guidance to participants on their
individual challenges and advocates who open doors and increase participants' social capital.
Specific to the neighborhood pilot program, Thrive Michiana has offered residential and office
space to SPARK Entrepreneurs -in -Residence at a substantially reduced rate to establish their
presence in the neighborhood. The Near Northwest Neighborhood Corporation has also offered
one of their meeting rooms for class use twice weekly for a nominal fee. WEI also refers SPARK
graduates to a neighborhood development project lead by Kingdom Life Cathedral (Apostles
Mike and Tina Patton) and will continue to strengthen that relationship.
WEI's SPARK Women's Business Accelerator Neighborhood Pilot Outcomes
We expect approximately 45 women to enroll in SPARK in Spring 2020 (two cohorts of 15
participants on the campus of Saint Mary's College, plus one cohort of 15 participants in the
NNN.) We expect 90% will complete the program and 75% will launch or grow a business. We
will achieve these results by helping SPARK participants develop a sound, detailed business
plan, in consultation with program staff and mentors; offer graduates a support network in the
form of ongoing mentoring by successful professionals and business owners; and, if needed, help
graduates secure a small business loan from a local bank that will allow them to launch their
business.
WEI will track the number of women who graduate from the program; the number who develop
a business plan or Business Model Canvas in conjunction with a mentor (a copy of all participant
business plans will be kept on file); and the number of new businesses launched by the three
cohorts before December 31, 2020 (through the Indiana Secretary of State's Business Services
Division's online database). Existing business growth will be tracked by new contracts, new
hires, and increased revenue evidenced by surveys.
WEI will also track the number of small -development related projects/businesses through post -
graduation surveys. All participants will be surveyed to measure business skills gained or
improved, new business connections made, and increased confidence as a businesswoman.
