The undersigned Contractor, being duly sworn upon his/her/its oath, affirms under the penalties of perjury that:
1. Contractor has not, nor has any other member, representative, or agent of the firm,
company, corporation or partnership represented by him, entered into any combination, collusion
or agreement with any person relative to the price to be bid by anyone at such letting nor to prevent
any person from bidding nor to induce anyone to refrain from bidding, and that this bid is made
without reference to any other bid and without any agreement, understanding or combination with
any other person in reference to such bidding. Contractor further says that no person or persons,
firms, or corporation has, have or will receive directly or indirectly, any rebate, fee, gift,
commission or thing of value on account of such sale; and
2. Contractor certifies by submission of this proposal that neither contractor nor any of its
principals are presently debarred, suspended, proposed for debarment, declared ineligible, or
voluntarily excluded from participation in this transaction by any Federal department or agency;
and
3. Contractor has not, nor has any successor to, nor an affiliate of, Contractor, engaged in investment
activities in Iran.
a. For purposes of this Certification, "Iran" means the government of Iran and any agency or
instrumentality of Iran, or as otherwise defined at Ind. Code § 5-22-16.5-5, as amended from
time -to -time.
b. As provided by Ind. Code § 5-22-16.5-8, as amended from time -to -time, a Contractor is
engaged in investment activities in Iran if either:
i. Contractor, its successor or its affiliate, provides goods or services of twenty million
dollars ($20,000,000) or more in value in the energy sector of Iran; or
ii. Contractor, its successor or its affiliate, is a financial institution that extends twenty
million dollars ($20,000,000) or more in credit to another person for forty-five (45)
days or more, if that person will (i) use the credit to provides goods and services in
the energy sector in Iran; and (ii) at the time the financial institution extends credit, is
a person identified on list published by the Indiana Department of Administration.
4. Contractor does not knowingly employ or contract with an unauthorized alien, nor retain
any employee or contract with a person that the Contractor subsequently learns is an unauthorized
alien. Contractor agrees that he/she/it shall enroll in and verify the work eligibility status of all of

Contractor's newly hired employees through the E-Verify Program as defined by I.C. 22-5-1.7-3.
Contractor's documentation of enrollment and participation in the E-Verify Program is included
and attached as part of this bid/quote; and
5. Contractor shall require his/her/its subcontractors performing work under this public
contract to certify that the subcontractors do not knowingly employ or contract with an
unauthorized alien, nor retain any employee or contract with a person that the subcontractor
subsequently learns is an unauthorized alien, and that the subcontractor has enrolled in and is
participating in the E-Verify Program. The Contractor agrees to maintain this certification
throughout the term of the contract with the City of South Bend, and understands that the City
may terminate the contract for default if the Contractor fails to cure a breach of this provision no
later than thirty (30) days after being notified by the City.
6. Persons, partnerships, corporations, associations, or joint venturers awarded a contract by
the City of South Bend through its agencies, boards, or commissions shall not discriminate against
any employee or applicant for employment in the performance of a City contract with respect to
hire, tenure, terms, conditions, or privileges of employment, or any matter directly or indirectly
related to employment because of race, sex, religion, color, national origin, ancestry, age, gender
expression, gender identity, sexual orientation or disability that does not affect that person's ability
to perform the work.
In awarding contracts for the purchase of work, labor, services, supplies, equipment, materials, or
any combination of the foregoing including, but not limited to, public works contracts awarded
under public bidding laws or other contracts in which public bids are not required by law, the City,
its agencies, boards, or commissions may consider the Contractor's good faith efforts to obtain
participation by those Contractors certified by the State of Indiana as a Minority Business
("MBE") or as a Women's Business Enterprise ("WBE") as a factor in determining the lowest,
responsible, responsive bidder.
In no event shall persons or entities seeking the award of a City contract be required to award a
subcontract to an MBE/WBE; however, it may not unlawfully discriminate against said
WBE/MBE. A finding of a discriminatory practice by the City's MBE/WBE Utilization Board
shall prohibit that person or entity from being awarded a City contract for a period of one (1) year
from the date of such determination, and such determination may also be grounds for terminating
the contact for which the discriminatory practice or noncompliance pertains.
7. The undersigned contractor agrees that the following nondiscrimination commitment shall
be made a part of any contract which it may henceforth enter into with the City of South Bend,
Indiana or any of its agencies, boards or commissions.
Contractor agrees not to discriminate against or intimidate any employee or applicant for
employment in the performance of this contract with privileges of employment, or any matter
directly or indirectly related to employment, because of race, religion, color, sex, gender
expression, gender identity, sexual orientation, handicap, national origin or ancestry. Breach of
this provision may be regarded as material breach of contract.
I, the undersigned bidder or agent as contractor on a public works project, understand my statutory
obligations to the use of steel products or foundry products made in the United States (I.C. 5-16-
8-1). 1 hereby certify that I and all subcontractors employed by me for this project will use steel
products or foundry products made in the United States on this project if awarded. I understand I

have an affirmative duty to notify the City in my bid that my proposal does not include the use of
steel products or foundry products made in the United States. I understand it is my sole obligation
and responsibility to provide a justification to the City, subject to review and approval, why the
cost of United States made steel or foundry products is unreasonable. Prior to award and upon
submission of bid which does not use steel products or foundry products made in the United States,
the City, through its director of public works, shall make a determination if the price of United
States made steel or foundry is unreasonable. I understand that violations hereunder may result in
forfeiture of contractual payments.

Assembly:
The assembly of Solar Shade USA structures is an easy to accomplish task.
• Cantilever models can be completely assembled with hand tools and ladders.
• After the footings are installed and cured:
• Layout an anchor bolt template on each footing, taking care to orient the column base plate
hole as follows. Make a simple template of cardboard or plywood to the dimensions on the
base plate of the structure you purchased.
• The 'X' & "Y" axis center lines of the base plate should be exactly the same distance apart
as shown on the dimensional setout General Arrangement drawing near the back of this
instruction packet.
• Be sure to confirm all dimensions.
• Anchor bolts can be cast in place or the footings can be drilled and the anchor bolts secured with a
2-part chemical adhesive. We recommend Ska AnchorFix-2 when using chemical set anchor bolts.
This product is available at Home Depot Stores.
• Place a nut & washed on each anchor bolt, leaving the nut about 1" above the footing — these
"leveling nuts" are used to plumb the columns
• Set the columns on the anchor bolt and be certain the assembly hole near the top of the column is
aligned with the length of the structure.
• Place another washer and nut on each anchor bolt, plumb the columns using the lower nuts and
tighten the upper nuts.

Columns & Rafters
There are end columns and center columns. The center column is 1 ft. taller than the end columns to aid in
tensioning the fabric. The columns must be set with the hole near the top aligned with the length of the
structure.
There is a left end rafter, a right end rafter and a center rafter. Each is unique. The end rafters have 2 fabric
attachment tensioners; one at each end. The center rafter has cleats on each end.

Hardware:
Each structure has a Hardware Kit. This kit contains all required hardware to complete the installation. The
hardware for assembly, tensioning and fabric installation is clearly marked.
The 5/8" x 6" galvanized bolts secure the end rafters to the column.
The 5/8" x 5" galvanized bolts secure the center rafter to the column..
Each end rafter requires 2 stainless steel tension rods, each with cup & rotor bushing, a stainless washer
and 2 galvanized nuts. Galvanized nuts are used on the stainless rod to prevent seizing that occurs when
stainless nuts are used on stainless rods. The eye nut should face towards the center and be extended
towards center.

edge pocket. (save the bag)
Attach first corner (Fabric seam down):
• Stainless steel shackle fastens the 2 gray catinary braid to the eye nut. If there is a safety
braid it also attached to the shackle. Some models do not have a safety braid.
• Repeat at other end of rafter

Pull the fabric over the center rafter and attach fabric to the other end rafter in the same manner.
Use twisted shackles to attach the catinary to the cleats at each of the middle rafter..
Be certain foundation anchor bolts nuts are tight.
• Be certain rafter to column bolts/nuts are tight.
• Tighten the tensioner nuts on each corner uniformly until the fabric is taught.
Tighten another inch.
Do not over tighten.
Secure tensioning nut tightly with lock nut on each end arm tensioning rod.
Be certain all shackle pins are tight.
You are done....... repeat for each dugout/bleacher shade
The fabric can be easily removed in winter and stored in the bag supplied with the structure.

Warranty
Solar Shade USA, LLC provides a limited warranty on all the products it supplies. This warranty is the buyer's warranty and no other
warranty is implied. This warranty is in effect from the date of payment in full and is void if the structure is not assembled and installed
and maintained in accordance with Solar Shade USA installation and warranty instructions,
• The purchaser must notify Solar Shade USA in writing of any warranty claim.
• Solar Shade USA may repair or replace any item covered by this warranty, at the sole discretion of Solar Shade USA.
• This warranty is void if any modification is made to the steel structure components or fabric without written authorization from
Solar Shade USA.. Unauthorized modification may result in structural steel or fabric damage.
• This warranty is void if damage to the steel components or fabric is the result of vandalism, misuse, acts of God, including but
not limited to snow, ice or wind in excess of the applicable building code or the result of the owner's failure to perform regular
maintenance.
• Solar Shade USA denies any implied warranties of fitness for a particular purpose and Solar Shade USA will not in any event
be liable for indirect, consequential or liquidated damages
Steel Fabrication
All upright steel components fabricated by Solar Shade are warranted to perform structurally for a period of 10 years. Painted surfaces
are warranted for 1 year. If you accidentally damage the paint finish, please contact us for touch up paint..
Solar Shade USA Knitted Fabric
Solar Shade fabrics carry a limited 10-year performance warranty, effective from the date of payment in full,
• The fabric is warranted against structural UV degradation, significant color fading (except red & yellow), deterioration from
normal outdoor heat or cold.
• This warranty is void if fabric is exposed to chemicals or vandalism, misuse, acts of God, including but not limited to snow, ice
or wind in excess of the applicable building code or the result of the owner's failure to perform regular inspections and
maintenance.
o The knitted shade fabric should be inspected at least a quarterly basis for tightness and to check for any signs of
wear or tear damage.
o If the shade fabric is exposed to severe wind, snow or ice loads there may be a need for the fabric to be re -tensioned
after the event ceases, so that the fabric maintains the required tension to perform as designed and avoid any
possibility of mechanical damage taking place as a result of excessive movement of loose fabric. Re -tensioning is
easily accomplished by using a socket wrench at the central hub, end of arm dynamic tensioner or by adjusting the
turnbuckle(s).
o If your shade fabric is damaged by any mechanical means, such as bird strike, wind blown debris, projectile impact
such as stones thrown from mowers, vandalism or chemical exposure, it should be repaired as soon as possible by
removing the fabric, ship to Solar Shade USA and we will repair and ship back.
• If the fabric we provide fails to perform under normal use that is within the intended design, Solar Shade USA will provide
repair or replace fabric as follows:
1 to 5 years after payment in full: Solar Shade USA will pay 100% of replacement fabric cost
6 to 10 years after payment in full: Solar Shade USA will pay 50% of replacement fabric cost
Solar Shade USA structures are designed and fabricated in accordance to applicable codes and standards. Wind loads are derived
using ASCE 7-10 with coefficients derived from testing the actual material. Steel is designed per current AISC specifications.
Our structures are appropriately engineered to carry all required loads and manufactured in accordance with accepted standards and
practice.
During a high wind occurrence, there are typically significant, extremely high wind bursts and wind-blown debris. It is not possible to
anticipate nor practical to design for these conditions.
We warrant that the design is in accordance with the applicable code and that we manufacture the structures in accordance with
accepted standards and practice. We are not able to guarantee that the structure will not be damaged during a high wind occurrence
and we strongly recommend that the simple fabric removal process be followed when high winds are anticipated.
This warranty goes into effect when we are paid in full AND when we receive photos of the competed installation, including photos of
each tensioning mechanism.
