regarding the striping of Jefferson Boulevard in the City of Mishawaka right-of-way as part
of 2019 Community Crossings Project.

AGREEMENT FOR lNS'l"ALLATION
OF TURN LANE STR.IPIN+ AT THE INrERSECTION OF JEFFERSON
BOULEVARD VARD AND 1. OGAN STREET
This Agreement is made and entered into this 81h day of October, 2019 ("Effective
Date"), by and between the City of South Bend, Indiana Department of Public Works, by and
through its Board of Public Works (hereinafter referred to as "South Bend"), and the City of
Mishawaka, Indiana Engineering Department, by and through its Board of Public Works and
Safety (hereinafter referred to as "Mishawaka"), (each a "Party" and collectively the "Parties").
RECITALS
WHEREAS, the west side of Jefferson Boulevard, as it intersects with Logan' Street, is
within the City of South Bend right-of-way and the east side of Jefferson Boulevard, as it
intersects with Logan Street, is within the City of Mishawaka right-of-way, and
WHEREAS, South Bend and Mishawaka mutually agree that the installation of turn lane
striping at the intersection of Jefferson Boulevard and Logan Street should accompany the newly
designated driving lanes, currently included under the City of South Bend's Community
Crossings Project (the "Project"), and
WHEREAS, South Bend and Mishawaka acknowledge that such an improvement is
mutually beneficial to each Parties' transportation needs and interests, and
WHEREAS, Mishawaka has agreed to allow South Bend to perform this work within
Mishawaka's public right-of-way at the intersection of Jefferson Boulevard and Logan Street,
and
NOW, THEREFORE, in consideration of the foregoing and of the promises and
commitments, herein contained, the parties hereby agree as follows:
Contrad, Adininistratio : South Bend shall administer the change order for this work
under the Project and shall coordinate as necessary with Mishawaka.
2 C,olastruction Costs: South Bend agrees to pay for this addition to the Project (See,
Attachment A). The additional items include the installation of lane designation
pavement markings, and additional signage as identified in Attachment A and
depicted in Attachment B.
3. l in n p,: This addition to the Project is funded under the Local Roads and Bridge
Grant.
4. Term: This Agreement begins on the Effective Date listed above and continues until
the work contemplated under this Agreement is completed.
5. Summary: South Bend agrees to pay for the unit items identified in Attachment A, in
an amount not to exceed nine hundred four dollars and zero cents ($904.00).
6. Su )lcmental DoCLIMeMs: South Bend and Mishawaka agree to execute any and all
supplementary documents and to take any and all supplementary steps as are
reasonable and appropriate to accomplish the purposes and provisions of this
Agreement.
7. Non -Discrimination: Pursuant to Indiana Code 22-9-1-10, neither party nor its
contractors or subcontractors shall discriminate against any employee or applicant for
employment, to be employed in the performance of any work under this Agreement
with respect to hire, tenure, terms or conditions or privileges of employment, or any
matter directly or indirectly related to employment because of race, color, religion,
sex, disability, national origin, or ancestry. Breach of this covenant may be regarded
as a material breach of this Agreement.
8. Miscellaneous:
a. Amendinent. This Agreement, and any exhibits attached hereto, may be
amended only by the mutual written consent of the parties.
'No Other Acre ci� git. Except as otherwise expressly provided herein, this
Agreement supersedes all prior agreement, negotiations, and discussions
relative to the subject matter hereof and is a full integration of the agreement
of the parties.
b. Severability. If any provision, covenant, agreement or portion of this
Agreement or its application to any person, entity or property is held invalid,
such - invalidity shall not affect the application or validity of any other
provisions, covenants, agreements, or portions of this Agreement, and to that
end, any provisions, covenants, agreements or portions of this Agreement are
declared to be severable.
1ndiaiia Law. This Agreement shall be governed by and construed in
accordance with the laws of the State of Indiana.
d. Notice. Any notices required or permitted under this Agreement shall be
given to the parties at their respective mailing addresses provided below by
deposit in the United States mail, certified mail, return receipt requested, with
proper postage affixed thereto, and which notices shall be effective three (3)
days after date of mailing:

The parties may change their respective mailing addresses by providing written notice of the new
address in accordance with the terms and provisions of this paragraph.
9. whITect: This Agreement shall be binding upon and shall inure to the benefit
of the parties hereto and their respective successors and assigns.
10. (,migter arts: This Agreement may be executed in several counterparts, each of
which shall be an original and all of which shall constitute by one and the same
agreement.
