Thank you for allowing Johnson Mel loh Solutions (JMS) to eva I uate your Centra I Fire Station
building located at 1222 South Michigan Street. We are the state leader in rooftop solar (pv)
solutions and are confident that we can successfully complete your Guaranteed Energy
Savings project. Saying that, we look forward to hopefully earning the City of South Bend's
business.
As of 2019, JMS now is part of Vere (www.veregy,com) and we are one of the largest
ESCO's, solar and roof top solar providers in the country, As a Guaranteed Energy Savings
provider, we have cor-npleted over $1.4 billion worth of energy savings projects, optimized
1000's of buildings, saved over 6 billion kWh's, of energy, saved over 18 billion gallons of
water and have restored or replaced over SO million square feet of roofing. Likewise, we
now provide alternative energy and guaranteed energy sol u!t ions in 13 states. John Hobbes
is our CEO and we are in the process of becoming a nationally accredited ESPC.

JMS has been in business since 1976 and is a, state of IN ap roved provider of Guaranteed
Energy Savings under I.C. 36-1-12.5, Likewise, we have competed many recent, high -profile
solar projects along with numerous roof top solar projects around the state, of Indiana.
Many of these projects are similar to what we'd do at the Central Fire Station and these
projects include:

Corporate Background
JMS is Indiana's leader in Guaranteed Energy Savings involving roof top solar projects.
As such, we take a very methodical. approach as the roof's condition is closely tied
to the solar performance. The Central Fire Station's roof is 15 years old and it will be
out of warranty on 9/6/19. Likewise, the warranty only covered wind speeds up to 55
mph.
Unfortunately, your roofs need to be addressed before the solar panels are installed.
If roof work is not part of the solar installation, the project will inevitably fail as the
roof will leak and the Fire Department leadership will be very disappointed in the
results and the GESC process, Shambaugh/EMCOP made this critical mistake on a
roof top solar project, at Elwood Schools, after they installed solar panels on a roof
that should have been replaced or rehabilitated. The roofs leak and the customer
has been extremely disappointed. Goshen HS is a second) example of incompetent
solar installation as panels were placed on top of a poor condition roof.
The good news is that your roofs can be rehabilitated/restored and will not need
to be torn off and disposed of in a land fill, Likewise, with our solution, we will try
to utilize a local roofer such as Midland Engineering or a minority/woman owned
contractor. Once the roof is rehabilitated, we will install a non -roof penetrating, roof
top solar (PV) array that will annually produce 160,877 kWh. We will also provide a
0-year warranty that includes the roof and the solar array. Also, our warranty covers
wind speed up to 74 mph, not 55 mph.
On the South Bend Fire Department Solar PV Project, JMS will utilize the technical
expertise of a six -member team with over 116 years of experience in order to ensure
total project excellence and success. The team is comprised of solar management,
engineering, GESC management, project management, financial management and
a roof consultant.
Our price for the solar (PV) array is approximately $350,860 and approximately
$300,000 for the roof. We cannot give exact pricing, at this points as we still have
many questions about budgets, financing -options, phasing of the project, timing„
access to the Fire Station, etc. However, we hope the approximate prices reflect the
fact that we're serious about partnering with tare South Bend Fire Department and
the City of South Bend.

the state of Indiana since 2009. JMS has a diverse market consisting of, but not limited
to: K-12 Education, Municipalities, Higher Education, and Airports. Our team has been
active in GES projects since 1993. Continuous education and training, along with valuable
experience allows Johnson Melloh Solutions to truly provide the best services to our
customers and their needs.

JMS is a self -performing alternative energy and electrical contractor. We "turn the

simply subcontract all work to others.
Progressive Energy Solutions:
JMS is one of the leaders in Solar throughout Indiana. We performed a 25 MW installation
at the Indianapolis International Airport (America's largest solar -powered airport), several
public K-12 Schools, cities and counties, and countless residential and business solar
systems. Approximately 83% of our business is generated by performance contracting
projects, or other related services.
Training and Support Services:
As part of our performance contracting services, Johnson Melloh Solutions will provide
training to operating personnel on the proper operation of the equipment, which is
crucial for maintaining reliability and long-term integrity of the systems. Furthermore, in
order to achieve the utility and operational savings targets set for the project, everyone
should clearly understand his or her role in reaching those targets. Instruction„ conducted'
during the final phase of project commissioning, is provided bythe manufacturer on -site.
The training typically includes the following:
1. Start-up and shutdown procedures, operation under all modes of operation, and
correct procedures under emergency or abnormal conditions
2. A description of the system capabilities and limitations.
3. procedures necessary for effective operational monitoring and alarming.
4. Analysis of useful information that can come frorn monitored data, and why the
information is important in analyzing the systern operation.
5. Inspection, service, and maintenance requirements for each system.
6. Instruction in the use ofall O&M documentation included.This includes an awareness
and understanding of documentation contents, howto find what is needed, how to
use it and how to keep it up-to-date.
Performance Contracting
Experience
At the end of the process, every mode of systems operation, all systems equipment,
components and zones, all backup systems, and every item in the control sequence
description are proven operational under all normal operational modes, including part
and full load, and under abnormal or emergency conditions.
The purposeofcommissioning to outline a formal program toensurethatthe performance
evaluation factors are properly implemented, measured and met in accordance with
the performance contract requirements. Each retrofit will be validated by a qualified
technical representative and be in accordance with the sequence of operations and
contract requirements.
Our commissioning approach/methodology is designed to achieve the following specific
objectives:
Ensure that applicable equipment and systems are installed properly and receive
complete operational checkout by the subcontractors
• Maintain compliance with all installation requirements
Verify and document proper performance of equipment and systems
Provide complete O&M documentation to the customer
• Ensure that the customer's operating personnel are properly trained
Representatives from the City of South Bend and Johnson Melloh Solutions will conduct a
final inspection toverify compliance tothe contract documents. Johnson Melloh Solutions
will prepare and submit closeout records and as -built documents to the respective
representatives. Commissioning all features of the new or upgraded equipment will be
conducted using the manufacturer's specifications, as well as the performance criteria
established for the specific project. Once commissioning is completed, Johnson Melloh
Solutions will seek the City of South Bend's final acceptance.
Our project managerwill close outthekeycomponentsofthe projectoncethe installation,
testing, commissioning and project acceptance for the entire scope of work have been
completed. Our project manager will compile project documents and acceptance of
systems along with: as -built drawings, operations and maintenance manuals, plans and
drawings, equipment and spare parts lists, software delivered and archived, inspection
reports, testing and commissioning reports, system turnover and acceptance reports,
non-conformance reports, certificates of completion, training records and certification
of customer training, change orders, final invoices, closed punch list, final waivers and
release of liens. This is a turnkey project with commissioning included as a built-in cost.

and commissioning, the building owner will see fewer problems arise once the
commissioning is complete

Clear expectations set and understood by both JMS and the City of South Bend
Working directly with facility staff during the commissioning process to provide
training and allowing open communication.
JMS considers commissioning an integral part of any of our projects. Performing quality
commissioning improves system function and longevity. Commissioning also continues
the open lines of communication that have been developed during the construction
period between JMS and the building owner and set the stage for the life of the contract.
This allows JMS to provide projects that once commissioned provide a comfortable and
energy efficient indoor environment at as lower cost of operation compared to non-
commissioned systems.
Roof Inspections:
Our approach to managing roof assets is very straight forward. We start with a
comprehensive roof evaluation in order to determine which roofs are in good, fair and poor
condition. To assist with the evaluation, we perform an infrared (IR) scan/thermography
diagnostic exam and or a roof "MRI" to identify any wet insulation in the roof system.
Finally, we work with the city officials and administration team to develop a budget for a
multi -year roof asset management plan.

Financial Qualifications
S. Financial Qualifications
Our policy pertaining to the attachment of sensitive financial and operating
agreements to public documents such as this RFQ is to closely guard them. While
we understand the City's desire to assure that JMS is a viable business concern, we
must also guard against our competition obtaining these sensitive documents. We
offer the following assurances to the City to fulfill this request.
1. We will provide a surety bond for the project equal to 100% of the cost of the
project. This bond will protect the City from any deficiency or completion of the
project.
2. If being considered by the City of South Bend, JMS can arrange a private
meeting with our CPAfirm to reviewour audited financial statements, operating
documents, and lines of credits with the City.
3. We have reference letters from our bonding company and bank indicating our
financial strength, and these can be presented upon request. Our bonding
capacity is in excess of $60 million and our costs for bonding is under 1%.
4. All JMS solar projects have met their guarantees.
The City can be assured thatJMS is a financiallyviable company that will be providing
energy related services for many years to come through our continued dedication
to complete customer satisfaction.

Tremco is part of RPM International Inc., a publicly traded company on the NYSE under the trade symbol RPM. We
have over 14,500 employees and a market cap of nearly $9.0 billion. Tremco works under JMS as a roof material
supplier as well as a provider of labor on certain GESC projects. We work with JMS in a consultative manner and assist
JMS customers with a variety of environmentally friendly roofing solutions. These solutions include roof
inspections and consultation, infrared thermography, the removal of wet insulation, roof rehabilitation and roof
replacement. Our corporate mission is to assist JMS by preventing good condition roofs from being torn off and
disposed of in landfills.
Tremco works with JMS whenever one of their clients wants to install solar panels on a roof. We make sure the roof's
laps, seams and (lashings will function properly during the duration of the solar panel warranty (20 years). In other
words, we make sure that 1MS's roof top solar projects are a success.
JMS is an excellent company to work for. We are treated as a partner and continually strive to find the best possible
solutions, at the lowest possible price for their clients. We have done over $10 million dollars with JMS over the past
two years and two of the larger roof top solar projects were at Frankton Lapel Schools and Rising Sun Schools. In both
cases, we inspected the roofs, performed infrared surveys, identified and removed any wet insulation and then
restored (rehabilitated) the roofs with a 96 mil thick, energy star, aliphatic urethane product. This saved both schools
significant amounts of money and in turn prevented costly and environmentally irresponsible roof tear -offs.

8. Project Management Approach
General Approach
Scope development, understanding and safe execution
One way to drastically improve the success of your project is to determine upfront what
defines success for that project, get the appropriate people involved in setting the scope,
and make sure everyone involved knows the scope from the beginning.
Context understanding
Ultimate success can't come from people who see this as "just another project." Provide
and create a context for this project. Help people see the big picture and purpose for the
work. When people understand why the project matters and how it will change the future,
they will work with greater dedication and energy.
Time assigning
All projects need to include estimations on how long a task will take. Sometimes estimates
are full of excess, so people can feel assured they can reach the timelines. Other times
overly ambitious people will set time estimates that may not be realistic in the real word.
We must create communication that discusses this balance and help to create timelines
that are challenging, yet realistic.
People engaging
Projects of any size can sap energy and determination. As the manager of the project it is
our role to keep people inspired and on task. We remember that no project can be done
without people, and as a manager and leader it is our responsibility to take care of our
people. When we do, they will take even better care of the work.
Progress updating
Communication within the project team creates new synergy, reduces rework and time
loss, and maintains engagement.
Communications
JMS uses Procore cloud -based construction management software to increase project
efficiency, communication and accountability. Procore is accessible from anyweb browser
including phones, tablets and computers. Procore also drastically reduces the amount of
paper used on projects by using electronic delivery of documents. Procore will provide the
following functions for this project:
Access by all team members including South Bend, JMS and subcontractors
Electronic storage of drawings with cloud -based approval system
Electronic report via E-Mail delivery to all team members
Electronic mail (E-Mail)
Central storage of all progress reports and pictures

The following reviews will be scheduled throughout the life of the project:

Project Management
Approach
Engineering Design and Integration Review
The Project Manager will lead weekly review meetings to determine the design effort
status, resolve issues and plan theweek.An information needs listwill be published with
the meeting minutes promptly to be used as a tool for obtaining critical information.
The meeting minutes will document decisions and the status of each subsystem
component.
Progress Reviews
While theweeklydesign and integration review meeting will trackworkon a subsystem
basis, an overall project review meeting will be held at least once a month to determine
status of project issues such as the schedule, cost report, value added log, etc. The
account manager, project manager, along with any stakeholder is welcome to join this
meeting.
Standard Documentation Software
All documentation will be made using the city's standards for software such as Microsoft
Word, Excel, Access, PowerPoint, ETC. Drawings will be developed in the latest version
of AutoCAD.
This documentation will be stored for cloud -based access via Procore.
Document Control
JMS will be responsible for project document control. As stated before, Procore will
be used to manage these documents insuring that only the latest, approved version
or revision is used for construction. Previous versions of all documents will also be
available for reference. A clear picture of revisions and changes is incorporated into
Procore to allow review of each documents' history.
Progress Reporting
Weekly progress reports will be issued after each Integration and Design Review
meeting to inform project personnel and management of progress. These reports will
document decisions and communicate unresolved issues. A monthly report will be
issued after monthly progress reviews to determine status of the project as a whole.
Commissioning
The purpose of commissioning is to outline a formal program to ensure that the
performance evaluation factors are properly implemented, measured and met in
accordancewith the performance contract requirements. Each retrofitwill bevalidated
by a qualified technical representative and be in accordance with the sequence of
operations and contract requirements.
Our commissioning approach/methodology is designed to achieve the following specific
objectives:
• Ensure that applicable equipment and systems are installed properly and receive
complete operational checkout by the subcontractors
Maintain compliance with all installation requirements
Verify and document proper performance of equipment and systems
Provide complete O&M documentation to the customer
Ensure that the customer's operating personnel are properly trained
Representatives from the City of South Bend and Johnson Melloh Solutions will conduct a
final inspection to verify compliance to the contract documents. Johnson Melloh Solutions
will prepare and submit closeout records and as -built documents to the respective
representatives. Commissioning all features of the new or upgraded equipment will be
conducted using the manufacturer's specifications, as well as the performance criteria
established for the specific project. Once commissioning is completed, Johnson Melloh
Solutions will seek the City of South Bend's final acceptance.
Training
The key to the success of this project lies in implementing an effective training and
development program, specifically customized for your facility and staff. Ensuring that
the people who will help maintain the upgraded facilities and who understand how their
roles impact energy savings are integral in attaining project goals and energy savings
targets. Training, in conjunction with our service offering, is designed to protect our clients'
investment while maximizing the efficiency of their operations.
It is critical that training occurs at defined intervals throughout the course of the project,
facilitating proper communication between the Johnson Melloh Solutions team and the
client's staff regarding how buildings will operate throughout the installation period and
the entire term of our agreement. Refresher seminars will be available from year-to-year,
as requested, in order to maintain the degree of training necessary for staff to perform at a
high level of efficiency. Each training session will review the basic practices and introduce
new technology and procedures as they become available.
As part of our performance contracting services, Johnson Melloh Solutions will provide
training to operating personnel on the proper operation of the equipment, which is crucial
for maintaining reliability and long-term integrity of the systems. Furthermore, in order
to achieve the utility and operational savings targets set for the project, everyone should
clearly understand his or her role in reaching those targets. Instruction, conducted during
the final phase of project commissioning, is provided by the manufacturer on -site.

9. Technical Approach
Utility is:
Before designing systems for an energy savings project, Johnson Melloh Solutions
(JMS) performs a detailed analysis of the customer's utility data. Based on the data
given, the South Bend Central Fire Station currently receives all their electricity from
Indiana Michigan Power under the Large General Service Rate (240). From this rate
and the attributes of the fire station's electric usage, kilowatt and kilowatt-hour rates
were determined. Without power profiles, JMS does not consider demand savings for
non-dispatchable energy sources such as solar PV. Provided with this power profile
data, JMS can determine these demand savings and guarantee greater cost savings.

Restrictions
After performing a utility analysis, economic, regulatory, and physical restrictions are
analyzed. Based on the most recent release regarding net metering by the Indiana
Utility Regulatory Committee (IUPC), Indiana Michigan Power has notyet reached their
maximum capacity for net metering. When net metering is an option, it makes sense
economically to offset up to 100% of the customer's annual energy consumption. In the
baseline year, 2018, the fire station consumed 534,325 kWh. For physical restrictions,
St. Joseph county GIS maps were referenced to find open, city -owned land parcels
suitable for a solar array. No suitable parcels were found, restricting the project to roof
mounted arrays.
Design
Once restrictions are defined, JMS starts designing the solar array on Helioscope, a
highly credible and widely used solar PV modelling software. With this software, JMS
conservatively accounts for losses and allocates space for mobi-lity and equipment
access while placing modules. Module orientation is then optimized for greatest power
output and, if given, power profiles. This process gave simulation results as shown
below.

Though experience with products helps continue our excellence in performance, JMS
recognizes that there are new technologies on the market that may prove useful in
current projects. If our experts are not experienced with these products, we do the
necessary research and studies. This has been evident through JMS's existence with
use of solar PV, solar thermal, and vertical axis wind turbines.

One emerging technology is bifacial solar PV panels. According to the International
Solar Energy Research Center (ISC) Konstanz, over 100 MW capacity had been installed
world-wide as of 2019. These panels are relevant because they make use of reflected
solar irradiance that strikes the back of PV modules. Unlike traditional PV panels, bifacial
modules can generate electricity from the irradiance incident on the front as well as the
back of the modules. A collection of studies shown by ISC Konstanz show an increase
of 25% by bifacial modules under conditions of a reflective roof surface. These values
were consistent with values provided by several other sources including the National
Renewable Energy Laboratory.
Because the designed system for the fire station is roof mounted and has room for higher
production values, this project offers a great opportunity for a case study on bifacial
panels. Diligent research and modelling of a bifacial system would be performed by JMS
to determine feasibility, given the fire station's interest in pursuing this type of system.
Roof i
Current
As stated in the solar PV design section, our solar array will be roof mounted and as such
it is very important to consider the roof when analyzing the project's feasibility. Regarding
the Central Fire Station, the good news is that it has excellent sun radiance and the roof
is a great location for solar. The bad news is that the white membrane, single ply roof is
now 15 years old and the warranty will expire on September 6th, 2019. Likewise, as the
roof ages, the laps and seams start to pull from the substrate and will thus begin to open.
Considering this, you will not want to add rooftop solar without first addressing the roof.
We hate to be the bearer of bad news and truly want to earn your business. However, in
good conscience, we cannot recommend rooftopsolaron the Fire Station roofs unless roof
work is part of the process. Goshen High School, Goshen, IN and Elwood Schools, Elwood,
IN (neither of which JMS was involved with) are two examples where solar was installed
on top of aging, deteriorating roofs. In both cases, roof work was not part of the project
and now both buildings are leaking. The leaks and headaches lead to "finger pointing",
blame and accountability/liability issues and sadly litigation is either pending or already
in effect. In other words, we cannot participate unless the roofs are addressed as we need
to do it right. Hopefully, everyone who submits a proposal advocates the same thing.
Roof Assessment
Our approach to rooftop solar installation is very straight forward. We start with a
comprehensive roof evaluation in order to make sure that the roofs can handle the solar
panels. After the inspection; we perform an infrared (IP) scan/thermography diagnostic
exam and or a roof "MPI" in order to identify any wet insulation in the roof system. We
then cut core samples and hire a structural engineer to verify the deck can handle the
added weight. At this point, we do not believe the added weight will be an issue on the
Fire Station roof, however further structural analysis is needed.
Technical Approach
Proposal
We propose restoring/rehabilitating all the roofs that will receive solar panels. We will
utilize a local, South Bend roofing contractor, such as Midland Engineering and or a
minority owned contractor to perform the work. As we do not yet know your specific
budget for this project, we can upgrade the roof and install solar on a "roof by roof"
basis. We'd like to start with the large, main roof, then do the other smaller roofs when
budgets permit. Likewise, we will install a modular solar array, meaning you can easily
add to it whenever the funds are available.

In order to get the roofs ready for solar, we will remove any wet insulation and replace it
with new insulation. Wewill then clean the roofs, reinforce all the laps, seams and flashing
and install a 96-mil thick, state of the art, energy -star white colored, polyurethane roof
rehabilitation product. These roofs will get a 20-year comprehensive warranty, down to
the structural deck and will tie into the 20-year solar panel warranty in order to protect
The City of South Bend and avoid the "finger pointing" pitfalls noted before. Finally, it's
important to note that roof rehabilitation and or restoration is very environmentally
conscious as it saves the city from tearing the existing roof off and dumping it into a
land fill.
Sustainability
JMS is all about alternative energy, energy reduction and environmental savings. Saying
this, millions of tons of old roof products are torn off each year and unfortunately end
up in our landfills. With this being the case, we work very hard to reuse our resources,
whenever possible, and rehabilitate and or restore roofs as opposed to replacing them.
The Central Fire Station's roof is of a type that can easily be rehabilitated as opposed to
being torn off and replaced.
Feasibility Considerations
While energy savings for roof replacement are not a major factor, cost avoidance must
be considered when looking at this specific project. With the warranty for the roof
running out and considering the roof's current condition, replacements would have
to be made either periodically over the coming years, or as a full project itself. Using
industry estimating standard PS Means, these costs were estimated to show avoided
costs over the term of the next 2S years.
Financing:
Two models were created to analyze feasibility of this project. These cases were divided
to show feasibility of solar, and the project as a whole. Case 1 shows the cumulative
savings for solar against any costs outside installation. Case 2 includes financing of the
full project. Costs shown in these cases are strictly budgetary and will likely change as
specifics of project are revealed.

our customers with cutting edge technologies while maintaining a competitive price

Manufacture Direct
Just a few years ago most solar panels and their components were strictly purchased
through the manufacturer. Recently, however, electrical wholesale distributors have
pushed their way into the purchasing process. With this comes additional mark-ups
from those distributors. Many of the manufactures are no longer dealing directly with
contractors and have made sole agreements with different distributors. Johnson Melloh
Solutions has maintained great relationships with major Tier 1 panel manufacturers and
still buy directly from the manufacturer.
Payment Terms
Johnson Melloh Solutions can and will pay quicker than most contractors. Historically,
we have been able to negotiate better pricing on products based on our willingness to
pay quicker.
Immediate Shipment/Storage
Pricing and availability are obstacles all solar contractors have dealt with over the last
fewyears as tariffs have become a driving factor of supply and demand. Most of the solar
module manufactures cannot guarantee or forecast availability more than 30 days out
and pricing rarely is guaranteed for more than a week. Johnson Melloh Solutions has
60,000 square feet of storage available for product. Johnson Melloh Solutions has been
able to procure and store modules for upcoming projects. This allows Johnson Melloh
Solutions to react quickly, procure and secure product when the time and price is right
regardless of if the construction site is ready for product to arrive.

energy plant that monitors our energy projects. JMS has systems across the country and
our central energy plant operates 24 "i 365 for the sole purpose of ensuring each system.

the-art hardware to gather, transmit, and make available timely system performance
data to you and to our dedicated team of performance engineers and expert service
technicians, thereby ensuring fast, reliable„ and effective response to any field issues.
With our monitoring services, your downtime will be limited should any problems arise.
The Johnson Melloh Solutions team members who will take the lead responsibility for
this activity will be Scope Development Engineer & M&V Specialist Arash Habibi. The
performance team will work with South Bend's staff to anticipate energy related budget
impacts of any future changes in operations resulting from added equipment, space,
or activities such as night classes or athletic activities. Our performance assurance team
will work closely with the schools to make certain Johnson Melloh Solutions meets our
long-term obligations.
BASELINE
The Baseline Methodology for this project utilizes the 12 months of utility bills and rates
given in the PFQ. After the initial energy baseline creation and during the ongoing
performance management of the project„ it may become necessary to adjust the
energy baseline for factors or unique changes in the building's use, baseline utility or for
non -controllable variables. Common adjustments are made for items such as additions
or removals of building space, major increases or decreases in building occupancy,
weather, major additions or removals to the non -temperature sensitive loads in the
facility such as computers, copiers, printers, etc., changes resulting from the addition or
replacement of equipment with more energy efficient equipment and major changes
in building operations outside of the energy baseline parameters.
MEASURE & VERIFICATION PROTOCOL
The Federal Energy Management Program (FEMP) of the U.S. Department of Energy
and its Measurement and Verification Guidelines for Federal Energy Projects classify
measurement and verification approaches as Option A, B, C, and D. The FEMP Guideline
is based on the International Performance Measurement and Verification Protocol
(IPMVP).

system before and after a retrofit, either through physical measurement or use of the
manufacturer data and multiplying the difference by an agreed -upon or stipulated
factor, such as hours of operation.

Verification techniques involve utility whole building meter analysis, reviewing overalll
energy use, and identifying the effects of energy projects an a facility. Energy use before
and after a retrofit project is compared to determine savings. The measurement of
energy consumption and the cost savings associated with installed energy management
equipment are a comparison between the energy consumed during the, current calendar
period and the baseline calendar period. It consists of only the energy bills applicable to
the buildings under energy management. Once the program is in place, energy use is
taken from current utility bills.

Computer models are developed that use simulations of baseline and post -installation
energy use to determine savings.
For this project we would recommend using Option A. We would measure the output
of the solar array for two years minimum. If after two years the output does not meet or
exceed the guarantee amount, then additional years of measurement will be performed
until two consecutive years of output meets or exceeds the guarantee. In this way, South
Bend can be certain that the guarantee is met, and the project is riot burdened by ongoing
measurement &verification that isn't needed.
Stipulated Savings
We understand the reluctance to accept stipulated savings by our customers and avoid
them except in cases where it makes sense. An example of this would be the savings from
reduced bulbs and ballast replacement after a lighting retrofit to long life LED fixtures,
Because it would be a burden on the customer to track the bulbs and replacement costs
that were saved, we generally agree up front to the savings this would generate. For now,
this project doesn't include such measures and therefore we do not anticipate stipulated
savings on this project.

11. Financial Guarantees
All of us at Johnson Melloh Solutions understand the importance of delivering on the
guaranteed savings on each and every project. We have installed more solar arrays in
Indiana, within guaranteed energy saving projects, than any other provider. To date we
have not had any missed guarantees due to the solar arrays. This is important to you
because you need a trusted partner that has the experience to back up what they say.

We also believe uptime of your system is important. A high downtime of your system
will drastically affect your savings. That is why JMS's cashflow includes a very reasonable
service agreement that is completely optional. Service is included during the first year
but is a nominal fee after that time. This service contract is really like an extended
warranty as well. It covers normal maintenance, but it also covers inverter replacement
if they fail. It is a very affordable option that will increase uptime of your system.
Initial i
You can't just worry about the guarantee after the project is complete. It begins in the
initial design and modeling of the system. There are several steps we take to ensure that
our solar modelling does not overstate savings. In our calculations, we include increased
soiling (how much the panels are covered with dirt or other obstructions) because of
winter snow and because of our practical experience in the field. We have also learned
that all weather stations and weather data are not the same and we have learned from
experience to select only actual National Oceanic and Atmospheric Administration
weather stations for our data in modelling. We know that other providers do not follow
these practices and sometimes have higher, unrealistic savings, but we feel strongly
about not over promising and about meeting every guarantee.
Construction
The guarantee must be of concern during engineering and construction as well.
Many engineering choices can be detrimental to the guarantee. A wrong selection of
panels, inverters or even wire size can affect the future savings of your project. During
construction quality assurance and commissioning are important to the guarantee. The
placement of an inverter in the wrong location can even affect the savings. Our service
team works with the construction team and the engineer to commission the system
and catch any remaining problems that could affect the guarantee.
After construction has ended and the commissioning is done, the job of protecting
the savings and guarantee does not stop, but transitions into monitoring, service and
measurement and verification.

Monitoring
JMS has staff monitoring each solar array every day. It is our policy to install remote
monitoring capabilities with wireless internet connection on each array over 20
kW. Data is streamed via the internet to our monitoring staff. The monitoring staff
reports to our team daily the performance of each solar array. Error codes or faults
are communicated immediately. Our service team is dispatched on any error or fault
as soon as possible. Yearly diagnosis is done on each array which includes IV curve
analysis and thermal imaging of panels to find faults before they occur.

Measurement and Verification
Each week our M&V team meets with leadership from our service team as well as
corporate leadership to discuss the performance of each solar array that we track. Each
site performance is highlighted with green, yellow or red to indicate any sites that are
in trouble. Action items are developed to remedy any sites that are not performing as
expected.
Production numbers will be available for viewing at anytime by the City of South Bend.
In addition, JMS will provide quarterly reports showing that the guarantee has been
met. The State of Indiana also requires an annual report, which our team prepares.

status of all of Contractor's newly hired employees through the E-Verify Program as defined by

5. Contractor shall require his/her/its subcontractors performing work under this public

or any combination of the foregoing including, but not limited to, public works contracts
awarded under public bidding laws or other contracts in which public bids are not required by

efforts to obtain participation by those Contractors certified by the State of Indiana as a Minority
Business ("MBE") or as a Women's Business Enterprise ("WBE") as a factor in determining
