Page I of 3 Number: 03 029034.0000 AMENDMENT No. 3 An Agreement was executed on September 22, 2015 between the City of South Bend, Indiana [Client], having its principal place of business at 1316 County -City Building, South Bend, Indiana 46601, and Arcadis U.S., Inc. [Arcadis], having its principal place of business at 630 Plaza Drive, Highlands Ranch, Colorado 80129 and having an office at 150 West Market Street, Suite 728, Indianapolis, Indiana 46204. Under the Agreement, Arcadis provides certain professional engineering services related to the construction administration services for the Secondary Treatment Improvements project at the South Bend wastewater treatment plant. Client and ARCADIS now desire to amend the Agreement to include the amended Services as described below. In consideration of the mutual promises in the Agreement, Client and Arcadis agree to amend the Agreement as the following: Schedule A-1, Scope of Amended Services. 2. Schedule B-1, Compensation for Amended Services. Other Provisions. Except as amended herein, all other provisions, terms and conditions in the Agreement shall remain in full force and effect. Execution Authority. This Amendment to the Agreement is a valid and authorized undertaking of Client and Arcadis. The representatives of Client and Arcadis who have signed below have been authorized to do so. Proiect Number: 03029034.0000 AMENDMENT No. 3 Schedule A-1 Scope of Amended Services and Related Matters ENGINEERING SERVICES BY ARCADIS General Administration: Arcadis provided general administration services related to clarifications and interpretations (5 additional RFIs), change orders (44 additional change requests resulting in 6 approved change orders), and other matters to fully close the project. Arcadis provided services through the Contractor's extended schedule as further described below. This also includes reconciling Arcadis' subconsultants for their time and materials spent, which was less than anticipated for CMID and more than anticipated for Donohue (assumed low range of their anticipated budget at a key design stage), with an overall net increase which cut into Arcadis' budget for services provided through the entire project, especially as it related to services associated with changes and the claim as part of the project. Meetings and Site Visits: Arcadis attended meetings and observed the progress of Contractor's executed work during same visits, which extended beyond the anticipated Substantial Completion date of March 8, 2018 as noted in the previous Amendment No. 2. The Contractor's work was substantially complete in November 2018 with additional close-out items occurring through December 2018. This was approximately 10 months of additional schedule. Record Drawings: Arcadis and its subconsultants provided additional services to incorporate the numerous substitutions that were accepted during construction for cost savings into the record drawings. The design team provided additional construction administration services from March 2018 — November 2018. The additional time spent on the project was a result of time extensions due to change orders, additional construction observation during start-up and commissioning, re -inspections of punch list items and redrafting Record Drawings for additions and changes to the project layout that resulted in cost benefits to the construction costs. Please refer to Professional Service Agreement and Amendment No. 3 for a description of the work and fees.
