Between C:Hli :0 BeMl, ,J - �t, , (the "Participant") and Central Indiana Corporate Partnership, Inc., by and through the Ascend Indiana branded initiative ("Ascend") The purpose of the Ascend Network Pilot Participation Agreement ("Agreement") is to outline the scope of the Ascend Network Pilot Program (the "Pilot") and the respective duties and obligations of Ascend and Participant (each, a "Party," and collectively, the "Parties"). The Ascend Network (the "Network") is an online talent connectivity platform and recruiting service, the objective of which is to collect data about Indiana's workforce trends that may be shared with government officials and educational partners in an effort to improve Indiana's workforce system. The following sections outline the scope of the Pilot and the expectations that will guide the Parties' responsibilities with respect to this Agreement. Term. This Agreement will be for the duration of the Pilot through December 31 2019, unless terminated earlier by either Party. Ascend may, at its sole discretio terminate the Pilot before said date upon satisfaction that the purpose and objectives of the Pilot have been achieved. I Ascend's Commitments. In connection to developing the Network, Ascend will be responsible for the following activities: 1) Anonymize and aggregate data from the Network to share with government officials, educational partners, and other key stakeholders in an effort to improve Indiana's workforce system. 2) Facilitate structured sessions arranged by Ascend concerning the Pilot; 3) Assist in drafting, reviewing, and implementing employer profiles, team descriptions, and job postings; 4) Collaborate with the Participant in developing and applying content to maximize the Network's capabilities; 5) Make the Network and supporting materials available during the term of the Pilot; 6) Provide highly -correlated candidates to hiring managers for consideration, including candidates who are underrepresented in Participant's industry due to their race, gender, economic background, or other characteristic; 7) Collect feedback on the Network platform, candidates, and processes to ensure utility for the general public and relevance fore loyers; and US. 113386826.02 8\ Showcase place -based information boeducate candidates on living and working |nIndiana. Participant's Commitments. The Participant will vvOd« collaboratively with Ascend tohelp develop the Network, The Participant's expectations include the following, all for the purpose of broadening and deepening the content and public utility of the Network: 1\ Participate in research and educational activities upon reasonable request from Ascend. Such activities may include, but will not be limited to: surveys, focus groups, or place -based seminars, and such activities will be used by Ascend to help improve Indiana's workforce system. 2\ Make the Network available t0 employees and other key personnel Onsite (i.e. wh|te||stthe software application to enable access); 3\ Build an employer profile; 4\ Create referral links for Ascend; 5> Post entry level jobs and internships; 6) Actively use the Network SD(tvvare and evaluate candidates; 7) Report outcomes for candidate users in a manner consistent with Confidentiality Duties provided hereunder; and 8\ Provide feedback onthe Network software, candidates, and processes. Confidentiality; Proprietary Information. Ascend and Participant acknowledge that, over the course of the Pilot, each may be exposed to information that is proprietary, private, or otherwise confidential ("Confidential Information"). Confidential Information specific to Ascend includes, but is not limited to information relating to CICP's members and CICP's various sector and project initiatives, as well as CICP's past, present, or future research, development, inventions, processes, techniques, designs, marks, or other technical material and data, information concerning participants, and administrative, management, financial, marketing, and publishing material and data. Confidential Information does not include any information available to the public prior to disclosure by either Party (without fault of the disclosing Party), or any information received from a third party who possesses the information lawfully and who has the right to disclostow; such information, Confidential Information Duties. The Parties agree that the Confidential Information will be kept confidential. The Parties shall use the same care in protecting the other's Confidential Information as it uses to protect its own confidential information, provided that neither Party shall use less than reasonable efforts to protect the other's Confidential Information. Each Party agrees to be responsible for any breach of the confidentiality obligations under this Agreement by its Representatives. Notwithstanding the foregoing, the Parties may disclose Confidential Information to its respective representatives whose access is necessary to conduct the activities in connection with the Network who have been informed of the confidentiality restrictions contained in this Agreement. Information Submitted and Received. Participant is solely responsible for, and assumes all liability regarding: (i) the information and content contributed to the Network; (ii) the information and content Participant posts, transmits, publishes, or otherwise makes available through the Network; (iii) its interactions with other users through the Network, or as a result of using the Network; and (iv) information received from other users through the Network. Risk Assumption and Precautions. Participant assumes all risk when using the Network, including but not limited to all aspects of hiring and employing a user of the Network. Participant agrees to take all necessary precautions when interacting with and/or meeting users through the Network. Indemnification. Participant agrees to indemnify, defend, and hold CICP, its subsidiaries, and affiliates., and officers directors., harmless from any loss, liability, claim, expense, or demand, including reasonable attorneys' fees and investigative costs, relating to or arising from Participant's participation in the Pilot, including the receipt of any personal information, in violation of this Agreement and/or relating to Participant's obligation to safeguard the privacy and security of such personal information in Participant's care, custody, or control. Ascend reserves the right to defend any such claim, and Participant agrees to provide Ascend with such reasonable cooperation, assistance, and information as may be requested, Relationship of Parties. In carrying out its responsibilities under this Agreement, each Party shall act as an independent contractor with respect to the other and not as an employee, agent, partner, or joint venturer of the other. Neither Party shall have, or hold itself out as having, the ability or authority to bind or create debt for the other Party in relation to the subject matter of this Agreement or otherwise. This Agreement does not constitute or create an employment, agency, partnership, or joint venture relationship between the Parties.
