The American Structurepoint team is uniquely qualified to prepare the 5-Year Update based on our experience developing wellhead protection plans for several utilities, our thorough understanding of the Indiana wellhead protection regulations and procedures and our excellent working relationship with the current IDEM review staff. In developing this proposal, we understand the following: • The South Bend Water Works is required to submit your 5-year update on or before January 1, 2020. • New wells at Memorial Hospital and new well 1B at North station will require a re - delineation of at least the North Wellfield wellhead protection area. • The IDNR water use registration records indicate the South Bend Water Works operates 30 high capacity production wells. Total average daily withdrawal, according to the IDNR data, is approximately 15 million gallons per day in 2017. • The local planning team (LPT) met in 2016 and 2017. • The St. Joseph County Health Department (SJCHD) manages a wellhead protection permit area site development application and inspection process. • Outreach includes: SJCHD wellhead permits, and CCR • A hazardous materials transport plan of the main thoroughfares has been established and is to be included in the 5-year update. 2019.00828 Ms. Smith May 9, 2019 Page 2 There is a need to outline approved or disallowed activities in wellhead protection areas and make suggestions for city or county ordinances that would improve the protection areas meaningfulness. • Create a desktop exercise or emergency response training activity or outline that can be used by the City of South Bend. Our proposal is based on these assumptions. To prepare the 5-year update to the South Bend Water Works Wellhead Protection Plan, we propose the following scope of work. PROJECT SCOPE 1. Project Research and Coordination As an initial step in this project, American Structurepoint will review the approved wellhead protection plan, including the wellhead protection area delineations to obtain a thorough understanding of the planning and management objectives of the program. We will also meet with representatives from the South Bend Water Works and other stakeholders to understand the goals and status of the implementation activities over the past five years. Key coordination efforts will include: a. Outlining with the appropriate City of South Bend personnel to discuss the wellhead protection planning objectives, requirements and achievable goals. b. The utilization of previous knowledge and information that can be made available to update the plan. c. Local knowledge of high capacity water users, potential contaminant sources (PCS), and other ongoing inquiries or concerns for the wellhead protection areas. 2. Wellhead Protection Area Delineation/Capture Zone Modeling The 5-year update requirements indicate a review of recent well pumping needs to be performed, including an analysis of the production data for the previous five years. This task will include two components — evaluation of production data for the past five years for all wellfields, and re - delineation of the North Wellfield due to development of new wells in this wellfield and the installation of nearby high capacity wells at the hospital. At this time it is assumed the north well field is the only well field that will need to be re -delineated. If additional well fields are to be re - delineated a new scope of work will be determined and submitted for revision to the original agreement at that time. a. Well Production Data Evaluation We will assess the available pumping data for the full annual periods from 2013-2018 to evaluate actual pumping versus estimated pumping as modeled in the wellhead protection area (WHPA) delineation. We will coordinate this analysis with the IDEM Drinking Water Branch to obtain concurrence of which well fields might need a new delineation. b. North Wellfield Re -Delineation 2019.00828 Michelle Smith May 9, 2019 Page 3 American Structurepoint proposes to perform the capture zone modeling (delineation) of the North Wellfield wellhead protection area using the USGS finite -difference model MODFLOW using the Groundwater Modeling System (GMS) engine. This type of groundwater flow model meets the requirements of the Indiana Department of Environmental Management (IDEM). To prepare the capture zone simulation, the following work elements will be performed: i. Data Collection and Evaluation — Information needed to perform the capture zone modeling includes development of an accurate conceptual model of the local groundwater flow system and water supply production conditions. Data on the regional and local geology, hydraulic properties of the aquifer, nearby water withdrawals, surface water hydrology, and recharge will be collected through a review of relevant published reports and field observations. The data collected will be assembled in a set of maps and cross - sections and used for the development of the conceptual model. ii. Conceptual Model - A conceptual model of the aquifer system is a graphical means of identifying how groundwater moves in the subsurface under normal and pumping conditions. A conceptual model of the local aquifer conditions supplying the North Wellfield will be prepared to support development of the computer -based simulation model. 111. Cuter Modelig g of Capture Zone — Using the conceptual model as an origin, the aquifer properties and hydrologic information will be entered into the computer model, and the flow simulation will be performed. Appropriate calibration of the model will be completed, and the capture zone will be determined through particle tracking in the model. Pursuant to current IDEM policy, sensitivity analysis of the model will be performed through alteration of various hydraulic parameters (e.g., recharge, aquifer flux), and a composite capture zone will be produced. The capture zone delineation will include the one-year and five-year time of travel boundaries. 3. Potential Sources of Contamination Inventory Based on the information provided to develop this proposal, an updated PSC inventory has not been conducted recently. To prepare an updated inventory, we will review the most recent inventory information and prepare a new potential source inventory, including the following: a. Prepare base and layered ARC/View map coverages for the WHPAs, including: i. Digitized delineated WHPA boundaries ii. Locations of facilities permitted under the St. Joseph County Wellhead Protection permitting program b. Identify and map existing and new PSCs, including: i. Review available database information to identify regulated sites within the WHPAs ii. Conduct a "windshield" survey of each WHPA to identify unregulated or new PSCs iii. Locations of new and/or existing PSCs will be incorporated into the GIS mapping. c. Prepare a narrative description of existing land use within the WHPAs and an analysis of changes in land use since the previous inventory Michelle Smith May 9, 2019 Page 4 d. Generate maps for each WHPA showing the locations of identified PSCs e. Prepare a tabular summary of PSCs, including any new PSCs and notation of the closure or delisting of PSCs that no longer present a threat. The table will include: i. Facility identification number ii. Facility name and location iii. Site description iv. Any environmental permits issued for the site, including permit number and issuing agency v. Types of contamination at the site vi. Operating status of the site 4. Potential Source Management Pursuant to the IDEM Wellhead Protection 5-year update reporting form, a summary of actions the South Bend Water Works has taken to manage the sanitary setback area and the overall wellhead protection area are to be summarized. As an initial step, we will evaluate the measures proposed in the wellhead protection plan and identify measures that have been completed or are currently being implemented. The general management plan components addressed in the Phase I wellhead protection plan include: a. Prevention of contamination within the sanitary setback or well -isolation area b. Identification of specific management or monitoring measures that consider the location and type of potential sources of contamination c. Coordination of the system's monitoring plan with the types of potential sources of contamination in the wellhead area d. Identification of abandoned wells e. Development of procedures for maintaining and updating the potential source inventory f. Notification of property owners located within re -delineated wellhead protection area(s) g. Materials for public outreach program We will compile the information needed to document management and monitoring measures proposed in the wellhead protection plan that have been completed or are currently being implemented. Some examples include the ongoing site permitting and inspection program implemented by the St. Joseph County Health Department. In some cases, proposed management/monitoring measures may not be completed or are not achievable. In these cases, we will work with South Bend staff to outline an updated implementation plan or develop alternate measures that can be implemented within the next five years. A summary of the implementation efforts, as well as copies of supporting documentation and an updated implementation plan, will be prepared and incorporated into the 5-year update summary. Contingency Planning for Emergency Conditions The contingency planning aspects of the wellhead protection rule (327 IAC 8-4.1-8(5)) focus on five primary components: 1) training of local emergency responders, 2) description of the utility's response to contamination, 3) coordination with local emergency responders, 4) identification of alternate sources of water, and 5) notification of critical water users. These basic components are also necessary in the system's overall emergency response plan. To address the 5-year update requirements, we will review the South Bend contingency plan, overall emergency response plan, and vulnerability assessment. We will work with your LPT and appropriate local responders to compile an update to the wellhead protection contingency plan, including: a. Discuss any changes in procedures to be used in emergency response to leaks, spills, or illegal discharges b. Document information provided to local responders, including: i. Wellhead protection area boundaries ii. Names of system operators and other contacts in case of an emergency iii. 24-hour telephone numbers for emergency responders, hospital, and water supply owner/operator c. Document previous local responder training(s), and, if necessary, assist in facilitating a responder training session. 6. Local Planning Team Support American Structurepoint staff will assist the City of South Bend in leading a meeting with the local planning team. In this, we will assist in leading and initiating relevant discussions and needs for the wellhead protection group. We will prepare an updated list of LPT members, meeting agendas and minutes from current and past meetings, and incorporate this information into the 5-year update submittal. 7. Public Outreach and Education American Structurepoint staff will assist South Bend in creating a useful public outreach pamphlet or informational insert that can be used for citizen awareness of drinking water well protection. 8. Prepare the IDEM Phase II Five -Year Update Survey (form 53796) American Structurepoint will complete the IDEM Phase II 5-Year Update Survey form and assemble all necessary supporting documentation. We will provide a draft copy of the form and supporting documentation to South Bend for review and comment, make revisions as needed, and submit the documentation to IDEM for review. Throughout the IDEM review process, we will assist South Bend in responding to reviewer questions and comments, as needed. Michelle Smith May 9, 2019 Page 6 We shall have no responsibility for oversight or supervision of the contractors or their employees, for the means and methods of construction, or for the safety of persons on or off the job site. We shall have no responsibility to inspect for, or remove, hazardous materials. We will perform these services in a manner consistent with the degree of care and skill ordinarily exercised by members of the same profession currently practicing under similar circumstances. PROJECT DELIVERABLES 1. Well pumping summary 2. New delineation(s) 3. Updated PSC Inventory, including: a. PSC maps on aerial photography images depicting wellhead protection area boundaries, potential sources of contamination, and general land use. Hard copy and PDF maps will be provided. If requested, ARCNiew shapefile data will be provided. b. Tabular summary of potential sources of contamination identified within each wellfield 4. Updated Management Plan, including summary of potential source management actions taken over the past five years 5. Updated Contingency Plan 6. Local Planning Team documentation 7. Public Outreach and Educational product 8. Completed IDEM Phase II Five -Year Update Survey form (Deliverables 1-5 will be supporting documentation.) The services and deliverables described above will be completed according to the schedule outlined below. Assuming notice to proceed is received by June 1, 2019, the final report would be completed by January 1, 2020. COMPENSATION Compensation for services rendered will be lump -sum and invoiced monthly on a percent -complete basis. Full payment of invoices is due within 30 days from invoice date. The fee amounts are as follows. Permit or application Fees The services listed above represent the total scope of services as we understand it at this time. The fees for services contained in this proposal are valid for one year from the date of this letter. We are prepared to begin work on the project immediately upon written acceptance of this proposal. Owner's Project, of which Engineer's services under this Agreement are a part, is generally identified as follows: Wellhead Protection Plan 5-Year Update ("Project"). Engineer's Services under this Agreement are generally identified as follows: Preparation of the South Bend Wellhead Protection Plan 5-Year Update Owner and Engineer further agree as follows: 1.01 Basic Agreement and Period of Service A. Engineer shall provide, or cause to be provided, the services set forth in this Agreement. If authorized by Owner, or if required because of changes in the Project, Engineer shall furnish services in addition to those set forth above. Owner shall pay Engineer for its services as set forth in Paragraphs 7.01 and 7.02. B. Engineer shall complete its services by January 1, 2020, assuming that notice to proceed is received by June 1, 2019. C. If the Project includes construction -related professional services, then Engineer's time for completion of services is conditioned on the time for Owner and its contractors to complete construction not exceeding N/A months. If the actual time to complete construction exceeds the number of months indicated, then Engineer's period of service and its total compensation shall be appropriately adjusted. Owner waives any and all non -disputed claims against Engineer for any such suspension. "f 3.01 Termination A. The obligation to continue performance under this Agreement may be terminated: 1. For cause, a. By either party upon 30 days written notice in the event of substantial failure by the other party to perform in accordance with the Agreement's terms through no fault of the terminating party. Failure to pay Engineer for its services is a substantial failure to perform and a basis for termination. b. By Engineer: 1) upon seven days written notice if Owner demands that Engineer furnish or perform services contrary to Engineer's responsibilities as a licensed professional; or 2) upon seven days written notice if the Engineer's services for the Project are delayed for more than 90 days for reasons beyond Engineer's control. Engineer shall have no liability to Owner on account of a termination by Engineer under Paragraph 3.0I I.A. Lb. Notwithstanding the foregoing, this Agreement will not terminate as a result of a substantial failure under Paragraph 3.0I I.A. La if the party receiving such notice begins, within seven days of receipt of such notice, to correct its substantial failure to perform and proceeds diligently to cure such failure within no more than 30 days of receipt of notice; provided, however, that if and to the extent such substantial failure cannot be reasonably cured within such 30 day period, and if such party has diligently attempted to cure the same and thereafter continues diligently to cure the same, then the cure period provided for herein shall extend up to, but in no case more than, 60 days after the date of receipt of the notice. 2. For convenience, by Owner effective upon Engineer's receipt of written notice from Owner. B. The terminating party under Paragraph 3.01.A may set the effective date of termination at a time up to 30 days later than otherwise provided to allow Engineer to complete tasks whose value would otherwise be lost, to prepare notes as to the status of completed and uncompleted tasks, and to assemble Project materials in orderly files. In the event of any termination under Paragraph 3.01, Engineer will be entitled to invoice Owner and to receive full payment for all non -disputed services performed or furnished in accordance with this Agreement and all reimbursable expenses incurred through the effective date of termination. 4.01 Successors, Assigns, and Beneficiaries A. Owner and Engineer are hereby bound and the successors, executors, administrators, and legal representatives of Owner and Engineer (and to the extent permitted by Paragraph 4.01.13 the assigns of Owner and Engineer) are hereby bound to the other party to this Agreement and to the successors, executors, administrators, and legal representatives (and said assigns) of such other party, in respect of all covenants, agreements, and obligations of this Agreement. B. Neither Owner nor Engineer may assign, sublet, or transfer any rights under or interest (including, but without limitation, moneys that are due or may become due) in this Agreement without the written consent of the other, except to the extent that any assignment, subletting, or transfer is mandated or restricted by law. Unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under this Agreement. C. Unless expressly provided otherwise, nothing in this Agreement shall be construed to create, impose, or give rise to any duty owed by Owner or Engineer to any contractor, subcontractor, supplier, other individual or entity, or to any surety for or employee of any of them. All duties and responsibilities undertaken pursuant to this Agreement will be for the sole and exclusive benefit of Owner and Engineer and not for the benefit of any other party. 5.01 General Considerations A. The standard of care for all professional engineering and related services performed or furnished by Engineer under this Agreement will be the care and skill ordinarily used by members of the subject profession practicing under similar circumstances at the same time and in the same locality. Engineer makes no warranties, express or implied, under this Agreement or otherwise, in connection with Engineer's services. Subject to the foregoing standard of care, Engineer and its consultants may use or rely upon design elements and information ordinarily or customarily furnished by others, including, but not limited to, specialty contractors, manufacturers, suppliers, and the publishers of technical standards. B. Engineer shall not at any time supervise, direct, control, or have authority over any contractor's work, nor shall Engineer have authority over or be responsible for the means, methods, techniques, sequences, or procedures of construction selected or used by any contractor, or the safety precautions and programs incident thereto, for security or safety at the Project site, nor for any failure of a contractor to comply with laws and regulations applicable to such contractor's furnishing and performing of its work. C. This Agreement is to be governed by the law of the state or jurisdiction in which the Project is located. D. Engineer is not responsible for variations between actual construction bids or costs and Engineer's opinions or estimates regarding construction costs. E. Engineer shall not be responsible for the acts or omissions of any contractor, subcontractor, or supplier, or of any of their agents or employees or of any other persons (except Engineer's own employees) at the Project site or otherwise furnishing or performing any construction work; or for any decision made regarding the construction contract requirements, or any application, interpretation, or clarification of the construction contract other than those made by Engineer. F. The general conditions for any construction contract documents prepared hereunder are to be the "Standard General Conditions of the Construction Contract" as prepared by the Engineers Joint Contract Documents Committee (EJCDC C-700, 2007 Edition) unless the parties agree otherwise. G. All documents prepared or furnished by Engineer are instruments of service, and Engineer retains an ownership and property interest (including the copyright and the right of reuse) in such documents, whether or not the Project is completed. Owner shall have a limited license to use the documents on the Project, extensions of the Project, and for related uses of the Owner, subject to receipt by Engineer of full payment for all services relating to preparation of the documents and subject to the following limitations: (1) Owner acknowledges that such documents are not intended or represented to be suitable for use on the Project unless completed by Engineer, or for use or reuse by Owner or others on extensions of the Project, on any other project, or for any other use or purpose, without written verification or adaptation by Engineer; (2) any such use or reuse, or any modification of the documents, without written verification, completion, or adaptation by Engineer, as appropriate for the specific purpose intended, will be at Owner's sole risk and without liability or legal exposure to Engineer or to its officers, directors, members, partners, agents, employees, and consultants; (3) Owner shall indemnify and hold harmless Engineer and its officers, directors, members, partners, agents, employees, and consultants from all claims, damages, losses, and expenses, including attorneys' fees, arising out of or resulting from any use, reuse, or modification of the documents without written verification, completion, or adaptation by Engineer; and (4) such limited license to Owner shall not create any rights in third parties. H. To the fullest extent permitted by law, Owner and Engineer (1) waive against each other, and the other's employees, officers, directors, agents, insurers, partners, and consultants, any and all claims for or entitlement to special, incidental, indirect, or consequential damages arising out of, resulting from, or in any way related to the Project, and (2) agree that Engineer's total liability to Owner under this Agreement shall be limited to $50,000 or the total amount of compensation received by Engineer, whichever is greater. I. The parties acknowledge that Engineer's scope of services does not include any services related to a Hazardous Environmental Condition (the presence of asbestos, PCBs, petroleum, hazardous substances or waste as defrled by the Comprehensive Environmental Response, Compensation and Liability Act, 42 U.S.C. §§9601 et seq., or radioactive materials). If Engineer or any other party encounters a Hazardous Environmental Condition, Engineer may, at its option and without liability for consequential or any other damages, suspend performance of services on the portion of the Project affected thereby until Owner: (1) retains appropriate specialist consultants or contractors to identify and, as appropriate, abate, remediate, or remove the Hazardous Environmental Condition; and (2) warrants that the Site is in full compliance with applicable Laws and Regulations. All rights reserved. Owner and Engineer agree to negotiate each dispute between them in good faith during the 30 days after notice of dispute. If negotiations are unsuccessful in resolving the dispute, then the dispute shall be mediated. If mediation is unsuccessful, then the parties may exercise their rights at law. 6.01 Total Agreement A. This Agreement (including any expressly incorporated attachments), constitutes the entire agreement between Owner and Engineer and supersedes all prior written or oral understandings. This Agreement may only be amended, supplemented, modified, or canceled by a duly executed written instrument. 7.01 Basis of Payment —Lump Sum A. Using the procedures set forth in Paragraph 2.01, Owner shall pay Engineer as follows: 1. A Lump Sum amount of $24,850, B. The portion of the compensation amount billed monthly for Engineer's services will be based upon Engineer's estimate of the percentage of the total services actually completed during the billing period.
