WHEREAS, the County holds tax sale certificates for numerous parcels of real estate ("Parcel") located Within St. Joseph County and the City of South Bend froni the St. Joseph County Delinquent Tax Sales; and WHEREAS, the City desires to acquire and improve „ Eigl _.. parcels represented by certain of the tax sale certificates being held by the Courity With such parcels being identified in 1:",xhibi_1,..A (attached hereto and made a part hereot) ("Certificate Parcels"); and WHEREAS, the County agrees to acquire title to the Certificate Parcels identified liercin for the purpose of conveying such parcels to the City and the City agrees to accept title and ownership of the Certificate Parcels under the terns and conditions set out in this MOU. NOW, THEREFORE, for good and valuable consideration and the mutual benefits to be derived by the parties hereto, the City and County agree as follows; I . The County agrees to commence the statutory process of acquiring title to the Certificate Parcels identified herein upon execution ofthis MOU. Tliis shall include providing the two (2) statutory notices; filing of a Petition for Deed; and securing a deed to St. Joseph County for each parcel. 2. The City agrees to acquire from the County the Certificate Parcels set forth as Exhibit "A" attached hereto and incorporated herein with reimbursement of administrative costs incurred by the County to acquire the title to the Certificate Parcels through the statutory process set out in paragraph 1 above. 3. This transfer of the Certificate Parcels by the Count), to the City is made without any representation or warranty by the County and the Certificate Parcels are transferred "as is, where is". The County makes no representation or warranty concerning the condition, environmental issues, liens, encumbrances, tax .warrants, or any other aspect of the Certificate Parcels, 4. Once the County acquires title to the Certificate Parcels as set forth above, both the County and the City shall use their best efforts to pass similar equivalent resolutions, pursuant to I.C. 36-1-11-8, conveying title to the Certificate Parcels from the County to the City, or its designated City department, to complete the process. Upon the passage of the County and [lie City resolutions, the County Will convey the Certificate Parcels to the City, or its designated department, via a Commissioners' Deed. S. After transferring of the title to the Certificate Parcels as set out in Paragraph 4 above, County shall complete quiet title actions to quiet title of the Certificate Parcels in the City or its designated City Department.. 6. The City agrees to reimburse the County for the administrative costs to secure the tax title deeds at the rate of $600.00 per parcel. In addition, the City shall pay the cost of obtaining title information in the amount of$125,00 per parcel which expenses will be reimbursed by the City to the County at the time the County tenders an invoice for same. Further, the County and City acknowledge that there may be additional out-of-pocket expenses incurred in providing statutory Notices including, but not limited to, the cost of certified mailing and/or publishing of legal notices. 7. The cost to be charged by the County for quiet title actions shall be $400.00 per parcel to be reimbursed by the City to the County. In addition, the City will reimburse the County for any and all out-of-pocket expenses including, but not limited to, court filing fees and costs for Notice by Publication. 8. The total payment by the City to the County under this MOU shall not exceed $109,200.00, The reimbursement for the above described title information and out-of-pocket expenses for the tax title deeds and quiet title actions shall be payable as incurred by the County and invoiced to the City. The reimbursement for the administrative cost ofsecuring the tax title deeds shall be payable upon the completion of the transfer of the title of the certificate parcels to the City as set out in Paragraph 4 above. The reimbursement for the administrative cost of the quiet title actions shall be payable upon the complete of the quiet title judgment as set out in Paragraph 5 above. 9, The City shall be responsible for the recording of the Commissioners' Deeds and the payment of costs for such recording.
