The following is the fixed price annual cost. City of South Bend Maximo Managed Services Description Annual Cost Silver Level Managed Services Contract $9,900.00 Total Cost (Excluding Any Travel and Expenses): $9,900.00 While services are expected to be completed remotely, if travel is required or desired by the City, the expenses incurred while on assignment are the responsibility of the City and are additional to the services. The City will be responsible for actual travel expenses incurred (airfare, taxi, and/or rental car, hotel, parking, gas, etc.). Per Diem for meals and incidentals is based on the GSA rate and for the local area. Aquitas' policies for travel expenses include reimbursement for Consultants to return to their home of record every weekend unless otherwise arranged and approved in advance. Aquitas Consultants will provide copies of receipts for all reimbursable expenditures. South Bend Maximo Managed Services Page 4 of S Confidential f)AQUITAS SOLUTIONS 4 Additional Terms and Conditions The following terms apply: The term of this contract is March 1, 2019 — February 29, 2020 This one (1) year contract that will auto -renew unless written notice is given no later than sixty (60) prior to contract renewal Once this contract is signed it cannot be cancelled Maximo Managed Services includes Maximo Core software Maximo Managed Services will be delivered so reliable access to the City's environments must be provided Unused hours do not roll to the next month, but future contract hours can be used in earlier months Additional hours per plan are billed at $225 per hour. No additional hours will be used without the City's consent Plans require yearly, upfront payment due NET30 Integrations, Java Customizations, IT Infrastructure changes, or requests for plans more than forty (40) hours per month require a separate Statement of Work This does not replace or overlap with IBM S&S or SaaS, Aquitas Hosting, or Aquitas MaaS support The City will assure appropriate personnel are available to provide any required or requested support, information, or data relative to activities in this scope of work The City will provide Aquitas consultants access to all Maximo environments and servers via remote access to satisfy the City's Service Requests a This proposal is valid for fifteen (15) days 5 Signatures An authorized signature below by City indicates acceptance of the Services outlined herein.
