AMENDMENT TO OWNER -ENGINEER AGREEMENT Amendment No. 2 1. Background Data. - a. Effective Date of Owner -Engineer Agreement: November 13, 2018 b. Owner: Board of Public Works, City of South Bend C. Engineer: DLZ Indiana, LLC d. Project: Pinhook Park Improvements 2. Description ofModifications; a. Engineer shall perform or furnish the following Additional Services under Part I — Basic Services: A1.05 Preliminary Construction Document Phase A. After acceptance by Owner of the Preliminary Schematic Design deliverable, the Engineer shall: 1. Prepare Preliminary construction documents consisting of preliminary drawings and draft technical specifications for the Project. The project will be prepared as two design packages as follows: a. Sitework Design package will include trail and access improvements, water recreation improvements, and play elements as established in the Schematic Design Deliverable (Approximately $1,042,000 construction cost). Drawings shall include at minimum: 1) Removals and Site Preparation Plan (including tree protection) 2) Site Layout Plan 3) Site Grading and Erosion Control Plan 4) Site Utilities Plan 5) Planting Plan 6) Playground Layout and Materials Schedule 7) Site Details Page 1 (Exhibit K — (Amendment to Owner -Engineer Agreement) — Attachment 1) EJCDC E-500 Agreement Between Owner and Engineer for Professional Services. Pinhook Park Pavilion Upgrade plans and specifications shall be developed within three categories of work based on Priorirites and scope of work as established within the Schematic Design Deliverable. Drawings will include plans, sections, interior elevations, schedules and details for identified corrective work. 1) First Floor Restrooms: Improvements to achieve ADA compliance. (Approximately $19,130 construction cost) 2) First Floor Food Prep and Kitchen: Update food prep area so that it meets building code and spatial requirements for a `final prep' or `warming kitchen.' (Approximately $67,385 construction cost) 3) First Floor Lobby and Banquet Hall: Update finishes in Lobby and Banquet area, provide AN system. (Approximately $133,895 construction cost) 4) Review Owner -provide As -Built drawings of existing construction, including original construction and subsequent renovations and remodel projects within designated areas. 5) Pavilion documents will be based on As -Built design documents, including configuration, construction and finishes of impacted areas prior to damaged conditions. 2. Provide necessary additional topographic survey as described in A1.01, 1 to provide additional mapping from northern limit of current survey to Boland Drive and underwater elevations as needed for design of boat launch. 3. Prepare a revised opinion of probable Construction Cost. 4. Furnish 5 review copies of the Preliminary construction documents and any other deliverables to Owner within 60 calendar days of authorization to proceed with this phase, and review them with Owner. Prepare documentation of meeting and issue to attendees. Within 15 calendar days of receipt, Owner shall submit to Engineer any comments regarding the Preliminary construction documents and any other deliverables. B. Engineer's services under the Preliminary construction document phase will be considered complete following receipt of Owner comments. A1.06 Final Construction Document Phase A. After acceptance by Owner of the Preliminary construction documents, revised opinion of probable Construction Cost as determined in the Preliminary construction document phase, and any other deliverables subject to any Owner - directed modifications or changes in the scope, extent, character, or design requirements of or for the Project, and upon written authorization from Owner, Engineer shall: Page 2 (Exhibit K — (Amendment to Owner -Engineer Agreement) — Attachment 1) EJCDC E-500 Agreement Between Owner and Engineer for Professional Services. Prepare final Drawings and Technical Specifications indicating the scope, extent, and character of the Work to be performed and furnished by Contractor. 2. Prepare a final opinion of probable Construction Cost. 3. Prepare and furnish final construction documents for review by Owner, its legal counsel, and other advisors, and assist Owner in the preparation of other related documents within 45 calendar days of acceptance of Preliminary Construction Documents. Review them with Owner. Prepare documentation of meeting and issue to attendees. Within 15 days of receipt, Owner shall submit to Engineer any comments and, subject to the provisions of Paragraph 6.0 LG, instructions for revisions. a. Plans shall be submitted to Indiana Department of Natural Resources Division of Outdoor Recreation (IDNR) at this milestone for their review and comment as required by Land and Water Conservation Fund (LWCF) guidelines. Anticipated INDR timeline for review is 15-30 days. 4. Revise the bidding documents in accordance with comments and instructions from the Owner, as appropriate, and submit 5 final copies of the bidding documents, a revised opinion of probable Construction Cost, and any other deliverables to Owner within 15 calendar days after receipt of IDNR and Owner's comments and instructions. Note that schedule may be impacted by IDNR plan review and National Parks Service (NPS) grant approval timelines. B. Engineer's services under the Final Design Phase will be considered complete on the date when the submittals required by Paragraph A1.03.A.6 have been delivered to Owner. C. In the event that the Work designed or specified by Engineer is to be performed or furnished under more than one prime contract, or if Engineer's services are to be separately sequenced with the work of one or more prime Contractors (such as in the case of fast -tracking), Owner and Engineer shall, prior to commencement of the Final Design Phase, develop a schedule for performance of Engineer's services during the Final Design, Bidding or Negotiating, Construction, and Post - Construction Phases in order to sequence and coordinate properly such services as are applicable to the work under such separate prime contracts. This schedule is to be prepared and included in or become an amendment to Exhibit A whether or not the work under such contracts is to proceed concurrently. D. If more prime contracts are awarded, Engineer shall be entitled to an equitable increase in its compensation under this Agreement. A1.O7 Permitting A. Permitting services shall be completed concurrently with the above design phases as appropriate to each designated permit process and shall be completed prior to issuance of bidding documents. Services shall be as follows: 1. Construction/Land Disturbance Storm Water Permitting: DLZ shall prepare and submit the documentation per 327-IAC-15-5 (Rule 5). The scope shall include the following: a. Prepare a Notice of Intent Letter and complete a Notice of Intent application form. b. Prepare a Storm Water Pollution Prevention Plan Report document to include the following: 1) Using existing and available GIS information, show vicinity map, legal description of project site, hydrologic 14-digit unit code, location of all wetlands, lakes and water courses in vicinity of project. Identify existing vegetation, drainage patterns, adjacent land use, potential discharges to groundwater, and ultimate receiving waters on the project site. 2) Provide maps showing the Floodplains, Floodways, and Floodway Fringes, if applicable. Note any State or Federal water quality permits (ie. DNR, Army Corps, etc.) required. 3) Determine soil types within the project area using the NRCS soil map — no actual soil samples will be performed. 4) Calculate Pre -Construction and Post Construction Estimate of Peak Discharge. 5) Develop sequence describing storm water quality measure implementation relative to land disturbing activities 6) Document elements of this SWPPP where applicable within the Report, including but not limited to, sediment control, runoff control, inlet protection, pollutant sources, BMP implementation, and temporary and fmal stabilization methods. c. Prepare Storm Water Pollution Prevention Plan (SWPPP). 1) Base drawings should indicate the following: 2) Plat or Survey of existing project site. 3) Location and approximate boundaries of all disturbed areas with construction limits clearly shown. 4) Location of all lots and proposed site improvements. All rights reserved. 5) Existing site topography at an interval appropriate to show detailed drainage patterns. 6) Proposed final site topography at an interval appropriate to show detailed drainage patterns. 7) Location, size and dimensions of proposed storm water system. 8) Pre -Construction and Post Construction Infiltration Rates. 9) Location, size and dimensions of proposed Best Management Practices (BMPs). 10) Location of all environmentally sensitive areas on the site (ie. wetlands) 11) Specific points where stormwater will leave the site. 12) The SWPPP will show the location, dimensions, and construction details for all erosion control measures required, including but not limited to, temporary and permanent erosion control measures, water quality measures, perimeter control and stable construction entrances. It will also delineate the disturbed and preserved areas and proposed locations of soil stockpiles and borrow areas and other staging elements, as required. d. Submit Report and SWPPP to the local reviewing agency for 30 day review period. e. Monitor the approval process and provide customary additional information that may be required to secure a permit. £ Prepare and publish Public Notice as required by 327-IAC-15-5. g. Submit final documentation to IDEM no later than 48 hours prior to start of construction. Documents shall include signed NOI and accompanying letter, proof of publication, local review agency approval forms, and $100 IDEM permit fee. h. IDEM will provide Notice of Sufficiency directly to Owner documenting approved permit number. Owner to provide copy to DLZ upon receipt. 2. The ENGINEER shall prepare and submit the application and back-up documentation for the following permits related to the Water Recreation Improvements, as required: a. Indiana Department of Environmental Management (IDEM) — "401 Water Quality Certification' or Waiver. b. Army Corps of Engineers — "Section 404 Permit".. c. The ENGINEER shall monitor the approval process and provide any additional information that may be required to secure permit(s). A1.08 Testing A. Asbestos testing of targeted areas of the Pinhook Pavilion shall be completed concurrently with the above Preliminary Construction Document phase. Services shall be as follows: 1. DLZ shall utilize an Indiana Department of Environmental Management (IDEM) accredited Asbestos Building Inspector to perform an asbestos inspection of the Pinhook Park Pavilion. The asbestos inspection will be performed in accordance with the requirements set forth by the federal National Emission Standard for Hazardous Air Pollutants (NESHAP) asbestos regulations contained in the Code of Federal Regulations, Title 40, Part 61, Subpart M, (40 CFR 61, Subpart M). 2. The purpose of the asbestos inspection will be to document the location, quantity, and the presence of asbestos containing materials required to be removed prior to the renovation of the structure. The inspection will only include areas to be modified as part of the approved scope of Pavilion improvements. A 1.09 Bidding or Negotiating Phase A. After acceptance by Owner of the bidding documents and the most recent opinion of probable Construction Cost as determined in the Final Design Phase, and upon written authorization by Owner to proceed, Engineer shall: 1. Attend Pre -Bid meeting. 2. Issue addenda as appropriate to clarify, correct, or change the bidding documents. 3. Provide information or assistance needed by Owner in the course of any negotiations with prospective contractors. 4. Consult with Owner as to the acceptability of subcontractors, suppliers, and other individuals and entities proposed by prospective contractors for those portions of the Work as to which such acceptability is required by the bidding documents. 5. If bidding documents require, the Engineer shall evaluate and determine the acceptability of "or equals" and substitute materials and equipment proposed by bidders, but subject to the provisions of paragraph A2.02.A.2 of this Exhibit A. Per LWCF guidelines, bidding may not commence until NPS federal approval has been received, grant agreement has been entered into, and IDNR construction document review has been completed. C. The Bidding or Negotiating Phase will be considered complete upon commencement of the Construction Phase or upon cessation of negotiations with prospective contractors. A1.10 Construction Phase A. Upon successful completion of the Bidding and Negotiating Phase, and upon written authorization from Owner, Engineer shall: 1. Pre -Construction Conference: Participate in a Pre -Construction Conference prior to commencement of Work at the Site. 2. Clarifications and Interpretations; Field Orders: Issue necessary clarifications and interpretations of the Contract Documents as appropriate to the orderly completion of Contractor's work. Such clarifications and interpretations will be consistent with the intent of and reasonably inferable from the Contract Documents. Subject to any limitations in the Contract Documents, Engineer may issue field orders authorizing minor variations in the Work from the requirements of the Contract Documents. 3. Shop Drawings and Samples: Review and approve or take other appropriate action in respect to Shop Drawings and Samples and other data which Contractor is required to submit, but only for conformance with the information given in the Contract Documents and compatibility with the design concept of the completed Project as a functioning whole as indicated by the Contract Documents. Such reviews and approvals or other action will not extend to means, methods, techniques, sequences, or procedures of construction or to safety precautions and programs incident thereto. Engineer shall meet any Contractor's submittal schedule that Engineer has accepted. 4. Substitutes and "or -equal ": Evaluate and determine the acceptability of substitute or "or -equal" materials and equipment proposed by Contractor. 5. Additional Tasks: Perform or provide the following additional Construction Phase tasks or deliverables: a. The Engineer will provide design support to the Owner's Resident Project Engineer, as required and as directed by the Owner. Project Engineer, as directed by the Onwer, to assist in any matter that may arise during the construction of the project. B. Duration of Construction Phase: Duration of Construction is anticipated to be 16 weeks. For purposes of this agreement, it is assumed DLZ shall spend an average of eight (8) hours per week (total for all bid packages) including travel from DLZ's office to the Project site to determine that the Project is advancing generally, in accordance with the Contract Documents and advise the Client accordingly. C. Limitation of Responsibilities: Engineer shall not be responsible for the acts or omissions of any Contractor, Subcontractor or Supplier, or other individuals or entities performing or furnishing any of the Work, for safety or security at the Site, or for safety precautions and programs incident to Contractor's Work, during the Construction Phase or otherwise. Engineer shall not be responsible for the failure of any Contractor to perform or furnish the Work in accordance with the Contract Documents.
