Attach information regarding any failure to complete any work awarded to you and the location thereof. 4. Attach references from private firms for which you have performed work. SECTION II PLAN AND EQUIPMENT QUESTIONNAIRE 1. Attach an explanation of your plan or layout for performing proposed work. (Examples could include a narrative of when you could begin work, complete the project, number of workers, etc. and any other information which you believe would enable the City of South Bend to consider your bid.) 2. Attach a listing of the names and addresses of all subcontractors (i.e. persons or firms outside your own firm who have performed part of the work) that you have used on public works projects during the past five (5) years along with a brief description of the work done by each subcontractor. 3. If you intend to sublet any portion of the work, attach the name and address of each subcontractor, equipment to be used by the subcontractor, and whether you will require a bond. However, if you are unable to currently provide a listing, please understand a listing must be provided prior to contract approval. Until the completion of the proposed project, you are under a continuing obligation to immediately notify the City of South Bend in the event that you subsequently determine that you will use a subcontractor on the proposed project. 4. Attach a listing of equipment you have available to use for the proposed project. 5. Have you entered into contracts or received offers for all materials which substantiate the prices used in preparing your proposal? If not, attach an explanation for the rationale used which would corroborate the prices listed. SECTION III CONTRACTOR'S FINANCIAL STATEMENT Attachment of bidder's financial statement is mandatory. Any bid submitted without said financial statement as required by statute shall thereby be rendered invalid. Insurance we carry includes Statutory Workers Compensation with Jones Act and/or Longshoremen & Harbor workers Coverage, $1 Million General Liability with Completed Operations Coverage, and $2 Million Auto Liability. Additional Insurance and/or Endorsements can be provided on a cost reimbursement basis, including Builders Risk, Railroad, Additional Insured Endorsements on form CG2010 and Additional Insured Endorsement for Completed Operations. We do not agree to be responsible for OCIP or Builder's Risk deductibles or SIR's - regardless of fault. This limitation shall prevail over any indemnification provisions that may be set forth in the Subcontract. We require payment for all work completed within 30 days of such completion, with retainage limited to that held by the Owner not to exceed 10% of the completed work value. b. We require full retainage release and final payment within 60 days of the completion of our work regardless of the completion date of the project. c. We require full payment within 30 days for all material, excluding retainage withheld on such material by the Owner. d. All disputes must be resolved through mediation or litigation and in the County Circuit Court or Federal Court where the work is/was performed. e. We shall not be responsible for default or delay in the completion of the work when caused by strike, riot, war, terrorism, Act of God, or other similar circumstances beyond our control. 5. Overtime and Extra Mobilizations. Our Bid Proposal is based upon carrying out the work in an organized, sequential, uninterrupted, and efficient manner during regular working hours, Monday through Friday, in a single mobilization to the site. Our Bid Proposal includes one crew working five 8 hour days per week at the straight time labor rate and one mobilization. Although we reserve the right to work overtime or weekends at our own discretion without incurring charges for inspection, site overhead or other consequential charges, any additional crews and/or time or mobilizations required by Contractor can be provided on a cost reimbursement basis. In the event that our work is interrupted, impeded, or disrupted for any reason beyond our control, we shall be compensated for standby of the crew and equipment. If the Work has been suspended by Contractor or Owner for more than 30 days, our compensation shall be equitably adjusted. 6. Safety. To maximize safety within our work area, we must be pre -notified of all persons who are assigned or directed to enter our work area. Further, we require that such persons be safety trained regarding our work, but assume no responsibility for such training or the actions of such persons while in our work area. Damages. To the maximum extent permitted by applicable law neither party, nor their respective officers, directors, employees, representatives or agents shall be liable to the other for consequential, indirect, special or incidental loss or damages resulting from or arising out of any Agreement. We shall not be liable or responsible for any liquidated damages, delay damages or time -related penalties arising from the work. We shall not be liable for any damage to the structure, landscaping, utilities, wells, etc., and/or any consequential damages that may result from the normal performance of the work. We shall not be liable or responsible for defects of any kind whatsoever arising from a cause which is outside our immediate control or knowledge, or for any fault in the function between our work and subsequent work carried out by others. We will only indemnify others for damages resulting from our negligence and only to the extent such damage is covered by our General Liability Insurance. If our contract requires us to be responsible for claims due to the negligence of others, we must be notified and the cost of the additional insurance must be reimbursed. All workmanship shall be of a due care that would ordinarily be followed for a comparable project by a skilled professional in the same field, working in the same region where the Project is located. 8. Disclosure. To the extent Contractor receives or has information relevant to the performance of the subcontract Work which is under the Owner or Contractor's control, Contractor shall provide this information to the Subcontractor's Project Manager. 9. Backcharges. Contractor may not withhold from amounts due the Subcontractor unless (1) Subcontractor has had notice and reasonable time to correct any deficiency before incurring any costs chargeable to Subcontractor; (2) amounts being withheld reflect out of pocket costs or damages actually incurred by General Contractor, or costs or damages that will be incurred by General Contractor prior to any insurance settlement or payment; (3) payments withheld are reasonably calculated to cover the anticipated liability and all remaining payment amounts not in dispute are promptly paid, or (3) Subcontractor's Builder's Risk, OCIP or CCIP insurance does not cover said claim, loss or damage. Notwithstanding all clauses of this Agreement, if Subcontractor, during its work, encounters (1) subsurface or latent physical conditions which differ from those indicated in this Agreement or in documents made available by Contractor or Owner, or (2) unknown physical conditions of an unusual nature, differing from those ordinarily encountered, then Subcontractor shall be entitled to an equitable price and schedule adjustment to compensate it for such changed conditions. 11. &dJacent Property darn timwtatans. Impact of foundations, earth retentions systems and other heavy equipment operations on adjacent and nearby property are contingent on the good structural integrity and competent foundations of all such adjacent buildings, structures, utilities, and pavements such that they may withstand the stresses of the earth and foundation work at the proposed site. Vibrations and soil displacements are inherent in this work and are to be expected. Lack of tolerance for earth vibration and/or earth movement of adjacent sites must be brought to our attention. We strongly suggest that you consult with a structural engineer to verify the integrity of nearby existing improvements and include underpinning or other enhancements to accommodate the subsurface construction on the proposed site, if it is deemed necessary. As such, we will not accept claims resulting from vibration or deflections of the earth in relation to its impact on adjacent buildings, structures, utilities and pavements. An earth retention system is not the equivalent of underpinning an adjacent structure and should not be expected to perform similarly. With more than 10,000 pieces of major equipment, Michels has the equipment necessary to get the job done on time and in the most demanding conditions. Michels' dedicated team of mechanics makes sure our equipment is kept in top shape and on the job. Michels' road mechanics, whether responding to a call or staffed full-time on site, provide first-class support for our crews to minimize machine down time and avoid costly delays associated with repairing off -site. When off -site maintenance or repair is unavoidable, we utilize our network maintenance facilities throughout North America.. Fleet maintenance is managed using FleetFocus software which, among other things, tracks and schedules preventive maintenance for each individual machine and manages our parts inventory to keep availability up and costs down. 8.3 National Accounts Michels has the equipment to tackle jobs of all scopes and sizes, but for times when we do not have the necessary equipment available or would be better suited to meet the project schedule and/or budget by sourcing equipment locally, Michels will utilize its extensive network of national accounts with companies such as United Rentals, RSC Equipment Rentals, Sunbelt Rentals, Hertz Equipment Rental, and Volvo Rents to secure the necessary resources. 9 Subcontracting 9.1 Ability to Self -Perform Michels typically self -performs more than 90 percent of the construction activities it undertakes. Certain work scopes such as right-of-way clearing, fencing, landscaping, testing/commissioning, helicopter support, etc. are performed more efficiently and cost-effectively by firms specializing in those services and/or that are based near the project site. We have relationships established with highly qualified subcontractors, all of which are/have been subject to a prequalification process that evaluates several factors, including insurance, safety and environmental records, and financial stability. Whenever possible, we seek the services of qualified disadvantaged, minority, and/or women -owned (DBE/SDVOB/MBE/WBE) businesses. 9.2 Subcontractor Pre -qualification As mentioned in Section 9.1 above, Michels thoroughly evaluates and prequalifies its 37 MICHELS CORPORATION - STATEMENT OF QUALIFICATIONS subcontractors prior to executing any subcontracts or professional services agreements. To implement this policy we contact federal, state and/or local offices of SB/DBE/SDVOB/MBE/WBE/LBGTQ business affairs, search local SB/DBE/SDVOB/MBE/WBE/LBGTQ databases, utilize resources made available by the project owner(s) and stakeholders, engage local recruiting specialists, and/or utilize our internal vendor databases to engage qualified firms. Our SB/DBE/SDVOB/MBE/WBE/LBGTQ spends in 2017 and 2018 averages $54 million. We continually grow our SB/DBE/SDVOB/MBE/WBE/LBGTQ databases by attending regular networking events and through our partnerships with organizations such as Minority Supplier Development Council, Wisconsin Procurement Institute and other PTAC's and the Society of American Military Engineers. Through these and other partnership, Michels participate in several supplier diversity symposium nationally throughout year to enhance awareness of and increase business opportunities for SB/DBE/SDVOB/MBE/WBE/LBGTQ firms. In addition to promoting supplier diversity, Michels also makes a concerted effort to engage local vendors whenever possible. Not only does this benefit the project by minimizing transportation costs and risks, but it shows that we are committed to adding value to the communities in which we work and have projects. 38 MICHELS CORPORATION - STATEMENT OF QUALIFICATIONS 11 Information Technology 11.1 Information Systems and Technology Department (IT) Michels features a full -service IT department based in Brownsville that is staffed with dedicated functions, including software and application installation, network design and maintenance, network and data security, data management, and general system administration. To facilitate on -site payroll printing, we will set up secure connectivity between the jobsite and the payroll department in Brownsville. We use a variety of tools, including Microsoft SharePoint, VPN access, and FTP sites, to securely share and collaborate on proprietary project documents with third parties (e.g. owners, subcontractors, engineers, etc.). 11.3 Field Support In today's workplace, providing our field leadership with the necessary business technology is a requirement. Additionally, the IT department makes sure that all job trailers are properly wired and equipped for phone, fax and internet, and that all field managers are provided with Michels - issued cell phones and laptops to keep them connected.
