Home My WebLink About6A (3)I 4(;1 RESOLUTION NO. 3069 RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION APPROVING AND AUTHORIZING THE EXECUTION OF AN ADDENDUM TO THE MASTER AGENCY AGREEMENT (Orchestra Pit Lift) WHEREAS, effective January 1, 2012, the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission (the "Commission ") and the South Bend Board of Public Works (the "BPW ") entered into a Master Agency Agreement which authorized the BPW to act as agent for and on behalf of the Commission for certain projects during 2012; and WHEREAS, pursuant to the Master Agency Agreement, the Commission desires to add the Orchestra Pit Lift Project to the Master Agency Agreement by way of this Addendum. NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment Commission as follows: Section 1. The Commission hereby approves the Addendum to Master Agency Agreement (Orchstra Pit Lift) and hereby authorizes its execution in substantially the form attached hereto with such changes as the Commission may deem necessary or appropriate upon the advice of counsel, said execution thereof to be conclusive evidence of the Commission's approval of such changes. The Clerk is hereby directed to file a copy of the Addendum with the BPW. Section 2. This Resolution shall be in full force and effect after its adoption by the Commission. Section 3. Commission staff members are authorized to execute on behalf of the Commission any documents necessary to carry out the intent of this resolution. NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt of which is hereby acknowledged, the BPW and the Commission agree as follows: 1. The Commission hereby empowers and appoints the BPW, pursuant to the Master Agency Agreement, to act as the Commission's agent for the limited purpose of contracting for and managing the completion of the Project, the scope of said Project being more specifically described in "Exhibit A ", attached hereto and made a part hereof. 2. All of the terms and conditions of the Master Agency Agreement shall control this appointment and this Addendum shall be attached to the Master Agency Agreement. 3. Members of the Board and Members of the Commission arc authorized to execute on behalf of the Commission any documents necessary to carry out the intent of this Addendum. The agreement to perform the work on this project was initiated over twenty years ago between the City of South Bend and Moms Entertainment, Inc., a 501 [c] 3 corporation. The project has the full support of the management of the Morris Performing Arts Center. The original major restoration/renovation begun on December 31, 1998, reopening the venue in February of 2000 did not include a new orchestra pit lift due to the lack of available funds. The orchestra pit lift project is estimated at $210,000.00. Morris Entertainment, Inc. is pleased to report that it has raised all funds necessary to fully finance this final restoration/renovation project, including a matching grant from the Community Foundation of Saint Joseph County, Indiana. Research has been completed on orchestra pit lifts and we are satisfied that the Serapid brand will meet all the requirements and needs of the Morris. Therefore, we seek approval to proceed with the purchase and installation of a new orchestra pit lift. We also wish the Board of Public Works to serve as our agent and the City's Engineering Department to oversee the project. The project will be fully funded by Morris Entertainment, Inc. A Letter of Understanding between Morris Entertainment, Inc. and the City of South Bend will be executed upon the Redevelopment Commission's approval of the project.
