Date: July 9, 2012
The Century Center Bonds of 2008 and the Eddy Street Common Bonds of 2008 require the South Bend Redevelopment
Authority and South Bend Redevelopment Commission to certify the financial statements under the Continuing
Disclosure Undertaking Agreement.
The City's financial records are annually audited by the Indiana State board of Accounts and are
contained in the Comprehensive Annual Financial Report (CAFR). These are the records that will be
submitted along with the signed certification

CERTIFICATE RE: ANNUAL FINANCIAL INFORMATION DISCLOSURE
The undersigned, on behalf of the South Bend Redevelopment Authority
and the South Bend Redevelopment Commission, as the collective Obligor under
the Continuing Disclosure Undertaking Agreement, dated as of November 1, 2008
(the "Agreement "), between the Obligor and U.S. Bank National Association, as
Counterparty, hereby certifies that the information enclosed herewith constitutes
the Annual Information (as defined in the Agreement) which is required to be
provided pursuant to Section 4(a)(2) of the Agreement.
