Sanitary Sewer Extension.

TEMPORARY SEWER UTILITY EASEMENT AGREEMENT BETWEEN
THE ST. JOSEPH COUNTY REGIONAL WATER & SEWER DISTRICT
AND THE CITY OF SOUTH BEND, INDIANA
THIS TEMPORARY SEWER UTILITY EASEMENTAGREEMENT (this
"Agreement") made and entered into this 201h day of December, 2018, by and between the City
of South Bend, Indiana, an Indiana municipal Corporation, by and through its Board of Public
Works ("Grantor"), and the St. Joseph County Regional Water & Sewer District (the "Grantee")„
RECITALS
WHEREAS, the Grantor and Grantee entered into a Master Agreement, effective August
12, 2010, and a First Amendment to the Master Agreement, effective February 14, 2017, which
established the terms and conditions regarding the provision, collection, treatment and disposal
of water and sewage within the Grantee's service areas, as well as the terms and conditions
related to certain improvements planned at various locations in and adjacent to the South Bend
waste and wastewater facility planning areas; and
WHEREAS, the Grantee and the Grantor have discussed providing additional services to
the Carriage Hills Subdivision; and as a condition of the Grantee receiving financial assistance
from the U.S. Department of Agriculture on behalf of the approximately 165 customers that
require wastewater services within the Carriage Hills Subdivision, the U.S. Department of
Agriculture requires Grantee to demonstrate Grantor has provided to the Grantee a utility
easement for the construction of a sanitary sewer on Grantor's property.
NOW THEREFORE, in consideration of the mutual promises and obligations contained
herein, the Grantor and Grantee hereby covenant and agree as follows:
1. Grant of Easement.
FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of
which is hereby acknowledged, Grantor hereby grants unto Grantee, a Temporary Non -Exclusive
Sewer Utility Easement ("Temporary Sewer Utility Easement") and right-of-way in, under, and
upon certain real property situated in the County of St. Joseph, State of Indiana, which is more
particularly described in the legal description attached hereto as Exhibit A and depicted in
Exhibit B (the "Temporary Easement Property"), both exhibits incorporated herein by reference,
for the purpose of installing, laying, operating, maintaining, inspecting, removing, repairing,
replacing, relaying, and adding, to and from, time to time, sanitary sewer lines, together with all
fittings, appurtenances, and attached facilities, including service lines of its customers, and
laterals and connections for the transmission and distribution of waste and waste water to the
Carriage Hills Subdivision ("Sewer System"); together with the rights of ingress and egress over
the adjacent property of the Grantor, for the purposes of this easement.
Grantor warrants that it is the owner in fee simple of said Temporary Easement Property
(Parcel Nos. 71-04-20-103-014.000-003, 71-04-20-103-015.000-003 and 71-04-20-103-025.000-
003, recorded in Instrument No. 8201840 and Instrument No. 1526367 in the Office of the
Recorder of St. Joseph County), and has a good right to grant and convey the foregoing
Temporary Sewer Utility Easement; warrants the quiet use and enjoyment thereof and warrants
that said Temporary Easement Property is free from all encumbrances inconsistent with the
easement contained herein.
In the event the plans and specifications for the Sewer System provides for owner(s) of
land adjacent to Grantor's property to connect to said facilities , this Temporary Sewer Utility
Easement also grants to such adjacent property owner(s) the right to connect to the Sewer
System on Grantor's property, provided that all terms and conditions of this Temporary Sewer
Utility Easement are satisfied.
The location of said Sewer System lines, and appurtenances shall be as shown on the
"Record Drawings" on file or to be filed in the Office of the Recorder, St Joseph County, Indiana.
This Temporary Sewer Utility Easement shall be limited to the aforementioned rights. Said
Sewer System lines and appurtenances shall be constructed and maintained in such a way as to not
interfere significantly with any existing improvements located on said Temporary Easement
Property, and in such a way as not to cause any substantial damage or inconvenience to said
Temporary Easement Property.
2. Grant Reservation.
Grantor hereby expressly reserves and shall have the right to use and enjoy the
Temporary Easement Property for itself, its successors, assigns, and permittees; the right at all
times and for any purpose to go upon, across and re -cross and to use the said Temporary
Easement Property in a manner consistent with the existing nature of the Temporary Easement
Property.
3. Restoration.
Upon completion of the work contemplated hereunder, Grantee agrees to promptly
restore the above -described Temporary Easement Property owned by Grantor to a condition
equal to or superior to that existing prior to exercising its rights under this Temporary Sewer
Utility Easement. If and when, Grantee makes any future repairs to or on the above described
Sewer System, Grantee shall expediently replace and restore any surface area disturbed by its
work to a condition equal or superior to that existing prior to the under -taking of such repairs and
maintenance.
4. Indemnity.
Grantee hereby agrees to indemnify, defend, save and hold harmless the Grantor from
any and all liability, loss or damage Grantor may suffer as a result of any and all actions, claims,
damages, costs and expenses on account of, or in any way arising out of or from, this Agreement,
including, but not limited to, all losses, claims, actions or judgments for damages or injuries to
persons or property arising out of or from, or caused by the construction, operation, maintenance
and use of the aforesaid Sewer System by Grantee or its agents.
5. Dispute Resolution.
The Parties agree to negotiate all disputes between them in good faith for a period of
thirty (30) days from the date on which either Party has served written notice on the other of the
dispute prior to invoking or exercising their rights under law.
6. B.itidine_l'fect.
The rights and responsibilities set forth in this Agreement shall inure to and bind the
parties hereto, their heirs, representatives, successors, and assigns.
7. Headings.
The headings in this Agreement are intended for convenience only and shall not be used
to vary or interpret the intent of the text.

Grantee shall, at its expense, record this Easement Agreement in the records of St. Joseph
County, Indiana and shall provide Grantor with conformed copies of the recorded instruments, as
well as executed originals of all documents. Such recording shall take place within five (5)
business days of the execution of this Agreement.
