FIRST AMENDMENT TO AGREEMENT FOR SERVICES BY AND BE]"WEEN THE CITY OF SOUTH BEND ACTING BY AND THROUGH ITS BOARD OF PUBLIC WORKS AND NORTHERN INDIANA WORKFORCE BOARD INC.. This First Amendment To Agreement For Services By And Between The City Of South Bend, Acting By And Through Its Board Of Public Works, And Northern Indiana Workforce Board, Inc. (this "First Amendment") is entered into on November 27, 2018 (the "Effective Date"), by and between the South Bend Board of Public Works (`BPW") and Northern Indiana Workforce Board, Inc. (the "Provider") (each a "Party" and collectively the "Parties"). RECITALS A. The BPW and the Provider entered into that certain Agreement For Services By And Between The City Of South Bend, Acting By And Through Its Board Of Public Works, And Northern Indiana Workforce Board, Inc., dated February 13, 2018 (the "Agreement"), in connection with the Provider's delivery of certain workforce development services. B. The Parties desire to amend the terms of the Agreement as stated in this First Amendment. NOW, THEREFORE, in consideration of the mutual covenants and promises contained in the Agreement and this First Amendment, the Parties agree as follows: 1. In the first sentence of Section 4.A. of the Agreement, the term "Three Hundred Fifty Thousand Dollars ($350,000.00)" is deleted and replaced by the term "Four Hundred One Thousand Two Hundred Sixty -Nine Dollars ($401,269.00)." 2. Unless expressly modified by this First Amendment, the terms and provisions of the Agreement remain in full force and effect. 3. Capitalized terms used in this First Amendment will have the meanings set forth in the Agreement unless otherwise stated herein. 4. This First Amendment will be construed and interpreted according to the laws of the State of Indiana. [Signature page follows.]
