Accepting transfer of Hansel Center from South Bend Heritage.

On November 22, 2011, the Commission and South Bend Heritage, Inc. (SBHF) entered in
to a Memorandum of Understanding (MOU), for the substantial renovation of the Hansel
Center, located at 1045 W. Washington St.
The MOU calls for the transfer from SBHF to the Commission of the Hansel Center, at such
time as the use of WWCDA funds are needed to carry forward renovations. This past
Tuesday, April 3rd, the Board of Public Works awarded the Hansel Center project contract to
Gibson Lewis, and we are now at the point in the renovation process where transfer of the
property will soon be needed.
Upon approval of this resolution, a quit claim deed will be prepared so formal transfer from
SBHF to the Commission can occur. Once the Commission's responsibilities under the
MOU are completed, staff will present another resolution to transfer the property back to
SBHF, so their final responsibilities may be met.
Staff requests approval of Resolution No. 3016, to allow the acceptance of this property
from SBHF, and to fulfill its obligations under the MOU.

RESOLUTION NO. 3016
A RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION
ACCEPTING THE TRANSFER OF REAL PROPERTY FROM SOUTH BEND
HERITAGE FOUNDATION, INC.
WHEREAS, the South Bend Redevelopment Commission (the "Commission "), the governing
body of the South Bend, Indiana, Department of Redevelopment (the "Department ") and of the
Redevelopment District of the City of South Bend, Indiana (the "Redevelopment District "), exists and
operates under the provisions of I.C. 36 -7 -14, as amended from time to time (the "Act ") and is a body
corporate and politic; and
WHEREAS, South Bend Heritage Foundation, Inc. ( "SBHF ") is an Indiana not - for -profit
corporation meeting the requirements of I.C. 36- 1- 11- 1(a)(7), and was created for the purpose of
planning, directing, and coordinating economic and community revitalization within the City of South
Bend, Indiana; and
WHEREAS, the Department, by and through the Commission, on November 22, 2011 entered in
to a Memorandum of Understanding ( "MOU ") with SBHF for the substantial renovation of the Hansel
Center, 1045 W. Washington Street and more particularly described at Exhibit A (the "Property "); and
WHEREAS, the MOU provides that SBHF will transfer the Property to the Department to
facilitate the renovation of the Hansel Center; and
WHEREAS, SBHF desires to transfer the Property to the Department and to execute quitclaim
deeds effecting the transfer of the Property; and
NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment Commission as
follows:
I. The transfer of the Property described at Exhibit A situated inSt. Joseph County,
Indiana, by SBHF to the South Bend Redevelopment Commission, for and on behalf of the Department of
Redevelopment, shall be, and hereby is, approved and accepted.
2. Donald Inks is authorized to execute any instruments necessary to accept the
conveyance of the right, title and interest in the Property to the Department pursuant to the terms and
conditions evidenced by this Resolution.
3. This Resolution shall be in full force and effect upon its adoption by the
Commission. The transfer of the Property shall not be effective until deeds are duly recorded
effecting the same.
ADOPTED AND APPROVED at a meeting of the South Bend Redevelopment Commission
held on the 24"' day of April, 2012 at 227 West Jefferson Boulevard, Room 1308, South Bend, Indiana
46601.
