DORAU SERVICES AGREEMENT This Agreement For Services (this "Agreement") is entered into on October 9, 2018 (the "Effective Date"), by and between the City of South Bend, acting by and through its Board of Public Works (the "City"), and ACM Engineering & Environmental Services, a Florida corporation with its local place of business located at 26598 US-20 West, South Bend, Indiana 46628 (the "Provider") (each a "Party" and collectively the "Parties"). For and in consideration of the mutual covenants and promises contained herein, the Parties agree as follows: 1. Services. The Provider will provide to the City the services (the "Services") set forth in the Provider's proposal attached hereto as Exhibit A (the "Proposal"), which Proposal is incorporated herein. In the event of any conflict between the terms of this Agreement and the terms of the Proposal, the terms of this Agreement will prevail. The Provider will execute its obligations under this Agreement in accordance with the prevailing professional standard of care for projects of similar design and complexity. Bulk samples will be analyzed by the Provider's in- house laboratory (NVLAP Lab Code: 101977-0), which is accredited by the US Environmental Protection Agency, in accordance with 40 CFR, Part 763, Subpart F, Appendix A of the Asbestos Hazard Emergency Response Act; and the Services will be provided by one or both of the following Provider personnel: Jason A. Micinski Indiana Department of Environmental Management Asbestos Inspector License No. 192907077 2. Compensation. In exchange for the Provider's satisfactory performance of the Services, and subject to the terms and conditions of this Agreement, the City will pay the Provider an amount not to exceed three thousand six hundred and fifty ($3,650) ("Contract Amount") in accordance with the project budget stated in the Proposal. The City will pay the Contract Amount in installments upon invoicing by the Provider as set forth in the Proposal (each a "Contract Installment"). The City will not be required to pay any Contract Installment if the City is not satisfied with the Provider's performance under this Agreement or any default or breach of this Agreement by the Provider exists, as the City may determine in its sole discretion. The Provider will not incur or seek reimbursement for any expenses in excess of that amount. 3. Term; Termination. Unless earlier terminated in accordance with its terms, this Agreement will commence on the Effective Date and end upon the Provider's satisfaction of all its obligations hereunder and the City's final payment therefor. Notwithstanding the foregoing, effective immediately upon delivery of a written termination notice to the Provider, the City may terminate this Agreement, in whole or in part, for any reason, if the City determines that such termination is in the best interest of the City. In addition, in accordance with Ind. Code 6-1.1-18- 4, payments are subject to annual appropriation by the City. If the City makes a written determination that funds are not appropriated or are otherwise unavailable to support the continuation of this Agreement, it shall be cancelled. A determination by the City that funds are not appropriated or are otherwise unavailable to support the continuation of performance shall be final and conclusive. The City will not be required to pay any Contract Installment or be otherwise liable for any cost associated with the Provider's performance of any Services after the effective date of termination. 4. Remedies for Breach of Contract. Failure to complete the Services in accordance with this Agreement will be considered a material breach. In the event of such breach, the City may suspend all payments to the Provider and may pursue any and all remedies available at law or in equity. The Provider shall repay to the City any portion of the Contract Amount expended for matters not within the scope of the Services. 5. Point of Contact. The City employee identified in Section 9 below will serve as the City's principal point of contact for purposes of this Agreement. 6. Relationship. The Provider shall at all times be an independent contractor for the performance of the Services rather than an employee of the City, and no act or omission to act by the Provider shall in any way bind or obligate the City. This Agreement is strictly for the benefit of the Parties and not for any third party or person. This Agreement was negotiated by the Parties at arm's length and each of the parties hereto has reviewed the Agreement after the opportunity to consult with independent legal counsel. Neither party shall maintain that the language in the Agreement shall be construed against any signatory hereto. The City and the Provider hereby renounce the existence of any form of agency relationship, joint venture, or partnership between the Provider and the City and agree that nothing contained herein or in any document executed in connection herewith shall be construed as creating any such relationship between the City and the Provider. 7. Indemnification of City. The Provider hereby agrees to defend, indemnify, and hold harmless the City, its officials, employees, and agents from any and all claims of any nature which arise from the performance by the Provider under this Agreement and from all costs and attorney fees in connection therewith, excepting for claims arising out of the negligence of the City, its officials, directors, employees, and agents. The obligations of the Provider under this section shall survive the termination of this Agreement. 8. Assignment. The Provider shall not assign or subcontract the whole or any part of this Agreement or its obligations hereunder without the prior written consent of the City. 9. Notices. Any notice required or permitted to be delivered hereunder shall be deemed to be delivered, whether or not actually received, when deposited in the United States Postal Service, postage prepaid, registered or certified mail, return receipt requested, addressed to the City or the Provider, as the case may be, at the address set forth below. 2 Provider: City: ACM Engineering & City of South Bend Environmental Services, Inc. 227 W. The Provider shall comply with all applicable laws and regulations in its hiring and employment practices and policies for any activity covered by this Agreement. The Provider shall comply with all state, federal, and municipal laws, regulations, and standards applicable to its activities pursuant to this Agreement including, but not limited to, the requirements imposed by Ind. Code 22-9-1-10 (non- discrimination), the provisions of Ind. Code 5-22-16.5 (disqualification for dealings with the government of Iran), and the provisions of Ind. Code 22-5-1.7 (requiring E-Verify for new employees and prohibiting employment of unauthorized aliens). Each of the foregoing provisions is incorporated herein as if set forth in full, and the Provider certifies that it is in compliance with each such provision and shall remain in compliance through the term of this Agreement. 11. Drug -Free Workplace. The Provider hereby agrees to make a good faith effort to provide and maintain a drug -free workplace. The Provider will give written notice to the City within ten (10) days after receiving actual notice that the Provider or an employee of the Provider within the State of Indiana has been convicted of a criminal drug violation occurring in the workplace. 12. Entire Agreement; Amendment; Applicable Law. This Agreement sets forth the entire agreement and understanding between the parties as to the subject matter hereof, and merges and supersedes all prior discussions, agreements, and understanding of any and every nature between them. This Agreement may be amended only by separate writing, signed by authorized representatives of both the Provider and the City. This Agreement will be construed and interpreted according to the laws of the State of Indiana, and any dispute arising out of this Agreement or otherwise concerning the Provider's rendering of the Services will be resolved in the courts located in St. Joseph County, Indiana, unless the Parties mutually agree to a different method of dispute resolution. 13. Severability. All provisions of this Agreement shall be considered as separate terms and conditions, and in the event any one shall be held illegal, invalid or unenforceable, all the other provisions hereof shall remain in full force and effect as if the illegal, invalid, or unenforceable provision were not a part hereof, unless the provision held illegal, invalid or unenforceable is a material provision of this Agreement, in which case the Provider and the City agree to amend this Agreement with replacement provisions containing mutually acceptable terms and conditions. 14. Force Majeure. The Provider shall not be responsible for any failure or delay in the performance of any obligation hereunder, if such failure or delay is due to a cause beyond the Provider's reasonable control, including, but not limited to acts of God, flood, fire, volcano, war, third -party suppliers, labor disputes or governmental acts. The inspection will begin with a review of the existing building conditions within the Erskine Golf Course Pro Shop and will include a detailed visual inspection of all accessible areas. These areas include those that can be inspected through hatches, pop-up ceilings, crawl spaces, tunnels or mechanical system chases. It will not initially be required to break through sealed walls, ceilings, floors or any chases in order to perform the inspection. INSPECTION REPORTS A separate inspection report will be generated for the asbestos and lead -based paint that details the project background and data analysis of the laboratory analytical results. 2. ASBESTOS INSPECTION ACM will provide all labor, materials, and services to perform an asbestos containing building material survey to determine the absence or presence of asbestos containing building material (ACBM) within the Erskine Golf Course Pro Shop. ACM will provide a State of Indiana licensed asbestos inspector who will review all existing reports, findings, and statements pertinent to this inspection, and who will visit the site to inspect and document findings in accordance with United States Environmental Protection Agency (US EPA) and State of Indiana guidelines. The inspection will begin with a review of the existing building records and drawings and will include a detailed inspection of all accessible areas. These areas include those that can be inspected through hatches, pop-up ceilings, and in open crawl spaces or pipe chases. It shall not be required to break through sealed walls, ceilings, floors or pipe chases in order to perform the inspection. The proposed inspection shall result in the identification and evaluation of asbestos containing building material (ACBM) observed. The inspection shall also evaluate the condition of ACBM so that a risk evaluation and priority for response actions can be developed in subsequent proposed tasks. BULK SAMPLING ACM will conduct bulk sampling of all suspect asbestos materials. A minimum of twenty (20) samples will be collected and analyzed. 4. LABORATORY All bulk samples will be analyzed by our in-house laboratory, which is accredited by the US EPA in accordance with 40 CFR, Part 763, Subpart F, Appendix A of the Asbestos Hazard Emergency Response Act (AHERA). Our laboratory achieved a perfect score in the US EPA Laboratory Quality Assurance Program. Our laboratory microscopists are graduates of the 5-day program given by McCrone Research Institute. All bulk samples are analyzed under polarized light microscopes utilizing the US EPA's recommended "central stop dispersion staining" technique. Results include the type and percentage of asbestos fibers identified, non -asbestos fibers identified, and other non -fibrous materials, such as rocks, binder, filler, etc. The US EPA and the National Voluntary Laboratory Accreditation Program (NVLAP) accredit our laboratory. 5. ASBESTOS INSPECTION REPORT An inspection report will be generated identifying each homogenous material, noting the material type, location(s), quantity, condition, and whether or not asbestos was present. In addition, each sample site location will include an inspection sheet noting sample sites and laboratory analysis. 6. ASBESTOS RISK INSPECTION As a result of the inspection and bulk sampling tasks, ACM will assemble and document information on the relative degree of risk resulting from the types of ACBM and their condition. 7. ASBESTOS AND LEAD PAINT INSPECTION SCHEDULE The anticipated on -site inspection time period is one (1) day. BULK SAMPLE ANALYSIS PROCEDURE Bulk samples will be analyzed utilizing the following methods to comply with Federal and State OSHA regulations. a. A minimum of one (1) bulk sample will be collected from each homogeneous material. b. Bulk samples will be analyzed for each homogeneous material until a sample is determined to be asbestos. c. If a bulk sample is analyzed and is determined to be ACBM, then the homogeneous material will be classified as such. d. If all bulk samples are analyzed and determined to be Non -Asbestos Containing Building Material (NON-ACBM), then the homogeneous material will be classified as such. 9. XRF LEAD -BASED PAINT INSPECTION ACM Engineering & Environmental Services (ACM) will provide a US EPA and State of Indiana certified and licensed lead inspector and assessor to perform the lead -based paint (LB?) inspection of the Erskine Golf Course Pro Shop. An on -site lead inspection of interior and exterior painted surfaces will be conducted by a Lead Inspector, currently certified through the US EPA. The inspector will list all painted surfaces tested and will identify surfaces found that contain lead in excess of the EPA and HUD standard of 1.0 mg/cm2. Detailed descriptions of their locations will be provided, as required by HUD and EPA. A surface by surface investigation to determine the presence of lead -based paint and damaged or loose paint chips at the discretion of the lead inspector shall be performed using documented methodologies that incorporate adequate quality control procedures and protocol. Testing of all painted surfaces will be accomplished through the use of a X-Ray Fluorescence (XRF) Monitor for determining the presence of lead in paint. XRF LEAD -BASED PAINT REPORT Following completion of the field portion of the LBP inspection, two copies of the final report will be provided. These reports will contain the LBP inspection data in the format prescribed by the EPA and HUD. Specifically, the report will include the following: • Sequential Report — lists results in order of testing; • Summary Report — only lists results where paint tested positive for lead; • Detailed Report — lists the results on a room -by -room and unit -by -unit basis; • Distribution Report — lists results in terms of percentage positive and negative. Additionally, the final report will include identification of paint condition on a sample -by -sample basis, recommendations, and copies of the inspector(s) certifications. This report will be presented to Client within ten (10) business days following completion of the fieldwork. It is intended for the sole use of the Client and no warrants of claims are made for use beyond that described herein. 11. FEE FOR THESE SERVICES The total professional fee for the asbestos and XRF lead -based paint inspection for the Erskine Golf Course Pro Shop located at 4200 Miami Street in South Bend, Indiana is as follows: Description Asbestos Inspection U nit Rate $1,890,00 XRF Lead -Based Paint Inspection $1,760.00 Technical Time — Additional $88.00 / Hour XRF Equipment Usage - Additional $ 250.00 / Day Total for Asbestos and XRF Lead -Based Paint Inspection $3,650.00 ACM will not charge any fee for asbestos samples collected in excess of the quoted twenty (20) bulk samples due to the use of its US EPA.
