This addendum is between the Parks Board of Commissioners and the Redevelopment Commission. The purpose of this resolution and addendum is to allow the Commission to work as an agent of the Park Board to make improvements at the Cove with Commission funds. The scope of work described in Exhibit A of the Addendum is the list of improvements proposed to be made during the 2012 construction season. Funding for items on the list include the $1.75 million dollar commitment by the South Bend Redevelopment Commission and the remainder of the work is proposed to be done with private financing. All of the work done with Commission funds will be bid out through the Board of Public Works as authorized under a separate resolution and addendum. Staff requests approval of Resolution 2998 and the Addendum To Master Agency Agreement for the Coveleski Stadium Rehabilitation — 2012 Improvements project. What We Do Today Makes A Difference! RESOLUTION NO. 2998 RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION APPROVING AND AUTHORIZING THE EXECUTION OF AN ADDENDUM TO THE MASTER AGENCY AGREEMENT ( Coveleski Stadium Rehabilitation - 2012 Improvements) 2998 - 12/02 -2012 WHEREAS, effective January 24, 2012, the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission (the "Commission ") and the South Bend Board of Park Commissioners (the "Park Board ") entered into a Master Agency Agreement which authorized the Park Board to act as agent for and on behalf of the Commission for certain projects during 2012; and WHEREAS, pursuant to the Master Agency Agreement, the Commission desires to add the Coveleski Stadium Rehabilitation — 2012 Improvements to the Master Agency Agreement by way of this Addendum. NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment Commission as follows: Section 1. The Commission hereby approves the Addendum to Master Agency Agreement ( Coveleski Stadium Rehabilitation — 2012 Improvements) and hereby authorizes its execution in substantially the form attached hereto with such changes as the Commission may deem necessary or appropriate upon the advice of counsel, said execution thereof to be conclusive evidence of the Commission's approval of such changes. The Clerk is hereby directed to file a copy of the Addendum with the Park Board. Section 2. This Resolution shall be in full force and effect after its adoption by the Commission. Section 3. Commission staff members are authorized to execute on behalf of the Commission any documents necessary to carry out the intent of this resolution. CITY OF SOUTH BEND, DEPARTMENT OF REDEVELOPMENT South Bend Redevelopment Commission ATTEST: South Bend Redevelopment Commission ADDENDUM TO MASTER AGENCY AGREEMENT (Coveleski Stadium Rehabilitation - 2012 Improvements) 2998- 12/2012 -2 This Addendum to Master Agency Agreement (this "Addendum "), made and entered into as of the 24th day of January 2012, by and between the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission (the "Commission ") and the City of South Bend, Indiana, a municipal corporation duly organized and existing pursuant to the laws of the State of Indiana, acting by and through its Board of Park Commissioners (the "Park Board ") for purposes of the Park Board designating the Commission to act as the Park Board's agent to undertake the Coveleski Stadium Rehabilitation — 2012 Improvements (the "Project "). WHEREAS, effective January 16, 2012, the Commission and the Park Board entered into a Master Agency Agreement which authorized the Commission to act as agent for and on behalf of the Park Board for certain projects during 2012; and WHEREAS, pursuant to the Master Agency Agreement, the Park Board and the Commission desire to add the Coveleski Stadium Rehabilitation — 2012 Improvements to the Master Agency Agreement by way of this Addendum. NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt of which is hereby acknowledged, the Park Board and the Commission agree as follows: 1. The Park Board hereby empowers and appoints the Commission, pursuant to the Master Agency Agreement, to act as the Park Board's agent for the limited purpose of contracting for and managing the completion of the Project, the scope of said Project being more specifically described in "Exhibit A ", attached hereto and made a part hereof. 2. All of the terms and conditions of the Master Agency Agreement shall control this appointment and this Addendum shall be attached to the Master Agency Agreement. 3. Staff members are authorized to execute on behalf their governing body any documents necessary to carry out the intent of this resolution.
