RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION
APPROVING AND AUTHORIZING THE EXECUTION OF
AN ADDENDUM TO THE MASTER AGENCY AGREEMENT
(Ignition Park Phase 1B Infrastructure)
WHEREAS, effective January 1, 2011, the South Bend Department of
Redevelopment, acting by and through its Redevelopment Commission (the
"Commission ") and the South Bend Board of Public Works (the "BPW ") entered into a
Master Agency Agreement which authorized the BPW to act as agent for and on behalf
of the Commission for certain projects during 2011; and
WHEREAS, pursuant to the Master Agency Agreement, the Commission desires
to add the Ignition Park Phase 1 B Infrastructure to the Master Agency Agreement by way
of this Addendum.
NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment
Commission as follows:
Section 1. The Commission hereby approves the Addendum to Master
Agency Agreement (Ignition Park Phase 113 Infrastructure) and hereby authorizes its
execution in substantially the form attached hereto with such changes as the Commission
may deem necessary or appropriate upon the advice of counsel, said execution thereof to
be conclusive evidence of the Commission's approval of such changes. The Clerk is
hereby directed to file a copy of the Addendum with the BPW.
Section 2. This Resolution shall be in full force and effect after its adoption
by the Commission.
Section 3. Commission staff members are authorized to execute on behalf of
ILthe Commission any documents necessary to carry out the intent of this resolution.
ADOPTED at a meeting of the South Bend Redevelopment Commission held on
ILDecember 13, 2011, at 4:00 P .m., in Room 1308, County-City Building, South Bend
Indiana 46601.

IL MASTER AGENCY AGREEMENT
(Ignition Park Phase III Infrastructure)

This Addendum to Master Agency Agreement (this "Addendum "), made and
entered into as of the 13th day of December, 2011, by and between the South Bend
Department of Redevelopment, acting by and through its Redevelopment Commission
(the "Commission ") and the City of South Bend, Indiana, a municipal corporation duly
organized and existing pursuant to the laws of the State of Indiana, acting by and through
its Board of Public Works (the "BPW ") for purposes of the Commission designating the
BPW to act as the Commission's agent to undertake the Ignition Park Phase 1B
Infrastructure (the "Project ").
WHEREAS, effective January 1, 2011, the Commission and the BPW entered
into a Master Agency Agreement which authorized the BPW to act as agent for and on
behalf of the Commission for certain projects during 2011; and
WHEREAS, pursuant to the Master Agency Agreement, the Commission desires
to add the Ignition Park Phase 1 B Infrastructure to the Master Agency Agreement by way
of this Addendum.
NOW, THEREFORE, in consideration of the mutual covenants and promises
contained herein, and for other good and valuable consideration, the receipt of which is
hereby acknowledged, the BPW and the Commission agree as follows:
1. The Commission hereby empowers and appoints the BPW, pursuant to the
Master Agency Agreement, to act as the Commission's agent for the limited purpose of
contracting for and managing the completion of the Project, the scope of said Project
Lbeing more specifically described in "Exhibit A ", attached hereto and made a part hereof.
2. All of the terms and conditions of the Master Agency Agreement shall
ILcontrol this appointment and this Addendum shall be attached to the Master Agency
Agreement.
3. Commission staff members are authorized to execute on behalf of the
Commission any documents necessary to carry out the intent of this resolution.
IN WITNESS WHEREOF, the undersigned execute this Addendum to Master
Agency Agreement to be effective as of the date first written above.

Dear Geri:
BSA LifeStructures is pleased to submit a proposal for the site infrastructure design services
required to develop Phase 1B of Ignition Park. This specific proposal is for Design Development
drawings only. However, a breakdown of the fees for the entire project is included in a table
below. As is standard practice, these fees also include construction supervision throughout the
duration of the construction for this scope of work.
It is our understanding that the preferred process for design of Phase 1B would be for BSA
LifeStructures to complete Design Development drawings of the site (approximately 306 complete
drawings) and then have the cost evaluated by a third party prior to completing Construction
Documents and taking the project out for bid. If the City decides the cost of the project is not
viable at the Design Development review, or that the scope of work needs to be reduced due to
budgetary concerns, the remainder of the fees noted in the table below would need to be modified
prior to extending BSA LifeStructures' contract beyond the Design Development level covered
under this proposal. Based on the Master Plan, the following scope will be necessary for the
design:
• New roadways connecting from the 4 sides of the site to the center round -about will be
constructed along with their associated pedestrian walks, rain gardens, street lighting
and signage.
• The two pedestrian green boulevards heading out form the center of the site to the
northeast and northwest will be developed.
• The remainder of the site will be graded and seeded with prairie grasses.
• A storm water management system, including a series of rain gardens, canals and a
retention basin will be installed as well as the wells and pumping facilities required to
properly control the system.
• Design of the utility infrastructure including looping of the primary systems around the
center round - about: power, communications, water, sewer and storm water.
• The center plaza, green space and minimal parking will be designed as well.

This work will be performed both by civil engineers from BSA LifeStructures as well as local
consultants.
The timeline required for this design is as follows:

approximately $9,230,000. For the infrastructure design outlined above, BSA LifeStructures would
propose the following fees in addition to the construction cost noted above (only the Design
Development fees are covered via authorization of this proposal):

IGNITION PARK
Phase 1 B — Scope of Work:
Intent of this work is to provide the basic site infrastructure to establish Ignition Park access for
vehicles, pedestrians and other transients, establish easements and accesses to develop the future
image of Ignition Park and prepare the site for the first accelerator building development.
SITE IMPROVEMENTS
A. Sample Street boulevard extension to Circle Drive. This will include all improvements,
landscaping, lighting, storm drainage and rain gardens
B. Extend the Stull Street boulevard south lane. This will include all improvements,
landscaping, lighting, storm drainage and rain gardens
C. Complete Circle Drive with canal, walk and center park area.
D. Construct the East and West Greenways with all improvements, landscaping, lighting,
canal and walks
E. Grade and install native plantings throughout undeveloped parcels.
APT-1
SITE UTILITIES
• Electric: Power for parcels will be distributed by local utility company. Common area
power will be central metered.
• Communication conduit system.
• Rain Water Harvesting: Install rain water harvesting system throughout the campus
which includes canals, underground box storage culverts, collection pond, and pumping
system.
• Sanitary: Install sanitary system along roadways to adequate city sewer.
• Storm: Install storm sewer collection system to rain water harvesting system.
• Water: Water main to be extended to include adequate fire protection and hydrant
locations for public safety.
