HomeMy WebLinkAboutNo. 2943 approving/authorizing the execution of an addendum to the Master Agency Agreement (EMI Demolition Project)RESOLUTION NO. 2943 RESOLUTION OF THE SOUTH BEND REDEVELOPMENT COMMISSION APPROVING AND AUTHORIZING THE EXECUTION OF AN ADDENDUM TO THE MASTER AGENCY AGREEMENT (EMI Demolition Project) WHEREAS, effective January 1, 2011, the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission (the "Commission ") and the South Bend Board of Public Works (the "BPW ") entered into a Master Agency Agreement which authorized the BPW to act as agent for and on behalf of the Commission for certain projects during 2011; and WHEREAS, pursuant to the Master Agency Agreement, the Commission desires to add the EMI Demolition Project to the Master Agency Agreement by way of this Addendum. NOW, THEREFORE, BE IT RESOLVED by the South Bend Redevelopment Commission as follows: Section 1. The Commission hereby approves the Addendum to Master Agency Agreement (EMI Demolition Project) and hereby authorizes its execution in substantially the form attached hereto with such changes as the Commission may deem necessary or appropriate upon the advice of counsel, said execution thereof to be conclusive evidence of the Commission's approval of such changes. The Clerk is hereby directed to file a copy of the Addendum with the BPW. Section 2. This Resolution shall be in full force and effect after its adoption by the Commission. Section 3. Commission staff members are authorized to execute on behalf of C, the Commission any documents necessary to carry out the intent of this resolution. Jones, esident South Bend Redevelopment Commission ADDENDUM TO MASTER AGENCY AGREEMENT (EMI Demolition Project) 2943 -11 This Addendum to Master Agency Agreement (this "Addendum "), made and entered into as of the 10th day of October, 2011, by and between the South Bend Department of Redevelopment, acting by and through its Redevelopment Commission (the "Commission ") and the City of South Bend, Indiana, a municipal corporation duly organized and existing pursuant to the laws of the State of Indiana, acting by and through its Board of Public Works (the "BPW ") for purposes of the Commission designating the BPW to act as the Commission's agent to undertake the EMI Demolition Project (the "Project "). WHEREAS, effective January 1, 2011, the Commission and the BPW entered Apftk into a Master Agency Agreement which authorized the BPW to act as agent for and on behalf of the Commission for certain projects during 2011; and WHEREAS, pursuant to the Master Agency Agreement, the Commission desires to add the EMI Demolition Project to the Master Agency Agreement by way of this Addendum. NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt of which is hereby acknowledged, the BPW and the Commission agree as follows: 1. The Commission hereby empowers and appoints the BPW, pursuant to the Master Agency Agreement, to act as the Commission's agent for the limited purpose of contracting for and managing the completion of the Project, the scope of said Project being more specifically described in "Exhibit A ", attached hereto and made a part hereof. A 2. All of the terms and conditions of the Master Agency Agreement shall control this appointment and this Addendum shall be attached to the Master Agency Agreement. 3. Commission staff members are authorized to execute on behalf of the Commission any documents necessary to carry out the intent of this resolution. The scope of work is essentially the same as the current proposed scope of work and the bids ranged in price from $136,500 to $217,000. Jefferson Blvd. South Bend, IN 46601 Attention: Mr. Bill Schalliol AUG 16 2011 RE: PROPOSAL FOR REVIEW /REVISION OF DEMOLITION PLANS AND SPECIFICATIONS, DEMOLITION AND ENVIRONMENTAL INSPECTION, FORMER EMI BUILDING, 2020 S. MAIN STREET, SOUTH BEND, INDIANA, PROPOSAL WP11 -037 Dear Mr. Schalliol: As you are aware, Wightman Petrie, Inc. has previously provided support to the City of South Bend with respect to the former EMI Building, an approximate 16,000 sq. ft. structure with 45- foot ceilings and adjoining paved parking /storage lots, located at 2020 S. Main Street, in South Bend. Our services have included a boundary survey, asbestos inspection, material characterization and subsequent disposal of waste materials left on site, and preparation of a set of Demolition Specifications. Such Plans and Specifications were used as a basis for solicitation of quotes from contractors in late 2010; however about that same time, a potential investor was identified and all demolition /improvement activities were postponed. Such capital investment was never secured and the site never addressed. Therefore, the City of South Bend has requested that Wightman Petrie provide this proposal for performing a review and update, as necessary, of the existing Plans and Specifications. Other services requested by the City of South Bend include attendance at a Pre -bid Meeting, bidding assistance to address bidder's questions /comments, and attendance at the Bid Opening. It should also be noted that the demolition of the subject site, with the addition of alternate lots to the north, will require a Rule 5 Permit to address erosion and stormwater runoff requirements (site greater than 1 -acre of disturbance). Given that the period for the original Rule 5 Permit approval (two years) would expire prior to the start-up of any of the currently proposed demolition activity; the City of South Bend is also in need of services related to "re- issuance" of a valid Rule 5 Permit for the subject site. SURVEYING ENGINEERING ENVIRONMENTAL LANDSCAPE ARCHITECTURE City of South Bend August 17, 2011 Page 2 of 3 Finally, the City of South Bend is also requesting Site Inspection Services for the oversight and documentation of demolition activities. We note that there are requirements in the Plans and Specifications for the abatement of friable asbestos, as well as the "potential" for the presence of additional environmental conditions (inclusion of a $20,000 "Environmental Allowance" by the demolition contractor). It is anticipated that the demolition activities will be completed within a 45 -day time period (estimate 32 working days) from the date of award and submittal of the 10- day Notification to the Indiana Department of Environmental Management, Office of Air Quality for abatement of the identified friable asbestos containing materials. The following presents a summary of the Estimated Costs for completion of the requested services by the City of South Bend. We would anticipate the initiation of services immediately upon receipt of Authorization by the City of South Bend (review and finalization of Plans and Specifications).
