When the Central Medical District Development Area was established, it was done so with a
15 year life span. As we enter the last four years of this TIF area, staff has been partnering
with Memorial Hospital to identify needed infrastructure work around their campus that will
take us through 2015.
Based on anticipated revenue for the remaining four years, three main projects have been
identified. Actual revenue and construction costs could adjust how or when these projects
move forward.
The three main projects identified are:
• New facades along the east side of Michigan Street, for a more cohesive look and
feel to the campus (E. Blair Warner building and attached small brick bank building,
Skyway Bridge, Skyway Building, Mar Main Pharmacy, old Nipsco building, and
miscellaneous fencing and streetscape improvements between Navarre and
Bartlett).
• New parking lots on the east and west sides of the 400 block of N. Michigan Street
(the old CJ's area on the west, and the old Pizza Hut area on the east)
• The widening and enhancement of Bartlett Street between Michigan and Main
streets, leading to Memorial's new main entrance, with the reconfiguration of parking
lots to the north.
These projects would be staged as follows:
• 2012 — new parking lots on the west side of the 400 block N. Michigan, new facades
on the Skyway Bridge and Skyway Building
($3,718,000 budget)
• 2013 - new parking lots on the east side of the 400 block N. Michigan
($1,618,000 budget)
• 2014 - Bartlett Street widening and enhancement, reconfiguration of parking lot
($2,925,000 budget)
• 2015 - remainder of facade work
($2,180,000 budget)
What We Do Today Makes A Difference!
These changes will dramatically enhance this important gateway into downtown
South Bend, giving the Memorial campus a more cohesive look, and improving the
Medical Mile image.
The attached Plan Amendment between the Commission and Memorial Hospital
outline this planning strategy. The original Agreement called for the reconfiguration
of the Main / Michigan Street "S" curve, which has been replaced by the new
planning which has taken place.
Staff requests your favorable consideration of the Plan Amendment and planning
strategy for the remaining years of the Central Medical District Development Area.

FIRST AMENDMENT TO AGREEMENT
By and Between
THE SOUTH BEND
REDEVELOPMENT COMMISSION
and
MEMORIAL HOSPITAL
OF SOUTH BEND, INC.
This First Amendment to Agreement ( "First Amendment ") is entered into as of this
day of December, 2011 by and between the CITY OF SOUTH BEND, INDIANA,
DEPARTMENT OF REDEVELOPMENT, acting by and through the SOUTH BEND
REDEVELOPMENT COMMISSION (the "Commission "), and MEMORIAL HOSPITAL OF
SOUTH BEND, INC. ( "Memorial ").
WITNESSETH:
WHEREAS, Commission and Memorial are parties to that certain Agreement executed
by Commission on November 1, 2002 and by Memorial on October 25, 2002 pertaining to
development within the Downtown Medical Services District ( "DSMD "), such Agreement
providing for various projects within the DSMD; and
WHEREAS, Commission has identified three additional projects in the DSMD which
may be completed as funding becomes available; and
WHEREAS, in order to provide for these additional projects during the last four years of
the DSMD, Commission and Memorial have agreed to amend the Agreement on and subject to
the terms contained in this First Amendment;
NOW, THEREFORE, in consideration of the foregoing and for other consideration, the
receipt and sufficiency of which are hereby acknowledged, Commission and Memorial agree that
the Agreement is hereby amended as follows:
1. Added Proiect 1. New facades along the east side of Michigan Street, for a more

d. 2015 - remainder of facade work ($2,180,000 budget).
5. No Defaults. Commission and CHA each represent and warrant that there are no
uncured defaults under the Agreement and that to the extent either party previously failed to
perform an obligation under the Agreement, the performance of such obligation is hereby
waived.
6. Continued Validity. Except as expressly modified hereby, the remaining terms
and conditions of the Agreement shall remain in full force and effect.
7. Representations and Warranties.
a. Memorial hereby represents and warrants that (i) Memorial is duly organized,
validly existing and in good standing (if applicable) in accordance with the laws of the State
under which it wag organized; (ii) Memorial is authorized to do business in the State of Indiana;
and (iii) the individual executing and delivering this First Amendment on behalf of Memorial has
been properly authorized to do so, and such execution and delivery shall bind Memorial to its
terms.
b. Commission hereby represents and warrants that (i) Commission is duly
organized, validly existing and in good standing (if applicable) in accordance with the laws of
the State of Indiana; (ii) Commission is authorized to do business in the State of Indiana; and (iii)
the individual executing and delivering this First Amendment on behalf of Commission has been
properly authorized to do so, and such execution and delivery shall bind Commission to its
terms.
8. Counterparts; Conflicts. This First Amendment may be executed in multiple
counterparts, each of which shall be deemed an original and together will constitute one and the
same document. To the extent there exists a conflict or inconsistency between the terms of this
First Amendment and the terms contained in the Agreement, the terms of this First Amendment
shall prevail.
