DORM) AGREEMENT FOR PROFESSIONAL SERVICES This Agreement for Professional Services (this "Agreement") is entered into on August 14, 2018 (the "Effective Date"), by and between the City of South Bend, Indiana, acting by and through its Board of Public Works (the "City"), and Jones Petrie RaEnski Corp., an Indiana corporation with its principal office at200 Nibco Parkway, Suite 200, Elkhart, Indiana 46516 (the "Provider") (each a "Party" and together, the "Parties"). RECITALS WHEREAS, the City and Honeywell International Inc. (together the "Potentially Responsible Parties," or "PRPs") entered into an Administrative Settlement and Administrative Order on Consent for .Focused Remedial Investigation/Feasibility Study (the "ASAOC") with the United States Environmental Protection Agency for the Beck's Lake area (the "Beck's Lake Project") in October 2015; and WHEREAS, Richard Brown, the PRPs' EPA -approved Project Coordinator (the "Project Coordinator"), has identified certain services that must be performed in furtherance of the Beck's Lake Project and under the terms of the ASAOC, including, but not limited to, offsite waste delineation and groundwater investigation, (the "Project Work"); and WHEREAS, the Provider employs two employees, R. Joseph Trojan and Joshua Klosinski, who have several. years of collective experience working on the Beck's Lake Project due to their former employment with WSP USA INC., a contractor that previously performed work on the Beck's Lake Project on the PRPs' behalf, and who have in-depth, historical and technical knowledge of the EPA -approved project planning documents and field work; and WHEREAS, the City has determined that due to the Provider's employment of Mr. Trojan and Mr. Klosinski, and the inherent benefits the PRPs stand to gain from their continued participation in the Beck's Lake Project through their performance of the Project Work, it is in the PRPs' best interests to obtain the Provider's services pursuant to the terms of this Agreement; and WHEREAS, the PRPs desire to obtain the services of the Provider, and the Provider desires to provide services on behalf of the PRPs upon the terms and conditions set forth in this Agreement. NOW, THEREFORE, for and in consideration of the mutual covenants and promises contained herein, the Parties agrees as follows: 1. Services. The Provider will provide the professional services (the "Services") set forth in the Provider's Scope of Work and Cost Proposal attached hereto as Exhibit A (the "Scope of Work"). In the event of any conflict between the terms of this Agreement and the terms of the Scope of Work, the terms of this Agreement will prevail. The Provider will execute its obligations under this Agreement in accordance with the prevailing professional standard of care for projects of similar design and complexity. 2. Compensation. In exchange for the Provider's satisfactory performance of the Services, and subject to the terms and conditions of this Agreement, the City will pay the Provider a total sum not to exceed One Hundred Ninety -Eight Thousand Dollars ($198,000.00) (the "Contract Amount") in accordance with the cost proposal stated in the Scope of Work. The Provider shall prepare detailed, itemized invoices and submit them monthly to the City of South Bend Department of Law. Invoices shall be presented as set forth in the Scope of Work and payments shall be made to the Provider within a reasonable time thereafter. The Provider acknowledges and agrees that invoices will be reviewed and approved by the PRPs prior to payment. The City will not be required to pay any invoice if the City is not satisfied with the Provider's performance under this Agreement or any default or breach of this Agreement by the Provider exists, as the City may determine in its sole discretion. The Provider will not incur or seek reimbursement for any expenses exceeding the Contract Amount without a signed contract change order or similar instrument as outlined in Section 16. 3. Term; Termination. Unless earlier terminated in accordance with its terms, this Agreement will commence on the Effective Date and end upon the Provider's satisfaction. of all its obligations hereunder and the City's final payment therefor. Notwithstanding the foregoing, effective immediately upon delivery of a written termination notice to the Provider, the City may terminate this Agreement, in whole or in part, for any reason, if the City determines that such termination is in the best interest of the City. In addition, in accordance with Ind. Code 6-1.1-18, payments are subject to appropriation by the City. If the City mares a written determination that funds are not appropriated or are otherwise unavailable to support the continuation of this Agreement, it shall be cancelled. A determination by the City that funds are not appropriated or are otherwise unavailable to support the continuation of performance shall be final and conclusive. The City will not be required to pay any invoices or be otherwise liable for any cost associated with the Provider's performance of any Services after the effective date of termination; provided, however, that the City shall be required to pay for Services performed prior to the effective date of termination. 4. Remedies for Breach of Contract. The Provider's failure to complete the Services in accordance with this Agreement will be considered a material breach. In the event of any breach of this Agreement by the Provider, the City may suspend all payments to the Provider and may pursue any and all remedies available at law or in equity. The Provider shall repay to the City any portion of the Contract Amount expended for matters not within the scope of the Services. S. Point of Contact. The City employee identified in Section 12 below will serve as the City's principal point of contact for purposes of this Agreement. 6. Relationship. The Provider shall at all times be an independent contractor for the performance of the Services rather than an employee of the City, and no act or omission to act by the Provider shall in any way bind or obligate the City. No employee of the Provider will be considered or deemed to be an employee of the City. This Agreement is strictly for the benefit of the Parties and not for any third party or person. This Agreement was negotiated by the Parties at arm's length and each of the Parties hereto has reviewed the Agreement after the opportunity to consult with independent legal counsel. Neither Party shall maintain that the language in the Agreement shall be construed against any signatory hereto. The City and the Provider hereby 2 renounce the existence of any form of agency relationship, joint venture, or partnership between the Provider and the City and agree that nothing contained herein or in any document executed in connection herewith shall be construed as creating any such relationship between the City and the Provider. 7. Supervision by EPA -Approved Project Coordinator. The Provider understands and agrees that the Services shall be performed in accordance with and under the supervision of the Project Coordinator, and pursuant to the terms of the ASAOC and any other controlling documents associated with the Beck's Lake Project, including, but not limited to, the Soil Management Plan, and any amendments thereto. The Provider agrees that it will at all times work under the direction of the Project Coordinator and will provide notice to the City in writing, as provided for under this agreement and within twenty-four (24) hours, of any disputes or disagreements that may arise between the Provider and the Project Coordinator, for the purpose of allowing the PRPs to resolve jointly any such issues. The Provider further agrees that all communications with third -parties regarding the services, including, but not limited to, communications with the Environmental Protection Agency, must be preauthorized by the Project Coordinator. 8. Indemnification of City. The Provider hereby agrees to defend, indemnify, and hold harmless the City, its officials, employees, and agents from any and all claims of any nature which arise from the performance by the Provider under this Agreement and from all costs and attorney fees in connection therewith, excepting for claims arising out of the negligence of the City, its officials, directors, employees, and agents. The obligations of the Provider under this section shall survive the termination of this Agreement. 9. Work Product; Ownership. The Provider will submit its work product to the City or third -parties in accordance with the terms of the Scope of Work. Any and all work product submitted by the Provider to the City as part of the Provider's performance of the Services will become the exclusive property of the City, and the City will have the right to use and reproduce copies of the Provider's work product as the City determines in its sole discretion without compensation to the Provider except the compensation expressly provided for in this Agreement. 10. Confidential Information• Non -Disclosure of Proprietary Information. For purposes of this Section 10, "Confidential Information" means: (1) any information given to the Provider by the PRPs, jointly or severally, and clearly marked, in writing, as confidential; and (2) any information given to the Provider by the PRPs, jointly or severally, and orally, which, at the time given, is stated to be confidential. In the course of providing services under this Agreement, the Provider may receive Confidential Information from or pertaining to the City, the PRPs, and/or third parties. The Provider acknowledges a fiduciary duty to maintain and strictly preserve all Confidential Information received, The Provider agrees to keep Confidential Information confidential, and will not give said information in any form, to a third party, and will only disclose Confidential Information to the Provider's employees who have a need to know. The confidentiality will not apply to information which: (A) is at the time of receipt public knowledge, or after receipt becomes public knowledge through no act of omission on the part of the Provider; (B) was known to the Provider, as shown by written records, prior to disclosure by the City; (C) is received by the Provider from a third party who did not obtain the information from the City; or (D) is required by law to be disclosed. The Provider further agrees to hold all of the City's proprietary information in strict confidence and trust for the sole benefit of the City and not to disclose, use, copy, publish, summarize, or remove from the City's premises any proprietary information (or remove from the premises any other property of the City) during the term of this Agreement, except: (i) to the extent necessary to carry out the Provider's responsibilities under this Agreement; or (ii) when the information falls within the guidelines of this Agreement. The obligations of the Provider under this section shall survive the termination of this Agreement. 11. Assignment. The Provider shall not assign or subcontract the whole or any part of this Agreement or its obligations hereunder without the prior written consent of the City. 12. Notices. Any notice required or permitted to be delivered hereunder shall be deemed to be delivered when deposited in the United States Postal Service, postage prepaid, registered or certified mail, return receipt requested, addressed to the City or the Provider, as the case may be, at the address set forth below: Provider: City: Jones Petrie Rafinski Corp. Equal Opportunity; Non -Discrimination, Compliance. The Provider shall comply with all applicable laws and regulations in its hiring and employment practices and policies for any activity covered by this Agreement. The Provider shall comply with all federal, state, and municipal laws, regulations, and standards applicable to its activities pursuant to this Agreement including, but not limited to, the requirements imposed by Ind. Code 22-9-1-10 (non- discrimination), the provisions of Ind. Code 5-22-16.5 (disqualification for dealings with the government of Iran), and the provisions of Ind. Code 22-5-1.7 (requiring E-Verify for new employees and prohibiting employment of unauthorized aliens). Each of the foregoing provisions is incorporated herein as if set forth in full, and the Provider certifies that it is in compliance with each such provision and shall remain in compliance through the term of this Agreement. 14. Applicable Law; Severability; Enforceability. This Agreement will be construed and interpreted according to the laws of the State of Indiana. If any provision of this Agreement, or the application thereof to any person, place, or circumstance, shall be held by a court of competent jurisdiction to be invalid, unenforceable, or void, the remainder of this Agreement and such provisions as applied to other persons, places, and circumstances shall remain in full force and effect. 15. Drug -Free Workplace. The Provider hereby agrees to make a good faith effort to provide and maintain a drug -free workplace. The Provider will give written notice to the City within ten (10) days after receiving actual notice that the Provider or an employee of the Provider within the State of Indiana has been convicted of a criminal drug violation occurring in the workplace. 4 16. Entire Agreement; Amendment; Waiver. This Agreement is the final expression of the Parties' agreement with respect to the retention of the Provider by City for the services specified herein and may not be contradicted by evidence of any prior or contemporaneous agreement. This Agreement may be modified or amended only by a written instrument signed by both Parties. By an instrument in writing similarly executed, either party may waive compliance by the other party with any provision of this Agreement that such other party was or is obligated to comply with or perform, provided, however, that such waiver shall not operate as a waiver of, or estoppel with respect to, any other or subsequent failure. No failure to exercise and no delay in exercising any right, remedy, or power hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right, remedy, or power hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, or power provided herein or by law or in equity. Brown President RE: SCOPE OF WORK AND COST PROPOSAL, BECK'S LAKE NPIL SITE/LASALLE PARK AREA, SOUTH BEND, INDIANA (PROPOSAL #JPRE18-092) Dear Mr. Brown,: Jones Petrie Rafinski Corp. (JPR) is pleased to submit this Scope of Work (SOW) and Cost Proposal for additional offsite waste delineation and groundwater investigation as requested by the United States Environmental Protection Agency (EPA). The scope for both Task 1 and Task 2 are based on EPA requirements and this SOW also includes support services for continuation of the existing Soil Management Plan (SMP), including up to 800 tons of excavated soil for disposal and implementation of the SMP Addendum, (pending EPA approval) for planned construction activities across the LaSalle Park Area. Costs to assist the Project Coordinator in completing various other project related tasks (currently in progress) are also included. PROPOSED SCOPE OF SERVICES A conceptual SOW for each of these areas is addressed as follows: TASK 1 - Additional Ofisite Waste Delineation: The purpose of this activity is to determine if offsite waste fill material is present north of LaSalle Park, Per EPA requirements, approximately 12 soil borings are planned on the north side of Linden Avenue (see Figure 1). The soil borings will be located within the right-of-way which extends 40 feet from the centerline of Linden Avenue. Each soil boring will be advanced with a direct -push drilling rig. Soil samples will be logged for visual, textural and olfactory characteristics by a geologist. No samples are planned: to be collected for laboratory analytical testing since the presence of waste fill material can be determined visually. However, the field sampling team will be prepared to collect soil samples for analytical testing should something unexpected be observed and costs for such are included in this task as a contingency. If waste fill material is found within the entire right-of-way on the north, side of Linden Avenue, the investigation will halt. 'The intent is to not install monitor wells through areas of waste fill. If the right-of-way is determined to be comprised of partial waste fill material and it is possible to install monitor wells outside of the waste fill area but still within the right-of-way, the monitor well installation will proceed. Prior to initiating the scope provided in Task 1 and Task 2, a plan must be finalized and incorporated into a Work Plan Addendum required under Administrative Settlement Agreement and Order on Consent (ASAOC) Amendment 2, which is subject to EPA approval. Should no waste fill material be observed during the offsite waste fill delineation, a total of eight monitor wells (including five shallow wells and three deep wells) will be installed in the right-of-way along the north side of Linden Avenue across from LaSalle Park as required by EPA. Each monitor well will be installed with a truck -mounted hollow -stem auger drilling rig. Each well will be constructed of 2-inch diameter PVC casing and screen (0.010-inch slot — five-foot length for deep wells and 10-foot length for shallow wells). The shallow wells will be set to straddle the upper water table which is typically encountered between 5 feet and 10 feet below grade level (bgl). The deep wells will be set with the well screens set at intervals similar to that of the nearest onsite deep wells. The total depth of the nearest deep well is between 35 feet and 40 feet bgl. Up to three soil samples from each monitor well boring will be collected for laboratory analysis. Proposed monitor well locations are depicted on Figure 1. As required following monitor well installation and development, each monitor well will be surveyed for location and elevation by an Indiana licensed land surveyor. Groundwater levels will be gauged from each new monitor well, as well as, all existing monitor wells prior to groundwater sampling. Groundwater samples will be collected from each of the new monitor wells for laboratory analysis. Soil boring advancement, soil sampling, monitor well installation, completion, development, and groundwater sampling will be performed in accordance with the EPA - approved Field Sampling Plan (FSP). Scope of Work and Cost Proposal for Beck's Lake NPLILaSalle Park Area August 6, 2018 Page 3 of 8 Task 3 - Soil Management Plan Implementation and Waste Soil Disposal: An EPA -approved Soil Management Plan (SMP) is currently in place for construction activities specifically associated with the expansion of the Charles Black Recreation Center located in a six -acre portion of the southwest corner of the LaSalle Park property. The soil disturbance activities covered under the existing SMP include installation of building footers, utility trenches, removal of pavement, and installation of dry wells and connection piping via trenches. An SMP Addendum is currently under review by the EPA for select construction activities across the entire Beck's Lake/LaSalle Park property. The activities addressed by the SMP Addendum include; demolition of an old pavilion and construction of a new pavilion, removal of an old slide and installation of a new slide, installation of two drinking water fountains, installation of an irrigation system for the soccer fields, and several landscaping activities across the park. Each of these activities will involve soil disturbance. As part of the SMP Addendum (as with the existing SMP), during soil disturbance, the atmosphere in the work zone will be monitored for dust due to the potential for various contaminants of concern to be inhaled by the construction workers. Should soil disturbance result in visible dust or the dust monitor is triggered by a threshold exceedance, dust control measures will be implemented. In addition, any soil that is removed from the ground must be stockpiled and secured onsite pending offsite disposal arrangements. Soil samples must be collected for waste characterization analysis at a rate of one sample per each 500 cubic yards accumulated. It is estimated that 800 tons of stockpiled soil will need to be properly disposed (costs of which are included in the task cost estimate). All backfill material must be verified as clean based on laboratory analysis. Task 4 - General Consulting Services: Where appropriate and as requested by the Project Coordinator, costs have been included for JPR personnel to provide professional services related to on -going tasks where select JPR staff have prior site -specific experience on an as -needed basis as assigned by the Project Coordinator following approval of the PRPs to assist with various activities including on -going and future deliverables per the project schedule, SMP Addendum finalization, and field and analytical data interpretation. SCHEDULE The Project Coordinator, acting on behalf of the PRPs, will determine a date for implementation of the field services. It should be noted that prior to such date (minimum of48 hours), Indiana Utility Services must be contacted as required by Indiana Law for the locating of existing member utility service lines. Upon mobilization, JPR anticipates completion of the waste delineation will require two days of Geoprobe work; pending circumstances beyond our control (i.e. obstructions, collapsing borehole, non recovering Scope of Work and Cost Proposal for Beck's Lake NPL/LaSalle Park Area August 6, 2018 Page 4 of 8 well), etc. Monitor well installation, development and groundwater sampling is estimated to take ten days to complete. Laboratory analyses will be completed on a standard two - week turnaround from receipt by the laboratory. Laboratory analytical data validation will commence soon thereafter. SMP implementation and General Consulting will be provided on an "as needed" basis. ESTIMATED COSTS The scope and associated costs related to Task 1 and Task 2 were dictated by EPA. Anticipated unit costs and task duration/other assumptions are listed below per task. A 10% contingency has been applied to costs for each task. All estimates are considered time and materials not -to - exceed without approval. Should the scope of services require modification (i.e., additional/less borings) based upon field conditions and/or circumstances that would not have otherwise been anticipated, JPR will notify the client of such "changed conditions" and resultant cost implications to the project. Assuming a portion of the project is ongoing, our services will be billed monthly. Payment will be subject to the terms of the Professional Services Agreement (PSA). JPR understands that the scope and costs proposed herein are for work anticipated through the end of the calendar year 2018 per the terms of the PSA. Should you have any questions or comments concerning our services or charges during the course of the work, please bring them to our attention immediately for quick resolution. PROJECT TEAM JPR will dedicate the necessary professional resources to conduct this project in a timely manner. R. Joseph Trojan will manage the project and will be assisted by technical staff including Joshua Klosinski, to complete the work described herein. Mr. Trojan and Mr. Klosinski have experience working on the Beck's Lake NPL / LaSalle Park Area site and the other project team members have experience in conducting projects of similar scope and size. Scope of Work and Cost Proposal for Beck's Lake NPL/LaSalle Park Area August 6, 2018 Page 6 of 8 LIMIITATIION!S/QUALIFICATIONS The sampling and testing of soil, groundwater and/or other materials not specifically identified in this proposal is beyond the scope of services for this project. Cost estimates for our proposed services have been prepared based on the following additional assumptions: • Jones Petrie Rafinski will have unlimited access to the site during daylight hours; • No subsurface obstructions (buried utilities or fill debris) will interfere with our work; • Groundwater will be encountered within 35-feet of ground surface; • Inclement weather will not interfere with the completion of our field work; • Soil cuttings and puirge waters will be containerized and stored in the fenced -in and lockable investigative derived waste area located on the north side of the subject site pending proper disposal arrangements; disposal costs are included in the appropriate task estimate.
