A RESOLUTION OF THE CITY OF SOUTH BEND, INDIANA,
REDEVELOPMENT COMMISSION APPROVING THE
EXECUTION OF A QUIT CLAIM DEED AND OTHER
RELATED DOCUMENTS RELATING TO THE
TJX REDEVELOPMENT PROJECT
WHEREAS, the South Bend Redevelopment Commission (the "Commission ")
and the City of South Bend, Indiana, (the "City ") have previously entered into a Contract for Sale
of Land for Private Redevelopment dated as of April 25, 2002, which provides for the
Commission to sell a parcel of property generally located at Sample and Olive Streets in the City
to AJW South Bend Realty Corp. (the "Purchaser ") for the purpose of permitting The TJX
Companies, Inc., (the "Company "), an affiliate of Purchaser, to construct and equip a
warehousing and distribution center (the "Project ") on such Property; and
WHEREAS, the Commission desires to enter into the following documents with
Purchaser: a Quit Claim Deed, Grant of Easement for Environmental Remediation, Demolition
and Construction Easement Agreement and a Memorandum of Contract for Sale of Land for
Private Development (collectively, the "Real Estate Documents ");
NOW, THEREFORE, BE IT RESOLVED BY THE SOUTH BEND
REDEVELOPMENT COMMISSION, AS FOLLOWS:
1. The Commission hereby approves the form of Real Estate Documents
presented to the Commission at this meeting and authorizes the President of the Commission to
execute and the Vice President or Secretary to attest said agreements in the form presented at this
meeting with such changes as may be suggested by counsel and approved by the President and
Vice President or Secretary with such approval evidenced by the execution and attestation,
respectively, thereof.
2. The Commission hereby authorizes the President of the Commission to
execute and the Vice President or Secretary to attest any and all other documents relating to the
Project and necessary to effectuate the closing of said Project upon the advice of counsel.
3. This Resolution shall be in full force and effect from and after its passage by
the Commission.

co July 19, 2002, at 1308 County -City Building, 227 West Jefferson Boulevard, South Bend,
Indiana 46601.
